Company must disclose material subsequent events that happened between year end and the filing date. That is often why you see company's push out financials before a deal closes so they do not have to disclose it.
So even though it happened in Q1 if the agreement was executed it should be disclosed as a subsequent event in the 10k
Not as big but another 5M T-Trade. What's that 3 days in a row a t-trade hits 5 min after close
Just look at entire sector, this is not even related to Vapor Group
T$RTC -20%
M$IG -14%
M$NE -14%
FSPM -20%
V$PE -27%
and so forth. In fact there are only a few companies green on my 30+ watch list including NASDAQ, NYSE trading stocks
Indeed we do. And to all this is a lesson to research on your own and to truly know what you own.
I was here before wolf and will be here long after him if he chooses to jump ship. It is unfortunate that do to his popularity a target was put on SPLI's back targeting retail uneducated investors.
If you follow wolf you'll notice much like the posters on ihub there are a lot of rookies or newby's that put too much faith in what others say. You should use Twitter, Ihub, otcmarkets.com, barchart.com, stockcharts.com, investopedia and of course google to flesh out your investment strategy.
If you invested because you though it was worth a dollar, has that changed? In my opinion it has not and in fact it is only stronger with the financials that have been released and the good word of mouth that is coming from the trade show.
It is always good to get ideas from others but do not blindly jump in or out of an investment solely because someone said so.
Mav, you are right about June my mistake that is the 60 days for the 10k but the do have until May 15th to report (45 days after quarter close)
though they can always choose to report earlier if they are reviewed and finalized
RSI below 40, so oversold. Last time RSI was this low PPS was less than .01
I think we just need to wait out this volatility which is due to a congruence of factors and we will see it get back to it's previous highs.
It might take until Q1 financials are released in May/June but when the move starts based on the chart it will be able to move hard and fast
Heavy resistance at .013, has been tested twice. if we can break through .0137 is next spot per chart
50SMA .0098 20SMA .0102 10SMA .0114 RSI 56
From a chart perspective things look poised for a run with the right catalyst. And we've seen how quickly this thing can move with the right amount of buying pressure.
John all you are doing is creating a negative environment for any new investors that may be looking into this stock. If you are a holder than claiming that the company has done something to warrant a lawsuit is not going to create value.
The company has done nothing wrong and have been completely transparent as detailed in the 10k filing with the SEC. They have done nothing to mislead investors as to the nature of the financing and its purpose.
Hang in there, we all have our ups and downs in the end its how you react to them that will make you a winner or loser
rickn23, i am an admitted comic book fan and purchase a variety of books from all of the big publishers including the independents such as image, idw, dark horse, dynamite and so forth.
DC actually has a more diverse advertising base which one would expect as Marvel/Disney is big at self promotion. Just look at the Sportcenter spots for the Captain America movie.
A Mavel/DC comic is 31/35 pages including inside cover and back page. DC has 12 ads Marvel 8 per book. 5 of the DC ads include outside companies (Triforce, Wondercon, Combos, Telltale Games, Viggle) Marvel 3 (mycomicshop.com, awesomecon, penguin books).
As i said this does not take into consideration Red Giant being a promoter of the industry especially for the independents. I am sure they can have a combo of advertisers from both inside and outside the industry.
I am not going to estimate the revenues they will generate I am just pointing out there is a market for people advertising in the medium and free comics will see plenty of eyes.
Most comic shops give away all promo/free issues to every person that makes a purchase in a comic store and I myself always enjoy picking up a free issue of something i might not normally read. I cannot attest to what Benny has done in the past but the concept is one i will keep a close eye on as it could turn out to be quite the story a year from now. I plan on visiting my local comic shop in the coming days and will inquire to the owners about Red Giant and will post their comments.
I disagree about ads in comic books though it does vary by publisher. Yes, there is always going to be self advertising by Marvel and DC especially in the current era of comic movies, TV shows, video games and other forms of media.
However, in a given DC/Marvel comic you will see ads for Combos, yes Combos, Comic Cons (WonderCon, C2E2, SDCC), comic websites (midtown comics, mycomicshop.com), clothing and so forth.
I think there is a big market for non-comic company's wanting to advertise to comic fans as it is a hot demographic (male 18-45) that spends money on entertainment.
Not to mention the potential for Marvel/DC advertising their titles or movies/tv in a Red Giant Comic. As Benny said he wants to improve the entire industry and help not hurt the competition. Sure sounds like he wants them as customers to me.
Financial info not already priced in. Yes, The Vapor Group PR'd their 2013 revs of $2M but most big players will not put faith in penny stock PR. Once the revenues are proven in an audited document filed with the SEC it will put any apprehension about the validity to rest.
Additionally, we do not know operating cash flow, gross margin, operating margin or net income which all are very important to big money. The filing should answer all remaining questions about the company.
And to the confusion about Monday vs the 15th
People are looking for the 8k Monday for the merger agreement which is due 75 days from merger announcement (Jan 22nd)
April 15th will be the 2013 10k for Avworks Aviation now they could release all at once which is why they filed for the 15 day extension.
And due to investors bailing quickly in penny world when there is anysort of downtrend
shorting works by selling shares at the top and buying back at lower PPS to "cover" their trade.
Its the reveres of buying low selling high. It is selling high buy low so they have a vested interest in dropping the price in order to make money on the spread from when they sold.
Not even profit taking, based on dbag Sykes tweets he is performing massive short attack on SPLI and MINE as well other other pot stock pics.
not uncommon as he did the same thing sector wide a month or so ago
SPLI trying to file today

All new shareholders look at this chart. WE are following the same patterns which is becoming more and more predictable for those that have been here since under .01
We churned between .05-.07 for 8 trading days, this is nothing new, just churning waiting for the next leg up.
10k & 8k will be released soon which are the final pieces needed to get the full Vapor Group picture and when big players will start to take notice. Then there is NATO next week and still ticker chang.
Just be patient and realize that history does often repeat itself
Vaporizer that can charge a cell phone, brilliant
I was referring to the Vapor Box that was reveled the other week that does not use a heating coil on the herb but uses forced air
Its as of January so # is possibly out of date and add flippers constantly trading back and forth. Each tick is over 10% gain, so lot of money being made on buy bid sell ask
There is a coil in most if not all dry herb vapes, for instance Mc$g 2.0. This is why the Vape Box is a game changer, using forced air like a true vap instead of coil
MELY OTCQB stock fully reporting to the SEC O/S per OTC markets as of January 258M
Currently blue skies after .0015, next ask at .01
Huge bid support 25M on the bid
Investing $400k cash also gives an indication of operating cash flows $$$$$$
And only issuing 7M shares for potential $5M-10$M in revenue

Benny Powell bought shares on open market and has not sold any. Now it is only 124k shares but shows that he is confident in the company. He holds 147M shares in total per the last form 4 that was filed. If we do not see any sales in the next couple months it is a clear indication of his confidence in the company.

Everyone can make money on SPLI lets stop all of the bickering back and forth.
Money can be made flipping and money can be made holding long term but the constant nonsense offering no concrete information is useless. If you feel the stock is going lower provide valid evidence as such. the same goes for price increases, this should be a forum of information sharing.
Not this stop is tanking... this stock is going to the moon...
anyone who does not offer objective, verifiable, tangible DD is someone who has an agenda
Care to refute pictures showing product on store shelves
Stores carry it just check pictures on beamin1 twitter
https://twitter.com/beamin1/media
Quick search found store w/ 4 retail locations that carries Vapor Group product
http://www.eliquidlounge.com/brand/total-vapor
Google is your friend. There was a post by someone a month or 2 back that listed a dozen or so retailers with weblinks that carried their products. I tried to find post but was unable.
Financials will be filed soon showing audited revenues of $1.9M, in order to get revenues of $1.9M someone is carrying their products. And since the past 2 years of financials has been amended and refiled with the SEC with Dror's signature i highly doubt they are lieing about rev's
Lol yea, tanking on a bunch of $300 trades
Hopefully not until tomorrow when funds clear
Trend will most likely continue until 10k and 8k merger are filed. My guess is both will be filed before 4/9 as the NATO show begins 4/10.
Be patient over the next few days as all questions/concerns will be put to rest shortly. This is the last ditch effort to get shares because after next week there will be no more confusion as to where the Vapor Group us headed
Vapor Group, Inc., SPLI, Releases Statement on the High Quality Standards of Its E-Liquids
Vapor Group, Inc., SPLI, Releases Statement on the High Quality Standards of Its E-Liquids
DAVIE, FL--(Marketwired - Mar 27, 2014) - Vapor Group, Inc., formerly AvWorks Aviation Corp. (OTCQB: SPLI), (the "Company", "AvWorks", or "Vapor Group"), released a statement today about the unique, high quality standards behind its highly successful line of "Made in the U.S.A." e-liquids.
Yaniv Nahon, Chief Operating Officer of the Company, stated, "We believe that our e-liquids are unmatched by any competitor in terms of purity, high quality, and the steps that we take to protect our customers. All of our e-liquids are formulated and mixed exclusively for us here in the U.S. by an FDA registered laboratory by degreed professionals, in accordance with cGMP guidelines (21 CFR part 111). All our ingredients are quarantined before use, and must pass a test for purity by an independent, third party laboratory before being added to any formulation. The key ingredients that we use in our e-liquids are all United States Pharmacopeia ("USP") grade and kosher. When our products contain nicotine, it is only "levorotatory" nicotine which is extracted using natural processes from high quality black leaf tobacco."
He added, "All batches of e-liquids have a distinct lot number for quality control tracking of ingredients back to their "Certificate of Analysis." Our lab carefully tests each batch of e-liquid with a high pressure liquid chromatograph to verify that we have the correct levels of ingredients, especially nicotine. We don't believe any of our competitors go to the extreme of quality testing that we do."
"Important, each of our e-liquid's packaging bears the following consumer warnings in addition to others: 'NOT A FOOD PRODUCT. DO NOT EAT. KEEP OUT OF THE REACH OF CHILDREN. Refrain from using this product if you are under the legal smoking age in your state. This product is not an aid for smoking cessation.'
"We care immensely about the safety of our children and the safe use of our product. We are committed to clear, definitive safety labeling to ensure that our products are used by adults responsibly. We believe setting and maintaining such high standards for ourselves is the right thing to do, and the smart thing to do for the interests of our shareholders."
Dror Svorai, President and CEO, added, "We are confident that whenever governmental regulation comes to our industry, that we will not only be in compliance with the required standards to be met, but will exceed them in every way. We believe that we are way ahead of our industry when it comes to meeting high standards of product quality. And we are committed to keeping it that way
