I have published in this area for more than 2 decades and, yes, DE has the strongest protections for shareholders. Someone argued this fact and disagreed with me, maybe a year or so ago. NV is the opposite. NV favors managers over shareholders. NV did this to differentiate their corporate law (e.g., compete for filing fees, but for a different "product"). There is a "market" for "corporate law." Stay well.
So, as a shareholder, I own some portion of the entity that Billy set up. What am I missing? I think this is a good thing.

I have not read it, but if it says all the money is mine and shareholders get nothing, the "trust Billy" crowd can give Billy a call or a visit.
If it says shareholders get paid when other stuff is settled, that might be good.
