West Los Angeles – In a unique example of effective partnerships, the United States Department of Veterans Affairs (USDVA) and the California Department of Veterans Affairs (CalVet), signed important agreements today that will provide medical, pharmaceutical and food services to more than 500 veterans who will be living in the new state veterans homes being built on the campus of the West Los Angeles VA Medical Center and in the communities of Lancaster and Ventura.
“This unique partnership will help to provide outstanding continuity of care between federal and state services and treatment at the new Veteran’s Homes,” said CalVet Acting Secretary Roger Brautigan. “The Department is delighted we were able to reach this major milestone in the establishment of these new Veterans Homes and we are eager to move forward toward the delivery of excellent healthcare services for California’s deserving veterans.”
“I want to thank the VA Greater Los Angeles Healthcare System for their unwavering support and teamwork on this most important accomplishment,” Brautigan added.
Donna Beiter, Director for the VA Greater Los Angeles Healthcare System noted, “The signing of these agreements today guarantees that Veterans residing in these Homes will be able to receive the exceptional quality of care that they deserve. Working in concert with CalVet, we are proud to have developed a partnership that is truly unique within all of VA, and one that we
are certain will allow us to better serve the Veterans for whom we have joint responsibility.”
The Sharing Agreements involve contracting various healthcare services from the USDVA to CalVet’s three new Veterans Homes in Southern California and food services for the largest facility in West Los Angeles.
The West Los Angeles facility -- which broke ground on the property of the USDVA’s Greater Los Angeles Healthcare System campus in July, 2007 after a transfer of some 12 acres of property to the State of California -- will be contracting medical care, pharmacy services and food services. This 396-bed Veterans Home, the largest of the three currently under
construction, is estimated to open in mid-2010 and will house a Skilled Nursing Facility with Alzheimer’s/dementia care, as well as Residential Care for the Elderly (RCFE).
The Lancaster and Ventura sites will accommodate 60 veteran residents each for RCFE services and will be contracting for the USDVA’s medical and pharmacy services only. Both facilities are estimated to open this fall.
Collectively, the three state Veterans Homes that are part of this agreement are referred to as the Veterans Homes of California—Greater Los Angeles and Ventura Counties. Individually, the new Homes are referred to as the Veterans Home of California—West Los Angeles; the William J. “Pete” Knight Veterans Home of California—Lancaster; and the Veterans Home of California—Ventura. All Veterans Homes of California are built as an expression of gratitude toward California’s veterans.
Both the USDVA and CalVet’s missions are to deliver excellence in patient care and veterans’ benefits and services to veterans and their families, with a vision for veterans to live the highest quality of life with dignity and honor -- and to provide the highest quality healthcare
and enhanced quality of life for all veterans and Veterans’ Home residents.
The Veterans Homes of California provide veterans with a living environment that
protects their dignity and contributes to their feeling of self-reliance and self-worth. The Homes’ amenities are intended to provide residents excellent care in a homelike environment and foster a sense of community.

Rule 504 provides an exemption for the offer and sale of up to $1,000,000 of securities in a 12-month period. Your company may use this exemption so long as it is not a blank check company and is not subject to Exchange Act reporting requirements. Like the other Regulation D exemptions, in general you may not use public solicitation or advertising to market the securities and purchasers receive "restricted" securities, meaning that they may not sell the securities without registration or an applicable exemption. However, you can use this exemption for a public offering of your securities and investors will receive freely tradable securities under the following circumstances:
Rule 504(b)(1)(iii). Exclusively according to state law exemptions from registration that permit general solicitation and general advertising so long as sales are made only to "accredited investors" as defined in rule 501(a)
a. Accredited investor. Accredited investor shall mean any person who comes within any of the following categories, or who the issuer reasonably believes comes within any of the following categories, at the time of the sale of the securities to that person:
1. Any bank
2. Any private business development company
3. Any organization
4. Any director, executive officer, or general partner of the issuer of the securities being offered or sold, or any director, executive officer, or general partner of a general partner of that issuer
6. Any natural person who had an individual income in excess of $200,000
7. Any trust, with total assets in excess of $5,000,000
8. Any entity in which all of the equity owners are accredited investors.

As most know here this company has finally getting contracts for their services. I have done alot of digging and posting tid bits here and there when i get time. Here is alot of the DD i have aquired.
The contract is for Radiology Technician Services at the CDCR’s Division of Juvenile Justice and expires June 2010.
One contract is for Diagnostic Imaging Technologist Services at the CDCR and expires June 30, 2010.
The other contract is for Speech Therapy Services and expires September 30, 2009. (this one is ending)
The Company also anticipates it will receive formal notification within weeks that the Speech Therapy Services contract will be extended to September 30, 2010. (this one to be announced, so if we get it here is one more contract to add)
The contract is for Occupational Therapy Services at the CDCR and expires June 30, 2010
The contract is for Clinical Dietician Services at the CDVA and expires June 30, 2010.
That's 5 current Contracts with 1 of them pending renewal as soon as Sept. hits. Notice how all except one of them are not pending or renewed contracts. With the crsis that California is in as well... Means more money to the MSTF sonce we are considered one of the lower cost solutions. Especially since they are trying to close the budget gap. MSTF will see more contracts.
I had posted Revenues i found from 2006/7. This revenue only applied to 1 of the 5 contracts we currently have. (this is an assumption so i may have made an ASS out of myself, but until proven different i stand by it.)
Revenues for the three months ended June 30, 2007 were $1,962,073 compared to $1,918,858 for the three months ended June 30, 2006. This is an increase of $43,215 or 2% and is attributable to an increase in sales to CDCR for the current period. Old stats help us get an idea of $$ coming in :) That was within 3month period (quarter) so... its probably 2mil now 2x4 = 8mil = 1 contract..... estimated 8mil rev from 1 of the contracts. This alone proves that its pushing higher then the minimul 5mil reporting.
Chart, volume increase. Golden Cross thursday. Accumulation at 0002.

Then on July 14 the company form D with SEC stating revenues between 5-25 million expect.

California Department of Veterans Affairs Veterans Homes of California—Greater Los Angeles and Ventura Counties
Posted Date: 4/28/2009
THE WILLIAM J. “PETE” KNIGHT
VETERANS HOME OF CALIFORNIA–LANCASTER
45211 30th Street West
Lancaster, California 93536
Fact Sheet
Background
As an expression of gratitude toward California’s deserving Veterans, the California Department of Veterans Affairs (CDVA) is constructing three new Veterans Homes of California, referred to collectively as the Veterans Homes of California—Greater Los Angeles and Ventura Counties or VHC-GLAVC. Individually, the new Veterans Homes are referred to as the Veterans Home of California—Ventura; the William J. “Pete” Knight Veterans Home of California—Lancaster; and the Veterans Home of California—West Los Angeles. The temporary office location for VHC-GLAVC is located at 6150 Van Nuys Boulevard, Suite 305, Van Nuys, CA 91401. The telephone number is 818-742-1755.
The CDVA’s mission is to promote and deliver the benefits provided by the grateful State of California to its deserving Veterans and their families—with a vision for California’s Veterans to live the highest quality of life with dignity and honor. It is the Department’s goal to provide the best long-term care and enhanced quality of life for all California Veterans Home residents. These Homes provide California’s Veterans with a living environment that protects their dignity and contributes to their feeling of self-reliance and self-worth. The Homes’ amenities are intended to provide residents excellent care in a homelike environment and foster a sense of community.
The William J. “Pete” Knight Veterans Home of California—Lancaster
Construction for the William J. “Pete” Knight Veterans Home of California—Lancaster, began in July, 2007, is ongoing and is estimated to be completed in the late summer of 2009. After a short period of licensing and installation of furniture and equipment, the CDVA plans to hold a grand opening ceremony at the Home, estimated to take place in the late summer or early fall
of 2009.
The levels of care include:
1. Residential Care for the Elderly (RCFE) – 60 beds
Members who are age 62 and older may voluntarily admit themselves to this level of care with verification of their need for supervision with such activities as bathing, dining and/ or taking their own medications. These members are also offered assistance with transportation to medical appointments and community activities. Typically, these members are active and mobile, and are encouraged to do as much as possible for themselves within the context of RCFE care.
2. Adult Day Health Care Program (ADHC) – 50 members
The ADHC center provides a therapeutic environment designed to restore the Veteran’s capacity for self-care, and to delay or even prevent placement in a Skilled Nursing Facility. To participate in the ADHC program, the Veteran must have live-in support of family or friends and must have a plan to graduate from the program to resume an independent lifestyle at home.
The ADHC portion of the center will open in 2010. This is the first time the Department will offer an ADHC and the additional time will help to ensure that this valuable new service is initiated smoothly. This short delay will assist in the transition process to this wonderful new service for California’s deserving Veterans.
The estimated cost of the William J. “Pete” Knight Veterans Home of California—Lancaster, is $27.2 million.
