For those who live in conspiracy land, and who think none of the deals Kayode made are real, please consider this fact. Each time Kayode lists a deal that is false, a deal made with a another company, and no such deal actually was made-- Kayode can be subject to civil and criminal penalties by the other company and by the government. The only safe time (for awhile at least) to list a phony deal is with companies that does not exist at all. My friends, the companies Kayode made deals with exist and the deals made with them exist. I suppose you could check and see if any of the companies Kayode made deals with actually exist. Just Google their names. Also, remember there are 15 people who work at ECDC. Not everybody is stupid at the same time. If I worked for a company that I knew was issuing false PR’s about deals that do not exist, I know I would quit that firm as fast as possible. I might even tell the Attorney General in Georgia what was going on. You cannot issue one PR after another and get away with it–for very long. In the age of the internet, it is too easy for people to check up on you. Kayode is a great CEO and he is leading ECDC in an honest and ethical manner. He is not a Bernie Madeoff.
In my opinion, the $5M deal with Russia does not require a Form 8-k as that transaction is in the ordinary course of business. Kayode, if he wants to, does have the option to use an 8-k for such a large deal but he does not have to.

Why is ECDC’S stock pps going down? Penny stocks are very volatile. The can go up for no apparent reason and they can go down for no apparent reason as well. There are some who think the pps for ECDC should never go back down after it has gone up. If anyone really believes that about a Penny stock then I recommend with respect that they should not invest in penny stocks. Penny stocks are not like the stocks in the general market. Penny stocks can go down at a whim–even when there is a good news like a $5M deal from Russia. It is the nature of Penny stocks to be volatile. If you can handle that fact, you can make lots of money from Penny stocks. Since I have been investing in ECDC, I have seen the stock go up almost to .01 one time then again to over .01 and both times it went back down to .0017! or there about. That is way Penny stocks behave. Only a special kind of investor should play in the Penny stock market.
Second, ECDC’s pps did not go down because of Ironridge. This is total error. The deal with Ironridge was announced on April 20th, 2012. On April 20th, ECDC closed at .0035. On April 30th the stock closed at .0095. Do the math!! The stock went up after the Ironridge deal by 271%. Look at the chart if you don’t believe me. In addition, on May 16, 2012, ECDC closed at .006. That is 171% higher than the April 20th price. Thus, for almost one month ECDC pps was higher than the day ECDC signed on with Ironridge. These people who attack the Ironridge deal are very much mistaken. ECDC benefited from Ironridge a lot.
Why is Ironridge is a good deal for ECDC? because they are in the same boat with us. Notice they cannot sell their Series B Preferred Stock until ECDC’s pps is higher than 285%. No creditor would ever agree to do that unless he/she is very confident that ECDC will hit pay dirt. The stock will go substantially higher this year. (.03 to .05 is a decent estimate) I don’t know when it will go up a lot but it will happen. No doubt there are conspiracy theorist who will claim that Ironridge will make their money some other way and damage ECDC in the process. Those who have that view cannot be persuaded by anything–much less the facts. Here is what Kayode said about the deal with Ironridge:
"Ironridge is demonstrating confidence in our business plan and the direction of the operation, its decision and agreement to convert at a significantly higher PPS than current market price is indicative of this, but more importantly, is that we can now accelerate the development of our social media division 'WetWinds' and other projects we are working on."

From the more recent Letters to the Shareholders, it appears to me that it is TDCP that wants to buy other companies. They also said they want to partner as well. A buyout of TDCP is always possible but not likely. Remember, the most important patent is owned by OU not TDCP. Of course, if TDCP is bought the question that has to be asked is---is that agreement between OU and TDCP transferable or non-transferable. TDCP's main asset is that agreement between the company and OU. Hope this helps.

Looks like nobody expects to have an earnings report tomorrow. If I thought there was a chance of a buy out I might stick it out with UNGS. But if these guys at UNGS could dilute this stock to infinity, they clean all of us out just by the dilution. This was my first oil and gas stock I invested in. I think it will be my last. lol.
Last week's run up to 100% gain was just unbelievable. I have never seen a stock go up 100% with such modest news we received in the Letter to the Shareholders. The volume was fairly good too. I am equally amazed to see how fast it come back down. I am glad to see that TDCP is making head way on the technology front. That is encouraging. For the longest time we never got communications from TDCP. We rarely got a Letter to the Shareholder. Now we get them. I like that. I hope we continue to get communications from TDCP. Well, it appears that things are moving forward. I wish I knew if they still planned to build that EVTB or are they planning on going straight for TSP.

BUY NOW! ECDC is way oversold. My last buy in ECDC was at .0017. ECDC is due for a big bounce. She is way oversold. The talk is very negative on IHUB concerning ECDC–that’s the time to buy. Why is the volume so low today? Everybody should be running to the door to sell their shares but the volume is almost nothing. We are told we will not be told the number of AS or OS shares in the future. Yet people aren't selling, why?
This stock should be at .0001 and just stay there--given the STOP sign. Why is it at .0002? I wonder if earnings will be reported on Wednesday? or is it tomorrow?
The Ironridge deal was good for ECDC. Do not listen to these monkeys who tell you Ironridge will harm ECDC stock. There is a lot of misinformation being spread on this board about Ironridge. Ironridge has agreed to a number of important limitations that these bashers of ECDC stock are not telling you. Please read from the following paragraph about the limits put on Ironridge. This information was provided on May 25, 2012 by our CEO Kay:
"East Coast Diversified also entered into a definitive Stock Purchase Agreement with Ironridge to purchase $1.5 million in redeemable, convertible Series B Preferred Stock, which is convertible into common stock of the Company. Ironridge received no warrants. There are few restrictive covenants and no amortization provisions in the agreement. The transaction is subject to customary equity and closing conditions.
Under the Series B Stock Purchase Agreement, Ironridge has agreed to convert the shares at more than 285% of the current market price. My friends, please do not let this discourage you. The great potential for ECDC remains the same. This last deal in Russia is just the beginning of more good news to come. Consider today's action a gift to buy ECDC stock cheaply. Remember, all that has happened is the number of Authorized Shares will go up. That is not the same as Outstanding Shares. I have been tracking the total number of Outstanding Shares carefully. In the last 60 days the number of Outstanding Shares went from 558.5M to 644.5M--that is a 15% increase. The amount of dilution has been modest at best. And as business at ECDC improves, there will be even less dilution in the future. I am certain we will be .01+ in the near future. Good Luck.
This was a wild ride all right jimk1! The fact that TDCP could fly so high so fast is a clear bullish signal. No doubt the stock was way over sold and this was a major contributor for today's skyrocket move. When CSpace is ready to go commercial, TDCP will pay off big time. Go TDCP!

What I do not understand is why somebody has not tried to buy CMEY. CMEY's technology is great. Somebody should buy out the company and move the cMEY technology into the marketplace. What is the problem? Whoever buys CMEY probably could buy it at a good price, maybe even a discount of 20%. If CMEY can't make comeback then SELL! If we sell, everyone will make some money.

But again that is Authorized not Outstanding. It is Outstanding that is important for dilution purposes, not Authorised. Like I said both Scottrade and Ameritrade state the outstanding shares are 365M. If that number is accurate, there has not been any dilution for some time.

The Good News from the 10Q ! Kay is bullish on ECDC. On page 7 Kay included a very important sentence that many investors may have missed and that is rarely stated in a 10Q. On page 7 Kay said:
“The Company’’s development of GPS devices embedded with RFID modules represents its core technology and products. The Company has licensed various patents relating to the technology used in the Company’’s products and has commenced sales and commercialization of the technology which the Company expects will result in revenue that will allow the Company to sustain its current operation and get to a profitable status.”
You rarely read that kind of statement in a 10Q. Here the CEO is telling us in writing how the company will become PROFITABLE. That is almost never done in Penny Stock land. That paragraph is extremely bullish.
Again on page 8, Kay makes another bullish statement which I have never seen before in a 10Q:
“Management believes that actions presently being taken to obtain additional funding and implement its strategic plans will afford the Company the opportunity to continue as a going concern.”

For those who have little experience with Penny Stock balance sheets consider these facts. The ratio of Total Assets to Total Liabilities for ECDC is very good on a comparative basis. ECDC has Total Assets of 2,384,565.00 and Total Liabilities of 3,674,048.00. The ratio of TA divided by TL is .649. On a comparative basis with other Penny Stocks that is a very good number. Frequently, the TL will be 20 to 50 times the TA in Penny Stocks. Just shop around and look at some of the other Penny Stock balance sheets and you will see what I mean. Also, the negative Capital account for ECDC is very good on a comparative basis as well. Shareholder equity for ECDC has a negative 2,394,456.00. That looks bad but in comparison to other Penny Stocks is very good. I have seen Shareholders negatives as high as 100 times greater than the Total Assets. Once you understand ECDC’s balance sheet relative to other Penny stocks, it does not look nearly as bad as you might think. One good large deal by ECDC, just one-- can turn the negative Shareholder value into a positive. One good deal can cause TA to exceed TL. We are very close to being green with ECDC. These are just some of the reasons why I am bullish on ECDC. Good luck my friends.
My friends, I have read the 10Q carefully. If you were looking for a pretty balance sheet, you came to the wrong place. Penny stocks almost always have horrible balance sheets and income statements. ECDC is no different in that regard. The balance sheet and the income statement for ECDC is probably the least effective measure of this company’s true worth. What the balance sheet does not reflect is the talent of our management like our CEO Kay. He is dynamite. He knows how to sell. The balance sheet does not reflect the company’s potential in 2012 with Rogue Paper, Earth Search, Student Connect and Wet Winds. If the value of these assets could be measured, the company’s assets would far exceed its liabilities many fold. However, Generally Accepted Accounting Principles will not allow such numbers to be included in the balance sheet. The key facts are: the company continues to generate revenue at an increasing rate, it has several marketable products that are shelf ready and it has more to come online in the next few months–such as Wet Winds. A hit of any significance in just one of these four assets could send the ECDC stock into the strata sphere. I for one expect 2012 to be a great year for ECDC and my investment in the company. Wow, that is the fastest I have ever heard of new shares being issued. When that new price came out at .21?, I would have been real tempted to sale. .21 in the new price is equal to .006 at the old price. You know the new stock price is going to go down, unless good news comes out, the stock is going to go down way below .21 and it has. I suspect that .12 will not hold either. At least the r/s is over with. I am watching TDCP carefully and looking for a good re-entry point. Good luck.
