You’re exactly right, T. There are many coincidences regarding the connection between McCluskey and Siegel. I took a screenshot of Siegel’s endorsement for Gene in one of my posts back in August.
People say they’ve called Gene and he’s told them many times he’s got nothing to do with ECOS... despite the fact that one of Gene’s clients “stole” the Illinois ECOS name. I say “stole” because Gene knows of Siegel (he even told people this), yet he took the name of one of Siegel’s business entities anyways - Ecolocap Solutions Inc.. Why would Gene want to deal with the legal repercussions of fighting Siegel’s company for the ECOS name? Especially when he could’ve simply suggested a different name and avoided this whole situation altogether? Seems very odd to me.
Now, nobody can prove that there truly is something going on between Gene and ECOS. But then again, nobody can disprove it either. The reason why is because it would be insider information if Gene said anything about the connection, without ECOS first making it public. Gene knows this, and he wouldn’t risk breaking the law just to tell people there is a connection.

I can't really give a definite answer about that. I've seen a lot of odd volume trades with .0001 stocks that usually didn't mean anything.
It could've been a buy/sell that only partially executed, or maybe an MM messing around. It is odd though.

Most volume in 9+ months. Someone gave up (or got) some cheap shares.
Not quite sure, but it IS interesting. 40mil has been bought in total, between today and yesterday. That’s a lot of money to spend for a lotto play.
The only catalyst I can think of is that the OTC Profile was verified by the company recently. Maybe VCPS will drop some filings soon?
Something must be going on here with HBRM imo. The OS has not changed since May, so that proves they haven't been filing for dilution reasons.

DG, if they were to convert and hold onto the shares, would they then have to file a Form 3 or Form 4?
It's confusing at first, but they all share ownership of the 1B shares. Tonaquint has direct beneficial ownership, and the other entities (including Fife) have indirect beneficial ownership.

Fife is quite infamous in many OTC stocks for his toxic dilution.
Not necessarily. First, per Rule 144 (I believe), ECOS would need to be current with filings before those shares can be sold.
Also, about a year ago, Tonaquint owned about 657m shares of ECOS:

So they've actually added another 350m shares to their position with this new SC 13G/A filing. Since it shows they now own ~1B shares of ECOS.
But the first part of your question is likely correct, Tonaquint probably obtained these shares from conversion.

You are right. Based on the 10Q filed today, looks like they removed a bunch of debt by converting it to common shares. That was exactly why those SC 13D's were filed.
The liabilities dropped from $3,993,530 (back in June 2018) to $1,873,651.

DG, I apologize about my limited knowledge when it comes to taxes, but I have one more question about this topic.
The Bio-Art LLC is partly owned by LRS (5%), making it a multi owner LLC, correct? Does this affect how taxes are reported for any transactions between the LLC and LRS?
Thanks, I see it now on their latest financial SEC filing... wasn't it technically the LLC (formed by LRS and ECOS) that sold the digester to LRS?
