Absolutely. Paid $7.4B when worth $3.4B.
Plus, shrinking market for cable since more competition from Netflix, Hulu, Sling, etc.
And then "The cord cutters".
The best things COMM has going for it are:
- International markets
- 5g
These could save them b/c updated equipment required.
But will it be deployed fast enough? Don't think so.
I still believe their lenders are going to have to help save them.
JMO, Scruff-Almighty
Or very_shrewd move 2_get premium 4_his Arris shares.
He probably never has to work again.
May have been on through transition only anyway. Not sure.
But yes, it's ALL Bruce's fault.
It is difficult to believe COMM was so stupid.
Hey, it Friday. Happy Friday and weekend everyÖne.
Since Billy has spent $3M+, there must_B infringement.
I'm sure he learned everything possible about the details of the patents.
Met with the 3 inventors, got first hand knowledge about "RF channels" and EVERYTHING.
Plus, by October 27, 2020, $5M is due.
Note to self: "Patience is a virtue".
And once again, nice acquisition COMM. Hey Bruce. You schooled COMM.
Buy patents (or license with royalties) with Cisco and "The MS-13 gang of thieves" is only assurance COMM will NOT file BK.
TGIF,
Scruff-Daddy
My thinking was: "From learning from 1st zw_report..."
...that your brother met the inventors:
Inventors:
- Hennenhoefer; Earl (Harrisburg, PA)
- Snyder; Richard V. (Harrisburg, PA),
- Stine; Robert D. (Dillsburg, PA)
>>>>> BTW and once again, thank you gentlemen.
That possibly, they exchanged emails.
That zw may be able to obtain the layman's difference among the 3 patents directly from the source(s).
That was my hope anyway.
Else zw may obtain the differences from his "Revelations".
Unfortunately, those haven't come my way lately.
If remember correctly, think read post...
...or Pacer (or something) where defense may or is going to try to tie '822 to the other 2 patents somehow.
Isn't your older brother zw? He should know. How far are apart do you live?
Also, here they are. Please tell us, if know or learn.

I need to print the 3 patents, reread them and dissect.
Going to get some lunch,
Hungry Scruff
All very true. Gambits played. Carter's in control.
Plus, for all we know, they're negotiating or have been underway.
And possibly near settlement,... or not!
There was even a super long shot, COMM announced today, did a deal with ChanBond.
Like most, think trial will be the catalyst & settlement point.
But what do I know, Scruff
To me, 10/27/2020 = (about) MAX deadline.
The date is also above in "Intro", if forget.
May have to toggle the switch of "Show Intro" or "Hide Intro" (near top, far right).
I'm hoping, as we all are, settled soon.
Just surprised appealed, b/c wasted time, but those claims in '822 would give us a clean sweep.
And that might mean more money?
Some days I must not be virtuous, because my patience runs thin.
But as long as win the war.
Not sure if going to win the CAFC '822 battle however.
And, as always, great work on the Pacers, Scruff
Most definitely. As long as WE WIN!
Chiefs like their own Indians.
Plus, it's difficult to go from Chief to Indian.
Maybe he was just a Falcon's fan. (Arris was in Suwanee, Georgia)
COMM is in Hickory, NC (~60 miles from Charlotte: Carolina Panthers).
Both in the NFC South.
Speaking of which:

U're funny. Limit play-by-play. Save posts.
May give a final combined at end, if want.
Plus, others may have and ask you questions.
TY professor. Ü understand all this detail.
Yes, thank goodness going after the MS-13 gang.
I hope we have some good and meaningful questions!
Edit:
If provide too much "Play-by-play", may run-out of posts (but LIKE).
We don't want that (run-out of posts, that is).
Haven't missed anything. Questions are key.

Have you considered calling in and asking your question?
Go for it AJ. That would awesome and hilarious.

I did not know that.

Put in modifier "RF", with and without "Channel".
May have to count manually unless can do some fancy searching.
Is_it THAT critical since have '679 & '565?
From the first zombywolf report:
The(n) our side's turn came. Robert handled the presentation, arguing basically the ChanBond stay response. During the Q&A, there was an interesting exchange between the judge and the two parties. Since the other side was arguing so stridently that the stay was necessary to argue other non infringements, and Chanbond had so much other evidence of infringement, Why are you pressing these 5 claims that is causing this problem in the first place? Whitman stammered on that one- basically saying we just want to do it. Judge kept pressing him on it- Whitman finally relented and said he would discuss it with his client. The other side agreed, if these claims were not being appealed, they were OK with that. But if ChanBond wanted to continue with the appeal, that is their basis for the stay request. (I question the ChanBond strategy for the appeal as well).

#_of_times "RF Channel" used in EACH patent.
'822 = 24 times
> "RF" implied thru-out v. Cisco's broader channel definition
'679 = 116 times
'565 = 99 times
I'm not sure how relevant the appeal is considering the "EXACT" specifications of the other 2 patents.
Each patent and claims, I'm sure, is based on it's own merits, but if took the totality of the 3 patents together, "RF" would be implied throughout '822.
Also, I liked his last 2 minute rebuttal. Put focus back on point.
Lastly, thank you all for everything, all the great info and being eyes.
Unprecedented Onslaught Is Preeminent against the MSOs, fka UOIP.

Totally. My high is 6.2B (FWIW).
Really in 2nd link but explain each must contribute here.

Added wrong. Too much multi-tasking or semi-sleep deprived (or both).
Also, used 1/4 of 1% as base for MS-13 gang of thieves.
Could even be higher for COMM.
Their lenders will have to kick-in some more dollars to save company.
https://investorshub.advfn.com/boards/read_msg.aspx?message_id=149440728
I still believe COMM's best option is to buy patents with help from Cisco & MSO's.
But will they all go for that?
Edit: Also, the link is within the link but working as try to write.

I'm going to have to reread and compare all 3 patents.
I did very much like Whitman's 2 minute rebuttal.
And thank you, Scruff
It still makes me laugh. Thanks.
Yes, anyone "Could've". 1% inspiration, 99% perspiration.
Genius is one percent inspiration and ninety-nine percent perspiration. Great accomplishments depend not so much on ingenuity as on hard work. This is a saying of the American inventor Thomas Edison.

No fan of "Should've_rs". We DID w/ ÜÖIP
And seem to hear that a lot among investing people (for some reason).

Well, WE ALL DID with fka, UOIP.
We took & are taking the chance & risk.

Still that 1 in 10,000 stock and life-changer.
Also, missed your normal morning salutation.
80% of daily moves in stocks R machine-led
Sell-offs could be down to machines that control 80% of the US stock market, fund manager says.
The phenomenon, also called algorithm or algo trading, refers to market transactions that use advanced mathematical models to make high-speed trading decisions.
https://www.cnbc.com/2018/12/05/sell-offs-could-be-down-to-machines-that-control-80percent-of-us-stocks-fund-manager-says.html
Computer-assisted rule-based algorithmic trading uses dedicated programs that make automated trading decisions to place orders. AT splits large-sized orders and places these split orders at different times and even manages trade orders after their submission.
Large sized-orders, usually made by pension funds or insurance companies, can have a severe impact on stock price levels. AT aims to reduce that price impact by splitting large orders into many small-sized orders, thereby offering traders some price advantage.

U're becoming quite the bloodhound tracker yourself LT.
You're sniffing out information all over the place.
Some of those look like they're above my pay grade.
Terrific and TY,
Scruff
I'll go with that. Huge week. Who's excited?
Good morning all.
You're the doctorate so if COMM achieves "Subpenny Turd" status, well, they're deserving of the title.
They will have definitely earned it.
COMM sure could've used your help for your mere 1 million dollars "Advising / Consulting" fee.
If they had only waited 6 months on the Arris acquisition, they could've saved BILLIONS.
COMM's share price drop has to be, in part, Arris's indemnification agreements coming to light.
Plus, we have a huge week ahead. "SSStartingggg to get a little excited".
>> Tuesday = The CAFC ChanBond-Cisco (Whitman vs. Stacy) Appeal
And gratefully, we have some very intelligent & informed members attending. I think it's:
*) zombywolf
*) Evilbean
*) Magnus, "The Magnificent" data finder
*) 007Roger and his wife
And with Toanoman fantastic post (#71330, up top, in PlusOneCoin Top Posts), zw believes "Slam dunk remand", so we have that going for us as well.
>> Thursday = COMM reports Q2 before the bell
Lastly, haven't found "Subpenny Turd" in Investopedia yet?
Maybe it will become word-of-the-year.
https://www.investopedia.com/
Anyway, ended-up turning this into a summary of the week's events b/c so much important stuff going on.
Over-and-out and until tomorrow, Scruff-Daddy
BTW...98%+ of pinkies R complete POS & scams
This time is different however.
This is that 1 in 10,000 (private) stock.
I'm a believer.
And the appeal is being heard by the CAFC 3-judge panel on Tues, 08/06.
WARD = UOIP. See 4 letters = 4 letters.
100% guarantee huh? He who laughs last...
...Thinks slowest.
Likewise, please PROVE Carter does NOT PLAN TO honor & PAY the COMMON.
He has common
We all have common

Well, we're movin' on up, to the top, to a deluxe apartment in the sky.
Man, Oh Manischewitz T-Man. Awesome post
Scruffer's 10 stages of defendant's psychological mindset
1) Blow Off - Get the muck out of here
2) Deny - Don't worry, we're rejecting all claims
3) Delay - We'll file every type of legal challenge
4) Defend - You have nothing.

Yes, if goes all the way to jury verdict.
Can or will COMM (and Cisco) allow this?
And how about the smaller MSOs not indemnified?
Treble damages and that prisoner's dilemma written about by AJ & others.
SpecialNeeds is the insurance contract professional and states they'll minimize risk and most likely settle.
I think it's COMM's only viable option.
And they say, when starting to go down, bring the banks with you.
Their lenders (banks) don't want them to go under so...
They'll have to cough-up another few BILLION.
After all, COMM does a heck of a lot of revenue.
Then I could see COMM's share price crater to much lower levels.
I think they've borrowed over 3.4B+ so far (from Q1).
Q2 on 08/08 will have more Arris acquisition numbers.
Should be good & exciting time ahead for us private shareholders.
Goodnight, Scruffer
Anyone, but will need ChanBond patents regardless.
And that will be a definitive b/c means ChanBond won verdict.
I was thinking NetGear.
Cisco left market b/c too competitive and not their niche (anymore).
But who knows?
Yes, agree 100%. Deal could B reached any day.
It's gonna be:
1) Buy patents (or some type of leasing & royalty agreement)
2) Trial & ChanBond wins = BK 4 COMM (But will it go this far?)
>> Settlement with MSO 13
3) Trial & the unlikely = Game Over?
And it's not Chapter 11 anymore. (This was posted 6 weeks ago).
It's Chapter 7 all the way.
Plus, added wrong on inside link. $6.2B.
COMM's lost another $200M in market cap this week alone!
About $10 per shares values them around $2B.
https://investorshub.advfn.com/boards/read_msg.aspx?message_id=149473457
https://investorshub.advfn.com/boards/read_msg.aspx?message_id=150043728
Of course, JMO, but we're hitting the inflection point of COMM's survival.
And to me, that's A-#1 for the executives and their lenders.
Yes. Also, a group of executives or BOD...
(along with outside counsel)
Of ordinary (or even professional) skill...
Would NOT have paid $7.4B for Arris.
Unfortunately, each and every person has a tendency to see things from their own paradigm.
Let's just hope 2 of 3 judge panel can see that nothing is obvious until after invented.
So many new, useful and unique things have been invented that seem obvious ONLY AFTER THE FACT!
This is what is so remarkable and SUBJECTIVE--Reviewing in hindsight.
The CAFC needs to take their minds back to that date and time.
Thx. Still think COMM will buy patents. Also,
At least COMM was smart enough, (or smarter than The Carlyle Group) on this one.
Set "Convertible Preferred to $27.50". If convertible at any time, Carlyle would have twice as many shares, if not almost 3 times for their $1B lent and/or dilution.
12. SUBSEQUENT EVENTS
In addition, to fund the Acquisition, on April 4, 2019, the Company issued 1,000,000 shares of Series A Convertible Preferred Stock (the Convertible Preferred Stock) to Carlyle Partners VII S1 Holdings, L.P. (Carlyle) for an aggregate purchase price of $1.0 billion, or $1,000 per share, pursuant to the Investment Agreement between the Company and Carlyle, dated November 8, 2018.
The Convertible Preferred Stock will pay dividends at an annual rate of 5.50%, with dividends to be paid quarterly
, and will be convertible at the option of the holders at any time into shares of CommScope common stock at a price of $27.50 per share, subject to certain limits on the number of shares that may be issued unless the Company obtains shareholder approval.
