Expanding marketing firm looks to be upwardly mobile [The Orange County Register]
(Orange County Register (CA) Via Acquire Media NewsEdge) Aug. 29--A San Clemente-based mobile marketing company is pushing for a Nasdaq listing, and its recent $250,000 acquisition of a smaller company is the first of many intended to get the $5 million in assets needed to join the stock exchange.
Monster Arts Inc. and its ambitious new chief executive are working to make the company more profitable and more lucrative for investors. The business specializes in daily deals, rewards programs and brand promotions. Its apps Monster Offers and Monster Daily Deals collect and publish thousands of deals that consumers can organize by category or geography.
The company's purchase this month of Travel America Visitor Guide is CEO Wayne Irving's first major acquisition since he took over last year.
Monster Arts currently is listed on the OTCQB stock exchange for companies with less than $5 million in assets. Other companies on the OTCQB include Six Flags Entertainment Corp. and Jones Soda Co.
"It was a good acquisition," Irving said of Travel America, an online travel-planning tool that helps promote member businesses. "I've been out there looking for opportunities to start bringing revenues and profits into the company so our shareholders will be able to recognize a gain on their stocks.
"We not only gain their business and their revenues ... the profits that come with it, but we gain ... a warm relationship with their prestigious group of clients." Monster Arts said 20 new clients have signed on for Travel America.
"A listing on the Nasdaq would be significant. It would allow the company an avenue to raise funds for expansion," said Daniel Kuo, an economics professor at Orange Coast College in Costa Mesa.
Monster Arts' 52-week stock performance shows the publically traded company peaked at $4.50 per share but is currently trading at about 20 cents per share.
The low stock price might be an incentive for investors to start buying into the company, Kuo said. "You get in before any real appreciation of the stock price can occur." Irving, former CEO of San Clemente mobile technology company Iconosys, hopes a new strategy of expansion and investment will yield more profits. He plans to invest $250,000 to $300,000 in Travel America.
Yingdi Wang, a Cal State Fullerton finance professor, said an acquisition like that can be beneficial, but it's not without risks.
"Acquiring other firms to boost growth is one way that management uses to turn around a company," Wang said. "This sometimes creates synergy between the two entities. However, the benefits of combining two firms do not always offset the costs.
"In addition, when a firm is in trouble, the management has the tendency to engage in riskier activities. The acquisition might end up being a risky move." But Irving said he's confident the company is on the right track.
"It's the beginning stages, and I feel like I'm the one who can take it to the next level, and I'm excited to do that," he said.
Revenue in the past month shot up 25 percent, Irving said, but he said the company should be able to increase revenue by 300 percent.
Irving, who also runs Text Kills, a nonprofit that warns of the dangers of texting and driving and cyber bullying, said the acquisition of Travel America will mean 18 to 20 new customer-service jobs in San Clemente, which he said he plans to fill from among local residents and the Marine community. Irving is a former Marine.
"There's a great labor force right on Camp Pendleton," he said. "I look forward to hiring these Marine wives whose husbands are ... traveling or out training." Travel America Visitor Guide, which will officially become a Monster Arts subsidiary Oct. 1, will operate in a separate office in San Clemente.
Local business leaders said the acquisition is good for the city.
"Monster Arts Inc. benefits our local economy by bringing growth and innovation to the community," said Lynn Wood, chief executive of the Chamber of Commerce. "In addition, they will help stimulate economic growth by providing additional employment opportunities." Irving said one of the reasons he purchased Travel America is that it is profitable, turning out about $300,000 in revenue per year. The company was built by about 25 people, three of whom stayed on to manage it. Those three will remain as consultants, Irving said.
Irving said he wants the company to generate $1 million to $1.5 million in revenue per year. He said the key will be to integrate the companies' services.
WHAT'S NEXT The companies will see upgrades to their websites and mobile applications in coming months, Irving said.

SS, I would like to think that this is a good thing, but 5 billion shares is a lot of dilution. I do know that some goes to the initial investors (which will take up a few billion... yes there is a lot of initial investors who bought a lot of shares) some will go to directors and those that are on the advisory board, some will go for acquisitions and some will be added to the share count.
My concern on this would be those shares that go to those company's that loan money to most penny stock companies and then dump the shares at our expense (death spiral stuff). I don't believe we would see the full 5 billion dumped into the float, probably half locked up by directors and advisory people, but who knows. I know there is a lot of talk about other acquisitions going on and they are trying, but not doing as successful a job promoting the company as I had hoped, but they are working on it. I still have faith we can see dollars and not pennies, but just to be sure, I will put in a buy a 1 cent to make you feel better.
P.S I know they read this board, so I think an investor call with questions could be a good thing. With all the changes that are going on and investor questions, we would find out more on the new direction that the company is taking.

Distracted driving danger is group’s focus

SANTA ANA, Calif. — Wayne Irving’s daughter was 15 when she asked to get her driver’s permit.
“I was already frustrated at how addicted to texting my daughter was,” said the San Clemente, Calif., father of four, who at the time had just learned a grim statistic: More than 7,000 Americans had died from texting and driving the previous year.
Instead of just signing the requisite slip of paper, Irving took a more proactive tack. He began work on a smartphone app to help solve the problem of texting behind the wheel. That app has since grown into a nonprofit dedicated to combating a relentless scourge. Since 2009, when Irving was first inspired to develop Text Kills (textkills.com), texting and driving has surpassed drinking and driving as the No. 1 killer of U.S. teens.
Now, Text Kills is on track to visit more than 30 high schools before the end of the year, hoping to affect the 25 percent of teens who admit to sending or receiving at least one text while driving. In the process, the organization plans to gather several thousand signatures from drivers who pledge to avoid texting while operating their vehicles for the next 12 months. NASCAR drivers Kyle Busch and Joey Logano and 100,000-plus others already have signed their names to the side of the yellow Text Kills bus that has been crisscrossing the U.S. since 2010.
“At the time, we were just a bunch of engineers and entrepreneurs living day to day,” said Irving, who had been invited to Washington, D.C., to showcase the Text Kills app at a U.S. Department of Transportation event. Lacking the money to fly, Irving and his four co-developers at Monster Arts in San Clemente took turns driving Irving’s RV, visiting college campuses along the way and proselytizing the ills of texting behind the wheel with a one-page fact sheet.
“We educated ourselves and hit the road,” said Irving, whose first stop was the University of Denver in Colorado; 1,200 students showed up.
“Many of them had their own stories about texting and driving,” Irving, 42, said. “One freshman’s parents bought her a brand-new Ford Mustang two weeks before college, and she totaled it a week later. Another gal told us her cousin died three weeks earlier when he was texting, ran off the road and hit a tree. We couldn’t believe that folks were opening themselves up to us.”
In the three years since, he said, “We’ve heard thousands of stories from kids and parents who have lost loved ones.”
Twenty-one percent of drivers between the ages of 15 and 19 who are involved in fatal crashes were distracted by the use of cellphones, according to the National Highway Traffic Safety Administration. Eleven percent of all drivers under age 20 who are involved in fatal crashes were reported as distracted (whether by texting, phone calls, radio or other sources) at the time of the crash -- the largest percentage of any age group -- according to the U.S. Department of Transportation website distraction.gov.
Earlier this month, Text Kills became even more serious about its mission. It filed papers to become a 501(c)3 nonprofit and began a crowd-sourced fundraising campaign on the website Indiegogo.com (igg.me/at/textkills), to raise cash for a documentary it intends to make available to schools across the country.
“Our goal is to produce this thing and distribute it to all the educators in the country whose departments have anything to do with the social, technological, psychological or legal aspects of texting or talking on the phone while behind the wheel,” Irving said of the film, which has the working title “Smartphones of Mass Destruction.”
It’s all part of the Text Kills plan to encourage more engagement with its message. The bus has already visited 3,000 schools where students interacted with various distracted-driving simulators, one of which employs a 50-inch plasma TV mounted on the side of the Text Kills bus.
“We make them drive in a race car situation around the track and pick up a card that looks like a phone and read it out loud. They read it, and their eyes aren’t on the road. Everybody else is watching them veer off the track and hit a wall and their car is spinning around. It’s a nice eye-opener,” Ryan Foland, executive producer of Text Kills, said.
Another simulator has drivers attempt to keep a remotely controlled car on a track while blindfolded for five seconds -- about the same amount of time it typically takes to send a text. (At 55 mph, taking a driver’s eyes off the road for 4.6 seconds is equivalent to driving the length of an entire football field, according to the U.S. Department of Transportation.) Invariably, the car goes off the road and hits somebody’s ankle, Foland said.
“If we could get people to crash because of distracted driving in a controlled environment, it would have the effect of, ‘Oh, I won’t do that again,’” he said.
Text Kills isn’t just for teens. Recognizing that 10 percent of teens’ parents admit to having extended, multi-message text conversations while driving, according to a study published in November by the University of Michigan Transportation Research Institute, Text Kills also visits car shows and safety fairs, and participates in corporate events for companies such as Cola-Cola and at Volkswagen dealerships, as it did on a recent weekend at Capistrano Volkswagen in San Juan Capistrano.

In making this film, the producers have sought out the most tragic and heart-rending stories shared by those whose lives have forever changed as result of a Distracted Driving accident or incident. You will meet the real faces whose lives have been changed forever by this real problem, and the goal is not to scare, but to educate, inspire, and provoke personal responsibility in smartphone users, so that when your phone rings, vibrates, or pings, you make the decision to focus on driving while on the road.
The project has found in its research is that in many instances, especially among teens, the mere temptation to text has been replaced with an actual texting addiction. They note that nowadays, parents with children and teens who have phones and tablets must compete with these mobile devices for attention, and regular old human interaction is playing 2nd (or even 3rd) fiddle. Kids are staying inside and texting in chat rooms rather than having play dates and visiting friends in person. Amazingly, many teens are choosing to have cell phones, as opposed to cars, because iPhones and Android devices provide the same, if not greater, “keys” to their “freedom.” This film exposes a very real generational gap that technology has created, and proposes some creative solutions to facilitate bringing people, friends and families closer together.
In short, this documentary takes a fresh new approach to understanding and addressing the phenomena of TWD and Distracted Driving. I got nothing new to add so far. I wish I did, but it seems like a quiet period. I have seen that the "Coca Cola company" did sign up to book the Textkills bus at their factory. If you look at this logically, this could lead to extra contracts, maybe some apps, etc. I would hope Iconosys pushes and promotes to them about all the great things the company has and does. Now, we could use a marketing push too in my opinion.
Who knows what will happen. Were slowly moving along.
