ITEM 1. SECURITY AND ISSUER.
This Statement ("Statement") is filed by Raymond Franklin Willenberg,
Jr. (the "Reporting Person") relating to shares of Common Stock, $.001 par value
per share (the "Common Stock"), of New Visual Entertainment, Inc. (the "Issuer"
or the "Company"). The Issuer has its principal executive offices located at
5920 Friars Road, Suite 104, San Diego, California 92108.
ITEM 2. IDENTITY AND BACKGROUND.
(a)-(b) This Statement is filed by Ray Willenberg, Jr., an individual
resident of the State of California, as the Reporting Person. The business
address and principal office address of the Reporting Person is 5920 Friars
Road, Suite 104, San Diego, California 92108.
(c) The Reporting Person is the Chief Executive Officer and a Director
of the Issuer.
(d)-(e) During the last five (5) years, the Reporting Person has not
been convicted in any criminal proceeding (excluding traffic violations or
similar misdemeanors) nor was the Reporting Person a party to a civil proceeding
of a judicial or administrative body of competent jurisdiction such that, as a
result of such proceeding, the Reporting Person was or is subject to a judgment,
decree or final order enjoining future violations of, or prohibiting or
mandating activities subject to, federal or state securities laws or finding any
violation with respect to such laws.
(f) The Reporting Person is a citizen of the United States of America.
ITEM 3. SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATION.
All share amounts below have been adjusted to give effect to a 1-for-4
reverse stock split effected by the Company in June 2000.
STOCK AWARD. On November 30, 1999, the Board of Directors of the
Company (the "Board") issued 562,500 shares of its Common Stock to the Reporting
Person as compensation in consideration of the Reporting Person's services as
the President and a Director of the Company.
STOCK OPTIONS. On February 11, 2000, the Board granted to the Reporting
Person options to acquire 750,000 shares of its Common Stock. The exercise price
for the options is $4.00 per share. The options vest in four equal annual
installments of 187,500 shares commencing February 11, 2000 and expire February
11, 2010. On March 5, 2001, the Board granted the Reporting Person options to
acquire 20,000 shares of its Common Stock in consideration of the Reporting
Person's services as an employee and director of the Company. The exercise price
for the options is $3.92 per share. The options vest in four equal annual
installments of 5,000 shares, commencing on March 5, 2001 and expire March 5,
2011. The Reporting Person anticipates that if he exercises the options as
described herein, he will use personal funds to satisfy the exercise price.

ITEM 4. PURPOSE OF TRANSACTION.
The Reporting Person's present intent is to hold the Common Stock owned
by him for investment purposes only. Additionally, the Reporting Person
presently anticipates that any shares of Common Stock to be acquired by him upon
exercise of stock options shall be acquired for investment purposes only.
Whether the Reporting Person purchases any additional shares of Common Stock or
exercises his option to acquire shares of Common Stock, and the amount, method
and timing of any such purchase or exercise, will depend upon the Reporting
Person's continuing assessment of pertinent factors, including, among other
things, the availability of such shares for purchase or acquisition at
acceptable price levels and/or upon acceptable terms; the business and prospects
of the Reporting Person and the Issuer and other business and investment
opportunities available to the Reporting Person; economic conditions; money
market and stock market conditions; the attitude and actions of other
stockholders of the Issuer; the availability and nature of opportunities to
dispose of Common Stock; the availability of funds or financing for additional
purchases; regulatory and other legal considerations; and other plans and
requirements of the Reporting Person. Depending upon his assessment of these
factors from time to time, the Reporting Person may elect to acquire additional
shares of Common Stock (by means of privately negotiated purchases of shares,
market purchases, option exercises or otherwise) or to dispose of some or all of
the Common Stock beneficially owned by him. However, neither the timing nor the
circumstances of future acquisitions or dispositions has been determined at the
date hereof. The Reporting Person intends to exercise his rights as a
shareholder to vote for or against any matter in accordance with his best
interests.
ITEM 5. INTEREST IN SECURITIES OF THE ISSUER.
(a) The aggregate number of shares of Common Stock that may be deemed
to be beneficially owned by the Reporting Person as of the date of filing this
Statement is shares 1,778,280, constituting approximately 7.2% of the
outstanding Common Stock of the Issuer. This includes (i) 380,000 Common Stock
that the Reporting Person has the right to acquire within sixty days pursuant to
the exercise of the options described in Item 3 above.
(b) The aggregate number of shares of Common Stock over which the
Reporting Person has sole voting power is 1,778,280 shares.

“Where is it? It must be here somewhere.” James frantically ripped through the piles of old boxes, bottles, and tools scattered throughout his garage, finally spotting his prize. An old, tattered sleeping bag stared at him from the corner. He stared wearily at it for a moment. He had always known to hold onto this old bag for some reason. Crazy, he thought, that it was for this. He remembered his first camping trip was spent in this bag, along with many subsequent trips, sleep-outs in the back yard, that trip to California…
Quickly grabbing the torn, old bag he stumbled back through the garage, tripping over a loose whiskey bottle. A grunt and a curse later he was finally back in the house. A spacious front room greeted him, dominated by a large A-frame picture widow overlooking a green lawn and surrounded by forest. Not too far in the distance, a mirror blue lake reflected back its brilliance.
James paid no mind to his luxurious surroundings as he unrolled the sleeping bag. Placing it directly in middle of the living room, he grabbed a Colt .45 and a fresh bottle of whiskey from a nearby table. Climbing down into the bag, he zipped it up tight leaving his shoulders free. From his breast pocket he pulled a letter free and pulling long on the whiskey bottle, he reviewed its contents one last time.

He carefully placed the letter under the lip of the bag and grasped the gun. Bottle of whiskey in the other hand, he lay there for some time thinking of how useless his life had been. High priced attorney, member of the country club, world traveler, he ticked them off in his mind.
Worthless, useless, and meaningless.
He had done and seen everything that everyone said held the promise of life. It was all empty. Life, he concluded was just a momentary blip surrounded by permanent futility. All was for naught…
Slowly, through his alcoholic haze, James drifted off, suicide just a trigger pull a way. He thought about life and death, what it all meant. His thoughts turned to God and his brother in law. Always preaching God, John was, yet James saw how he treated his kids and wife. He had to have a word with him after the last time his sister had “fallen down”. James threatened to have him arrested, all the while listening to John claim he was a Deacon in the church and how “dare” a pagan such as James accuse him of such things. Whatever. James knew abuse when he saw it.
Then there was Howard Peterson who was always preaching Jesus but couldn’t keep his hands off the office girls. Now there was a man who knew the meaning of the term, ‘roving hands are working hands.’
If there truly was a God, and these were the only followers he could get, he must be some sorry kind of God.
He had attended church once or twice over the years. The sappy worship leader and the lady dancing in the front row had just been a bit much, and by the time the pastor had gotten up and prayed for everyone to ‘dig deep’ for the morning offering, James had been ready to leave.
He thought about all his money, of how much it ultimately did not matter. It was the part that probably bothered him the most. All his life, this had been his pursuit. The ultimate drive for him. Success…power and now that he had it… It really didn’t make any difference at all. And now that he thought about it… neither did anything else…
The shot rang out. It’s finality clear, its message permanent.

Subject: Homeschooling. Caught the tail end of Dobsons show on the way to work. It was about homeschooling. Thought it would be good to hear others thoughts. here's my story. My kids go to public schools. We have thought about homeschooling. But we decided we are going to plant the seed of God in them as good as we can and let God do the rest. There has been many times I have wondered if we have done the right thing. I have a 6 year old boy and a 8 year old girl who by the way thinks she's 13 already. LOL! You all know what goes on in public schools so I won't go into that. I kind of wish they were half homeschooled and the other part of the day public school. Anyways here is an interesting comment made by my cousin at a family gathering and this subject came up. His mom is a teacher. He said what if the majority of Christains take their kids out of public schools and homeschool them or place them into private schools? what is going to happen if the trend continues that way? here is the zinger. he said who is going to witness and represent God in the public schools if all the Christains are gone? I've never forgot what he said. Thoughts?

Its ashamed that it had to happen. When I first got
here an basher once in a while was funny. Now that
I have learned more and use the ignore button often
it is sad to see that there are 60 posts and when I open
the list I can only see 4 posts. Now I find I must pull
my punches because the bashers will all toss me if I
go after them. The balance of power has shifted so
why post here anymore? RB is their own down fall.
Clean up the boards and dont subject real posters to

Deeba. It is my opinion that the 3D portion of the company will be spun off into a seperate company that Ray will run. I believe Rays heart is in 3D-movies after he brings us to a certain point in this venture. I don't know that for sure. But I sure want to see the 3D and movies continue. But in a seperate company. I can't see us having anything at all to do with anything but the technology once the PR firm announces to the world who we are and what we consist of. Perception on wallstreet is very critical of that. Hey I may be all wrong. LOL! But that is what makes sense to me.

Ron. If you are asking about news he said that on Monday that we are close to news. But the word close can mean many things. Close to John who knows what is going on compared to me who doesn't can mean John knows that there are only a few things left that need to be done before release of news. So to him we are much closer to news being released compared to when he knew there were many things to be done before release of news. To me the word close means where's the PR? LOL! Need to leave for awhile. If that wasn't your question I'll try to answer it later.

Sonic1. Remember my thoughts in last post are reading between the lines. I have heard from others that when you retain a PR company there is a certain amount of time involved between them and the company that goes by as they research everything that they didn't research before excepting the company as a client. So not being on the inside I just don't have a clue. John told me we are very close to news. Now what is the meaning of close? I don't know. But I do feel that those that have hung in there will very shortly see why it has taken so long.

Tantra. I talked to John on Monday expressing the same type of frustration with news. I was expecting more in the filing. Because one of our past conversations about a week or so before Monday was he thought they'd be releasing news in the filing. Now here is how I see the situation. At the time of the conversation about a week ago they were still in the process of narrowing the PR companies down to the one. In our conversation on Monday I felt the PR company is a done deal. Reason I get that feeling is because of what he told me next. He told me the PR company would be orchastating the news. So in that short time of a week or so strategy has changed due to in my opinion the finalizing of PR firm. I hope that makes sense.
