1933 Industries Announces Results of Extraordinary Meeting of Debentureholders
The amendments required an affirmative vote of at least 66 ?% of the principal amount of the debentures voted at the meeting. The total votes represented at the meeting accounted for only 18.7% of the outstanding debentures. The Company believes that with a stronger voter turnout, all the proposed amendments would have been accepted by Debentureholders. The Board of Directors had unanimously recommended that Debentureholders vote in favour of each of the amendments as it believes they are in the best interest of its shareholders. The Board of Directors is currently considering further options and will advise shortly.

If the burdensome 66% majority requirement was changed to a simple majority the proposal would have passed. This needs to be changed for future votes. Now a company seemingly on the verge of profitability is being distracted by only $4 million worth of debentures. Thankfully Paul has gotten the debenture debt down to the relatively manageable level. Now is the time for debenture holders to get behind the company for the final push to profitability. Headset data updated on July 11th shows AMA's Gorilla Glue #4 Badder is the top selling concentrate in Nevada over the last 90 days. To prove their point they also have the #5 and #6 best selling concentrates as well. Looks like AMA has pitched their tent in the Top 10 with 3 of the top selling concentrates once again. Not surprising since AMA was again voted a top concentrate maker at the recent Las Vegas Cannabis Awards.

If you can't take unused cannabis with you when you leave consumption lounges everything will need to be single serving. Seems to me that would favor pre-rolls and quarter gram (or smaller) concentrate sizes. Lp's will need to stay on top of their packing needs well ahead of time. One thing I always notice about top sellers is they usually have a color, flavor, or food in the product name. It's something all customers can relate to over terms like gas or diesel that can confuse the average customer. To me strains chosen to cultivate should always have a positive effect in name, appearance, and effect.

Cannabis consumption lounges, where adults 21 and older can openly use marijuana products in a social setting, are on track to open in Nevada by the end of this year following approval of regulations by the state’s Cannabis Compliance Board on Tuesday.
The lounges are widely seen as a boon for the state’s massive tourist industry, as well as for the tourists themselves. Happy to see that Radient has delivered on it's promise to begin commercial production and distribution of Cannabis 2.0 concentrates with partner HighGrade. This plus the pre-roll partnership with All Good taps the fastest growing categories in the US and Cannada. These are the categories with margins high enough to prosper where flower currently is high cost low margin. Believe the Cannabis 2.0 LP's like Radient will be first to profits. My only suggestion is to get into infused pre-rolls, which is the fastest growing category of all.

**NEWS** 1933 Industries Announces Third Quarter 2022 Financial Results
During fiscal 2022, the Company made substantial changes to its cultivation and production facilities which have resulted in significant improvements in the quality of its flower and the input for its extracted products, as well as higher productivity and quantity of units sold. These changes have led the Company to achieve higher revenues compared to its previous quarter and have laid the foundation for improved performance going forward. The Company's cannabis cultivation subsidiary recorded a 33% increase in revenues from the sale of cannabis flower, pre-rolls and extraction products due to the optimization of both its cultivation and processing facilities. Output from its cultivation has been drastically increasing and yield has almost doubled from a year ago. The Company deployed strategic capital to make the necessary improvements and hired operations and sales leadership, which have resulted in improved performance in both output and added self-space in dispensaries. Focus was also placed on reducing the cost of goods, which in turn increased gross margins.

Liking the 33% increase in revenues and the cultivation output doubling over last year. They harvested a record $5+ million in cannabis/trim during the quarter, and ended the quarter with $7.4 million in inventory. They also had $1.7 million in receivables in addition to their cash balance at quarters end. Plus Day One was able to repay the loan so that should add to 1933's working capital as well.
Except for the non-cash goodwill impairment expense this looks like a solid quarter to me, with positive EBITDA and a respectable 47% gross margin. Hopefully this is the last big write down of previous management's mistakes, and we can rapidly move forward to profitability in this current quarter. Glad to see Decibel making a capital light move into international markets. Where the big boys went wrong was building and buying facilities overseas when they already had more than enough capacity to supply international sales from Canada.
There's already a few craft cannabis companies supplying Israel from Canada, so all the intial kinks to ship there have been worked out. Another record quarter!!! These are some of the best revenue increase numbers I've seen among canadian lp's this earnings season. With cost of sales decreasing on a percetage of sales basis it sholudn't take long to go cash flow positive now. Hopefully they are already there. This current quarter should be a good one with more Heritage products on the market than ever before.
In a normal market this would have gotten more attention from revenue investors liking the big increases, BUT there is nothing normal about this market. Too bad because there are a few cannabis companies like Heritage that deserve some credit for continuing to outperform the competition. Acolades to he team!!!! glta

According to 1933's most recent investor presentation Paul has gotten the debebture debt down to a manageable $3.7 million from the double digit millions it was before. It's not that much but it will have to be dealt with. Debenture holders have always been open to Paul's proposals in the past so they seem like reasonable people. Heritage Produced Cabana Cannabis Co Shatter Now Available...
Just checked some Canna Cabana websites and was happy to see the first Heritage produced shatter was available for purchase in Saskatchewan, and according to their press release Ontario and Manitoba within the coming weeks. The first strain is Pink Hawaiian coming in hot at 77% THC with aromas of sweet tropical honey according to the discription. The shatter looks great with the translucent golden color of good terpy shatter. It's definitely priced to sell at $34.57 for one gram.
Canna Cabana has been squeezing the competition lately giving discount pricing to their members and it's free to join. As far as I can tell online they usually have the lowest prices in the market, and lots of value shoppers on Reddit say they won't go anywhere else. This inflation is likely to affect the more expensive Fire & Flower type dispensaries when customers start looking for bargains. It may have already started according the article below.
In High Tides recent press release they said they want 20% to 30% of their inventory to be Cabana Cannabis Co products. Considering they just reported $81 million in sales last quarter that could add up to some serious revenue for Heritage and other suppliers going forward. This next report should give us a good read on revenues since the facility upgrades to increase output were fully implemented. According to the last report they started the quarter with $5+ million in inventory, so hopefully they sold through that and then some. Seems irrational to me. Last we heard from Paul he was optimistic that 2022 would be profitable. They came close in Q2, and since then Vegas tourism has taken off with conventions and concerts back online.
I'm seeing more AMA products than ever at the Planet 13 and NUWU superstores in Las Vegas, plus chain dispensaries around Nevada. Paul said since automation it's costing them less to produce more in his January interview below. Also, the company made a early mover entry into infused pre-rolls which is the fastest growing category in the US and Canada.

Aurora is the top selling medical cannabis LP in Canada. Heritage brands are now listed on their website. Heritage now has Canopy and Aurora as medical cannabis partners. Aurora just reported $40 million medical net revenue in their third quarter with a healthy 63% adjusted gross margin. This is great news to be one of few thrid party suppliers for both Canopy and Aurora. I don't see any other nano caps making these kind of deals with the cannabis power players.
Aurora or Canopy would be smart to acquire Heritage before the sector comes back into favor, and the price goes up. Our CEO was a VP at Aurora so it wouldn't surprise me if they have talked. Also Aurora could use some help with their rec sales which have been declning while Heritage's has been increasing. Aurora just bought Thrive Cannabis so we know they are looking around.

It appears All Good pre-rolls are a hit in BC. This is the second sell out in the last four weeks. Hopefully BCCS will place a real big order for restock.
People seem to like cigarette style pre-rolls. Possibly current or ex-smokers comfortable with a familiar shape and package style. The ones with the pig tails do look silly and obvious :) All Good is more incognito :) Looking forward to seeing more A G offerings coming to market.
I've also seen posts about a new Radient flower brand coming out called Social Gatherings. I'll keep an eye out for that, and update as new things arrive.

To me a .40 price target seems resonable considering they're the leader of Cannabis 2.0 and hold a 20% national market share in exploding vape sales. Now that Auxly has two Imperial connected board members the fat is getting cut and better business strategies are being adopted. This is just the perfect retro name for infused milled flower. Now RAD is tapping the 80's and 60's consumers from the Flower Power generation. Like how they just reversed it to accurately describe the product (flower) that's (powered) by concentrate, Power Flower!!! Old hippies will recognize the play on words right away. In fact it would be a great brand name for a whole line of products with a 60's theme.
I've been wondering for awhile now who would be the first LP to offer infused milled flower to customers, and I think the RAD brand may be first to market. Looks like Auxly did some balance sheet house cleaning this quarter, which is never pretty, but sometimes necessary when rightsizing a company. Looks like many cannabis companies are using this quarter to write down previously overoptimistic acquisition evaluations. This quarter Auxly had $33 million in gross revenues, but excise taxes took a third of it. To me this is way too much to ask of cannabis companies in a nascent industry. This raises product prices and keeps the black market in business. Tax relief needed.
Still Auxly is #1 in cannabis 2.0 sales, and projecting EBITDA positive in 2022, where Aurora and Canopy are projecting 2023. On the conference call company execs are still big on automation lowering labor costs and speeding up supply to the provinces. Really strong finish for fiscal 2021 bringing in a record $7.1 million in Q4. That puts them on a annual run rate of $28.4 million for fiscal 2022, but I'm expecting much more than that. They have already reported the upcoming Q1 2022 report would be around 25% higher than Q4, so about $8.8 million coming in a few weeks. That would put their annual run rate at $35 million. The sales chart in the earlier update shows Heritage sales growth in this current quarter around 26%. That's some real good news that Q2 could be another big quarter for Heritage. Like :)
Was also happy to hear that Heritage's move into the US is on track to begin production this quarter, Great news is Missouri cannabis supporters have submitted the signatures needed to get recreational legalization on the ballot. Recent polling shows it should pass. This is awesome news for Heritage as it will expand their customer base "mega" exponentially. They would also be a first Canadian LP mover should the US legalize nationwide.

My favorite highlight, Heritage #1 in Canadian recreational sales of concentrates with 15.2% market share, but there is plenty more to like. Including Heritage producing 26% growth in sales for the three months ending in March, easily besting more well known competition. Sounds like Day One may have underestimated their capital needs when negotiating the binding LOI with 1933. Paul seems to have negotiated a good deal where 1933 continues its CBD co-packing arrangement with Day One, and possibly retains 10% of Day One if repayment is not made on time. Maybe it's for the best if this was going to be a cash drain when Vegas is so close to profitability. If 1933 wants beverages they can make their own in-house in Vegas much cheaper than outsourced in California. I always liked the shot format. Less packaging :) glta

Everywhere I look online Back 40 pre-rolls and dried flower are bestsellers. People seem to love the wedding pie and animal mints from all the positive Reddit reviews they're getting. Decibel held its own against some really well funded competition in 2021, including Sundial, who had a unrestricted cash balance of $558 million at the end of 2021. On a revenue per share basis DB was the clear winner. Sundial has 5+ times the shares of Decibel. On a cash in the bank basis Sundial beats almost all Canadian LPs. I own both but think DB's products and branding are currently stronger than SNDL's. Hence DB's strong showing against a much larger company in 2021. Hoping that continues in 2022 :) Go Team!!! glta
The Acquisition Zone...
Man, Decibel's share price has been sitting in the acquisition zone for a long time now. My math shows the market cap ($27M) is lower than its yearly net revenue ($52M). About half the size actually. This predicament isn't limited to DB. Normally the bigger cannabis co's would be picking up these companies for their brands and market share, but they're currently downsizing, and using LP subcontractors instead. It's up to DB to figure out a way to get their share up to at least yearly income which would double its current price. This is crazy it's so low when they are so close to net income profitability.
The cannabis sector might soon discover the only way to raise capital is to change business models to dividend paying companies in the near future. This model could attract dividend inventors looking to get in on the ground floor. Even if cannabis co's paid small dividends in the beginning it would attract more and more investor attention as they grow. Cannabis dividends payers would fit right in with other agriculture dividend payers where it's common. The first step is letting your intentions be known that upon meeting certain financial milestones the company intends to pay a dividend. If the big boys aren't buying this could be the best path forward. Dividends for the masses :) always imho glta

Radient Launches All Good Collective Pre-rolls In BC...
Smart they started with popular Northern Lights indica flower with high thc levels for their introduction.
