Item 1.01 – Entry into of a Material Definitive Agreement
On April 18, 2016, Nexgen Applied Solutions Inc. (the “Company”) entered into an agreement in principle (the “Agreement”) with Bingo Nation Technologies Inc. (“Bingo Nation”) for a business development contract and exclusive software technology license to a bingo-themed Class II game recognized by the Indian Gaming Regulatory Act and related television broadcast rights.
Under the terms of the agreement, the Company will transfer 50 Million restricted shares of the Company to Bingo Nation in exchange for the aforementioned rights. Both parties have 30 days to complete their due diligence and negotiate the terms of the applicable contracts.
Item 5.01 - Changes in Control of Registrant
As reported under Item 1.01 above, the Company will transfer 50 Million restricted shares of the Company to Bingo Nation as consideration for the rights disclosed above. The Company had 52,632,739 shares issued and outstanding as of April 18, 2016. Therefore, as a result of this transfer of shares, Bingo Nation will hold 95% of the voting control of the Company.
At this time, no arrangements or understandings have been made in respect to a change of directors or other matters.

The following table shows the beneficial ownership of our common stock as of April 18, 2016 by each person whom we know beneficially owns more than 5% of the outstanding shares. Beneficial ownership is determined in accordance with Rule 13d-3 of the Exchange Act. This rule deems a person to be a beneficial owner if that person has the right to acquire beneficial ownership within 60 days through, among other means, conversion of a security. At April 18, 2016, we owed Lexington Ridge Holdings Inc. (“Lexington”) $350,551 which, at the option of the Lexington, can be converted into common shares of the Company at a rate of $0.001 per share. This means that Lexington could at any time convert this debt into 350,551,000 common shares of the company as reflected in the following table:

The Colorado Department of Agriculture is hoping to help bring hemp into the limelight with a new program that's a first for the country.
Under its brand-new seed certification program, created in conjunction with the Colorado Seed Growers Association (CSGA) and Colorado State University, the CDA aims to give the industrial hemp industry and its farmers more credibility by tagging hemp seeds with a “CDA Approved Certified Seed” label — something rye, wheat and other traditional crops receive after passing inspections for genetic identity and quality.
Known as marijuana's non-psychoactive, harder-working brother, industrial hemp still has a hazy legal status in much of America. Although still illegal at a federal level, hemp is allowed to be grown and harvested in accordance with state agriculture departments under a 2014 federal farm bill, and it was legalized as a regulated crop in Colorado after the Colorado Industrial Hemp Act was passed that same year.
“This program’s first project is to grow hemp across Colorado’s diverse growing conditions to ensure mature plants comply with hemp standards. This is the first certified hemp seed program in the country and the first-of-its-kind study in Colorado," said Duane Sinning, the CDA’s division of plant industry assistant director, in a prepared statement. "We are on the cutting edge of this emerging industry and this new program can help shape the future of the hemp industry."

ARVADA —A new business is set to take root in Arvada that plans to transform a dilapidated former garden center into a facility to cultivate hemp.
Steve Cohen, owner of the hemp growing and cannabidiol (or CBD) extraction business Ambary Gardens in Kittredge, has been approved to open a hemp-growing operation at 10795 W. 72nd Ave.
The move may come as a surprise to some, as the Arvada City Council has voted against medical and retail marijuana operations in the city.
City officials say state statute does not contain authority for municipalities to ban hemp, and as long as a hemp operation fits within zoning and other guidelines, cities cannot outright ban it.
"Our land development code regulates and allows a primary use of agricultural crops in this zone, and the accessory uses allowing the conversion to oil is also allowed where the ag crop is grown," said community development director Rita McConnell.
Cohen began meeting with city officials over eight months ago to answer questions and explain his new business that will harvest hemp oil for its cannabidiol properties, perhaps best known for treating people with seizure disorders.
It is also widely used in products ranging from tinctures, salves, massage ointments and gels.
The current facility in Kittredge is roughly 10,000 square feet, and the Arvada location will be 62,000 square feet. Current plans call for using it strictly as a growhouse, although extraction and other processes might be added in the future.
Ambary Farms received top honors in a recent competition for having highest purity levels of CBD extract, with independent testing finding no traces of tetrahydrocannabinol (or THC), the psychoactive constituent of cannabis. Ambary was one of the first to do so in the industry, said hemp farmer and Grow Hemp Colorado organizer Veronica Carpio.
"They're definitely one of the brave ones who entered that challenge," Carpio said. "The FDA has come out with some strict guidelines, and the awesome part they did was prove no THC in the product, which exempts it from the Controlled Substance Act."
Deputy City Attorney Mike Polk said the city did due diligence by surveying other cities to see how their hemp industries have done.
"We're treating this simply as an ag crop," Polk said. "Our survey of hemp operations in Jeffco indicated no problems with approved uses."
Cohen operated a greenhouse and garden center for 25 years at his Kittredge location. After the business shuttered for four years, he began thinking about growing hemp for the CBD oil as a way to improve people's quality of life and started Ambary Gardens just over a year ago.
"I felt it was time to move on to a new journey in life," Cohen said. "I knew I'd be the first to approach the city in doing this, so I went to them and asked if they'd consider allowing us to grow industrial hemp. Some were familiar with the difference between hemp and marijuana, so it was a process of education."
Cohen said he has invited law enforcement, the fire department and city officials to tour the facility once it's operational.
It's a move Duane Sinning said is an important part of alleviating concerns and educating the community about what hemp is used for, and how it differs from marijuana.
Sinning handles the state's hemp program as assistant director of the division of plants for the Colorado Department of Agriculture.
"We get calls all the time from people who are concerned," Sinning said. "We tell our applicants the best way is to be proactive, contact fire and law enforcement, and it generally works pretty well."
He said two years ago, the department expected six to eight applications for hemp operations. The number now stands at 120, with 3,800 acres planted last year in Colorado fields and another 575,000 square feet grown indoors.
Daniel Ryley, deputy director of the Arvada Economic Development Association, said Ambary plans to hire about 30 workers. He noted recent legislation has opened the doors to new industries centered around hemp .
He said: "From AEDA's perspective, there would be a tremendous economic value in welcoming more of these types of hemp-related operations in the city."

The current law authorizes the Board of Agriculture and Consumer Services to adopt regulations necessary to license persons to grow industrial hemp or administer a research program. The bill requires the Commissioner of Agriculture and Consumer Services to establish a licensure program, with a maximum license fee of $250."
Virginia now joins other states such as California, Colorado, Connecticut, Delaware, Hawaii, Illinois, Kentucky, Indiana, Maine, Michigan, Missouri, Nevada, New York, North Carolina, Maine, Oregon, Utah, Minnesota, Missouri, Tennessee, North Dakota and others. In other industrial hemp news, as reported by the Las Vegas Review Journal, the Nevada legislative subcommittee gave final approval today to regulations overseeing industrial hemp test plots. According to the Nevada Department of Agriculture, the agency has already received a handful of applications to grow the plant and expects to receive more. "Senate Bill 305, passed by the 2015 Legislature, allows limited growing of hemp for research. The regulations require a $500 application fee to cover the administrative costs of overseeing the project. Additionally, the department will charge $1 for every pound of seed purchased, as well as $1 per acre to pay for pre-harvest inspections."
In Gunter, Texas, a new business is planning on transforming a "dilapidated cotton gin warehouse into a facility that will cultivate hemp and extract and process its oil for medical treatments." According to the Herald Democrat, the business will "harvest hemp oil for it cannabidiol properties" to help people who suffer from epilepsy.
In Missouri, Rep. Paul Curtman and Rep. Craig Redmon, are pushing for the state to join the 28 other states that have allowed industrial hemp cultivation under the Farm Bill. The House select committee on agriculture passed two bills on Wednesday in the executive session that would allow Missouri farmers to grow industrial hemp. Currently, Missouri businesses are allowed to import industrial hemp but not grow it themselves. Representative Curtman was quoted saying, "It's important, I believe, for our farmers to be able to grow it in our state so our tax dollars and farming dollars and investment dollars stay in our state."
In Florida, universities may be able to conduct research on industrial hemp due to a bill lawmakers are working to allow industrial hemp production. Dwight Dudley, state representative was quoted saying, "That research will help maybe result in some patents from the universities and they'll be able to make money from that and help the people."

LAS VEGAS, NV -- (Marketwired) -- 03/11/16 -- Hemp, Inc. (OTC PINK: HEMP) executives are pleased to announce that Virginia's Governor, Gov. Terry McAuliffe, signed HB699/SB691 into law on February 29, 2016, which now makes it lawful for farming, processing and manufacturing industrial hemp for products or research purposes for those with a license. The license, once obtained, will be valid for four years with a maximum two hundred fifty dollar license fee. The law is set to take effect July 1, 2016.

According to the Virginia Industrial Hemp Coalition (VIHC), the new law "is already starting to bring businesses to Virginia as they see clarity and a path to implement their business plans."
According to Virginia's Legislative Information System, the bill "clarifies that it is lawful for a person with a license to manufacture industrial hemp products or engage in scientific, agricultural, or other research involving the applications of industrial hemp and that no person shall be prosecuted for the possession, cultivation, or manufacture of industrial hemp plant material or products. The current law authorizes the Board of Agriculture and Consumer Services to adopt regulations necessary to license persons to grow industrial hemp or administer a research program. The bill requires the Commissioner of Agriculture and Consumer Services to establish a licensure program, with a maximum license fee of $250."
Virginia now joins other states such as California, Colorado, Connecticut, Delaware, Hawaii, Illinois, Kentucky, Indiana, Maine, Michigan, Missouri, Nevada, New York, North Carolina, Maine, Oregon, Utah, Minnesota, Missouri, Tennessee, North Dakota and others. In other industrial hemp news, as reported by the Las Vegas Review Journal, the Nevada legislative subcommittee gave final approval today to regulations overseeing industrial hemp test plots. According to the Nevada Department of Agriculture, the agency has already received a handful of applications to grow the plant and expects to receive more. "Senate Bill 305, passed by the 2015 Legislature, allows limited growing of hemp for research. The regulations require a $500 application fee to cover the administrative costs of overseeing the project. Additionally, the department will charge $1 for every pound of seed purchased, as well as $1 per acre to pay for pre-harvest inspections."
In Gunter, Texas, a new business is planning on transforming a "dilapidated cotton gin warehouse into a facility that will cultivate hemp and extract and process its oil for medical treatments." According to the Herald Democrat, the business will "harvest hemp oil for it cannabidiol properties" to help people who suffer from epilepsy.
In Missouri, Rep. Paul Curtman and Rep. Craig Redmon, are pushing for the state to join the 28 other states that have allowed industrial hemp cultivation under the Farm Bill. The House select committee on agriculture passed two bills on Wednesday in the executive session that would allow Missouri farmers to grow industrial hemp. Currently, Missouri businesses are allowed to import industrial hemp but not grow it themselves. Representative Curtman was quoted saying, "It's important, I believe, for our farmers to be able to grow it in our state so our tax dollars and farming dollars and investment dollars stay in our state."
In Florida, universities may be able to conduct research on industrial hemp due to a bill lawmakers are working to allow industrial hemp production. Dwight Dudley, state representative was quoted saying, "That research will help maybe result in some patents from the universities and they'll be able to make money from that and help the people."
