If the ASC had compiled overwhelming guilt on any parties, I would think they would have gone to the ASC Decision phase.
I am in 100% agreement that Skymark was reckless with their promotions, meaning they didn't properly explain the risks of their picks. But in my understanding, their revenues were from subscribers, so why would they want subscribers to lose money on their picks?
Skymark definitely pumped, but the dump of TSHO shares was mostly from Skymark subscribers dumping TSHO for PBEC throughout last spring and summer.
Then, when ASC thing came out, both stocks got dumped.

Yup. And ASC has no jurisdiction in the US. And with TSHO and PBEC located in and doing business in the US, the ASC's "cease trade" though in Canada, is delaying these 2 companies' abilities to build their business.
So, in a way the jurisdictions overlap.
Agree, and a reverse split would be fine by me.
If you have 30,000 shares @ .1, you have $3,000 of a penny stock.
If they do a 1 share for 30 reverse split.
You have 1,000 shares @ $3.00, still $3,000. But now at a price that can get them off the pinks, if filings up to date, etc. And by that point, if they're executing on their business plan, they might be appealing to larger institutional investors that would never touch a pink.

Bizarre that ASC can just extend for 6 more months with no rationale, no explanation, no new news.
That write-up by the ASC was as vague as can be and 1/2 of it was about 1 of the respondents, "Anthony Parker (also known as Anthony Parfitt".
They didn't even do a news release in their PR section of the ASC website. They were all proud of themselves in the summer, posting a bunch of stuff all over their website about Skymark, but now they just arbitrarily extend the CTO for 6 months, with next to no mention on their website.
As I said before, SEC should investigate ASC.

So, $4.2MM revenues in 2 months. That'd be over $25MM over the course of one year, even at the current rate of sales (assuming no growth).
What would that equate to in terms of PPS? Anybody have a guess?

All the ASC did was meet on 2/25 and extend the CTO on all parties involved.
No explanation, no updated developments, no signs of progress.
Seems to me they're not even investigating, just came in the office on 2/25 and signed this vague document.

What other regulatory agency expects a company (TSHO and PBEC) to regulate the securities market? That's a securities regulator's job, not a company's job. The case that TSHO "should have known their stock was being pumped" is complete BS in my opinion.
Seems the ASC didn't seem to do or find anything the last 6 months, even on Skymark. So why would they in the next 6 months, especially as it pertains to TSHO and PBEC?

They had total current assets of $358,000 a/o 11/30, so still tight, but not quite as tight as article portrayed.
The revenue was up to $447,000 as of quarter end 11/30, compared with $9,000 for 11/30 quarter end of prior year.
Of course that revenue was mostly from G/S I'm assuming, so they'll need to replace that, since they decided to drop that product.
I still have to believe they wouldn't have chosen to drop it if they didn't think they had something better...
We'll see...

So, the day they came out with a PR saying they were terminating agreement with WonderPour inventor, there happens to be a status update for the U/S to “complete”. Just a coincidence?
Rachael Ray was filmed last spring (early June 2010 PR), but didn’t air until the fall. The U/S is a Spring/Summer product.
They said in the 9/20 PR that “The Company is engaged in discussions with catalog, retail and other distributors as part of the Company's decision to focus the product on specialty retail distribution channels.” But we’re just really now to the point in the year when distributors would be looking to ramp up this sort of product for the spring/summer seasons.
We’ll have to see if they can execute…

Old news. Only thing ASC could come up with on TSHO or PBEC was that both companies "should have known" their stock was being manipulated.
Every stock on earth gets manipulated at one point or another. It's as weak a case as there can be.
TSHO wouldn't have terminated WonderPour agreement unless they felt they had better potential with other products.
They've worked on G/S, then W/P, for about 9 months. As of 11/30 they had a little over $600k in sales from 1 catalog. That wasn't good enough for TSHO, so they're moving on.
In my opinion that was his plan. Why else would he be so interested in this board?

Seems to me somebody is trying to get the price as low as possible. But how would that be even possible that a sale of $6.1 worth of stock could drop it 96%.

Okay, so one quick fix would be for one of the many privately held DRTV companies to "go public" by merging with TSHO.
The market cap of TSHO is only $720,000 right now.
Hopefully TSHO was wise enough to see this possibility coming and have another product ready to go. We'll see...
They better lean on Cesari Direct or Harvest Growth, or whoever their partners now are to get their feedback on deciding which is the next product to go with.
They still have Harvest Growth working to get U/S in the United Kingdom, Germany, and Italy.
Time will tell.
I remain optimistic as an ETEV shareholder, that despite the concerns about the new management team, at least there's now a management team. Seem better to me than ETEV's prior team, though I hear your cautions.
And the market for their flagship product is huge. I still believe the next few months should be interesting. At least with the merger, there's renewed hope for upside potential.
Sorry to hear you guys were burned in the past. My hope is that they (the management team) has learned from their mistakes and have every motivation under the sun to provide shareholder value.
Rich and Atlanta, what are your opinions of the rest of the Regeneca/ETEV team? Clearly you guys have been burned by Nicosia in the past but what about the other team members? Are you familiar with them? I'm not so curious here...

My thought on the "primary business" language in the 1/3 PR was that Regeneca's product line may be ready for mass market, while ETEV's line may need some freshening up.
I am guessing that a couple good scientists could pretty quickly modify the esters in FR and FR+ to further improve results. In tests, from prior PR's, 11-15% was the MPG improvement. That was good, but I'm sure it could be made even better.
If we get $4-$5 / gallon gas prices in the future, there'll be a huge demand for products like this.
I think they have a good product line that just to-date has never had the right distribution model or distribution partner. Personally I didn't like the MLM biz model choice for the ETEV product line b/c I believe that Ethos FR and FR+ (their fuel reformulators) belong on the shelves of Pep Boys, Advanced Auto Parts (and other similar retailers). Ethos Home and Shop (H/S), their environmentally friendly multi-purpose lubricant, belongs on the shelves of Lowes and Home Depot.
You know what's interesting, Regeneca's flagship is a male enhancement product. Ethos H/S is a lubricant. (insert humor here) LOL
All kidding aside, I think Ethos H/S could be a competitor to WD-40, but to Atlanta's point in the post after yours, Regeneca is focusing on their product line. But there's a reason they merged with ETEV because ETEV is not a shell company.
I have a good friend who sold Ethos' Ecomates MLM for a while, and he still uses their products. They're still making the products according to him, so they're still being produced and sold, but just not the initial focus for the newly merged entity I guess?
I have used the Ethos FR+ fuel reformulator in my 2003 4Runner. It gets me about a 15% increase in MPG. So it works, and cost more than pays for itself w/ MPG savings.
As far as revenues, if I recall, they had about $2MM in revenue in 2008, but nothing reported since then. And that was before the MLM and before the Ethos H/S.
I do believe the newly combined entity has potential and I think we'll get a better idea after the rollout at the conference next month.
From today's PR:
"The launch campaign will focus on an infomercial and other direct-to-consumer offers, followed by an auto-ship program available to consumers at preferred customer prices."
So, their flagship product will be on infomercials it looks like from today's PR. I know from DD on another infomercial company that a "successful" product in the DRTV industry is able to achieve $20MM-$70MM in revenues.
Next month should be interesting as more details unfold. Lets hope this product launch is a success.
I know that to date a lot of people have lost a lot of money in TSHO. And the ASC distraction sucks. But they are a real company producing real revenues, unlike many of the pinks. In fact over $600,000 from just 1 product thus far, G-Spout (now WonderPour). And that was in just 1 Catalog, LTD Commodities, in only 6 months. Not a bad start.
Clearly this product has high volume potential based on these early results. Seems the company is spending a lot of time and money on this one. Re-branding, new Infomercial, international partnershop with Harvest Growth. If TSHO was able to get G/S (now W/P) into 1 catalog in the US, and have it be one of the best sellers at one point, then there's clearly potential for a "successful product". The early catalog success should help lead to retailer shelf space. Retailers have prime retail space for DRTV products which helps sales.
Next couple months should be interesting...
A "pre-launch celebration". Maybe they're having a big MLM rollout? Or maybe they're launching a spaceship? LOL

There's probably a small number of shareholders that own almost the entire float of tradeshow. Everybody else got scared out of it due to ASC and some iH posters' relentless bashing.
Seems to me the company is confident that WonderPour will be their 1st successful product. Time will tell, but if they got $600k from the old G/S branding in 6 months from 1 catalog, then it has the potential to be a "successful product".
