The complaint says Cohn tried to illegally switch a legitimate HQNT debt to SNDH by telling Connors to bill SNDH for legal services performed on behalf of HQNT. You might want to think that's legal, but it's not. It's an attempt to defraud SNDH shareholders. Connors was right to turn it down. Attempted fraud is a violation of SEC regs. It's also a crime.

*IF* there were any shorts who needed SNDH shares, the subscription agreement shows Cohn willing to sell 250 million of 'em for 0.004 a share. Professional shorts cover when the stock turns flat, and HQNT's been flat for a while now.
Cohn's attempt to pay with SNDH shares and have Connors issue a receipt saying the SNDH shares were for payment of services provided to SNDH instead of to HQNT is totally out of line. He's not allowed to pay one company's debt by printing shares of another company he controls. That is theft from the shareholders of SNDH. Asking for a bogus reciept might be attempted fraud. As an officer of the court, Connors should report this to regulators. If he hasn't already, they'll be finding out soon.

There are plenty of things Cohn could do to gain some investor confidence absent the 10K.
Don't need a 10K to identify the alleged Fortune 500 customer and prove the PR wasn't bogus.
Don't need a 10K to identify at least one customer and prove at least one of his PRs was true.
Don't need a 10K to post the address of the alleged office building and prove *that* PR wasn't bogus.

From available verifiable info, this company is all sizzle and no steak.
