JACKSONVILLE, NY--(MARKET WIRE)--Feb 26, 2008 -- Ulysses Holding Corp. (Other OTC:UHCR.PK - News) today announced the status of the pending acquisition of SecureNetView: www.securenetview.com.
UHCR's accountants and attorneys have completed all of their due diligence and have advised the company to move forward with the acquisition based on their findings.

On February 29, 2008, mPhase Technologies, Inc.(the "Company") , a New Jersey corporation, issued in a Private Placement pursuant to Rule 506 of Regulation D, a 7.50% Convertible Promissory Note to St. George Investments LLC in the face amount of $550,000. The note has a maturity date of 4 years from the date of issuance. Interest only is payable semi-annual in arrears until Maturity. The note is convertible into common stock of the Company at a price equal to 75% of the 3 lowest Volume Weighted Average Price for the 20 day trading period immediately preceding the date of conversion. In addition, the Company issued to the purchaser of the Note 3,250,000 restricted shares of its common stock. The Company received $480,000 of net proceeds after transaction costs to be used for general corporate purposes.

We'll see what Dr. Ben has to say next week. It will move faster above .10 than it does below. I see higher highs coming for this one, but give them time to make it happen.
A recording studio really doesn't require a whole lot of extra room, or expense in the grand scheme of things, especially with modern gear. The studio should be a requirement of the locations -IMHO- to give the brand another feature that will stand out, a good fit for the music-oriented atmosphere.
This rule does not apply to pink and OB stocks.

US Army Proposal for a Potential $750,000 Phase II Grant
LITTLE FALLS, NJ--(MARKET WIRE)--Mar 6, 2008 -- mPhase/AlwaysReady, Inc. (OTC BB:XDSL.OB - News) announced today that it has been invited to submit a Phase II Small Business Technology Transfer Program (STTR) grant proposal to the US Army for continued development of a Smart NanoBattery. Only a percentage of Phase I participants are invited to submit proposals for a second phase of work.
On the basis of the positive results achieved in a Phase I grant, which was awarded in 2007, mPhase/AlwaysReady has been invited by the Army to submit a proposal for a $750,000 Phase II grant to build a functional lithium Smart NanoBattery prototype for a computer memory application. The Phase I grant supported a six-month effort to develop a low-power "green" battery with an extraordinary 30-plus year shelf life that will continuously power a SRAM (static random access memory) circuit for a computer device. SRAM is a common type of digital memory chip used in a wide variety of electronic systems for data storage.
If granted, the Phase II work would enable us to further refine our battery technology and will be leveraged into similar commercial applications for large scale program deployments. This dual use concept is part of the mPhase/AlwaysReady commercialization strategy. There are no initial asset or income requirements for listing on the OTCBB. However, the issuer must have up-to-date financial statements that are audited by a certified public accountant. Additionally, the company must have a shareholder base and provide financial disclosure requirements to the NASD and SEC
The company must make application for listing on the OTCBB through a registered NASD market maker. This application is made on a disclosure document commonly referred to as a Form 211. The NASD reviews for accuracy the Form 211; and, once it is approved, the company securities are cleared for quotation on the OTCBB.

Engineers at AlwaysReady collaborated with those at Picatinny involved in the development of precision guidance components to successfully package this reserve electrochemical storage system to operate during the gun-firing and flight environment of a very high "g" round. The developmental qualification work, prior to the live test firing, was performed using Picatinny's air gun test facilities by subjecting battery prototypes to various launch accelerations and various design iterations. This test serves as a validation of the performance of the AlwaysReady battery in this environment. The long-term goal is to potentially incorporate this battery technology into smart, gun-fired munitions programs being developed by Picatinny.
