Does anyone know the statute of limitations on a lawsuit for failed fiduciary responsibility? I have a feeling things need to start soon. At the very least more calls to the SEC to ask if they have started or completed their investigation.

Whether this failure was intentional, complete ignorance, illegal, lazy, or whatever, the resulting pain is the same. I feel sick when I think of Stacy, and Inca. Someday there will be justice.
How about a press release stating how sorry you are for hurting so many good people? And how you plan to fix this stock. What do you say Stacy? Ready to take some responsability for your shortfalls? Or is this whole mess the shareholders fault? Do you enjoy what you have done to us?

I hope you are corrcet HP, but we have been told before that things have already started, and even you stated processing starting SOON. Fingers crossed. IF they are really still in business why can't they get their website current, get their phone hooked back up, answer emails, and get the list of their personnel up to date.

I'm still curious why Danny's name does not appear anywhere in the Etrade list of officers. Anyone? CEO/Director is Byron R. Lerner, COO/Director is James E. Tubbs, Director of Sales/Marketing is Peter Biagioli, Vice President of Operations is Mitchell Hershkowitz. Who are these guys? I haven't kept up with the board. I guess I missed all these new guys coming on board and Danny no where around. Did he sell out? Is this just an error by Etrade?

tried to contact bysd through their website contact email. Email didn't work so I used the info address. Asked them to update etrade and other platforms with current news, and fix their contct email. Got a reply within an hour. Said they would look into my requests. I think that is a good sign.
Called stock transfer co. FMNJ still exists though they said they haven't been in touch for some time. Phone number on the website is no good. They have not ever answered any of my emails, dozens of tries. Comon' man.. some news is needed NOW! Trust unit, please don't bother commenting.

My daughters own shares of Brav and buy their leggings at the Gap. This company has been totally ruined by DA. He should have stuck with high quality exercise clothing. Just my opinion.

Stacy, how is our company doing? Even though we are now a private company, it would be great if you would share recent information with the other owners. I know it will be difficult, but according to the sec, and I quote “The SEC is now recommending that issuers who want to make things right should accept revocation to get two years of audited reports together and file a new form 10”. If you get that done, finding a market maker to file a form 211 shouldn’t be too hard if profits are starting to occur. Then we can start trading again, assuming of course that is what we all want.

There is always a reason to say no! That won't work etc. Maybe the statistics on this don't look good, I don't know. I know the name, I respect the name, I am more of a car guy than an investor. He and WE just may fool everyone and do really well. How much of investing is rumor and inuendo? Lots! For a pinky, this has a real chance, IMO. Try all you want to beat it down, lots of shorts I guess. I will keep hitting the ask or at least close to it. Lots of great people failed a lot of times on their way to the top.
I got chance to drive a Saleen mustang a few years ago. WOW!! I developed a need for speed.I think I got the Ihub email. Really glad I did. Excited about getting into Saleen at these levels. Reviving a problemed company isn't easy. I think it will work for Saleen. I drive a Corvette, my wife a Cadillac XLR-V we are car people and part owners of Zero2Sixtymotorsports.com in Wisconsin. We are also a new company. Don't have a lot of spare cash, but will buy when I can. would consider an electric car for our next purchase. This company should attract car people more than experienced investors. Could be a great story!
15 page color report called The Market's line in the sand" by Andy Chambers. Very well done, I get about one of this type per week. Now that I look at it closer though it is filled with "could, maybe, will it" type of language. In other parts they speak as if the printers are up and running and ready for roll out. I wonder?

If I remember correctly he did the same thing when he quit on Bravada clothing line in order to sell tights. Is he changing again? or just a bait and switch? How are the swim suits doing? If this gets to .10 it will be half way back to where it was right after the 1 for 2000 reverse split. Most of us were diluted/split out of existance. If I understand correctly, (and I'm not sure) even though the shares are now not registered, our ownership of the company on a percentage basis, has not changed. Tomorrow I will be upgrading my Ihub account so I can PM. I suggest anyone who needs to, and wants to participate in some sort of action do the same, so we can comunicate. I am now vetting lawyers and possible actions against Stacy. I would like to know if they ever hired auditors like she said. The question asked was " can I sue a Nevada corp that has been revoked?" This was not me and not about Inca, but interesting.
You need to discuss this with a business litigator regarding the strategy of naming the "owners" of a revoked corporation which continues to do business as well as the revoked business. It is possible to sue the owners where the corporate formalities have been ignored to an outrageous extent.

A publically traded company did not keep up with sec filings. They let the stock registration become revoked. They are still opperating the company and seem to be heading for profitability. What can stockholders do to try and recoop some of their investment. I am out over $100,000.00 and there are others as well. We would need a lawyer on a contingency basis. Any hope for us?

There is hope. You would file a stockholders derivative suit. This is a lawsuit filed by one or more shareholders of a publicly-traded company in the name of the company. Often, this lawsuit is filed against a member of the company's management who committed an illegal, unethical, or negligent act. They are also called derivative suits and derivative action. Some attorneys may work on a contingency basis. Because the company is incorporated in Nevada, the suit would be brought in Nevada.

What you need to do is try to "pierce the corporate veil" and go after the owner's assets directly. This is a tough thing to do, however.
Generally, the plaintiff has to prove that the incorporation was merely a formality and that the corporation neglected corporate formalities and protocols, such as voting to approve major corporate actions in the context of a duly authorized corporate meeting. This is quite often the case when a corporation facing legal liability transfers its assets and business to another corporation with the same management and shareholders. It also happens with single person corporations that are managed in a haphazard manner. As such, the veil can be pierced in both civil cases and where regulatory proceedings are taken against a shell corporation.
The facts the court will consider are:
* Absence or inaccuracy of corporate records; * Concealment or misrepresentation of members;
* Failure to maintain arm's length relationships with related entities;
* Failure to observe corporate formalities in terms of behavior and documentation;
* Failure to pay dividends;
* Intermingling of assets of the corporation and of the shareholder;
* Manipulation of assets or liabilities to concentrate the assets or liabilities;
* Non-functioning corporate officers and/or directors; * Other factors the court finds relevant;
* Significant undercapitalization of the business entity (capitalization requirements vary based on industry, location, and specific company circumstances);
* Siphoning of corporate funds by the dominant shareholder(s);
* Treatment by an individual of the assets of corporation as his/her own; * Was the corporation being used as a "façade" for dominant shareholder(s) personal dealings; Alter Ego Theory;
It is important to note that not all of these factors need to be met in order for the court to pierce the corporate veil. Further, some courts might find that one factor is so compelling in a particular case that it will find the shareholders personally liable.
My recommendation is that if the amount of money owed you is substantial, and you have the time and resources to do so, engage an attorney and see if any of the conditions that would allow you to go after the owner's personal assets exist.
Even if they "did nothing wrong" there appears to be reason enough for a lawsuite.IMO
I hope to hire someone to picket Therapy soon. I am checking into it. My wife and I have had a very difficult time of it for the last year, and my patience is at an end. My daughter is back from Miami and I never pressed her to visit the house of evil. I now know that Stacy and Evan are bad people in my opinion. I had hoped that they would have tried to fix things by now. I will be pursuing every legal means to make them accountable for their actions. I have lost over $100,000.00 on these pariahs. I will not go quietly into the night. I have a burning need for justice for my family. I have waited patiently, (in my opinion) for Stacy and Evan to do what is morally right. Question is, do they have any morals? Stacy, are you there?
