In my opinion, this statement is a prelude to the Garden Deal closing/finalizing.

This is just a wild guess re: approx. 200 million shares.

Garden deal was restructured and original owners of Garden aquired (or will aquire) said shares.

In my opinion: No. RSHN shares are not increased with the divy. Apple Rush Company is a new entity with no float. After our divy, we all are now the float in Apple rush company w/o increasing the RSHN float. Two (2) seperate entities.

Bottom Line: No dilution, but you gain shares in a new entity that has a tanglible item in the form of a trademark (but I have a speculation, that there is more to this Apple Rush Company THAN JUST A TRADEMARK). We will all have to wait and see.

Would a Christmas bonus considered free money? You are not entitled to a bonus but receive a bonus. What should that be considered?

A divy is the same concept. You are really getting something that you did not already have which I say is "free."

BUT you are right, no one gives anything for "free." OR maybe there is a catch... Guess what, Corr and management is also a shareholder who will be receiving "free" money.

RUSHNET focus on as marketing agent and soon certified trading agent. Wholely owns E water and its expanding line of flavors. Retain market rights, licensing and E water as revenue.

GARDEN focus on distribution and soon to be all over the US regionally. Revenue based on a distribution of a varity of products, not just Rush products.

Apple Rush Co. focus on products and expanding line.

Both spin offs still owned by RushNet. Profits to to spin offs and RushNet as shareholding company.

As spin offs, these companies have a HIGHER chance to be bought out and move to higher exchanges (higher than OTCBB).

They all will have a lower float.

RushNet owns:

1. 65% of revenues Rush Bev produces by exclusive rights, i.e. Apple Rush (plus its expanding line of 7 or more), Rush Cole, Ginseng, Ginseng XXX, Ginseng Capsules, etc., etc....
2. E water's 100% revenue.
3. E water's expanded(ing) line.
4. Garden (soon).
5. Garden's 1,000 (or was it 2,000) accounts and growing.
6. Garden's (once aquired) regional hubs throughout US.

Once Japan deal closes/finalizes, this will be a HUGE market. Japan having half the population of the US, yet have the land mass of California, a single single state out of 50 states in the US. This is a VERY densely (sp) populated county with a population that has alot of money to spend. Water has a very high margin and it is one of the fastest growing segments in the beverage industry. Plus in Japan, there are vending machines on almost every street corner. Gee... how convenient.

China is also a county with huge consumer market potential. Their population holds about 20% of the WORLD'S population and is in the billions, yes, BILLIONS. They buy everything and anything. They are the one major reason what commodity prices are up and continuing to climb. If I were Corr, China is the next target. Then Hong Kong, Taiwan and then Koera (in no particular order).

Before someone says (or continues) to say that China will just copy our drink and sell them, I believe that they only copy electric type, CDs/DVDs, etc. I don't believe they copy beverages, ie copy them and use the Rush Trademark. Ig they do great, they will probably market the entire country of China for us. LOL

I like South American countries as well, but I think RushNet needs to have a seperate division for South America. There are reasons why, but will discuss at a later time.

Thought I would drop by and say hello! This is going to be an exciting year for RSHN. Even though it has taken longer than most people expected(myself included), we have come a long way in the last few months. I believe eWater Japan deal is a go, just waiting for final approval(huge). AppleRush is a BIG HIT, possible distributors, Miami, South America, Chicago,---,---. Garden Divi about to be finalized. Could be more divi's in the works! Share reduction a strong possibility! Possible well-connected beverage mogul to assist in preparing AR for market penetration! More Apple Rush products in the works! Brewery deal??? Website?? Soon, lol! Another brewery, maybe! Bottling partnership, maybe! These are just my opinions, do your own DD!

As for the address, it is most likely the agent for Service of Process and/or mailing address, ie private mail box.

This common but depending on the type of business the person is in.

Also, some states where a person incorporates, require a business address within the state of incorporation. Formalities... I can't say for sure re: Nevada.

I think KEY is smarter than people think.

As I have stated in a post some time ago, I thought (and still think) he had (has) a hidden agenda.

I feel is day trading the RSHN stock. Bashing at certain points and then saying RSHN has potential and points out news will be coming or certain news is needed to be favorable and then the cycle continues. KEY has turned this thread into a war zone with his disruptions, attacks and bashing.

He disappears at certain times and then reappears with more bashing.

There is a difference between ranting, suttle bashing, bashing w/ hidden agendas, and clear bashing.

LOGIC STATES: A person would NOT bash his own stocks. He/she would have hope for it to go upward in PPS and see potential. He is a clear basher w/ intentions. He knows what he is doing.

AND I MAY GET BANNED FOR THIS I BUT DON'T CARE: IHUB is as greddy as any other capitalistic business (WHICH I DO NOT HOLD AGAINIST THEM). Ihub will not ban KEY because he is a paying member and an income revenue stream for them. Ihub only cares about who pays them. As everyone knows, cash is king. Unless everyone complains about him to the moderator/owner or whomever, nothing will accomplished and this constant bashing will continue. POWER IS IN NUMBERS!

If you stand back and re-read what you posted to me and if you still think a website has more priority than a deal with a Japanese deal with an importer/exporter. Then I have no real answer for you. (Not trying to be a smart azz (even though your reply to my original message was to me), just trying to let you see it in a difference view/prespective - you are entitiled to your opinions as well).

In business, everyone experiences delays. It is a fact of life/business. Look at Sony and Playstation 2 during their introduction. Had delays and storages. Have you ever ordered a Dell computer? I have and experienced delays and a new shipping date on several occasions. Microsoft's Windows Vista. Constant delays on release dates. There are several examples. What do you tell your teacher when you were on your homework assignment (besides the dog ate your homework?)? Just examples. Don't take them literally.

Just think about the pros and cons of each an then ask yourself which has more of a priority.

If you ask me, I would say the Japanese deal (if those were the only two things on the plate, but it is not).

Like I have in a previous post, I believe that the website is contingent on the Garden deal closing. Why introduce the website now with just the Rush line of beverages AND THEN go back and update it with Garden's distributed products?

It gives you and the investors a "bigger punch" (WOW EFFECT) if the website is released with a WHOLE bunch of products. That would be more significant than just the Rush Line. If the website was released with ONLY the Rush Line AND THEN unpdated later, then it would have less of an impact.

I know what you mean, but to me, I don't worry about the little things. My attention is more to major details that will affect/effect me. (It maybe because I am a Californian - seems I am more laid back - less stress - not saying anything bad about esle where.)

Anyhow, I "bet" once they announce the aquisition of Garden, the website will all of the sudden appear. They my PR it with Garden of after Garden PR.

BUT I do know one thing, in business, nothing goes according to plan and one plan is contingent on another plan that is suppose to happen or may not happen or is delayed. It is a fact of life/business (cost of do business).

Garden is a "distributor" who "distributes" Arizona products as well as other products. RushNet is a marketing entity who markets Rush products and soon other products after aquisition of Garden. As a marketing Agent, RushNet will not limit themselves to just one product line. They will market a varity of products. (This part is speculation and only makes economical and financial sense). Hence the formation of a seperate entity that owns the Apple Rush Line.

Garden will be/is a revenue stream for RushNet.

The foundation is being layed.

Speculation Only: I have a feeling that Apple Rush Company is somehow connected with "a" brewry (not Gary's).

My take on the website is Garden. Once completed, the website will incorporate more than just Rush products, i.e. Arizona products, Mertaige, e-water, etc.

This Japan deal is VERY big by way of the population density. Japan is roughly the size of California YET has HALF (150 million) the population of the ENTIRE UNITED STATES which has about 300 million.

Distribution of products in Japan should be easy since the land mass is so small compared to the United States, PLUS the fact the Japanese HAVE MONEY TO SPEND, very hip the trends, etc.

I am sure distribution wherehouses are stratigicly (sp) located for easy transportation/distribution.

Some time also, Japanese banks where the largest in the world (something happened, I don't remember, but changed) and the Japanese use to own approx. 80% of the Los Angeles skyscrapers (real estate market crash in Los Angeles).

These people have money to spend.

There are articles in which was water was the most profitable and a growing segment in consumption. (I would post and do some more research, but I am still at work)

This also strenghens my opinion on Apple Rush Company as having a much higher future value and a buy out/take over target.

The Warrent makes it all the better if you are short on funds NOW, you get to see the future PPS and "go back in time" and buy the stock at a discounted price AND know what your gain is from difference between the FUTURE PRICE AND WHAT YOU ACTUALLY PAID FOR IT. Did that make sense?

BTW: This is an opinion, but provides insurance in the form of a "locked in" price. Sorta like locking in your interest rate for so many days and if the Feds decide to raise interest rates, I have the opion to buy at the locked in rate!!! Wow... what a concept!

The good thing about this (for those who are complaining) is that this is free money. Money you did not have and a part ownership into something tangible, i.e. trade market, Apple Rush line and future additions.

Another positive is the warrants. Why?

Like other have said on the Board, you have the option to purchase Apple Ruch Company IN THE FUTURE at a DISCOUNTED PRICE! Still ask why? Because as a RSHN share holder you are entitiled to the above and since RSHN (Corr and Management) owns approx 2/3 (or approx. 66.66%) of the float, they also are entitled to the windfall. As a result, the NEW COMPANY Apple Rush will also be owned by the Corr and management at a prorata share structure. I believe that is how Corr and management are giving US and THEMSELVES a BONUS of FREE SHARE (free money) and FUTURE DISCOUNTED SHARES AS WARRANTS TO BUY for those who stuck with him.

I do NOT believe that Corr would just give out (THAT MUCH) FREE MONEY unless him and management would be able to reap the same benefits.

It also shows that Corr and Management is confident that the future share price of Apple Rush will be higher.

There is also the possible shorts (which I won't go into since it had been disscussed already).

My speculation is that the website is not done because RushNet is a Marketing Agent. One Garden is aquired, you will see a WHOLE lotta new products other than Rush products.

Once RushNet obtained their certification of being an Organic Trading Agent, we will probably see more Organic products once RushNet starts to market other items from other (Organic)manufactures/producers/beverage companies.
Also, I would not be supprised if Mertaige (sp) also also on the website.

So basically, what the hold up is aquiring Garden and obtaining the ENTIRE inventory lists to incorporate them on the web.

You get revenue from RSHN and NOW you get it from the NEW COMPANY. Remember the 65 / 35 split? I dont rememebr the exact %, but recently, you only get 65%. Now you get the other 35%. So bascally you get 100%, just from different companies because of two (2) revenue streams.

Before we as RSHN shareholders do not own Apple Rush Line or the trademarks. We just own the marketing and licensing rights. After the Divy, we still retain the marketing and licensing rights AND NOW we will own the ENTIRE APPLE RUSH LINE, FUTURES ADDITIONS TO THE RUSH LINES (and if the Teas are going to be born from this company an added bonus) and all the TRADEMARKETS. This is VERY valuable!!! Why? If there is a buyout of a company, the new company will be the target because it owns the Trademark and the beverage line plus any additions.

By receiving the Divy, you are get free money since you are able to trade or sell it. This money came out of nowhere IF you were the shareholder of record when they give out the divy.

There is also the pressure that is put on the shorts because if the shorts do not cover, they will have to cough up the divy as well. That will be a double wammy. The shorts part has already been discussed, I believe, so I won't go further on that topic.

Also, since this maybe traded on the OCTBB, a higher exhange, they will be fully reporting and transparaent, which will bring more investors and bring the PPS up to bring us shareholder value.

There are other positives, but I am at work right now. I should be working!!!

1) Great Deal! Why? We lose nothing, but gain OWNERSHIP in the Apple Rush Line and the Company itself with its extra revenue stream into the new company. So we have only to gain here.

2) Does not matter for me since I am LONG on RSHN.

3) Does not change now, but have to see. I may buy more of the new company's shares.

4) Affect to daytraders: They will all buyin the say before or on that the share holder of record date. Shorters will have to cover because it they are short, the sohorteres have to come up with the divy which creates a double wammy in their pockets. MMs: See Shorters' answer. I see what you are saying. You are right about it, but that is a big board stock. We are still a pink. That is why I think we will be rounded down, because I don't think Rush is in a position to get out money ... yet.

I don't think they will sell the factional share in the open market. That is why they "round down" to a share, i.e. 1.2 shares will become 1 share. 9.9 shares become 9 shares.

No taxes on fractions because it was rounded down.

Note: I am not a tax expert.

I believe they would round DOWN to a WHOLE share. They would not issue fractional shares. I have seen "round down" in some other stocks.

Also, you only pay taxes on what you sell. If you didi not have that fraction of a share in the first place, (hence round down), you would not have to pay the taxes on it.
