X. The nature and extent of the issuer’s facilities.
During second quarter 2010 it became apparent that VirTra's current facilities were no longer adequate for the current level of
business and expected future business. To accommodate faster growth than previously expected, on July 8, 2010 VirTra
signed a sixty-five month lease with a commencement date of August 1, 2010 with an option to purchase the property during
the first 36 months for $3.4 million (otherwise lease expires December 31, 2015). VirTra's main headquarters is located at:
7970 S. Kyrene Road, Tempe, AZ 85284.
This new facility is approximately 5 miles from the previous location. This move was accomplished to accommodate the
current growth rate as well as prepare VirTra for future needs. VirTra now occupies the entire stand-alone building which is
approximately 40,000 square feet with 80 parking spaces included. It is fully air-conditioned with new work stations, new
office furniture as well as an updated Contemporary Interior design. The facility accommodates demo simulators in all
configurations from a Single Screen VirTra 100 up to a 5 Screen 300° simulator and new products. This facility permits
maximum demo availability as well as a separate testing and development area which also includes the 100, 180° and 300°
simulators.
Our corporate and production offices were located in Tempe, Arizona. VirTra had leased a total of 13,000 sq. ft. divided
between a 8,000 sq. foot facility and a 5,000 sq. foot facility located within walking distance. VirTra was able to sublease the
5,000 sq. foot and is no further liability on that space. The cost for the remaining suite is about $6,600 per month. Our lease
expires in April 2011. VirTra will continue to attempt to sublease the remaining 8,000 sq. ft.

Physiological Evaluation of Stress during Virtual/Immersive Combat Training

Abstract:
This paper reports upon the physiological monitoring of stress effects from individual infantrymen during immersive combat related scenarios demonstrated during the Future Immersive Training Environment- Joint Capability Technology Demonstration (FITE JCTD). Immersive training environments provide the opportunity to expose infantrymen to some of the stressors that they may experience in theater. In theory, exposure to realistic stressors may provide a degree of inoculation to the stress of the environment before it is experienced in theater, leading to better performance under stress and a reduction in the long term effects of combat stress. The goals of this study were to 1) identify whether the FITE immersive environment could provide a level of stress that could be measured physiologically, and 2) determine whether physiological measures could be used to objectively measure presence - or a sense of being in the environment rather than the sense of watching it. During this study Army and Marine Corps infantry squads participated in multiple virtual scenarios. Each participant wore an Expedition Dismounted Infantryman (ExDI) suit which allowed him to control an avatar within a Virtual Battlespace 2 (VBS2) scenario. Individual movements and actions taken by the participants were replicated by their avatars within the scenario. Each participant also wore a Threat-Fireâ„¢ system that provided negative feedback (electrical shock) to their thigh should they be shot or killed in some manner (e.g., IED, fall off building) during a scenario. Heart rate (HR) was collected from members of four squads (2 USMC, 2 USA) during each of the four scenarios. HR and HR variability were used to identify changes in stress level experienced by each infantryman throughout each scenario and were correlated to perceived level of readiness (Cooper's Color Code). Individual HR data was also correlated to scenario event time markers (e.g., sniper shot) to denote individual level of presence, and was correlated to subjective measures of perceived realism for each scenario.
Lockheed Martin was awarded a $287 million training contract last week. I would imagine that it could trickle down to Virtra technology.

The second quarter of 2010 was the highest revenue quarter in the history of the company. Three of the last four quarters have
been in excess of $1.2 Million each. We are on track to achieve the highest revenue levels in the history of the company for
2010. We now have six qualified salespeople to concentrate on selling the highest quality firearm training simulation products
in the industry. Sales of $1,520,211is a 57% improvement over last year ($551,397 increase).
Our gross margins remain healthy which is critical for the investments required into infrastructure to accommodate our growth.
We are investing into improvements at our new headquarters as well as adding considerable production staff to enhance future
performance while continuing to deliver the highest quality products in our industry. For the quarter the gross margin
improved from 60.2% to 69.4%.
Our expense rate remains pretty constant as we add to the size of our organization to support this high growth. We now have
29 full time, qualified, caring, and highly motivated associates in our company. We will continue to strategically add as our

For the quarter the expense rate was 38.4% from 38.2%. Costs were kept well in line while continuing to allow accelerated

Ordinary income grew from $213,792 to $472,583 for a 121% increase (an improvement of $258,791 and from 22.1% to
31.1% a full 9 point increase).
Net gain per share for the second quarter of 2010 was $.0024 compared to $.0021 per share in Q2 2009.
VirTra’s cash was $814,690 as of June 30, 2010 compared to $284,377 as of June 30, 2009. Also, Shareholder’s equity

I just spoke with FINRA to *officially* confirm what some of us had posted before regarding the Daily Short Sale Volume File that is thrown about here as evidence of shorting and/or naked shorting.
In a nutshell, the daily short numbers represent only one leg of a transaction
. As I've stated before, MM's want to be flat or net neutral (i.e. not long or short). If you place an order for 1M shares, they generally don't have 1M shares in their account. So they will then sell you 1M shares to fill your order (which shows as 1M short), and then buy 1M to offset it. However, the 1M short report is not negated. So, in theory, seeing 50% of the daily trading volume reported as short in a pinkie should be no surprise and is of no consequence... just MMs doing their job and providing liquidity.
Additionally, if the Monthly Short Sale Transaction File
does not show an increase in the short position... there isn't one... period!

I find it interesting in that much of the peripheral equipment is very expensive and could easily be used in conjunction with legacy systems from other companies, i.e. threat fire belt, tether-less recoil kits, recharging stations. They could even be used to upgrade the MILES program. LMT recently was awarded an $11 million contract for MILES XXI "It provides the real-time casualty effects necessary for tactical engagement training in direct fire force-on-force combined arms training scenarios"

Across all warfighting communities, training advances have been significant, yet the use of advanced simulation technology has not yet achieved for infantry training what we take as routine for aviation, armor or maritime simulation training. While there are a host of reasons, and the different combat training regimes pose notably different simulation challenges, dramatic advances in immersive simulation, artificial intelligence, and gaming technology must now be harnessed to bring state-of-the-art simulation to small infantry units. Though the rudimentary simulation designed for close combat currently affords units some level of challenge, it does not yet approach the level of sophistication deemed essential in other disciplines.
The Deputy Secretary of Defense has directed funding to the services and Joint Forces Command to support the urgent development of infantry immersive training simulators as part of a broader national effort for small unit excellence. As our troops are engaged around the world and assigned a variety of missions confronting insurgents on the ground, the development of a close combat/infantry immersive training simulator is a national priority in terms of creating top-performing small units able to take advantage of joint surveillance and fire support. Our immediate task is to create prototype immersive training simulators as a means to enhance warfighter survivability, amplify exposure to joint and combined assets, improve the employment of our joint-asymmetric capabilities, and increase the overall effectiveness of our close combat/infantry small unit performance to defeat the enemy while protecting the innocent intentionally jeopardized by our enemies' tactics.
Focusing efforts to enable small units to combine initiative, critical thinking, and joint warfighting experience will allow for brilliance in combat skill basics and agile responses to the enemies we face. Casualty reduction, fewer ethical missteps, psychological resilience and enhanced mission success rates are the goals. We will remain responsive and innovative to confront the challenges our close combat and small infantry units encounter today and tomorrow. Other communities have demonstrated that simulator training is an effective tool to increase operational effectiveness. America's close combat/infantry forces will get our best effort to provide them every advantage and prepare them fully to achieve success in battle.

During 3rd Quarter 2009, we had six large projects in the production stage. Our percentage of completion is based on total costs incurred to date compared to the estimated total cost of each contract. Of the partially completed work at September 30, 2009, we have incurred some of the costs on contracts totaling $2,535,135 of total revenue. We estimate that we will incur additional costs and do not expect to incur any losses on our uncompleted contracts. Our costs and estimated earnings in excess of billings on uncompleted contracts total was $71,942 at September 30, 2009
For the quarter ended September 30, 2009 and 2008, gross revenue grew 40.7% from $869,818 to a record $1,223,590, due to successful marketing and sales efforts and further market penetration of our brand.
General and administration costs are higher from $120,859 for the Q3 ended 2008 up to $393,466 for Q3 ended 2009. The main differences are $118,263 amortization expense, hiring additional sales staff, increased tradeshow expenses, and increased sales related travel.
Net income from operations increased from $307,716 for 3rd quarter 2008 to $456,303 (not adding back Amortization Expense of $118,263(AE)) for 3rd quarter 2009. This is an increase in operating profit of 48.3%.
Net gain per share for the third quarter of 2009 was $.0027 compared to $.0066 per share in 2008. Q2 2008 had $542,925 of non-operational income (NOI) that is non-recurring (forgiveness of debt income, gain on litigation settlements and gain on derivative liability).
Overall, VirTra has made consistent and substantial improvements in financial performance since the second quarter 2008. For quarter ended September 30, 2009, net income is $364,485 compared to $189,453 ($850,641(NI) - $542,925(NOI) - $118,263(AE)) during Q3 2008. Net income improved by $175,032 in third quarter 2009 as compared with third quarter 2008. This was a 92.4% increase.
VirTra’s cash on hand improved to $259,780 as of September 30, 2009 compared to $116,456 as of September 30, 2008. Also, Shareholder’s equity increased over $1,170,000 to $6.54 million at Q3 ended from $5.37 million as of December 31, 2008.

A few days after that course, I was in Manhattan speaking to attendees of the NYLE Expo on the topic of training strategies to avoid sympathetic shooting situations and about half of the audience were fellow instructors. I was also able to observe Mike Janich teaching some fundamental defense techniques against blade attacks. My biggest learning moment at the conference came while inside the 360 degree Virtra Simulator. This simulator system is a huge leap ahead of any of the systems I’ve experienced before and I got an important reminder about awareness at the hands of an electrical shot simulator that was on my belt when I got distracted by one suspect while another came out of an unnoticed stairwell and “shot” me. The shock wasn’t quite Taser levels, but it was a visceral reminder that we all have room for improvement.

The sale to Gwinnet County Sheriffs Dept is extra sweet.
FATS (Firearms Training Systems) traditionally has been the leading simulator producer, at least sales wise, in the world. So they claim. They are located in Suwanee Georgia, which is located in Gwinnet County.
Their own Sheriff's Department chose Virtra over FATS. That has to be a testament to Virtra's technology.
Here's an excerpt from the 2nd Quarter financials that has not been discussed.
Market Penetration
Since 2004, the installation base of our IVR HD and IVR 4G models continues to grow both internationally and domestically,
as we continually gain new military and law enforcement customers.
While VirTra has reported multiple millions of dollars of sales for several years, it believes that it has only captured about 1%
to 3% of the overall market potential for its current products.
Here is a run down of other companies in the simulation industry and what they provide:
Competition
There are currently no direct competitors to VirTra Systems’ multi-screen high-resolution video simulators, Threat-Fire™
shoot-back devices, or VirTra’s unique immersive training methodologies.
However, competition within the single-screen market is intense. Companies have made essentially the same single-screen
style simulator for the past 15 years or longer.
Some general competitors that promote substitute or similar products are as follows:
Advanced Interactive Systems, Inc. (“AIS”) has been a provider of interactive simulation systems designed to provide
training for law enforcement, military, and security agencies since 1993. Its line of products uses primarily video production in
judgmental training scenarios. AIS also markets to anti-terrorist and other special application training facilities for military and
special operations groups. Its systems have historically used only single screen technology and projectile-based shoot-back
systems. Projectile shoot-back systems require eye-protection, must be aimed, requires picking up the used projectiles,
requires compressed air, and can miss the trainee or even accidently injure the trainee (such as hitting a damaged knee).
VirTra’s Threat-Fire™ device has none of these disadvantages.
Cubic Defense Applications (“Cubic”) performs in a wide range of industries, including military simulation, Cubic currently
produces a product (EST-2000) which was developed many years ago as mainly a marksmanship training system, with limited
immersive combat training capabilities. Cubic focuses on large contracts with the US Army and does not provide a viable law
enforcement product. Due to its pre-existing contract, its size and corporate strength, Cubic is a strong competitor within the
military market for the US Army. Most all of Cubic’s revenue is from military sales.
Meggitt (previously “FATS”) claims to have thousands of training systems installed worldwide by military, law enforcement,
and commercial customers. FATS is a full service training/simulation company that also uses video scenarios with singlescreen
technology for law enforcement. For military use, FATS produces multi-screen computer generated systems that appear
to be several generations behind current technology. FATS also produces other types of simulators and recoil weapons. Cubic
and FATS products are similar in many respects, although FATS has been in the market longer. The majority of FATS
revenue is from military sales.
Laser Shot is a supplier of basic video game simulation equipment to home enthusiasts, all the way up to law enforcement and
military simulators. It is trying to attack many markets simultaneously such as: home use, hunter training, live-fire ranges,
virtual law enforcement and virtual military marketplaces. Laser Shot provides multi-screen systems with computer-generated

images, but is unable to produce VirTra’s patent-pending Threat-Fire belt or high-resolution video training on multiple screens
(Hybrid-CGI). This company competes with VirTra Systems mainly with military projects.
MPRI (an L-3 Company) is a supplier of single-screen, low-cost simulation equipment to law enforcement or military. MPRI
is believed to have a large install base of simulators. MPRI often competes with Laser Shot and IES, and rarely competes with
VirTra. MPRI is owned by L-3, which is a very large defense company.
IES Interactive Training, Inc. (“IES”) is a supplier of single-screen simulation equipment to law enforcement. IES has
fielded several hundred single screen systems in the law enforcement marketplace.

It's a $91 million dollar simulator contract Lockheed Martin is trying to get.
Peo-stri is meeting individually with selected contractors on 9/14 for a show and tell.
LM purchased Virtra accessories on 8/25, 8/27, and 9/1. LM is obviously using Virtra to differentiate themselves from the other contractors on this particular sources sought.
Virtra has the chance to be a part of this $91 million dollar contract. This is part of STOC II, so if LM wants it, they have to adhere to the small business set aside clause of STOC II contract vehicle.
Good for Virtra, and I would say 6 cents is a good entry point in light of this possibility.

I'm not an expert.
I believe 40% +/- of the $17.5 billion dollars that the army has set aside for training and simulation over the next 10 years is designated for small business.
The STOC II program by peo-stri is established such that prime contractors are forced to sub-contract out a large portion of their awards, to the small business community.
Many of the prime contractors who eventually qualified for eligibility under the stoc II program had long lists of small business sub contractors that they would use, if they were to receive contracts.
Thus far, I am not aware of any awards being granted under this program. However, if LMT were to bid on solicitations under the stoc II contract vehicle, it would serve them well to list Virta as a small business sub, and would be detrimental if Virtra's tech was in house.

I am not sure, but I believe the property that was sold 2 years ago in Phoenix was large, so that listing may pertain to that sale, and not a new purchase.
That doesn't mean that Virtra is not in the process of finding a new home, I am just not confident that the transaction in swami's link is new.

I too find it odd that the buyback is not big enough news to issue a pr. However, I am optimistic that there are larger pr's to come.
Overall, direction is great, profitability is great, lmt is great, and at some point the share price will follow.
Success is no longer the question, it's how profitable can the business be, and how will that translate to share price.

Lockheed Martin Selected for Role on U.S. Army Simulation, Training and
Instrumentation Contract Vehicle
ORLANDO, Fla., April 1 /PRNewswire/ -- Lockheed Martin Corporation (NYSE: LMT)
has been selected by the U.S. Army to compete for future training and
simulation tasks under the Simulation, Training and Instrumentation Omnibus
Contract (STOC II). One hundred and forty one other companies also were
selected to compete for STOC II tasks.
STOC II is an indefinite delivery/indefinite quantity contracting vehicle with
a ceiling of $17.5 billion and a total potential ordering period of 10 years.
The 141 companies selected to compete for tasks must submit proposals to vie
for each portion of the overall contract.
STOC II is designed to quickly get simulation and training products and
services into the hands of U.S. and coalition service members.

STOC II is a follow on contract to the STOC I, awarded in 2000, an eight-year

were the Close Combat Tactical Trainer (CCTT), CCTT Reconfigurable Vehicle
Simulator, Advanced Gunnery Training System, Reconfigurable Vehicle Tactical
Trainer, the Virtual Combat Convoy Trainer, the Warfighter Simulation
(WARSIM), MILES XXI, Combat Training Center-Objective Instrumentation System
and the Common Training Instrumentation Architecture.
