I believe the announcement last week was that the company investors voted to go forward to make a deal. I am not sure whether the deal was signed off on and competed the regulatory processes. I too would like to have an update or any kind of specific information from hydro. If we are getting Northern shares, I would like them to get the mining piece also. Not sure how how a continuation of a shell company would benefit the common shareholders, maybe this is the "sensitive information" and why everything is so secretive. If the sale is completed, do we know the formula on the conversion of stock?

They need new leadership, people with some business sense and savvy to understand opportunities, trends and margins. Idiots were competing in a low margin space with very large companies, believing that everyone would switch over to them because of climate change. If they had only focused their business on crypto everyone could have retired by now. What a bunch of donkeys!

the meeting will explain all ---my take is a DONE DEAL at 4 mill euros cash and 21 mill euro stock which will be closer to 25 mill euro as they take 30 day avg----stock today 122 euro !!-but traded at 70 euro mid period---all in all i see a 50% plus premium to the pps today---mkt value at close-21.5 mill$---my guess at deal is 35 mill $ i have been adding all week and will continue to add tuesday in the hours before meeting!! i have also written my ideas to the co . on how to use the procceds and if they even mention they will begin on this track an easy double-if im dead wrong ill find out after meeting and sellers today must not agree with my math!!!--ill be in the mkt on tuesday again--hope some people are still looking in here - -tmonkey

The problem is that hydro is losing its leverage. This decision or a decision to hire a talented management team should have happened way before this point. I watched a hyped video last year about this company and crypto mining claims, seemed like a no-brainer. Cloud services and crypto are exploding with help from covid! Please sell everything except the employees, no need for their expertise.

i finally unlocked it hidden in my fidelity accnt-----cash would be fine as it is 10-20 cents over pps now DEPENDING ON PPS OF NORTHERN USED!!--- but i understand the 21 mill in shares is restricted 2 yrs---so how do they become cash---the co .says nada --so it is wait until the meeting---the directors have 70% here !!--so that nr is them---ill be looking closly 4-5 days before meeting to add under .20 but will give it until then to see if any news comes out---tmonkey--

I've been super-busy w/ various projects lately so didn't get into the details too much...

Basically the 70% owners want the cash "plus consideration" as it exceeds asset value, and then HYHDF is going to become a shell.

How this will play out going forward for shareholders is anybody's guess.

monkey- Is it your understanding that our shares would be converted to Northern? After paying liabilities fees and possible unknowns it would seem that common stock shareholders may not fare very well. I would not want shell company shares of hydro, have very little confidence in that team. It also looks like one of the options if the deal doesn't fly is that hydro could be delisted. Will we be able to attend the meeting virtually? If we can't attend, then some investors will be able to act on information before others. Just wish that I had information from Hydro sooner about their reason for selling. I was originally sold on the idea of their crypto mining capabilities.

Does anyone know why the structure of the deal would leave a H66 shell company with no assets, other than to keep employees and move into another business? Would a total buyout be more advantageous to common shareholders? What are the real issues and priorities of the regulators, of the company, board of directors, principals etc. I cannot physically go to the meeting and cannot vote without knowing important information. What are the fiduciary responsibilities of the company to make information available to shareholders and answer questions? Is everybody comfortable with just trusting?

I am also confused on the crypto-mining segment of the company. I was under the impression from the company press release a few weeks ago that they were keeping that part of the business, however the new document seems to contradict. Did everyone get their "Notice of Special Meeting" and voting form? I just read the information that was presented. It seems to me that there are some major added risks going forward. Before I vote, the company should be very specific as to what the mechanics of the deal look like. They should be able to handle a virtual meeting for investors that will be more transparent than only offering their legal protections. The document provided to me has created more questions than answers, a virtual meeting should also have a question and answer segment. It also looks like the dissent process gets extremely involved. There are many aspects of this document that are extremely concerning. I hope that the company will get out in front of this to address so many shareholder concerns.

There probably is much pressure for the sale to go through, I hope that it does. The company has no choice because they are in such poor financial shape. When I first started purchasing it was because of an ad that promoted their crypto mining capabilities and low costs. I assumed with the rise of crypto currencies the company would be in a great position regardless of the pandemic. If the sale of assets does occur, how would the conversion and pricing of stock shares happen?
