SHDH Temporary Suspension;

Good luck.
I find the reverse split to be very disappointing and understand your anger. I am constantly amazed at how companies like to spin it as being good for the company even as investors get ruined. I'll try to remain positive while I anticipate another loss. The way I read it, they want to sell more stock to cover the costs of legal fees without having to use company cash on hand. It would be nice to hope that they have a business that brings in more cash and doesn't require investors to get hosed. I'm not pleased with the news.
Here's some input: PMCM just announced back in November they decided to do a reverse split!! CRIMINALS!
Just tested, they are allowing buys.
Apparently the CEO of PMCM is also now CEO of SHDH. I'm not sure if a merger or other synergies are in play but interesting none the less. Reply if you have some ideas or guesses for the future. GLTA
Nope, sure isn't, unfortunately I have no funds in my Scottrade account to test and see if they are allowing buying of this either...grrr.
Whatever the case I'm no longer buying anything that TDA has chilled, even if other brokers still allow buying because they almost always turn out to be POS'es anyway...lol.
that's never a good thing
TDA claiming a DTC chill on this security now, not sure if it's an actual DTC chill or one of their own internal chills but it looks like I'm gonna be scratching this off the list for now unless they become eligible again....bummer.
Nice, unexpected update. I'm not entirely sure why they are calling Phantom a 'new' fragrance considering it's been around a long time but I suppose we'll see whenever they finally get the website up and running.

Good strategy. Drop a note if you see anything promising.
Like you I think it will be a while before this shows any signs of $$$ activity, but it's worth keeping an eye on.
Something is definitely going to be happening with this company but right now their focus appears to be getting their filings in order first so it could still be awhile yet.
Until then I'll continue to monitor their websites for new developments. I figure once the websites are online then we will know were getting closer.
Totally agree with you there. 'Equity financing' being code for a serious P&D, I think something is being planned here.
Catching the pump in the early stages while the float is still low might yield a nice return. Just my speculation.
If and when are the questions. The timing is key. And that's assuming anything happens at all...
Haven't bought any shares yet either. Just watching.
Right now it looks like they are paying for most everything in shares and convertible debenture financing. That's not a good sign and would normally scare me away but the float and o/s are still very low and lets face it this is in the very beginning stages, no awareness or promotion has even begun, so that leads me to believe it will go up from these current levels before it goes down.
FWIW I have no shares of this just watching right now.
I'm trying to connect the dots but it's hard to tell exactly whats going on because OmniScents Corp, GLMAC and now Shades of Fragrances are all sort of intertwined with Lucien as the common denominator.
If you look back at earlier this year, OmniScents which is a Neil Katz & Lucien Lallouz collaboration and owner of 24M shares of SHDH, had some things going on with Maxim Magazine and the Miss Universe brand to create fragrances. However, I have not been able to find any recent updates on this.

My thinking is perhaps Shades of Fragrances could potentially be creating these?? Not sure though. I mean why create a whole new company, SOF, why not just take OmniScents Corp dba GLMAC public? Why spin off SOF and throw in an old, ancient asset like 'Phantom' which probably isn't popular enough to start a new company behind.
I mean once you start mentioning the Miss Universe pageant then you start talking about Donald Trump, which would be great penny pumping material and could sell lots of shares riding his name alone. So it would make sense to keep this all under the radar for now.
I don't know, I'm just speculating though, if fun to speculate...lol.
I believe you may be right.
Read some of the amazon reviews...the fragrance has been around for some time apparently.
Amazing DD you're digging up. If the plan is to resurrect the scent and start another product line, they'll need capital. 9 times out of 10 that means equity financing, right?
I believe this is the same 'Phantom' mentioned in their filings as a trademark owned by Shades of Fragrances.

I'm just starting to DD this, it's hard to put all the pieces together as it' still very early. Lucien Lallouz has been involved in numerous companies, some have been epic duds like OmniReliant Holdings but others have been successes such as Parlux Fragrances, which was bought out by Perfumania Holdings.
Lallouz founded Parlux with Neil Katz. Katz was the former chairman and CEO of Parlux and is now the CEO of Omni Scents Corp which is the largest shareholder here I believe.
Then you throw in CEO, David Schwanz, another long time industry vet, who was VP of sales for Elizabeth Arden and you could have a pretty powerful combination of folks involved IMO.
Then again this could be a complete bust, who knows, but I think it's worth watching at this point though.

Still watching also. Latest filing is a 10Q (as of 6 Sep) covering the quarter ending 30 Sep 2012 with a whopping $328 in cash and virtually no revenues.
The 13D is interesting though for one small little line:
"* Based on 31,051,999 shares of common stock outstanding as of July 10, 2013."
I looked up the SEC def for the 13D to refresh my memory:
"When a person or group of persons acquires beneficial ownership of more than 5% of a voting class of a company’s equity securities registered under Section 12 of the Securities Exchange Act of 1934, they are required to file a Schedule 13D with the SEC."
With ownership of 24 mil listed, that doesn't leave very much in the float...unless my math is off or I'm missing something.
Just speculating here but I'm thinking that it might not take very much to light a spark under this one.
JMO
Hmm...looks interesting, definitely adding this one to my list of potential future promos.
Based on my initial DD there might be more to this then just a promo type play though, hard to tell yet as it still early and we're still waiting on more details.
Right now it looks like they are primarily focused on getting their filings in order first but I'm keeping any eye on this one for sure.
Just my thinking but, reading the 8K inclines me to expect an upcoming promo coupled with conversion of the promissory notes recently issued.
There is this statement in the 1 July PR:
"Our first priority is to bring the company current with its filings with the SEC. Our long term objective is for the Company to become a luxury & lifestyle brand developer, through licensing agreements with emerging fashion designers and established celebrity brands, including our own proprietary trademarks," said Mr. Lallouz.
As of yet, I don't see an entry point. The B/A is Hotel California gapped, and the future PPS is anybody's guess.
For now, I'm just watching.

LOL
they are all "shady" in their own way, just like to know how bad before considering a stock and setting volume alerts.
Besides being 'shady'? (Sorry, couldn't resist...)
I haven't had time to dig too deeply here, but I do know that ECMV now trades as PERF (Perfumania Holdings, Inc.) on the NASDAQ as of Aug 2008. OTC Markets: http://www.otcmarkets.com/stock/PERF/company-info
Something is in the works here, just not sure what.
Lucien Lallouz involved with
stocks PARL TMDN
Seems to me that all the companies he is involved with seem to decline in value until they disappear.
Anyone else know about this guy?
