Some hard life lessons thanks to this company. Now we see the final act. My previous chapter 11 experience was with P.C.I. I left before the final 'sell the furniture' closing and was just a former employee. Same situation with J.A.M., Visual InSietz and elementK. I should know the drill by now, but this debacle is the first one that I rode into the ground.
With Torvec it seems certain that they will not get back into business or partner with anyone. So what happens to the patents? Auction or part of a settlement for 'prime' stockholders? When will the final dissolve of every thing related to this company happen? I think chapter 11 goes to chapter 7 and then it is completely shutdown and the stock ceases to exist in the markets. Is that correct?
Unless the rules changed again, I think the next thing for common stockholders is, add up the price per share investments over the decades and your accountant writes it off next year or years. Nothing else can be done with this dead horse.

Literally nauseating how those dirtbag, pond scum, lying pieces of garbage DK and JD were allowed to continue to string shareholders along (myself included, despite saying and knowing for years that DK was an idiot and a liar I still held onto the hope given in some of their lies, and even bought more on the way down, which in hindsight was like rolling around in my own vomit).. You're right. DK wanted to take the credit for any success of the company and if the Iso would have been the "hero" then he wouldn't have been able to say it was all due to his efforts. Hindsight......Looking back on any interviews on TV, he NEVER appeared confident. His uneasiness screamed "let me out of here." We all saw it we all just didn't want to believe it.
Seeing how DK didn't have any sense of his own, who could have persuaded him to think along the lines of NASCAR

He couldn't be bothered to do the hard work or creative thinking to sell the diff or the pump or any of the other patented auto related things Torvec had. No, HE had to push that aside to make way for HIS great idea. All that money and time spent on making a better watch than Apple. Like that could ever happen, but he sure had the right bait. Some sort of pre-production testing by JetBlue. Other companies interested, etc. All b s. Then to top it off, a spectacular interview on Cheddar. Crafted by the fantastic media gurus from Miami. What a collective delusion of Torvec management. Renaming the company and letting the kid drive the car right into a tree.
I deserve this ending for being a naive dreamer instead of a realist. That and being greedy. 20 years of doubling down on lies I told myself about what was right in front of me. Lessons painfully learned, but it really should not have taken this long to see all of it for what it was. The little videos where cool, the FTV pulling the Jeep out of the mud, Watkins Glen Corvettes, etc., but having cool equipment means nothing if you don't have a salesman and the strategy and management to make serious money from the metal and the investors never had that in 20 years.
I thought a lot about the shareholders' meeting when we were told that DK spoke with a group of students whereas one suggested somebody should invent a watch that can alert you if you fall asleep while driving. I'm sure I wasn't the only one who wondered, "where did THAT come from?" Then it was obvious DK was not kidding.
I think it was too much of shock for anyone at the meeting to even respond. I guess we all thought it was a joke.
I remember several years ago, one guy who was a "regular" with a coffee group and also had once been a person who worked for a Nascar driver as the person who puts fuel in the car on the pit stop. So I asked him if he ever heard of the differential we had. Boy, he lit up when I said that and he said, yes, he knew all about it and he personally knew Vernon Gleasman and said that he was a scientific genius. He then talked excitedly about the Iso and described to me how it worked. I guess I brought up something that was right in his "wheelhouse."
Anyway, my concern was,why was DK hell bent on only concentrating on Nascar and racing in general for the Iso. The differential (if you look at the videos back when they were made) showed that it did just what it was supposed to do.
I remember the day Heinricy blew the Iso apart in a race when he apparently "put the pedal to the medal" and it blew apart. That's when they held the "burial" for the Iso. (can't forget about the genius they hired that had "software" that was going to FIX the Iso!! Of course, he was shown the door after his software wasn't what he professed it was.
Why, when I recall Hyundai for one was interested in the Iso. So why didn't they promote it to the auto industry and the after market. I'm still scratching my head over that. OMG, did they miss the boat over a WATCH that obviously was a pipe dream?

Worse than an inept failure. He ran an automotive engineering company into the ditch over a 'bracelet' idea that was dead before it started. How much time, money and shifted resources did that nightmare consume? On the heels of committing years of effort and a lot of money to one company that had no consequences for walking away from the pump. What kind of 'businessman' does that? Bitter lesson learned about engineers trying to be salesmen and salesmen trying to be engineers.

There are a couple things I don't understand one of which is the revelation that the head of the Cura division quit in Feb. Shouldn't that have been reported? Did his Mom say "enough is enough"?
Also, how is the stock worth anything at this point? Someone with 100,000 shares could still salvage $2,000?
Adios everyone. For the first time in a very long time, I am no longer a stock holder in this company. That message did it for me and i can't watch this thing become a sub-penny stock so I dumped everything I owned. Looking forward to never checking the stock price of this thing ever again.

We just heard from Donnelly and the party is over. I lost too much on this venture. But I did see some humor in their latest filing, which reads "This report contains “forward-looking statements” within the meaning of Section 21E of the Securities Exchange Act of 1934"

In any case if I had received any replies to my emails or phone calls I certainly would have shared any information I gathered with all of you as fellow long-suffering longs... * For long term investors, the new Series C stock heavily dilutes the company but at least it may bring with it accountability, timelines, credibility and commercialization events.
January 2008 Shareholder's Meeting
Management positioned the company's primary technologies as being 'in-play': It's an unusual use of the term given that the technology has now been "in play" for the better part of a year. Ford Motor Company was reported as in negotiations on the company's Fast Tracked Vehicle (FTV - also known as the Full Terrain Vehicle and referred to at this year's Shareholder Meeting as the "Ford Tracked Vehicle"), General Motors has been reported as in negotiations on the use of the Company's IsoTorque Differential across all its models, Lockheed-Martin in negotiation for utilization of up to 1.3 million the company's CV Joints (CVJ) for pending military use in the Joint Light Tactical Vehicle (JLTV), a California Hybrid Bus manufacturer in negotiation to implement the CVJ in the design of their product. See #msg-26492129 for text and powerpoint files as presented to shareholders on January 28th, 2008. A projected transaction with Nissan for Iso-Torque Differentials has still yet to be announced. Lockheed Martin was successfully chosen this month as one of three finalist in contention for the military's JLTV contact. In a recent board survey, 81% of Torvec shareholders believed the company's CV Joint to have been in the Lockheed prototypes. Recent evidence suggests they were not. The company says it can't comment due to non-disclosure agreements with Lockheed.

Developments as of October 2007 led to speculation that the company could be worth in excess of $30 per share but shares have been on a downward trend since January 2007 with the exception of a Dec/Jan blip up due to CEO Update promising the announcement of a "major development" by or at the 2009 Shareholder meeting. That didn't happen. A Jim Gleasman valuation model from April 2008 was posted: #msg-29039800. Valuation in this model is north of $150 per share. Management has been quoted as saying investment will either lead to "the outhouse" or "the penthouse". Throughout much of 2010, the stock has hit new low after new low, bottoming out at $0.30 during the Summer. That may change going forward from October 2010 with the announcement of new management. No new strategic plans have yet been announced.

IsoTorque Differential
New version of their original Torsen differential, currently standard equipment on Lexis, Toyota, Audi, Land Rover, GM and >30 other models. ISO-Torque Differential is less expensive and more efficient (due to many fewer parts) and is much lighter than the original Torsen design. The original Torsen design, the patent on which has expired, was sold in 2003 to Toyoda Machine Works for > $100M. (#msg-8218965). IsoTorque looks to be the first of the company's technologies which will see the light of day.
Hydraulic Pump and Motor
Historically, the problem with hydraulics has been their excessive noise, heat and weight. This made the technology unacceptable for most automobile and light truck use. Torvec's Hydraulic Pump and Motor, Rota-Torque™, has been designed specifically for automotive use and has none of these disadvantages. It is smaller, quieter and lighter than current models (80 lbs vs 360 lbs).
Fast Track Vehicle... Think of the track of a tank attached to the undercarriage of a standard pickup truck. Prototype vehicles incorporates many other TORVEC technologies. Steers with a steering wheel for ease of use and maneuverability. Designed for highway speeds. 17" wide rubber tracks won't leave ruts, making the FTV highway-and-environmentally-friendly. All-terrain vehicle capable of navigation thru sand, mud, snow, rocky terrain, etc. New 2007 patents around track and steer drive mechanisms. The "FTV" acronym has gone from "Fast Tracked Vehicle" to "Full Terrain Vehicle" to "Ford Tracked Vehicle" and now back to "Full Terrain Vehicle". Perhaps it should be called the "Future Tense Vehicle".
Infinitely Variable Transmission (IVT)
Utilizes TORVEC's patented lightweight HYDRAULIC PUMP AND MOTOR assembly. The transmission provides an uninterrupted drive through an infinite number of geared spread ratios allowing ideal torque flow to propel the vehicle while permitting the engine to run at optimum efficiency. Using TORVEC's hydraulics, its transmission is lighter than current transmissions and has far fewer total parts (170 vs 700+). The IVT allows an engine to run at a constant speed rather than having to variate. This results in reduced pollution and improved fuel economy.
Constant Velocity (CV) Joint
Approximately 300 million constant velocity (CV) joints are sold throughout the world every year, comprising a market of over $6 billion. They are primarily used in front-wheel-drive vehicles, sport utility vehicles, and 4x4 light trucks, and are also used in some rear-wheel-drive vehicles. New military applications such as the JLTV could increase demand for this technology. (See #msg-42623601 however!) Torvec's spherical gearing was invented for use in its own pumps and motors. This Torvec CV joint, which uses spherical gears, is interchangeable with existing CV joints, and has lower weight and manufacturing cost than current CV joints. The Torvec CV Joint has world-wide patent protection.
Ice Technology
In June 2007, the company announced a transfer of its ice technology license agreement with Dartmouth College to Ice Engineering, LLC --- a company owned by the original inventor of the technology, Dr. Victor Petrenko. Torvec's gain of $3.5M in the transaction ($300,000 per quarter starting March 2008) is being held up by auditors. A future revenue stream based on commercialization of technology is possible..
