Jim- I contacted IR directly by email a couple of days ago. I wrote directly to IR (Janet Point) per the website:

"Complaints relating to ... auditing matters will be referred to the Chairman of the Audit Committee. ... Other concerns ... will be received and processed by InterDigital's investor relations department."

Also, JP's contact email was given on the April 5, 2004 press release so it seemed this was the appropriate contact for any questions about clarification specific to that release.

I asked about the period of the earned bonuses "beginning April" implies 9 months vs. the period for the $7M charge (full year 2004) and tax gross up, if any, timing, trigger, and inclusion (or not) in the $7M charge.

To date, no answers to my questions.

How long does it usually take IR to respond to simple e-mail questions?

Here is my email.

Dear Sirs,

As a long term shareholder in this company I am very concerned about the latest realignment of compensation structure. The $7 million dollar 2004 expenditure for this plan will hurt the share price and has already caused analysts to reduce 2004 earnings forecast. I do not feel that this is the appropriate time to spend 7% of 2004 revenues on a compensation plan while shareholders have lost 10% of the value of their shares this year.

I am not against compensation plans in the future and hope that this plan will be reconsidered until either after the Nokia arbitration issue is resolved or another major revenue deal is completed.

Jimlur re submitting concerns to directors through new link

I do plan on sending an email to the new link provided for communications with IDCC's Board of Directors. However, a lot of my concerns deal with Campagna's compensation, Campagna's continued participation on the Compensation Committee, and the issue of excessive compensation at IDCC of insiders, including directors, officers, executives, and top management. According to IDCC's website notice who will be receiving the concerns and questions, which they refer to interchangeably as "complaints":

"Complaints relating to InterDigital accounting, internal accounting controls or auditing matters will be referred to the Chairman of the Audit Committee.

Other concerns will be referred to the Chairman of InterDigital's Board of Directors and will be received and processed by InterDigital's investor relations department."

I have sent emails to board chairman Campagna and IDCC's other directors in the past without ever receiving any response from them. Why do you think they will respond to me this time, especially if only Campagna sees the concerns and not the other directors?

I'm not sure if this new link is a mechanism for two-way communication either. It may be a mechanism for a shareholder to voice concerns/complaints to either Campagna or Roath, who is Chairman of the Audit Committee, but I doubt that they will answer any questions. Therefore I seriously doubt that we "will bring back some good answers" as you anticipate happening. I also doubt that Campagna or Roath will share these concerns/complaints with all the other members of IDCC's Board of Directors.
