I was curious about the Georgia thing too. Why Georgia. The secret control person being from Georgia would explain why a suit was filed in Georgia.

As you pointed out Adam S Tracy has had dealings with Scott Sand in the past and Sand would be a link to Georgia so that is certainly one theory that Sand might be the secret control person. We know he can't be a disclosed control person because of his past issues with the SEC

I do know that Sonant Communications Inc was linked to another shell that attempted to go public in 2010 named Network Partners Inc

After getting its S-1 made effective, Network Partners Inc changed its name to Sonant Systems Inc. It never got a trading symbol though.

The president of Network Partners Inc was Pino G Baldassarre (aka Giuseppe Pino Baldassarre)

The biggest shareholder when Network Partners Inc filed its S-1 in 2010 was Sara Buzzie Stockdale

Sara Buzzie Stockdale is the wife of Malcolm Stockdale who was Indicted in 2011 along with Giuseppe Pino Baldassarre for a pump&dump scheme they ran on Dolphin Digital Media Inc (DPDM) which included illegal kickbacks

Giuseppe Pino Baldassarre resigned from his position of president of Network Partners Inc in October of 2011 saying he decided to travel to UK for other business. He was replaced by Sara Buzzie Stockdale.

Mr. Baldassarre didn't make it to the UK though. The FBI arrested him in Florida on December 7, 2011.

In January of 2012, Sara Stockdale resigned and sold her shares to Enzo Taddei. Enzo Taddei was and still is an executive officer of Global Equity International Inc (GEQU)

Around this same time the S-1 was withdrawn even though it had already been made effective.

Malcolm's co-Defendants each got sentenced to 1 year and 1 day in prison by the time that Malcolm Stockdale who had been hiding out in Mexico agreed to surrender to the FBI. Upon surrender he waived his bond instead staying in jail while the proceedings took place. By the time he was sentenced in 2014 he had accumulated more than 6 months of jail time. After considering his age at the time (68 years old), the judge agreed to give him time served for pleading guilty.

Its an interesting story, but the case took place in New York and Malcolm Stockholm was not from Georgia so I don't see any Georgia connection.

Enzo Taddei changed the name of Network Partners Inc to Sonant Systems, Inc in September of 2014. In November of 2014 some assets were bought (an agreement that was later cancelled) from Chad Steinhart who was the president of a company called Sonant Communications Inc which would end up hiring Adam S Tracy to take the entity public a few months later.


When Sonant Communications Inc filed to go public it disclosed that the following shares were sold:

On May 13, 2015, the Company issued a total of 25,000,000 shares of common stock to 4 shareholders at a price of $0.0001 per share, for $400 cash from our director Chad Steinhart, and $2,100 in services: (a) $1,776 in value received from our director Chad Steinhart; (b) $124 in value received from Virtual Force Holdings, Inc; (c) $100 in value received from our Chief Financial Officer Colm King; and (d) $100 in value from our Chief Executive Officer Daniel Lancer

$124 in value received from Virtual Force Holdings, Inc as consideration for 1,240,000 shares.

Virtual Force Holdings, Inc. received their shares in exchange for telecommunications consulting services provided to the Company as an independent contractor. Virtual Force Holdings’ managing member, Bret Steinhart, is the brother of the Company’s chairman, Chad Steinhart.



Virutal Force Holding Inc is actually Virtual Force Holdings LLC which is a Florida business entity controlled by Bret Steinhart who is the brother of Chad Steinhart

If you read the initial S-1 filing it says Bret Steinhart is the Chairman of Sonant Communications Inc

Anyways, that's all just rambling. Doesn't really get us any closer to knowing who the secret control person was (assuming that is the case) or explain why the case was brought in Georgia.
