It would be interesting if a relationship could be rekindled, but it was going to be expensive to begin with for rshn/grps, likely because the water rights are legit.
I had pressed the rshn/grps management about removing the 12.5% assets from the financials. They finally did, and provided the revised accounting to show it. It was not an accurate reflection of asset value since the deal never commenced. Since they did remove the assets from the balance sheet, that could have been a logical reason for the falling share price of rshn/grps to more closely match asset value. While its a little downside for rshn/grps investors, the financials are now accurate. I'd rather have a temporary decline in pps than be still connected to this dark and defunct company that doesn't update its shareholders.

I communicated with the company via e-mail the other day. Randy responded and confirmed that the financials were being posted yesterday, which they were. He acknowledged that the RSHN SOS filing due by 11/30 will not be missed.
...and thirdly, he acknowledged the discrepancy in the grps shares, and he is hoping to have it resolved by Friday.

GRPS and RSHN each have a 2nd late notice filed this morning on OTC. It looks like they tried to correct the late notice, as it should have been posted on the 14th, with a planned date of the 19th, not 20th.
On RSHN, one of the late notices is dated 11/14 (the anticipated date should be the 19th). Then there there is the first one we saw dated 11/15.
On GRPS, there are two late notices, but both with a posted date of 11/15.
Someone is having a hard time doing the paperwork and OTC uploading.
The end of the quarter was 9/30.
45 days after that is 11/14. 5 Days after that is 11/19.
The quarterly date is not precisely on the 15th every quarter. The calendar needs to be checked.
If GRPS and RSHN don't file by midnight tomorrow, GRPS will stay yield, and RSHN will go yield. The same thing happened last month. RSHN is lucky it hasnt been yielded as of last month.
I love these stocks, but management needs to be on point with this stuff to be taken seriously.

Previous Quarter Ended 6/30/19.
45 Days after that is 8/14.
They filed a late notice on 8/14/19, but then filed on the 20th, which is 6 days after, not 5. Hence it was late when they filed 8/20, hence yield sign. (IMO)
Then, end of the most recent quarter is 9/30/19. 45 days after that is the 11/14/19. Although the document is dated the 14th, it was filed the 15th. Even though its dated the 14th, it says it is expected to be filed on the 20th. That would be late. They should be filed by the 19th!

Certainly feel duped here, like others have said. I bought on the anti-addiction connection with JVs, Felder buying shares, and the low float and share structure (at the time). Talk about a duping and throwing money away. It is only my fault though for the bad timing.
Think of it this way though as a holder of the others ....The JV company mentioned in PRs and the website how it wants "participating companies" to benefit from the existing shareholder base (of rshn/grps).
Well, Goulding should maybe make sure any already public companies that want to come in and "participate" have their ducks in a row before putting another participating company in front of shareholders to consider investing in. Not that this is Goulding's fault either, but if you're going to employ that type of business plan, perhaps some more DD should have been done before partnering with BIEI.

We should go Pink Current sometime soon after the quarterly (assuming its satisfactory to OTC - they posted the last quarterly report 4 times without any explanation, and based on my review, they couldn't seem to get the share count right, but hopefully it resolves itself this quarterly)
Based on the tweet 10/9/19, it is possible that we could hear some news by the end of the month.

1) Quarterly report for grps and rshn by Thursday (would be nice to something new, but not expected)
2) Pink current for grps (usually within a few days after)
3) PR around or after 11/20 with update (especially if any word on funding)
Quarterly report is due by Thursday 11/14
(within 45 days after the 9/30 quarter ended)
That should be followed with going pink current.
That could also possibly be followed by any word on government funding initiatives, which has been rumored to be "mid-november" due to the appropriations extension (see link)
This could be the beginning of the vision coming to fruition.

Right on! It doesn't take a rocket scientist to see who is short. One can view a posters latest posts and see the pattern. Posts on the sister company ramped up to 10-20 per month all negative starting in November 2018 when it was up.
The only reason I can see being negative here is perhaps, like me, he/she got suckered into BIEI with the connecting news and then diluted, but I bought a little more lower, and now just bag holding until news, but being in the other one, its clear what is going on here - a coordinated short attack.

Nice to see the volume happening on POTN today. Hoping this stock recovers going into 2020. Long way to go to what I bought at, but luckily I only have a small batch.
USDA just posted its hemp regulations, which means 2020 is the first year for commercial cultivation, processing, etc, under federal regulation.
Imminent CBD guidance is due from FDA as lawmakers urge action. With POTNs name being so public with the warning letters, it makes sense that they are flying under the radar until guidance is issued.
Things are still just getting started in the hemp/cbd arena. Perfect time to leave behind the manipulators and prosecute the fraudsters as we move toward 2020.

Nice to check in on my GRPS after not looking all day and seeing the nice close and 11m volume. Would be nice get an update Monday to get things moving forward. There are tons of things that management can update on. I wish they would just fire away and say or nay to all the things they were working on, so they can move forward with a strategy that’s attainable and is clear for investors.

The articles being posted on Ms allen are from 7 years ago. She is obviously not currently incarcerated, was proven innocent, or served her sentence/punishment (if guilty). Shady, yes, but the articles are not current.
Another interesting speculation that I was just discussing with another shareholder was that HHS investment on the financials. Perhaps it means BIEI's Hemp Health Station rather than Health & Human Services.
There was some distribution lately with the added shares, however starting on the 8th, accumulation is now effect with a big jump up. We have been following this indicator on the JV partner, as it has only gone up since last year (despite declining price). We'll see what happens here.
Maybe Hartman is confident with the prospects of the AApatch that he can pay back that $150k no problem by late next year.
Might be a little quiet though until mid-November when 3rd quarter is due and appropriations is finalized (for 2020 gov grants, funding, etc)

Look at all the tiny little 10k trades in the .004 range (around $42 per trade) to keep this in place.
Typical sporadic price action here up 22% down 22%. MMs taking advantage of the lack of updates. Just holding through this BS. If we dip to trips probably will add another 500k-1m. If I don’t get any more, we’ll that's ok, my 1.1m shares already in hand will be plenty fine in a few years time. Go GRPS and team !
Quite possibly because the outstanding shares is different in 3 separate locations throughout the quarterly report, and the current name of the company is incorrect in one location where it is describes the name change, although it is correct at the top. Until they file a name change back to Gold River with the state, it’s stil XYZ Hemp.
I’m sure it’s all a ploy to keep everyone guessing, but holding strong GRPs !

Holding strong GRPS and the other one too
I am a big believer in GRPS, but why can't they get the OS correct on the quarterly report. There are 3 contradicting numbers for the outstanding shares on page 4, page 5, and note 3 of the financials. Which is it?
Does anyone know the precise reason for the 4 uploads?
Also, who is the correct accountant? Is it JD Patterson or Ryan Goulding? It says both in the report.

In September 2018, the Company entered into an agreement to acquire 100% of Western Colorado Farming Initiatives, LLC, a Colorado limited liability company (WCFI) for a combination of stock and cash. Company stock sufficient to complete the acquisition is held by the Law Firm handling that transaction; and the cash portion of that transaction has been substantially raised through 3rd party capital sources—also in exchange for equity in the Company. The calculation for closing the cash portion of the acquisition is, in part, subject to final accounting for the 2018 Fall Harvest. The Fall Harvest has thus far yielded in excess of 21,000 pounds of kief ad resulted in hundreds of kilograms of broad-spectrum, winterized and decarboxylated crude oil and refined CBD distillate having been produced. That yeild was obviously for WCFI, as the deal was never closed.
Not eventually closing that deal by year end 2018 was a setback, imo for GRPS/RSHN (thru wsrc). But this is where GRPS changed their plan.

The Company entered into a tentative agreement to terminate the August 1, 2018 agreement for the acquisition of a 12½% interest in a 15-acre cannabis farming, harvesting, processing, extraction and product infusion operation in Colorado, and 12½% interest in certain water rights, independently appraised at $40,500,000. Instead, the Company feels that it is in its best interest and the best interest of its shareholders to instead pursue and use its resources to acquire a somewhat similar but much more robust set of rights in connection with a plan involving many more acres and a much larger aquifer. This replacement endeavor (aka $400 million grant initiative) is with the Company’s subsidiary, New Earth Development Corporation. The principal focus of New Earth Development Corporation, by contrast, is hemp farming, for the production of biomass, including the production of graphene through hemp cultivation and processing. Graphene is superconductive, extremely lightweight and the hardest substance known to mankind. It is a rare earth, currently only available by mining efforts. This new/substitute venture seeks to develop High Performance Active Carbon materials, high-strength, reinforced carbon fiber and bio resin plastic, including as a
bio-carbon neutral fuel source. The Company intends to do so while partnering with Manchester University, Harper International and the US Department of Energy. The facility is in Arizona with 500,000 acres available for growing. It also includes 2,000,000,000,000 gallons of water available for farming and processing of hemp, as well as for sale to third parties.
In addition to that, instead of both grps and rshn investing $6.25 million for 12.5% interest in 12.5 acre extraction facility, they have New Earth Development (Owned by grps) and both GRPS and RSHN have about $4,750 into New Earth as their starting equity interest. It could be more now because GRPS has sinced grouped their balance sheet item for "investments in joint venture".
GRPS & RSHN will have no issues getting CBD oil through Theramu or other sources if they can get some money raised with the 1-A Offering that is expected anytime.

GRPS's OTC description includes that it will be working jointly with RSHN.

No doubt about it, I do focus on my RSHN investment individually, and my GRPS investment individually. The ownership/equity percentages of the various investments by each company are different. And each company has its own subsidiaries with the others having some sort of equity position. In the case of Leganja and marakata acquisitions, certain net income percentages will go to each. When forecast numbers come out for the various entities, we'll be able to see how it will all work with revenue)
For example, I like to remind the rshn board that GRPS owns new earth, and rshn is only getting a small revenue portion. GRPS will be the one to benefit most should a grant be received for the graphene (at least you would think).
This description from the PRs tells me that my investment in GRPS is going to be closely aligned with RSHN.
About the joint venture between Gold River Productions Inc. and RushNet, Inc.:
This joint venture is a unique effort to secure all areas of cannabis production (including hemp) from cultivation and manufacturing to distribution and retail, with an emphasis on unique products and high-quality CBD. RushNet is more focused on product development, particularly edibles and beverages while Gold River Productions addresses the more scientific elements of these pursuits, using formulations found only in the formation of high-quality nutraceuticals. Together, they are able to facilitate the vertical integration envisioned. Both are acquiring and joint venturing with companies in all aspects of the cannabis field as they jointly pursue a fully integrated cannabis and hemp business model.
I am just an average person with a lot of interest in these companies (over a million here). I just find it odd some are against the mingled discussion where there just has been absolutely not one instance of a lone GRPS PR.

While checking out the website for investment partner holdings (RSHNs subsidiary), I noticed the map that it has on the page shows its location at Cagney Lane in Newport Beach, CA. For quite some time, I know we were trying to figure out that address (which was on the late notification filings). Now we have a little connection on that aspect.

I just checked the OTC pink guidelines again. It says the attorney letter must be uploaded within 120 days of the fiscal year end. 120 days after 12/31/2018 is 4/30/19.
The company uploaded the attorney letter on 4/30 (dated 4/26), which would be considered on time and confirming all the prior year documents.
Then the company uploaded an identical attorney letter 5/3/19 (dated 5/1/19), which probably made it confusing to the OTC.
It is plausible that it was from the attorney letter, but since the yield was activated after the most recent day-late quarterlies, its my hunch that it is more likely it is due to that. Maybe the OTC thinks it is both the attorney letter and the late financials that are the problem.
Either way, I totally agree with you BigNex, the company needs to be more accountable to maintain these simple filings.

I am not sure what that exact reason for the yield sign is. (Usually we don't have much trouble in figuring out the reason, but I believe it is due to the being 1 day late in their latest quarterly.) While it has been corrected more quickly in the past, its just a gut feeling/opinion that in this case, the OTC has placed it on for a set amount of time, such as 30 days.
I saw this link recently. While none of the affiliated companies are listed here, the OTC is probably not playing around.
