Acreage Holdings Acquires Nature's Way Nursery of Miami, Inc.

NEW YORK, Jan. 4, 2019 /PRNewswire/ -- Acreage Holdings, Inc. ("Acreage") (CSE: ACRG.U) announced it has closed the acquisition of Florida-based Nature's Way Nursery of Miami, Inc. ("Nature's Way"). Nature's Way was awarded a vertically integrated operating license last summer and will operate the business as Green Owl Pharms, the name under which it was awarded the operating license.
The previously disclosed transaction paves the way for Acreage to bring cannabis products to Florida residents throughout the state. As of December 28, 2018, there were more than 209,000 total cannabis patients in Florida according to the Florida Department of Health Office of Medical Marijuana Use.
"The combination of policy and demographics in Florida makes it one of the largest growth cannabis markets in the U.S. and we could not be more pleased to close this deal," said Kevin Murphy, Founder, Chairman, and Chief Executive Officer of Acreage. With the fourth largest population in the U.S., Florida is expected to quickly become the fifth largest cannabis market with an estimated $1.1 billion in retail cannabis sales by 2022, according to Arcview Market Research.
Terms of the Transaction
Acreage paid the shareholders of Nature's Way $67 million plus assumption of certain transaction expenses of the sellers, with $63 million payable in cash, of which $10 million had previously been escrowed in November at the time the parties signed the definitive transaction agreement. The remaining $4 million in consideration will be paid in units of a subsidiary of Acreage, High Street Capital Partners, LLC. The units are exchangeable for Subordinate Voting Shares of Acreage at the election of the holder.
Nature's Way holds a vertically integrated operating license to operate a cultivation and processing facility as well as up to 30 medical cannabis dispensaries, which Acreage anticipates will carry The Botanist retail banner and soon-to-launch cannabis products. Acreage anticipates that it will invest significant financial capital throughout Florida to build out its cultivation and retail operations.

Looks like competition is heating up quickly as acreage has now got their chubby little hands in our pie now. I was hoping we could keep them at bay for a bit. Ianthus needs to start getting more dispensaries locked down in all the key spots a lot quicker. They have the money time to put it to work faster. Thats because diamond cbd is made by a joke of a company potnetworks run out of some shmucks garage in Florida. Laughable at best, but bad press for all the legit companies. These are the companies that the fda will eradicate in due time.
Honest advice? Stop watching and get in the game! There is no question of legitimacy here, this company is best in show on what looks to be a humongous sector appearing out of thin air. The good thing for you is that it has been beat down with all the mj sector to still offer investors a great buy in price for an awesome future. Yes, I think most Ianthus stock holders have some mpx in their portfolios since we all know the dispensaries will all be giant cash registers. I am voting for the merger and think its a no brainer. Two very promising companies coming together to form a nationwide syndicate compromised of alot of good companies captained by stellar management.
Mpx has executed well over the last year, but with the share structure and lack of pps movement in a very cash intensive business its imperative that they have gotten in bed with Ianthus, who are the masters of finance. Its a win win situation and by the end of this year Ianthus pps should easily be a double or triple, plus you get some free Mpx international shares!
At this point it really doesn't matter if he's doing lines off hookers in Vegas, pps was in the gutter way before that came to light. The only thing that matters is execution, execution, and keeping a little ductape over Mr. Dollingers mouth-"loose lips, sink ships". You can't tell the market your going to have so many sku's and then not come close, sign deals only to lose the deals(whether its beyond their control or not). They also don't need to be chasing rabbits down hole, ie cafes?
We already have all the necessary tools to dominate the online portion of a massive startup industry. If they want to be the Amazon of weed, then do just that! Hire some smart people, execute, and truly become the everything cannabis store that we all bought into. Its imperative that we take advantage of our first mover advantage as the landscape continues to evolve rapidly around us. All they need to do is concentrate all their efforts to Dominate the online cannabis space and we will all be wealthy in the long run!
Its an extremely trying time for many investors that bought from $1-2.50 range because most of us bought a shittone and its frustrating to see that much red on a ticker that had the most potential in the sector. Most of us are I'm sure debating do you buy more and average way down, or is it just throwing good money after bad? It sucks to be in this position of doubt and we all know the market hates uncertainty...Most of us in this sector obviously are ok with risk so I bet most will roll up some more change and buy more.lol

The good to take away from this is that we have already been in communication with the FDA as per Dowling's statement earlier in the year that they were in talks with the FDA regarding fast tracking the 007 drug. Add that with the GRAS certification and I think that puts us at the front of the line so to speak. Either way everything in this sector is going to take some time to play out to our desired results, but it will happen.
I also see the FDA taking a stance and enforcing law as a good thing because there is way too much crappy cbd products out there right now and hopefully they start cracking down to remove all the junk from the shelves which confuses consumers.
Dunno, its hard to say with all the extraneous factors putting pressure on the market in general not just the mj sector which has been in free fall for weeks. You can feel the negative sentiments in the market growing daily and people spook so easily nowadays.
Part of me thinks this is a gift from the gods, but we keep getting screwed week in and week out by factors beyond companies controls. Look at the farm bill which is absolutely huge and was completely overshadowed by a measly 2,000 troops being pulled out of Syria, and some stupid wall being built on Mexico border...Really cmon?
