I believe as stated here; [the announcement of the Angelo's Burgers installation was subsequent to RoboServer announcing its first agreement with a Dairy Queen franchisee for the pilot program installation of its revolutionary Self-Serve Machine. Management feels the Angelo's Burgers installation, as well as the Dairy Queen pilot agreement, is indicative of the strong demand for self-serve technologies throughout the restaurant industry].
From May 22nd 10q [RBSY has installed two pilot RoboServer self-serve units in two (2) different fast-food franchisees, with the first installation at Angelo's Burgers in Encinitas, CA and the second installation at Dairy Queen in Oceanside, CA. The Angelo's Burgers installation was completed in the fall of 2005, and the Dairy Queen in the spring of 2006. RBSY continues to receive numerous inquiries from some of the leading fast-food chains for the RBSY self-serve kiosks].
In my opinion following a logical conclusion here, we should expect more announcement regarding above franchisee interest. Who knows, maybe Dairy Queen decided to install them in all their restaurants. Maybe Burger King to follow then Mc's...
Seems a stong demand sometime soon wouldn't you think if this takes off. 75% of those polled between the ages of 18 and 24 said they'd love to see something like this.

suomynona, interesting read, and as I have said, they mention nothing about "shareholder" or "shareholder interest". They don't even mention shareholder as a term, thus the idea that this is between the two entities. Could shareholders be left out completely if an insider is shorting and has been? Absolutely. But, if that's the case, why would they even announce a PR, let along two?
That's my next question, and that is if they are accomplishing this under the radar screen because of misdeads, why would they even announce a PR?

Grifco & Lyamec announce to shareholders that the agreed upon purchase price of Global Tools, $2.25 Per Share, will be paid to all SHAREHOLDERS within the upcoming weeks.
One thing for sure, and that is if JD wants to burn the shorts here, the next PR needs to include the word... oh, may I say it? Shareholder... duh!
This should be the heading guys, nothing less, and maybe a few tidbits more. They key word, in which neither company mentioned in the last two releases is SHAREHOLDER.
How selfish of them to protect their assets, curb a takeover, but leave the shareholders out of the release.

One of the problems was with any PR, is the attorney's. Attorney's spell "confusion", and I'll bet JD had other plans.
Since there's a buyout at $2.25, I would have hoped, GFCI-JD would have at least inserted this:
PR stated:

Why not:
Grifco announced today that it has reached an agreement with Lyamec on the $2.25 proposed offering of Global Tools to an [american, british, libyan, --- company]. No they don't need to mention the company, but why not the area, and to say specifically...... Global Tools.
Yes I understand it's Global Tools, but we'll see how many others don't. I suspect it will be quite a few investors still scratching their heads!

Strongus; like most buyouts, it never reaches it's peak, so I wonder if there's a way [outside the open market]? The full $2.25 worth?

I think I'll pitch in and say that news is to follow current PR before the open on Monday, [the company who is buying] and it will close above $2.10 for the day.

Key word here is "move on the offer".
"We look forward to receiving fully executed documents in the upcoming days, and look forward to move to closing."

I watch "activities" on Ameritrade, open it up each day and watch the action on BB stocks. I put it on each-minute trade, so I can tell who's doing what. When GFCI popped, it went from a few trades within a minute.... to about 30 or so. That was when the PR came out about a possible merger and buyout. Of course like any buying opportunity, I bought sparringly at first, and over a 3 week period.
Is this real or is this memorex?

That doesn't matter, patents can be sold or licensed to other companies for very little up front. Could be penny's or dollars on each part sold in the future. So lets say the patent tool sells 1 million copies, the original patent holder may get .10cents per million and so on....
Its not that big of deal! It's a contract that is good as long as the patent is inforced and watched over, anything short of 20 years.

Absolutely confidential, but a patent-pending is only good for one year, then you file again. If someone doesn't file again, can you tell? Usually not. That way unless someone really wants to file a competitive patent-pending, and their very serious about it, most wont' go there, and you'll never know when the patent-pending date stops.
Just wanted to clear that up, don't know what else your discussing... so sorry if I stepped in.

Who's to say.... many times a patent has 3 or more owners. Someone who did the utility, design, etc... Someone may have their name on the patent, but sometmes he's the focused owner and not sole proprietor.
If I had a 30 inch pipe say 4 inches in dia., and it had 23 gizmos, dohickys and watchamacallits, it's one tool with 23 patents. In tooling I'm lost when describing what I see, but that's the just of it.
Some of those design patents could be monsterious in detail as in hundreds of pages per patent.

IF there were 25 similar patents within the framework of one unit, you'll never find the 24 other patents, it doesn't work that way. I've spent quite a bit of time patent-pending, research, and there are many patents within a patent that never show up on any site. If they have 25 patents, it's more than likely many of those are within the same tool, items, etc...

A buyout came on the 27th of July, news announced at 8 a.m.
With an hour and a half until market open, what would happen if the stock's at .11cents?
Let's also say before we answer this that we realize GFCI is 24million shares short, and we've know this before the 27th PR of a buyout at say $1.50.
With 13 million shares left on the float, how many shares do you think it will take to get to $1.50 before the open? Or do you think it would make it to a $1.50 on 13million shares before the open?
Here's the thing...
Even if there was a short, and on less than probably 8 to 10 million shares [or maybe less] we would reach the $1.50 mark, and... the shortage of shares wouldn't matter. Once trading is done that day, what happens to the shorts? Everyone pays except those who own GFCI and the company doing the buyout. So I don't see [at least for this purpose of a buyout in this type of scenario], why the shortage of shares would be that big of deal. Would it cancel or stop xyz company from buying or GFCI merging into another company at the point of pen-to-paper? Nada! It'll all come out on the wash.
JD has one option in my opinion, clean up the shell --- then merge into the best offer and best opportunity for all shareholders.
