What is going on? I thought we've been here already and we should be off from this low price for no reason. Is this the way Hee Corp. pays for a new acquisition!?
New update about HEE
3.2 March 4 Update
We have been working very hard setting our roadmap in place. I want to take this occasion to answer many of the questions regarding our March 4th PR.
We are not giving up on our current business plan of wellness centers or doctor distribution, they continue just as they have prior to my joining the company, we have simply added new dimensions and new sources of revenue to our mix. The original plan is not a failure and it will in fact be successful for us in the meanwhile, but rather than waiting for this system to take shape, we have added another source which we expect will bring revenues from these new channels, more quickly.
As mentioned elsewhere, the fact that we have a great product, which truly works, is not enough. Many great products have ended up in mothballs because the management and marketing was not up to the task. Here at HEE, I believe we are up to the task and that we will succeed.
You will begin to see the major marketing of our product just as soon as the site is up and running and not before. Can we get the press and media attention we need? Without a doubt.
I believe that once we are ready for the attention, we will have it. Already, various television shows and other media, who want to talk to us about our product, meet some of the people who are on HPB84 and see what we are all about, are hounding us. I have been involved with many such campaigns over the years and as one diabetes specialist told me, this is a small dunk.
Short term, say a month from today, I see things as being very good for HEE and our shareholders.
Of course paid advertising is also part of the campaign and no, we wont be sending out spam emails pumping our product the way some diet pills seem to be sold.
And yes, you will soon see our product available on other web sites. I fully expect that websites will spring up selling our product on an agency basis and sites, which currently market and sell medicines and drugs on line, could also add our product to the mix.
The new site is under construction, I am told 10 to 14 business days before it is up and running. It will be a safe and secure e-commerce site with more data than we currently have on our product, its ingredients and is history.
Things are really coming together for us all.

3.0 General Update Feb. 17, 2005
Shareholders,
The last couple of days have been a flurry of happenings. Completing the 2-11 kept both our president Radley and our legal eagle Wayne, very busy. And left me feeling like an expectant father. Although I had nothing to do with all the fact gathering and form filling, I was there to push them along and I remained there until I saw it posted on PinkSheets.
As mentioned above, I have sent an email letter to all those who expressed an interest in the Advisory Board, they have a few days to respond and in the end we will both have a five person board.
Truth and lies has been filling my email basket. People write that it is a shame that those before me told what so many call, blatant lies, if that was the case, I agree. But in the end, it was simply poor communications and a great deal of misinformation. I am not trying to say they weren’t wrong, they were. No such thing as a white lie or talking in gray area. For me, it is either true or it is not, no middle ground.
All my staff has embraced this way of thinking, especially Darci Brooks, who constantly answers the IR phone and email machine. But we are all human, and sometimes we make mistakes and if you feel you have had misinformation since I came on board, please, let me know. I will investigate and get to the source of the information making sure it does not happen again.
Those of you who have been in touch with me since my start are aware of the fact that I was going to make it my responsibility to clean house, good or bad, I was going to report it and correct it. I have continued to do so.
Today, some of you have asked me to spin a good PR in order to put a good turn to our stock, to them I say, NO WAY. We have plenty to be happy for here at HEE Corp. most importantly, we have a product, which works. All those who are taking it and have spoken to me are amazed with the results and that my friend is what this company is all about.
The marketing machine will crank up soon, not because of you or me and not because of PR spins, it will because we have a wonderful product and each person who takes it sings our praises. Right now, PRN together with our own Dr. Lawton have a nine person pilot project in the works (one more to be added). Each of these people, I am sure, will be satisfied and the word continues to get out.
Like I said originally, we are all in this for the long haul, both the product and us. We have, what I believe, is the most wonderful product for Diabetes and as more people hear about it, the word will spread.
Another concern is about people calling the Wellness Center and PRN asking IR questions, please do not do this. Doctors, nurses and medical professionals man the Wellness Center; they are not there for answering your IR questions. For IR, please contact Darci.
Finally, as I complete my first month with HEE, I remain committed to its success and firm in my belief that we have a real winner here.

2.8 General Update, Feb. 10, 2005
I have just returned from a week at our offices in Kansas and the Wellness Center where I spent time with Dr. Lawton.
From the offices, I was very pleased to see the change in mood from my staff. The directions we discussed were very positive, as is the mood of all my staff. Which, by the way, there are 8 of us at HEE. The general excitement is knowing who HEE is and where we are going. Our goals are clear now, the roadmap is set and each of us at HEE know our part. Rolling it out will be a challenge, as is any plan, but we are determined to make it happen.
As excited as I am about the plan, my staff are even more eager to see it succeed, not just for those in the office, but for all of our shareholders.
While I was in Kansas, we had quite a storm, about 3 inches of snow. For me, a Los Angeles city dweller, the snow was more than I expected especially since United Airlines lost my luggage! But the warmth of the HEE staff made it all worthwhile. I expect to be able to share the entire plan next week for all to see. It is a plan which will include but not be limited to: our relationship with wellness centers, how we will distribute our product, how we will market our product and how our product will reach the consumer.
The last press release had a word in it which a few have asked me about, that was in the following sentance, "which is now becoming available for administration" to me, this means that we will be making our product available, through doctors, wellness centers and other such MD's, to the public. Sometimes the way I think and speak is not as clear as it could be. I will try to be more careful in the future with my words.
Again, I thank all of you for your support, we are working hard to turn this company into a world-class operation. It will not happen overnight, but it is happening and will continue.
Keep those emails coming, I read them, respond to many and appreciate all.

I was told by someone from the company just yesterday that the number of o/s is only 300mil. shares. Two months ago they told me 200mil.shares. No wonder the stock is so volatile and it is trading with such a volume and huge spread between bid and ask. How many more unaccounted shares are still up there!?
New SEC rule takes aim at "naked" short-sellers

NEW YORK, Feb 1 (Reuters) - Billy Robinson fielded several shareholder complaints late last year that short-sellers were abusing his company's stock.
But ever since Robinson's holding company, Proxity Inc. (PRXT.PK: Quote, Profile, Research) , was placed on a list aimed at thwarting such abuse, the complaints have dwindled. Trading volume of Proxity's penny stock has gone back to normal, he said.
"I've seen short-sellers drive a lot of small companies out of business," Robinson said. "I'm hoping this can protect us from the big bad guys."
The St. Petersburg, Florida-based Proxity is among hundreds of companies placed on a "Threshold Securities" list, which stock exchanges started issuing on Jan. 7.
The U.S. Securities and Exchange Commission now mandates the daily lists in an effort to crack down on a shady practice known as "naked" short-selling.
The move is part of the SEC's broader effort, called Regulation SHO, to reform the rules governing short-selling.
Short sellers profit when a stock falls by selling borrowed shares of a company and buying the shares back later at a lower price for return to the lender -- and pocketing the price difference.
"Naked" short selling happens when a person sells short a stock he hasn't borrowed, which can result in what's known as a "fail to deliver" after the settlement date.
In that scenario, the broker who executes the sale never receives the borrowed shares to deliver them to the buyer. These unsettled trades are often overlooked by brokerage houses. But the impact can be devastating to a small company because "naked" short-selling can cause its stock price to plunge.
HIGH THRESHOLD
The "Threshold List" identifies stocks with aggregate "fails to deliver" of at least 10,000 shares for five consecutive days, or "fails" that constitute 0.5 percent or more of the company's outstanding stock.
If a "fail" in a threshold security remains open for 13 consecutive settlement days, the broker responsible for the transaction must purchase the shares, according to Regulation SHO.
In addition, Regulation SHO says broker-dealers must locate securities available for borrowing before executing a short sale.
Therefore, placing a bearish bet on a threshold stock may be more difficult and more expensive for short sellers.
Securities experts say it is too early to assess the impact of the list.
Beginning in early January, the New York Stock Exchange, the Nasdaq, the American Stock Exchange, the Chicago Mercantile Exchange and Archipelago began issuing the daily lists.
While the lists are dominated by mostly small-capitalization companies, the names of some bigger and better-known companies such as stun gun maker Taser International Inc. (TASR.O: Quote, Profile, Research) , egg producer Cal-Maine Foods Inc. (CALM.O: Quote, Profile, Research) , and supermarket chain Winn-Dixie Stores Inc. (WIN.N: Quote, Profile, Research) also appeared.
Dozens of small companies, including diabetic treatment company HEE Corp. (HCCF.PK: Quote, Profile, Research) and wireless phone company Hop-on.com, Inc. (HPON.PK: Quote, Profile, Research) , have issued press releases saying they were pleased to be put on the list, citing concerns about naked short-sellers.
"Our inclusion on the Threshold Security List verifies what we have believed for some time now -- that trading in our company's stock has suffered from abusive short-selling practices," Hop-on Chief Executive Dan Gannon said in a Jan. 11 statement.

I spent almost an hour talking to Darci Brooks today. She was open and straightforward and tried to answer every single question I had for her. First at all she was unaware about Melon's PR and denied US$200K deal although she admited share compensation agreement. The company tries to repair demage done by this PR and questionable relationship with Melon Resarch. She confirmed that there is 300mil. os and 45mil. + in float. The company has no plans whatsoever to issue more shares or make r/s. They own the product with all the rights for marketing and distribution. As we speak there are 20 patiants in total who undergo different forms of testing. The results are positive, some people even want to volunteer and pay for the product right now. The product should be availble on market this coming summer, the latest. This is sort of family business; the product was discovered by Ron Brooks and company is run by Darci's husband Ridley Brooks. They inherited this company in the state it is right now, so there are unaware of every single wrongdoing of previous boss. But they will do everything possible to turn this company around. "We are honest people and we do care about investors" she said at the end of our conversation.
Yes, it is frustrating!!!
On the one hand we are talking about revolutionary product, real revenue coming, company being optimistic and buying back its own shares. So, every possible signal for the stock to trade higher. On the other hand, stock is falling down, even after positive P/R, as it has no value whatsoever. I talked to company again. They want to straight out the naked shorting issue by the end of this month - at the very latest. They are still very optimistic about the product and the prospects for the future. After all, belive it or not, they invest in the very same stock we invest. If we are losing money, they lose as well!!
I talked to Investors Relation again.
No changes, they still working to stop this stupid short selling. As I was informed the former CEO has nothing to do with it. More good P/R to come really soon!!!

No worries, you will see your money back + prifit. The last three trading days were like an episode of 'fear factor', so those who hold their stock, will be awarded later on.
Some info from the company
Ok, I talked to Kathy from Investor Relations and she was confident about the company and the product. As far as the HCCF stock doing, she said it is shorted by two MM. She sounds positive in stock price turnaround telling me that company is buying its own shares on the open market. We should also expect several new P/Rs next week with positive news from the company. Now, the real number of outstanding shares is 200mil.(not 72mil. as it is stated on Pink Sheets page) with 41mil. shares in float.
This stock was trading at$1 level four months ago and it is on steady decline since then. I just wondering about the last three trading sesions - a drop of 50% or so on heavy volume over 50mil. shares. What's really going on!??

AFRC is incorporated in Nevada. Anybody interested should file complaint against AFRC to Nevada Secretary of State Securities Division - phone (702) 486-2440. Don't hesitate. AFRC has to be accountable for all the damages to their shareholders!!!

This stock is trading as another r/s is coming by the end of this month. No mention the loss prior to the last r/s, AFRN lost 98% in just three weeks. Pure garbage!!! Worst ever.

I talked to AFRT a week ago and my broker talked to them yesterday. James Wheeler reassured that they don't want to make another reverse split in the near future( we just made one three month ago, he said). When asked about the company, they want to improve the bottom line and increase stockholder value. They are also working on several new contracts.

The P/R says that reverse split will occur within 12 months of the date of the information statement. So, we shouldn't be so worry right now but in the same time the reverse split would become effective on the date of filling of a certficate, which may happen really soon(July 02?). All this is very confusing!!! So, I appreciate if you can give me your opinion about it.

BACKGROUND
We originally commenced operations as American Fire Retardant Corporation, a corporation organized under the laws of the State of Florida ("AFRC Florida") on November 20, 1992. Since 1993 we have undergone various changes in corporate structure and domicile. Ultimately, in March 1999 we completed the simplification of our corporate structure. All subsidiaries were merged into the parent and the parent was domiciled in the State of Nevada. We became American Fire Retardant Corp., a Nevada corporation. We specialize in fire prevention services and products.
SUMMARY OF THE AMENDMENT TO THE ARTICLES OF INCORPORATION
Our board of directors has adopted, subject to the approval of our stockholders, an amendment to our articles of incorporation, a copy of which is attached hereto as Exhibit 1 to Attachment A to this Information Statement. The following description of the amendment is qualified by reference to the full text of the amendment.
The primary effect of the amendment would be to increase the number of authorized shares of our common stock from 1,980,000,000 shares to 9,800,000,000 shares.
Our present capital structure authorizes 1,980,000,000 shares of common stock, par value $0.001 per share and 1,000,000,000 shares of preferred stock. The board of directors believes this capital structure is inadequate for our present and future needs. Therefore, the board has approved the amendment of our articles of incorporation to increase the authorized number of shares of common stock to 9,800,000,000 shares.
The following is a summary of the material matters relating to our common stock.
COMMON STOCK
Presently, the holders of our common stock are entitled to one vote for each share held of record on all matters submitted to a vote of our stockholders, including the election of directors. Our common stockholders do not have cumulative voting rights. Subject to preferences that may be applicable to any then outstanding series of our preferred stock, holders of our common stock are entitled to receive ratably such dividends, if any, as may be declared by our board of directors out of legally available funds. In the event of the liquidation, dissolution, or

winding up of American Fire Retardant Corp., the holders of our common stock will be entitled to share ratably in the net assets legally available for distribution to our stockholders after the payment of all our debts and other liabilities, subject to the prior rights of any series of our preferred stock then outstanding.
The holders of our common stock have no preemptive or conversion rights or other subscription rights and there are no redemption or sinking fund provisions applicable to our common stock. The amendment would not alter or modify any preemptive right of holders of our common stock to acquire our shares, which is denied, or effect any change in our common stock, other than the number of authorized shares.
PURPOSE OF AUTHORIZING ADDITIONAL COMMON STOCK
Authorizing an additional 7,820,000,000 shares of common stock would give our board of directors the express authority, without further action of the stockholders, to issue common stock from time to time as the board deems necessary. The board of directors believes it is necessary to have the ability to issue such additional shares of common stock for general corporate purposes. Potential uses of the additional authorized shares may include equity financings, issuance of options, acquisition transactions, stock dividends or distributions, without further action by the stockholders, unless such action were specifically required by applicable law or rules of any stock exchange or similar system on which our securities may then be listed.
The proposed increase in the authorized number of shares of common stock could have a number of effects on our stockholders depending upon the exact nature and circumstances of any actual issuance of authorized but unissued shares. The increase could have an anti-takeover effect, in that the additional shares could be issued (within the limits imposed by applicable law) in one or more transactions that could make a change in control or takeover of American Fire Retardant Corp. more difficult. For example, additional shares could be issued by us so as to dilute the stock ownership or voting rights of persons seeking to obtain control of American Fire Retardant Corp.
The proposed increase in the authorized shares of our common stock is not being made by us in response to any known accumulation of shares or threatened takeover. Similarly, the issuance of additional shares to certain persons allied with our management could have the effect of making it more difficult to remove our current management by diluting the stock ownership or voting rights of persons seeking to cause such removal. In addition, an issuance of additional shares by us could have an effect on the potential realizable value of a stockholder's investment.
In the absence of a proportionate increase in our earnings and book value, an increase in the aggregate number of our outstanding shares caused by the issuance of the additional shares would dilute the earnings per share and book value per share of all outstanding shares of our common stock. If such factors were reflected in the price per share of common stock, the potential realizable value of the stockholder's investment could be adversely affected.
VOTE REQUIRED
The affirmative vote of a majority of the total number of shares of our issued and outstanding capital stock is required to approve the amendment to our articles of incorporation in connection with the increase in our authorized common shares.
Our board of directors recommends that stockholders vote FOR the approval of the amendment to our articles of incorporation. The proposed amendment of our articles of incorporation was approved by a vote of our directors on June 21, 2004.
GRANT OF DISCRETIONARY AUTHORITY TO THE BOARD OF DIRECTORS TO AMEND OUR
ARTICLES OF INCORPORATION TO EFFECT A ONE FOR UP TO 250 REVERSE STOCK SPLIT
Our board of directors has adopted a resolution to seek stockholder approval to grant the board discretionary authority to amend our articles of incorporation to affect a reverse split for the purpose of increasing

the market price of our common stock. The reverse split exchange ratio that the board of directors approved and deemed advisable and for which it is seeking stockholder approval is a one post-consolidation share for up to each 250 pre-consolidation shares, with the reverse split to occur within 12 months of the date of this information statement, the exact time of the reverse split to be determined by the directors in their discretion. Approval of this proposal would give the board authority to implement the reverse split at any time it determined the split to be advisable within 12 months of the date of this information statement. In addition, approval of this proposal would also give the board authority to decline to implement a reverse split.
Our board of directors believes that stockholder approval of a range for the exchange ratio of the reverse split (as contrasted with approval of a specified ratio of the split) provides the board of directors with maximum flexibility to achieve the purposes of a stock split and, therefore, is in the best interests of our stockholders. The actual ratio for implementation of the reverse split would be determined by our board of directors based upon its evaluation as to what ratio of pre-consolidation shares to post-consolidation shares would be most advantageous to us and our stockholders.
Our board of directors also believes that stockholder approval of a twelve-month range for the effectuation of the reverse split (as contrasted with approval of a specified time of the split) provides the board of directors with maximum flexibility to achieve the purposes of a stock split and, therefore, is in our best interests and our stockholders. The actual timing for implementation of the reverse split would be determined by our board of directors based upon its evaluation as to when and whether such action would be most advantageous to us and our stockholders.
If you approve the grant of discretionary authority to our board of directors to implement a reverse split and the board of directors decides to implement the reverse split, we will file a certificate of amendment to our articles of incorporation with the Secretary of State of Nevada which will effect a reverse split of our then issued and outstanding common stock at the specific ratio set by the board.
The board of directors believes that the higher share price that might initially result from the reverse stock split could help generate interest in American Fire Retardant Corp. among investors and thereby assist us in raising future capital to fund its operations or make acquisitions.
Stockholders should note that the effect of the reverse split upon the market price for our common stock cannot be accurately predicted. In particular, there is no assurance that prices for shares of our common stock after a reverse split will be 250 times greater than the price for shares of our common stock immediately prior to the reverse split. Furthermore, there can be no assurance that the market price of our common stock immediately after a reverse split will be maintained for any period of time. Moreover, because some investors may view the reverse split negatively, there can be no assurance that the reverse split will not adversely impact the market price of our common stock or, alternatively, that the market price following the reverse split will either exceed or remain in excess of the current market price.
EFFECT OF THE REVERSE SPLIT
The reverse split would not affect the registration of our common stock under the Securities Exchange Act of 1934, as amended, nor will it change our periodic reporting and other obligations thereunder.
The voting and other rights of the holders of our common stock would not be affected by the reverse split (other than as a result of the payment of cash in lieu of fractional shares as described below). For example, a holder of 0.5 percent of the voting power of the outstanding shares of our common stock immediately prior to the effective time of the reverse split would continue to hold 0.5 percent of the voting power of the outstanding shares of our common stock after the reverse split. The number of stockholders of record would not be affected by the reverse split (except to the extent that any stockholder holds only a fractional share interest and receives cash for such interest).
The authorized number of shares of our common stock and the par value of our common stock under our articles of incorporation would remain the same following the effective time of the reverse split.

The number of shares of our common stock issued and outstanding would be reduced following the effective time of the reverse split in accordance with the following formula: up to 250 shares of our common stock owned by a stockholder will automatically be changed into and become one new share of our common stock, with up to 250 being equal to the exchange ratio as determined by our board of directors.
We currently have no intention of going private, and this proposed reverse stock split is not intended to be a first step in a going private transaction and will not have the effect of a going private transaction covered by Rule 13e-3 of the Exchange Act. Moreover, the proposed reverse stock split does not increase the risk of us becoming a private company in the future. We will continue to be subject to the periodic reporting requirements of the Exchange Act following the reverse split of our common stock.
CASH PAYMENT IN LIEU OF FRACTIONAL SHARES
In lieu of any fractional shares to which a holder of our common stock would otherwise be entitled as a result of the reverse split, we shall pay cash equal to such fraction multiplied by the average of the high and low trading prices of our common stock on the OTCBB during regular trading hours for the five trading days immediately preceding the effectiveness of the reverse split.
FEDERAL INCOME TAX CONSEQUENCES
We will not recognize any gain or loss as a result of the reverse split.
The following description of the material federal income tax consequences of the reverse split to our stockholders is based on the Internal Revenue Code of 1986, as amended, applicable Treasury Regulations promulgated thereunder, judicial authority and current administrative rulings and practices as in effect on the date of this information statement. Changes to the laws could alter the tax consequences described below, possibly with retroactive effect. We have not sought and will not seek an opinion of counsel or a ruling from the Internal Revenue Service regarding the federal income tax consequences of the reverse split. This discussion is for general information only and does not discuss the tax consequences that may apply to special classes of taxpayers (e.g., non-residents of the United States, broker/dealers or insurance companies). The state and local tax consequences of the reverse split may vary significantly as to each stockholder, depending upon the jurisdiction in which such stockholder resides. You are urged to consult your own tax advisors to determine the particular consequences to you.
In general, the federal income tax consequences of the reverse split will vary among stockholders depending upon whether they receive cash for fractional shares or solely a reduced number of shares of our common stock in exchange for their old shares of our common stock. We believe that the likely federal income tax effects of the reverse split will be that a stockholder who receives solely a reduced number of shares of our common stock will not recognize gain or loss. With respect to a reverse split, such a stockholder's basis in the reduced number of shares of our common stock will equal the stockholder's basis in its old shares of our common stock. A stockholder who receives cash in lieu of a fractional share as a result of the reverse stock split will generally be treated as having received the payment as a distribution in redemption of the fractional share, as provided in Section 302(a) of the Code, which distribution will be taxed as either a distribution under Section 301 of the Code or an exchange to such stockholder, depending on that stockholder's particular facts and circumstances. EFFECTIVE DATE
If the proposed grant of discretionary authority to implement a reverse split is approved and the board of directors elects to proceed with a reverse split, the split would become effective as of 5:00 p.m. Nevada time on the

date of filing of a certificate of amendment to our articles of incorporation with the office of the Secretary of State of Nevada.
