Rule 506 of Regulation D is considered a "safe harbor" for the
private offering exemption of Section 4(2) of the Securities Act.
Companies using the Rule 506 exemption can raise an unlimited
amount of money. A company can be assured it is within the Section
4(2) exemption by satisfying the following standards:
The company cannot use general solicitation or advertising to
market the securities;
The company may sell its securities to an unlimited number of
"accredited investors" and up to 35 other purchases. Unlike
Rule 505, all non-accredited investors, either alone or with a
purchaser representative, must be sophisticated—that is, they
must have sufficient knowledge and experience in financial and
business matters to make them capable of evaluating the
merits and risks of the prospective investment;
Companies must decide what information to give to
accredited investors, so long as it does not violate the
antifraud prohibitions of the federal securities laws. But
companies must give non-accredited investors disclosure
documents that are generally the same as those used in
registered offerings. If a company provides information to
accredited investors, it must make this information available to
non-accredited investors as well;
The company must be available to answer questions by
prospective purchasers;
Financial statement requirements are the same as for Rule
505; and
Purchasers receive "restricted" securities, meaning that the
securities cannot be sold for at least a year without registering
them.
While companies using the Rule 506 exemption do not have to
register their securities and usually do not have to file reports with the
SEC, they must file what is known as a "Form D" after they first sell
their securities. Form D is a brief notice that includes the names and
addresses of the company’s owners and stock promoters, but
contains little other information about the company.

investment decisions, or if the plan has total assets in excess of

3.a charitable organization, corporation, or partnership with
assets exceeding $5 million;
4.a director, executive officer, or general partner of the
company selling the securities;
5.a business in which all the equity owners are accredited
investors;
6.a natural person who has individual net worth, or joint net
worth with the person’s spouse, that exceeds $1 million at the
time of the purchase;
7.a natural person with income exceeding $200,000 in each of
the two most recent years or joint income with a spouse
exceeding $300,000 for those years and a reasonable
expectation of the same income level in the current year; or
8.a trust with assets in excess of $5 million, not formed to
acquire the securities offered, whose purchases a
sophisticated person makes.

Hi BleckGirl, Yes, I believe 18 is excessive. But the test was to see if all 18 could come
to term and they did. The objective was never to have them born. The test would show
that if 18 could come to term then 7,8,9,10,11 or even 12 could come to term with
no problem, depending upon the size of the sow.

First, I do not know all of the answers, but I think I do know a little.
1. Your restricted shares were NOT protected back in 98. When the R/S happened, you lost the shares, but
Mr Doug Beatty reinstated the shares. Bottom line, restricted shares not protected.
2. I believe the 504 and the 505 are different TYPES of offerings, do not know if there is a 506 offering.
I could be wrong on this.
3. The run-up, back during Jan-Mar time-frame, anyone could have thrown a dart at any of the OCTBB stocks to pick one and make a whale-of-money. It wasn't just STRU, it was 80 percent of the OTCBB. Almost every stock ran-up and then came back down. Manipulation?, you bet---by the MMs. That was all.
Take a step back for a minute and look at whats happening.
***People are crying that the longs did a P&D back in Feb - Mar, almost all stocks ran-up during that time-frame.

I have been inundated with the same Q's ...reverse split! NO! We have not
discussed it and I personally do not see any need for it at this time,
however, sometimes it is a great idea...but again we have not discussed
it...we will get to the next board without it! Pls help stop this silly

With respect to IBP they DO NOT HAVE CONTRACTS WITH SUPPLIERS...we
shipped
and have shipped to IBP from our herds many times without contracts THEY
JUST DON'T DO THAT ...they send out their buyers just like everyone else in
the industry and pick the pigs they want. Then they are sent to collection
stations for pick up by the packer who ever they may be...yes we have
shipped to numerous packers lately as pigs do have a tendency to grow and so
they are shipped....I am not going to update the shareholders every time we
ship it is not possible. As for contracts there is no ruling right now that
indicates that we should put out any PRs with reference to contracts. When
we deem it necessary you will be informed. Are we working on the business to
grow it with deals ...yes...we always are , alliances , packing, Tender
Prime, ET's, semen sales etc. much is happening, however , at this time we
have put a great deal of information and will continue to do so as we see
the need arises. Some opportunities take time when you are working with
third parties, all parties must agree on when is the best time to release
news...in the interest of the shareholders and our company some progress may
not be mentioned right away due to the fact the information may be of a
sensitive nature and you do not want the competition to step in and take a
portion of the market segment we are after. So timing is of great
importance....I believe you can understand this.
Also anything we put out must be verified and accurate. So this of course
takes time.
Dr. Crovatt, I appreciate everything you do to help educate the investors
and potential investors and I have only heard or seen excellent work done by
you and your teammates. What I have noticed, however, is that when you or
others who try to help the Company, there are those individuals (just a few)
who jump right in with negative or comments such as this R/S stuff that
takes away from us the ability to proceed and complete our projects. The
whole team here is affected by e-mails, calls, faxes etc. mostly due to
false misleading information....i.e...R/S.
I hope you understand I am grateful for your work and all team members who
pull together to help build STRU...it just saddens me that my open door
policy gets abused by a few folks who have scared folks into believing we
are not doing things in best interest of their Company.
I thank you for taking your time reading my e-mail..and since it is 7:30pm
and I have 3 more hours of work to do before leaving to night...I will say

To All: Please, when reading the posts here or anywhere else, do a little research and read most of the prior posts as well. this will give you a better feel for what to believe and what to disgard as trash talk.
For and EX: Right now there is some jerk on RB claiming the Doug and Rhett have spoken about the reverse split many times. AND he is begging the people on RB to bring up the subject of a R/S. This poster KNOWS that STRU will run-up and is trying to get it as low as possible by scaring folks away so the price will drop.
Doug and Rhett have both said many times, a R/S is not in the picture for the near future. Do your research, a R/S is usually performed by brand new companies who have just acquired an empty shell or they are in serious trouble.
STRU is niether of these.
Yes the subject of a R/S has been raised many times by bashers and jerks over on the RB board.
Read the news from the company, realize where they came from, where they are now and where they are heading and you will see for yourself that a R/S is not in the picture.

(Tom) STRU trading on NQB, why didn't STRU take steps to avoid being Pink Sheeted?
(Doug) SEC made the ruling, went by the first letter in the ticker symbol. STRU could have filed on time, but the filing would have been deficient which would have caused more trouble than by not filing. Reason being, acquisitions were being negotiated at the time and it was a time when nothing could be said about the negotiations.
(Doug) STRU is proud of the Form10-12g.
(Tom) What about the PR you put out yeasterday?
(Doug) The purchase of the 1200 facility will help to develop our breeding stock.
(Tom) Heard exciting news about the embryo transplant.
(Doug) We are very excited about that. Seven piglets were born from a NON-SURGICAL IMPLANT of the embryos all at defferent stages of growth. Shareholders are excited over it as well. So much so, they have given names to the piglets. The piglets will be at the BSF opening Sep 20th.
I want to thank our shareholder base for sending our PR about the embryo transplant out to the media. We have been swamped by phone calls and some of the calls are resulting into interviews.
(Doug) Was called by Byan Salvaged of www.meatingplace.com and gave an interview and he issued a very nice article today. This article is being read nation wide by all who are interested.
(Tom) Status on filing.
(Doug) Waiting for the SEC to review the filing and get back to us with any questions. If any questions, we will respond.
Don't know when we will get back on the OTCBB, but hopefully it will be relatively soon.
(Doug) Have received calls from other CEOs asking why put out any PRs while still on the NQB. Because STRU had information that had to be issued to the shareholder base and could not wait any longer. We are excited about whats happening, where we are heading and others need to know. Just because we are on the NQB and not on the OTCBB or any other exchange, business does not stop. Plus, I get so excited about whats happening myself, sometimes too excited and I have to let the public know.

(Doug) The BSF will be opening Sep 20th, the invites have been sent out. There will be clients and potential customers who will want to see the new piglets and see the Gourley Scope in action.
(Doug) During the Pork Expo a tv station did two interviews and put together a 7min video tape which was aired on their station. I have the tape now and will be sending you (Tom) - wallstreetnewscast) a copy so you can place it on your web site for people to view.
(Tom) What other things are going on?
(Doug) People are excited about the Gourley Scope. As you know, it reduces the time to implant semen or embyos down to 30-90secs verses 30 mins. This is exciting and you don't need to take the animal in to a clinic to have it done. You can do it right on the farm.
(Doug) Business is good - growing - exciting. Have seen a drastic increase in sales in all areas.
New stuff is unfolding as we speak and PRs will be issued at the appropriate time.
Dr Gourley will be working with an individual from Texas Tech on sheep. Sheep is the number two meat in the Pacific Rim and Australia.
Struthers has just under 30,000 yes that is 30,000 shareholders and it is a very exciting time to be a part of Struthers Inc.

Seven Piglets Born Using New Reproductive Technology

Charleston, S.C.-based Struthers Inc. and its subsidiary, Waukon, Iowa-based Elite
Visions Inc., specialists in animal reproductive biotechnology, announced that seven
healthy piglets were born from non-surgically implanted embryos using the company's
proprietary Gourley Scope technology.
The seven embryos (in different stages of development) were surgically removed from a
host sow utilizing the company's mobile operating trailer, “washed” virtually free of
pathogens and implanted into a non-anesthetized sow recipient at the company's
Spencer, Iowa, research farm facility, according to a news release.
The research team, led by Dr. Dennis Gourley, D.V.M., performed the non-surgical
implementation in a farm setting similar to what would be expected at any swine breeding
facility. Struthers’ scientific breakthrough is the world’s first porcine offspring to be born
using this technology. Although embryos are being removed surgically at present, work is
also being conducted to remove them non-surgically.
“By using the Gourley Scope, we have been able to perfect a technique where we can
remove the embryos from sows, wash them virtually free of pathogens and insert the
embryos, anywhere in the world,” Douglas Beatty, Struthers’ president and CEO, told The
Meatingplace.com. “The embryos can be kept alive up to six or seven days without
freezing [before implanting].”
The Gourley Scope was unveiled at the World Pork Expo 2000. The Scope, complete
with light source and transmitter, allows a technician and veterinarian to view in real-time
the animal’s reproductive tract of and implant the semen or embryos in the most effective
position for maximum conception.
Hog producers do not need a clean room to conduct the procedure.
“We do the procedure on the farm without anesthetizing the sow,” Beatty said, “and we
can implant the embryo in about one minute.”
Thus far, the conception rate has been “phenomenal,” Beatty said. For one sow, the
company achieved a seven out of seven embryo placement. A second sow received 18
implanted embryos, of which 14 took -- but all 14 fetuses were stillborn.
“These animals did grow to full term” he adds. “We had heartbeats up to the day of
delivery. We feel they aborted due to a lack of oxygen. The mom may have been pushing
to hard. If a vet was there while she was in contraction, we probably would have delivered
them by c-section. It was sad.”
But the good news is -- between the two sows, the company got an 85 percent
conception rate. The company believes that this non-surgical embryo implementation
process will be significantly more effective than using surgical techniques -- and that it
has worldwide commercial application.
Another promising point about this technology is it offers producers the opportunity to
change the genetics of their herds in one generation as compared to the industry
standard of taking seven to eight years to change porcine genetics.
“If a packer said we want to be able to change the genetics so we’re throwing off good
size loins and hams, we can do that in one generation,” Beatty said. “Rather than them
having to mix and match semen and trying to get the best genetic cross to do this.”
Another interesting point is that the embryo carries the genetic material and the sow
recipient does not.
“You can take a scrub sow [a sow that would not be sent to a packer] and place the
embryos in that sow,” Beatty said. “She’ll give birth to good, healthy animals, and you’ve
changed the genetic line immediately.”
Another plus of this process is that embryos can be removed from a host sow before she
is killed so the farmer doesn’t lose his genetics.
“If a kill order comes in from USDA, we can take those embyros from the sow, save them
or move them to isolated pigs, and save the genetics of that herd for the farmer,” Beatty
said. “So the farmer never loses his genetics and doesn’t have to start over again. We
call that herd recovery.”
The end result of the process? Cookie-cutter hogs, Beatty said.
“If you look at our stats for our animals going to the packer, every one is the same,” he
said. “You know the genetics you’re transferring. And you know the time it takes for the
animal to develop. Feed costs are down because a healthy animal is being grown -- it’s
not fighting diseases so its putting on weight and growing healthy.”
Thanks to this new process, the time going to market is also less.
“We’re actually shaving off from 20 to 30 days of our animals going to market using this
procedure,” Beatty adds.
At present, the process is commercially available -- but on a small scale. Beatty told The
Meatingplace.comthat more units will be entering the market in about 30 days.
Further ongoing product development of non-surgical embryo transfers is also currently
being performed by the company on sheep, deer and cattle.
“Sheep is the second-largest consumed meat in the world, and deer is coming up very
quickly and we’re getting tremendous results with deer,” Beatty said.
Additional applications of the Gourley Scope also involve lowering the dose of semen
needed for maximum conception in artificial insemination, the company reports.
Struthers Inc. also sells its own line of pork nationally under the Tender Prime label.
“It’s an all-natural pork,” Beatty said. “We use no steroids or growth promotants in the
animals.”

Notice I did not mention Revenues Yet. Considering HOW MUCH STRU has grown in the PAST Six Months,
Isn't it amazing that STRU has made more revenues in the past SIX months than each of the previous two YEARS!!!!!

To All: While STRU's filing was not a Knight in Shinning Armor, or the Pot of Gold, or the take my breath away type filing, it OVERALL was not bad. It was definitely better than the last one. More info and more detailed.
Look back to Aug 99 when I first started looking at STRU, and they have grown a lot.
STRU is still on the ground floor of this business and it will take sometime. STRU has been in a medical research and development mode and now they are positioning themselves to reap the rewards.
While they have an excellent business model and a great business plan with a method of executing it, it's sometimes hard to remember that it takes TIME for those Little Piggies to be Born and Grow. This in itself limits how fast STRU can actually Grow.
Just how much have STRU Grown? Glad you asked. LOL
From Dec 98 to Dec 99 STRU's ASSETS grew 2,346 times larger from $2,278 to $5,348,491 or you could say a whopping 234,600PERCENT. But its easy to grow at first when you have nothing.
From Dec 99 to Jun 2000 STRU's ASSETS grew 1.29 times larger from $5,348,491 to $12,283,475 or you could say they grew 129PERCENT in JUST 6 Months. They grew this much and still have money in the bank. Yeah, some of that money came from stock offerings, but at least we know it's being used wisely.
Net loss increased only 49percent from 1998 to June 2000 while their ASSETS Grew like crazy, a remarkable achievement for any company. Not to mention that the potential has increased with the success of the non-surgical embryo implant.
Am I disappointed in the Company and their progress, NOT AT ALL!. A little disappointed in the filing, was hoping for a much more powerful PUNCH. I'm only human and I do have a little greed, LOL

TEK, I agree with you 100%. I don;t mind the rolling as much as I do the knowing of info before the general public.
EX: Last Thursday the price moved up 3cents, then Friday it moved up 3 or 4 cents and Monday before the refiling
hit edgar, the price jumped 10cents. Ain't no way in HECK anyone can convince me that ILLEGAL insider info isn't flowing, because it is. We just saw a PRIME/EXACT Example of it.

Porcine Embryo Transfer Now A Reality!
Struthers has accomplished the seemingly impossible—porcine embryo transfer.

veterinarians to use our Gourley Scope. You may also be interested to know
that one time Dr. Ian Wilmut had visited Struthers to discuss the use of our
technology in their research and that now I feel it is a great time to give
Dr. Wilmut a call to discuss his future focus and offer our nonsurgical
embryo transfer techniques and embryo washing procedures.
As always I'll keep you abreast of developing situations and keep you
informed of our progress. It is also interesting to note that institutions
here in the U.S. have contacted us recently about our technology and are
shifting their focus away from cloning to the more lucrative area of vaccine
and antibiotic resistance research. My intuition leads me to believe that
these institutions stateside knew what was coming down the tubes long before
this article was reported in the UK. I believe that we've made the right
decision of not to genetically alter our animals, but to make them healthier
using embryo transfer and selective breeding practices to attract the retail
sector, feed efficient to attract the farmers, and low disease incidence to
attract the bio- technology sector.
Much thought has gone into the development of a solid foundation and
alliance structure, now it's time to rock!
