More meeting info and some things I learned via conversations with Randy Muller yesterday
and Brent Legred today (both men impressed me as being very interested, informed and
enthusiastic):
All 4 items on the proxy were approved.
We have the USDA 100% All Natural label for our BBQ sauce, breading and flour.
Our application for the USDA 100% All Natural label for our pork is in process. Government
wheels... could be 2 weeks... could be 2 months... could be... "Stuthers' more than meets the
USDA criterion for obtaining this label".
Our application for the unique Struthers/USDA Process Verified label is in process.

RE Sysco
Some folks at the meeting wanted to hear that we had a hundred million dollar contract signed and ready to deliver. The deal is suppling one distribution center, I believe in NC, and is based on order demand - Sysco's end users orders. So dollar amounts are not concrete yet.
They (STRU) probably have an idea, but that is something that they are not going to share yet, I believe. Doug, Rhett, Ken, Brent are way too smart to screw this up. They know that we cannot support all of Sysco's distribution centers now, and to promise what we cannot deliver would be throwing this opportunity in the trash can.
The business will be there if we handle this professionally. More alliance herds will sign on when they KNOW the business is there. We can't expect the farmer to sign over their herds unless the product will go to market.
This deal, along with SuperValue agreement, will show potential alliance herds that Struthers is for real, and the business will follow. One step at a time, boy am I looking forward to next week. Hope to have more information after the dinner, I beleive Dave Diebold has a presentation.

1. There was a quorum, which was 51% req - no word on outcome
2. The meeting was professionally done. There was an awesome video. It was obvious
that things are progressing and things are happening on all fronts.
3. Mark Anderson, our Pacific Rim agent, gave a presentation , mentioning activity in
China, Vietnam, Taiwan, Cambodia and Laos. SI will be attending another Expo over in
S Asia nest month.. Shaking his head, Mark said, "you can't believe how fast things are
happening."
4. There was a lot of talk about InsemiGel .. the extender is used to prolong the life of
semen. Very useful for turkeys ..where the normal life span of 2 hours is extended to 6
hours. Useful when trying to inseminate when time is important ...??
5. Dr. Carleson said: "you don't know how huge this Sysco deal is."
6. Struthers clarified the term 'agreement' means 'contract'.
7. Struthers is looking to expanding its BoD to maybe 5 people ...will be very selective in
the process...

- Mark Anderson spoke of the 'flash-fire' Struthers caused on that part of the world .."really
taken off" - interest is phenominal' ...(whaever that means) ...no talk of actuals in contracts
..large Phil. delegation went with him .... will be meeting with SI while there ...of course ...
- Struthers will be at a big EXPO show in Phillipines or some South Asian Country ..not
clear ...

- some are dissatisfied re 'non specifics' re contracts ... many wanted a straight xxx mil

IMO ..let us not forget ..Struthers is a VERY YOUNG COMPANY -they have to grow their

... but it is critical to build 'capacity' and the infrastructure to support it and SI is doing that
..AND IT TAKES TIME.. start at a good position ...continue to grow.... ...

1. Will have 3rd quarter financials by Nov. 15th. - SI acting like a 'fully reporting company' -
technical are one ... not still in refiling proces ..waiting back from SEC ... SOON ..LOL
2. SYSCO replaced Hormel with Struthers Inc ... a reason why things have to be kept
quite at times ...... to support corporate strategy vs competitors knowing things ... Silence
is golden at times ..it seems ..especially in a high competitive market ...
3. Looking to expand 'Board of Directors' in the near future (??) - will be conservative and
careful about this .....
4. A Dinner Meeting tonight .... more presntations ..the state of things ... @ 7:00PM EST ...

* Sysco deal begins on 11/27, 400 salespeople selling TenderPrime
* SuperValue 1000 stores, will ship 400 - 600 cases initially, not to all stores
* Rich Plan, in-home sales agreement
* Muller AI Insemnigel (sp ?) extends semen life. In Turkey this is important because normally
you only have 2 hrs to work with out of the animal, the gel extends it to 6 approx.
* 3 million cash in the black - 30,000 only in long-term debt.
* by 11/15 we will have Q3 financials
* Dr. Carlson will become more of a figure in the Struthers family. Currently he is a consultant.

a. Agreements with SYSCO ( one of the biggest 'distributors' in the US) ..stated that starting Nov, 27, an agreement to sell Struthers products into ALL 352,000 restaurants NATIONWIDE...
b. Johnson and Wales Institute has an agreement with Struthers to initilly ship 6,000 lbs of meat for all of their 5 schools.. This is an ongoing agreement....
JOHNSON & WALES UNIVERSITY is the largest cooking school in America (all over the US). They wanted STRU meat (because STRU is small enough to be willing to do this) to use in their schools to teach their chefs how to cut the meat.......yes, cut the meat. The students would cut it into loin roasts and then return the meat to STRU vacuum packed. The famous TV cook Emeral (sp?) is a graduate and has an ongoing relationship with the school. The school produces 'Emeral Live" the TV show...
c. Earth Fare, which is owned by SYSCA, will be selling Struthers natural products including bredding, BB sauce, flour, etc....
d. SUPERVALUE FOODS has an agreement with Struthers to sell SI's natural line to 1000 outlets NATION WIDE...
e. Rich Plan foods - largest in 'home sales' of meat products in the US and Canada will be selling Struthers products..
f. DAYMON FOODS will be selling TenDerPrime products IN 17 COUNTRIES WORLDWIDE PLUS THE EXCLUSIVE RIGHTS TO THE AUTO PACKER..
DAYMON ..... is the LARGEST RESTAURANT SUPPLY HOUSE IN THE U.S. with a 67% market share. They are a marketing company. Even more, they are the marketing company that SYSCO uses nationally. In other words, DAYMON DOES THE MARKETING FOR SYSCO. and they will be selling STRU's meats to the restaurants. BTW, DAYMON is international too and can sell STRU's meat abroad.
DAYMON wants to go national with STRU meats. STRU wants to start out slowly.

The website folks have been looking at is not the NEW STRU site. The T.
Prime site is under construction even though the webmaster has left it
open...the orders have moved thousands of pounds of product since the PR.
E-Commerce 24hr ordering service is being added as the telephone has not
stopped ringing and due to time zone changes etc. As explained the other
main site for stru is under guard and once released I am sure you will agree
the new look for STRU will be well received. Same quality if not better than
the Annual report look...zero defects!

Just ONE COMPANY that Struthers is talking with in Europe, currently does over 3 MM
AIs per year worldwide. Yes, over 3,000,000 sows inseminated by this company.
STRU may set up an "ALLIANCE" with this company in Europe. If just 1/3 of these sows
joined the STRU alliance (and many of them are owned by this company I am talking
about)...that would be 1,000,000 sows which will have 25,000,000 piglets per year.
Think how many market hogs we are talking about, not to mention gilts. If STRU made
even a paltry $5 per market hog, that would be $125,000,000 in profits PLUS what they
make selling the semen, GS royalties, equipment sales, consulting sales, training sales,
feed protocols, etc.
We are talking about ONE COMPANY here...just ONE.
This does not include the rest of Europe, Asia, Latin America, Africa or North

Dear Patrick,
Dr. Gourley is head Vet for sheep and goat transfers for "the Food For Peace Program" in
Mongolia along with the USDA...and is working on China And Korea...and some other
programs we have not released yet ...however, what I have told you is of public record
...and the exposure for STRU is immense especially, semen and embryo transfers in
these countries....in fact we are training new staff and I am now getting involved just
to lend another set of surgical hands for the flushing (surgical removal ) of embryos
using our washing solution and implanting. Now that Dr. Gourley is head of our
Product Development exclusive with STRU these programs are being monitored
along with us...very cool. I'll write this out in my address to the shareholders within
the next few days and post it to the web. Great note ...Great DD...In my opinion this
whole business has just skyrocketed now that we have the ability to delivery what

TEK, Disclosure of info to individual investors have been happening for many years. How did we get the info before the internet? We didn't unless we called the company and a lot of the time they would not want to talk or made themselves unavailable because they had had it with so MANY investors calling. Of course this was the only way info could be collected.
Now, fewer investors are calling and more info is being passed around thanks to the internet and the msg boards.
But, on the flip side of the coin, you are most correct in stating that if STRU put out a msg on their website of the most asked questions would be most beneficial.
Instead of providing the answers to the individual investor, just collect the questions and answer them all at one time on the website. I do like that idea and maybe one day all companies will come to that stage of the game.

Fair Disclosure Act. I could be mistaken but from what I read about the fair disclosure act, it mostly pertains to companies who give market fund analysts and rating analysts financial info and predictions as well as future operations affecting their bottom so these analysts can come out with their (so-called-expert-rating-advise) which most of the time is crap anyway.
The act now requires that what ever info is given to these analysts MUST be provided to the public at large at the same time.
Again, this is my take on the act.

TEK, I also must increase STRU's admin ratings. Seems they are catching up on their office business and this in turn will increase shareholders confidence.
As for the proxy, you need to make sure you call your brokers. They do have a tendency to be slack in forwarding the proxies.

Must Read..Excitement and Passion from Dr. Beatty..
Although I have thought twice about this post, I decided that it would be good for all of us to see this. I have had an occasion to communicate with Dr. Beatty over the last week about an up-coming National BBQ Cook-off, and the need for some Struthers Pork. While having this communication exchange, I have come to see the human side of Dr. Beatty, and I like what I see. Although there isn't any specific "top secret" information here, I thought that all of you would like to see the same excitement and passion that I got to experience.
First you will see Dr. Beatty's response to one of my e-mails, then you will see my initial
e-mail. Mine isn't as important as Dr. Beatty's, but since he references mine at the
beginning of his, I thought you would like to see why he responds as he does.

Dear Bob,
What a wonderful e-mail....well Christmas , at least an early one is around
the corner...and at times it is very lonely at the top...that is why I take
great pleasure in being Santa....not just to the SH's but to kids and other
folks who are not as fortunate as us....It is a dream of mine to want
everyone to feel part of this Company...you certainly have done so much and
your thoughtful note just proved such a valuable point...my Dad and Mom
never had the monetary means to gives us tons of presents , however, they
did give me more important gifts that one can never buy...love, integrity
and self-confidence that you can never buy...the gifts I have been given
from my childhood and passed to the shareholders are more than I could ever
in my life ask for. I truly believe I have a mission...I was put here for a
reason! I have tried to give my vision to everyone ...not that I am trying
to convert anyone to my way of thinking...I'm not ...However, when the day
is done I want to know that at least I know that I gave my "all" and gave
folks the opportunity to be part of this great Company ...their
Company...I'm only here on this planet for a short while and if my dreams
come true...which they are ...there should very many happy people out there.
But I can't make the difference alone! That is why I am so grateful for your
input and those of our other teammates and also the reason we have put
together an outstanding team of professionals.
We have, to date made the difference in so many lives...together we are
stronger than separate.
Hope this makes sense ...however, I am getting somewhat sentimental knowing

Last year at this time I personally was disappointed when the share value
fell just before thanksgiving...although when I stated in an e-mail we would
have a good holiday (Christmas) we did as the share price climbed....now

a great last quarter...this I know...no one can take this from us!

Dear Dr. Beatty,
Although I was initially disappointed yesterday, at seeing the slate for the BOD, I want you
to know that I, and my following of shareholders, support you and the management team
at Struthers. Personally, I was hoping to see someone from outside the Company, such
as the often mentioned candidate Lou Sanbeouf, on this slate with you and Rhett.
However, I trust that you have a plan, and in due course, these things can be
accomplished.
I have always supported Management. I am a VP of Marketing for the Company that I
work for and regularly find myself making decisions for the "good of the Company", that
aren't always viewed in the same light by the employees that are not as fully aware of the
strategies and detail. This uninformed "second guessing" is very frustrating. Having seen
the scrutiny that you and your staff goes through each day by the Shareholders of this
Company, I can only imagine the frustration that you go through. I can see you saying, "if
they only knew".
I suppose you, like most people, can remember when you were a young child, getting
ready to open a present, having high expectations of what was inside. Then upon
opening it, being disappointed, because it wasn't what you expected. Mine was the BB
Gun. Self imposed expectations are often the cause for disappointment. But then, after all
of the presents were opened, Dad brought the BB Gun out from behind the couch...fully
loaded and ready to go. Imagine how I felt. Why do we set ourselves up for self imposed
expectations and time-lines? That is one of the mysteries of mankind.
From my perspective, the next 10 to 15 days are going to be historic for Struthers.
Paramount to the all else, is our condition with the SEC. IMO, we need to be released
from the pinks. After that, we need to see some concrete or contractual revenue streams.
We all have been hearing about great things ahead, now we need to see the fruits.

uniformed position. But, based upon your e-mails to the public, and based upon the DD
by shareholders, I am expecting that the details that will unfold during the next 10 to 15
days will make the shareholders very proud of our Company and its Management team.
Although I wish for these things, based upon my limited knowledge of the details, I
promise I will not let my expectations be a cause for disappointment.
Please keep up your enthusiasm and stay focused to your plan. Listen to your
shareholders, but always be aware that their perspective is often uninformed. It is often
lonely at the top, but I am sure you know that. Your initial satisfaction needs to come from
within, and then later, as the plan unfolds, others will see the logic and reasoning behind
your decisions.

Sec UpDate/STRU UPDATE (10/20/00)
Struthers has completed their answers to SEC comments.
Elite Vision had to be reaudited and this done now.
STRU's answers are being submitted to their SEC bonded printer in Toledo TODAY.....to be
"Edgarized" and submitted to SEC. We should be able to see this filing by next Wednesday
next week.
Michelle Anderson of the SEC has promised to review the filing immediately upon receipt.
STRU will call to give her a "heads up" notice as soon as it is on EDGAR.
The CFO and others spent 3 hours on the phone with the SEC the other day literally reading
every comment and STRU's answer to the comment...to make sure the SEC would be happy
with each response.
So headway has been made and we are getting that much closer to being relisted on the OTC.
I hear the response to STRU in the Phillipines has been awesome....large corporations from all
over the Pacific Rim have flown in to see everything first hand. You will all hear alot more about
this at the shareholder's mtg.

TEK, I'm glad you clarified your post. I re-read your post and instead of making statements that you believe, you give leading questions. Which leaves people NOT to misread what you are trying to say, but interpret the questions the wrong way.
EX: "Please note that another payable is due November 2nd 2000 coming up. Does this raise any questions to anyone? I wonder just what the share price will be on that day?" more shares, lower share price, more manipulation.
What you are trying to point out is that maybe, just maybe the share price will raise once again so that LSG won't get such a large chunk of the shares. AND you just might be right.

TEK, I must state that I believe you are wrong about the LSG shares. Do you honestly think Brett will
dump his shares as soon as he gets them? He knows, (better than the rest of us) just how big STRU is and will be.
He is no dummy.
I personally believe that the shares given to LSG has NO (not one IOTA) effect on the share price.
I also believe you are trying to read too much into too little.
Everyone knew about the LSG deal and the terms for almost a year now. Why make it an issue when there is no
issue to make? LSG has made MORE money for STRU then STRU could have done by itself. And in another six months LSG will have made STRU over 5mil bucks which is what STRU paid for LSG. What a GOOD DEAL.
Play the stock bud, we all are here to make money. BUT, you don't have to make it out like its a BAD thing.
Its only bad when the person playing the stock, HYPES and BASHES in hopes of increasing their gains.
But just playing it as it goes up and down is the smart, honest way of trading, (without hyping and bashing)

Much of what I have seen on the boards or e-mailed to me is of course 50/50 and in some cases very accurate...you have some very good teammates who have done a fantastic job of DD. With respect to a buy out...I would submit this:
When a company such as Struthers gains so much attention both nationally and internationally there are other companies who would like the products we have which are unique to the industry and historically you will see acquisitions and or buy outs...in my own opinion STRU is ripe for such an action. Will it occur ? I can not say ...I could easily point out the recent
buyout of IBP from Iowa Hams by its first owner Mr. Gillette. One can surmise that IBP was bought because of its international presence and because of its size. We can speculate quite a bit on buy outs, however, no formal offer of substance has come to me...and if there was an offer of substance it would have to be substantial $15 to $30 not $3 or $4(that would be an insult) before I would bring it to the shareholders for their opinion.
I would also stress that even though I can block a hostile take over I always have the shareholder interest in mind and will consult with them.
Lets not forget we are a team ...everyone is on it and I plan on keeping it that way! I may be somewhat different than other CEO's out their and sometimes I do things which get people to scratch their heads and wonder why? But I have reasons for everything and those reasons serve all. I did not bring this company from less than .05 cents and all the professionals and the first in the world technology only to give it away...no ! We have way to much going for us to let this happen. Hope I've answered your question, and yes we are international.
