Status Quo Order Trial...
Still nothing on the court calendar for the Delaware Court of Chancery. The court only posts the upcoming week of cases so you can't see where the Valcom case might be scheduled.
The short interest hasn't been this high since the period ending May 31 , 2011. At that time I think a 10-Q had just been released plus a multitude of PR's dealing with the appraisal, a dividend, maybe a buyback. The stock was in an uptrend and peaked near .06 but pulled back into .03's before the big run to .14 .
This time the stock has gone down as the short interest balloned leading me to believe that there could have possibly been a behind the scenes convertible preferred offering.
Guess we'll know soon enough.

Tell us about the status of all those signed contracts....the MJ movie and DVD....the FilmOn results...the foreclosure auctions....an update on collected royalties............

My best guesstimate is that you will see a better eps loss than last year based mostly upon more outstanding shares used in the calculation.
I also guess that many people will misunderstand this remark.

For months you guys were ridiculing me for probably not having a position in the stock. Now you are ridiculing me for maybe having a position in the stock? Do you see why that's so funny?
In the middle of last year, as I posted on Yahoo, I had a large position in the stock. I posted my buy price and my avg selling price. I posted the reasoning behind why i bought (the stock promotion by the Rathods and this board--thank warprat for finding that post. The insane notion that this company got to artificially inflate their library value to $128 million via a questionable appraisal, then got to book that gain as revenue and profits was just too tempting. You guys pumped up this stock and i just hitched my wagon along for the ride. I recognized that the library value was just hot air, unlike many on the board.
The PR's died off, the board is deadlocked in a Status Quo Order, the 10-K is somewhere in the Valcom abyss, and nothing much is happening except for the usual Valcom promises that VV has told you guys forever.
No one get mad at Valcom here....you've been jerked around by the company...and you get mad at me?

Where's the 10-K?
The Roys will have between 2/10 and 2/25 to film 13 half hour episodes. I can see see them performing songs from their entire album in a couple days...with the required wardrobe changes so it doesn't appear to be low budget. Other guest acts will need to be on stand-by and hopefully everything else can be crammed in.
The duo are breaking nationally but the window of opportunity for Valcom is small. These episodes can't be in post production for too long or else the momentum of their hit album won't provide any boost to the TV show.
We'll see if Valcom can pull it off. Here's their golden opportunity.

I am not bashing your trade. You are probably in the stock from less than a penny. I'm questioning the company and how it reports it's results and why their PR's are always much more hyped than the final product.
If the company could truly deliver on their PR, the might have a chance to gain respect. But as the last 10+ years have shown, Valcom has no respect given the revolving door of board members, executives, auditors, name changes, lawsuits.

I want Valcom to post great results without questionable items. It will shut me up if they can. A lot of posters questioned the appraisal when it first came out. The market doesn't believe the value. Why is it so hard for Valcom to issue a report without a lot of "hanging chads"?
I think the stock price is the same now as it was last May right before the appraisal PR was released? Why aren't you guys buying this stock hand over fist if you are so sure the stock is going above 20 cents?

took a while for me to put all the pieces together on this guy, Dale Smith, the appraiser for the Valcom video and audio assets. Remember I said he was probably only a guy working out of his bedroom?
Well,
Here's the story:
Dale Smith is Santa Claus. That is his only regular job. He plays a mall Santa Claus. I tried to contact him at the address on his website for DOS Broadcast & Appraisal at 1400 Commerce Blvd, in Anniston, Al. I spoke to a lovely receptionist who told me he no longer has office space there because his business failed in December, while he was out of town playing Santa Claus. I said the appraisal business and she said no, A2D Preservation. I didn't know about that business. I found the A2Dpreservation.com website and it still shows the 1400 Commerce Blvd address.
Smith was trying to cash in on both ends at Valcom. He was trying to get a deal with Valcom to convert the tape assets to digital format. Smith likes to brag about this deal from what the receptionist said. He tells everybody about his making a killing on trading Valcom stock while he was doing the evaluation. If he was trading on the information he was creating, why wouldn't he inflate the value to make his stock price rise. He did put out a number of glowing press releases at that time. And the stock price did rise on what he and his accountant buddy told the BOD in May. Someone should be looking at his stock trades around that time.
Well I dug a little deeper based on the conversation with the receptionist.
Seems Mr. Smith may have violated SEC regulations in the evaluation of Valcom assets. Smith released the following reassessment on the video library value as this press release says:

At the same time he was trying to persuade Valcom CEO to allow him to do digital conversion of the audio assets. So for pumping up the value he expected to be rewarded by giving a contract to his other company. Smith was bragging locally that he was going to get upwards of $300,000 to make the digital files of the Platters stuff.
Well, it didn't happen. Smith's company blew up because he tried to cheat people in the building, and had to go play Santa Claus.
So I think at this point there should be an investigation into Smith's actions, even looking at his stock trades associated with press releases around the time he and his team presented to the Valcom BOD in May.
I would think that Valcom might want to revisit the video and audio value pretty quick to insure the company's reputation is not hurt by someone executing a fraud for his own gain at Valcom shareholders expense.
After researching it, I stand corrected.
Heck, I may even rent out my vehicle to advertisers if they pay me enough.

Also..good point on having a private vehicle owner being involved. Did not think of this. However the car wrapped in a vinyl skin, it is not painted.
And the first thing that comes to my mind is the cost.
Obtaining the vehicle means either buying or leasing 10 cars (probably the latter), the cost of producing the skin, then wrapping the vehicles, the cost for insuring 10 cars, gasoline costs, maintenance costs,driver costs, hotel costs for the drivers, per diem, cost of promtional items (ipads???) ....
Will it generate the necessary revenue to offset the expenses?

Wouldn't 10 billboards in the target area be less expensive?
I think the cost of billboards range from 750 to 2500 per month in MyFamilyTV's target areas so you'd be looking at $7500 - $25000 per month for 10 billboards. However, due to demographics in the areas, there may be less people that can afford cars so the number of eyeballs viewing the boards may be less than actually bringing the advertising to the people via the PT Cruisers.
As long as revenues generated offset costs, it could work out great.

from a Valcom PR:
ValCom has close to $1,000,000 in net contracts not recognizable in 3rd quarter that will be booked in the next quarter.
from the Valcom 10-Q/A dated 9/2/11:
The Company has entered into several licensing deals for its content totaling $434,370.00 and has currently finalized four
contracts and is negotiating two more which are expected to close at any time; all will be paid throughout the terms of the
agreements.
The 10-Q does not specify how the revenue will be recorded. The proper accounting treatment would "likely" record an equal amount for each month of the contract. The Valcom way may just book everything up front and then write off any amount that is not fulfilled due to lack of service. Kind of like the $435,000 bad debt charge they took in the period ending 6/30/11 that has no explanation whatsoever in the 10-Q.
I think this pretty much puts the nail in the coffin that there was no MJ Thanksgiving air date nor was their a release of the LE DVD.
So why didn't Valcom issue a PR stating that there may be a delay?
Instead they left everyone hanging in the wind. No more needs to be said on this subject.
I can't wait to see the sum of the results for the year ending 9/30/11 . Then compare it to the promises made earlier in the year. Then see their forecasts for this fiscal year....

Everybody on this board wants to see that 10-K come out...for some of us it will provide clarity on what is really going on at Valcom...for others it will provide more hopes and promises by a company that seems to love to issue "news" but has the uncanny ability to rarely be able to execute it's plans without endless delays.
Think about your statement.
If all companies had to submit their filings to the SEC BEFORE they are released to the public, it would be a LONG time before all filings get released. How does it take the SEC to conduct investigations? There are over 10,000 public companies in the US.
Why do most other companies file on time, yet Valcom (and many pinks) file late? The reason is accounting is not the strong suit for many small companies with very few employees.

At least there is one person (you) who is now questioning the existence of the MJ limited edition DVD. Others on this board may be afraid to agree with me lest they be branded as traitors.

However, wouldn't you think that if Valcom had planned a 11/25 viewing, commercials during that viewing hawking the DVD would have been in the cards as well? Why would they wait at least six months to release with no publicity? As mentioned previously the Status Quo order probably has something to do with this...maybe funds were withheld that prevented Valcom from pressing 10,000 DVDs?
I remember people on this board claiming that MJ fan clubs all of the world were lining up to purchase this DVD (and that was in Sept 2011).
People also said the timing of the MJ manslaughter trial was perfect to help with publicity for the movie.
I guess I'm the only one who remembers such things. Crawler is in total denial and to completely argue a point that he can't win you have to ask yourself why when the evidence is staring you in the face.

IMO, You guys ought to be worried about your research skills.
Valcom specifically issued a PR for MJ and the Island Girls. Remember how they issued the first PR and left out the title...Miss Cast Away and the Island Girls....they then stated in a second PR, the new name of the movie would be MJ and the Island Girls and would sell a limited edition run of 10,000 DVD's for $24.95 that would included "never seen before footage of MJ, etc".
Miss Cast Away and the Island Girls is and has been sold on eBay and Amazon and other sites for years.
I thought maybe one poster would screw up the reply but to get multiple posters who say they know everything about this company and have done their due diligence, mistaking the two editions of the movie is quite unbelievable.

My Family TV (nor the other sister networks) did not have the MJ movie on the schedule for Thanksgiving weekend nor did it promote the movie once from the time of the PR up thru Thanksgiving weekend.
If a network is going to show a movie and it's parent company makes a public PR announcement months earlier, wouldn't you think that there would be some kind of announcement the week of the showing. Heck, even Valcom didn't issue a reminder PR that week.
The airing NEVER happened. The DVD release NEVER happened.
The big question is WHY?
Why do so many things with Valcom get the boisterous PR release, then the actual event is so secretive?

Those are the same people that reported on the 10-K being released in December and then confirming again that is was being released on 1/12.
The show did not air. The networks never had it on the schedule and there was no mention of the movie on their websites.

I'd just wish that Vince would man up and say that Valcom never released the MJ and the Island Girls LE DVD. If it's not for sale on Amazon or ebay and not single MJ fan site has talked about it (since the PR), I think it's safe to say that it never was released. Coupled with the fact that it never aired over Thanksgiving, one can reasonably say that the PR release was a complete swerve.
Let's blame it on the Status Quo order.
I think the Status Quo order has a lot to do with the silence of this company. I'm guessing that all expenditures/decisions are requiring both sides to agree. Given how acrimonious the accusations are, I think they agree on very little.
Let's not put the cart in front of the horse here.
Just because there is a production deal, doesn't mean there is a show yet. Until they start taping episodes, I wouldn't get your hopes up. The Roy's Facebook page or their website will let you know if they are in fact doing actual tapings or not.
Running on 120 stations is because it's scheduled to air on My Family TV which is owned by Valcom.

The big companies that list on the OTC market usually are listed on multiple exchanges all over the world. The OTC market listing is frequently just an ADR.
Now compare that with Valcom and it's bretheren. Companies whose only listing is the OTC and maybe one other exchange, usually the Vancouver Stock Exchange or a German exchange.
You see the positives. To me, the negatives jump off the page.

In regards to your questions about filing extension deadline, I find that a very good question that an answer is still needed.
I agree that 1/12 should be the drop dead date for the 10-K but since VLCO has taken much longer than the 15 calendar day extension in previous years, it may not apply to pink sheet stocks since most of their important filings tend to occur way after the fact (in order to regain some sort of compliance).
If Valcom could be as prompt with their filings as they are with their PR's, then maybe more folks will take them seriously. Filings need accurate, detailed information though. PR's don't.
