It looks like the shares are to be used to pay people for there work and or services till the company is no longer a shell. Some of these payments appear to be in the form of restricted common shares.
Until they are no longer a shell?? The company issued some of these shares when they were not a shell.
It really doesn't appear that all of the shares are likely to hit the market right away.
That may be true. No one knows.
Some may hold onto there common shares in anticipation that the shares price will be much higher in the near future.
It would be nice if Wakabayashi would hold all their shares.

There is no mention that all the shares will be issue it is very possible shares will be held in escrow for future payments that are due in the near future.

I am not sure whether the shares issued to consultants are restricted or not. I would think that they should be. But I have not found anything in the filings that clearly says they are restricted.

Officer and director shares have not changed over the dates stated in the two filings that I have provided links to. Therefore, the shares were probably issued to consultants.

I agree. The company, imo, should put out all info in SEC filing and to a lesser extent, pr's. That way ALL can see. This company has yet to prove to me that they are transparent. The emailer stuff without transparency in SEC filings does not sit well with me. Maybe they'll actually start giving us more detailed info in filings in the future. They could start by filing some 8-k('s) pertaining to the merger they said happened last year Sept. 1st.

Once the 8K's start rolling out we can get a better fix on valuation. That should be very soon .... From my conversations with IR the company doesn't want the share price to remain anywhere near current values. They had promised the 8K's would easily fix that problem.. tee heee hee...

Smart money always keeps the risks in mind with respect to CXLL. One of them is the freedom to change the A/S. Especially since they are almost maxed out.
My posts should not be construed at a prediction that the shares price of CXLL will go up or down. I would not be surprised either way.

While the Wakabayashi 144 does not explicitly say 3 million shares as compensation. It does say $150K in the form of a physical cert on 9/1/2010. So, that equates to .05/share which is what the value of the compensation shares were given at time of filing of the s-8.

A more recent filing indicates Fan now holds 57% of the shares outstanding, not 72%. Why the change?

Yes, there is proof. Form 144. In my opinion, Wakabayashi should have filed a form showing that they owned over 10% of the outstanding shares on Sept 1st. 2010. As the $150K equals 3.0 million shares valued at .05 per the compensation plan.
There is proof that:
--They are NOT selling shares. Check with the transfer agent.
They have sold shares already. And MAY be selling more per the 144.

This info should not have gotten out until the company put out an 8k about a change in direction (or merger as they called it in one filing). Actually, it should have come out in September last year. Ugh! Arent they supposed to file a material event with the SEC within a certain amount of days??? What a cluster..

Form 144 has to be filed with the SEC when a company intends to convert restricted common shares to regular sellable common shares. The shares in question will not be added to the float till July 2011.
That is only if Waka sells. Anything Waka sells in the public market will be added to the float.
