1. Purpose. The purpose of the 2009 Stock Incentive Plan of Sound Worldwide Holdings, Inc. is to further align the interests of employees, directors and qualified non-employee Consultants with those of the stockholders by (i) providing incentive compensation opportunities tied to the performance of the Common Stock and/or by (ii) promoting increased ownership of the Common Stock by such individuals.
