The converting of debt into common shares at a discount to market price is the way SavWatt operates.
Read through the filings carefully;
"During the year ended December 31, 2011 the Company has converted a total of $2,395,865 of debt and $13,647 in accrued interest into 1,401,679 shares of common stock."
"During the six months ended June 30, 2012, the Company issued several short-term convertible notes with a total face amount of $442,329. These notes bear interest rates ranging from 8% to 12% payable in full in twelve months or less and which were convertible into shares of Company's common stock at discounts to market on their dates of conversion ranging from 30% to 70% from the market price. These notes have a minimum conversion floors ranging from $0.04795to $1.918 per share.
Here is the part where Ike explains how they are broke and can't pay rent on the factory or offices, and now operate out of a cubicle in NY.
The lack of capital negatively impacted the Company’s operations causing the Company to terminate and vacate its leased business facilities in Maryland, New York and in Virginia. This resulted in the Company recognizing a leasehold abandonment accrual of $511,067 and an impairment of leasehold improvements totaling $455,058. Currently the Company occupies an office in New York City in a shared office environment on a month to month basis.
Ok, lets just say for the sake of argument that SAVW is not a scam.

It just dropped $10 from 528.44 to 518.03

Blaming stockholders for the decline in pps is absurd.
The company dumped 130 million fresh new shares into the market between April and August.
That's dilution.
Today there were 5.3 million shares traded at an average of .00143 and 96,000 bought at .0018
Not a good day.
The deal is always rigged to be in favor of the party giving the loan, not the party who owes debt.
Remember that the conversion price has no impact on the market price.
It is just the rate at which debt is converted into shares.
"The conversion price and number and kind of shares to be issued upon conversion of the convertible notes are subject to adjustment from time to time as more fully described in the convertible notes."

The shares were never "bought" they were issued by BRND to pay off convertible debt.
They were probably issued with a value of .00075 to .0009
The debt holders dump their shares as fast as possible to get their cash back.
It's up to BRND to try and create demand for these shares or the pps will continue to decline.
The debt holders don't care how low the pps goes; they get their shares at a 50% discount to market.

More commons issued = more dilution of the value of the outstanding shares.
Note that BRND changed the terms on most of their debt notes so that they now convert at 50% of market.
A PR about a potential deal or something vague about the "next big thing" that will never happen.
The only thing this company sells are dreams of getting rich quick and shares of common stock.

I'd say the company is way overvalued and the pps will continue to decline as more and more debt is converted to commons at a 50% discount to market price.
