was mich wundert: die investoren, die die 50 mio. optionen bekommen haben, wissen doch ebenfalls über hartcourts aktuelle lage bescheid, sicher sogar besser als wir. die müssen doch wissen, dass hartcourt mit null cash und 60 mio. aktien beim aktuellen kurs nichts ausrichten kann, um den kurs in eine höhe zu treiben, dass sich die 50 mio. option wirklich lohnen würde. trotzdem investieren sie 800k in hartcourt.
wissen die irgend etwas, dass wir nicht wissen?

aus dem abschnitt erfährt man einfach, dass hartcourt fünf vertriebsvereinbarungen geschlossen hat und deren aktivitäten vorfinanzieren muss. da die summe ziemlich genau 800k sind, kann ich mir nicht vorstellen, dass der kredit mit den 50 mio. optionen für irgendwas anderes gedacht ist.
ich würde daraus nicht gleich irgend welche anderen schlüsse ziehen. von wegen verkäufer darlehen gefolgt von riesen cash investment. ich wollte einfach nur deutlich machen, dass im filing (höchstwahrscheinlich) die antwort auf die häufig grestellte frage "wozu brauchen die soviel working capital" zu finden ist.

dass hier seit vielen wochen aktien zwischen zwei parteien verschoben werden, ist offensichtlich. das ganze scheint auch abgesprochen zu sein, da verkäufer und käufer gleichzeitig an den markt kamen. die frage bleibt: wer kauft solche mengen im moment und warum? für die motive des verkäufers würde man da sicher einige vermutungen haben aber was treibt den käufer?

fakt ist, der einstieg gelang mit zwei subs in china.

das dritte quartal in folge mit gewinn... (wenn auch noch wenig)
hier geht keineswegs das licht aus. es geht nur nicht so schnell an, wie die meisten hier gehofft haben.
ach ja, das hätte ich ja fast vergessen
ich hatte noch eine zweite frage an die IR gestellt. und zwar, ob die aktuell gemeldete finanzierung mit den 50 mio. shares die im update auf der webseite angesprochene finanzierung ist oder ob noch weitere cash investments zu erwarten sind.
nach angabe der IR laufen die gespräch über cash investments für akquisitionen parallel weiter. das war also offenbar noch nicht alles.

ich habe leider auch den fehler gemacht, die erwartungen zu hoch zu schrauben.
eigentlich muss man bei dem aktuellen wirtschaftlichen umfeld zufrieden sein. umsätze und gewinne aus operativem geschäft steigen. außerdem darf man mal nicht vergessen, dass das gerade erst mal das dritte quartal überhaupt im neuen business ist.
allerdings:
der cash flow aus dem operativen geschäft ist für weitere übernahmen nicht zu gebrauchen. er reicht momentan nicht mal aus, um ein weiteres organisches wachstum zu finanzieren. daher sicher auch die kapitalspritzen auf kosten der shares.
eines ist jetzt auch klar. nimmt man die 50 mio. optionen zu den bereits ausstehenden ca. 340 mio hinzu, bleibt nur noch ein spielraum von etwa 60 mio shares. damit ist beim aktuellen kurs ebenfalls keine übernahme mehr zu machen. ohne cash geht es meiner meinung nach nur noch extrem schleppend voran.

ja, ich hatte auch deutlich mehr erwartet. die wichtigste zahl ist aber meiner meinung nach der gewinn aus operativem geschäft:
letztes quartal: 311,473
dieses quartal: 503,729
wenn diese zahlen weiter wachsen, und zwar jahr für jahr, nicht quartal für quartal, dann funktioniert das neue business. und nur wenn diese zahlen weiter wachsen, wird unterm strich auch mal mehr als 106k übrig bleiben.
zu deiner frage:
Was ist eigentlich mit diesen beiden Postionen passiert, letztes Quartal deutlich positiv, diesmal deutlich negativ ?!

Minority interest, net of taxes: von + 196K auf -251K ???
das ist "nur" ein fehler in der darstellung im letzten filing. selbstverständlich sind rückstellungen für zu zahlende steuern immer abzuziehen.

ja, ich halte das für völlig abwegig. die beiden geschäftsmodelle haben nichts miteinander zu tun. das einzige was beide firmen inzwischen gemeinsam haben, ist die branche. alles andere passt hinten und vorne nicht.

ich war heute morgen auch erst mal geschockt. ich glaube aber, wir übersehen da das wesentliche. franz hat es aber eigentlich schon angesprochen.
also hartcourt braucht working capital. wofür auch immer. soweit so gut.
aus sicht von hartcourt:
beim letzten mal sind sie zu vier chinesen gegangen, haben 20 mio. aktien hingelegt und 400k working capital eingesteckt.
warum machen sie das dieses mal nicht erneut? wäre doch viel einfacher als den umweg über dieses loan agreement zu gehen. denn das bei diesen konditionen die 50 mio. aktien ohnehin schon mittelfristig die bessere wahl sind, ist jedem klar.
aus sicht der investoren:
ich leihe 800k für 6% pro jahr. mit zins und zinseszins brauche ich mehr als sieben jahre, ehe ich 500k gewinn gemacht habe. gleichzeitig habe ich die option, aktien für 1 ct. zu nehmen, die schon bei 2 ct. den gleichen gewinn abwerfen. und diese 2 ct. erreichen wir ja heute ab und zu fast schon mal. ich könnte die 500k gewinn also quasi über nacht machen. wenn ich diese option jederzeit ziehen kann, würde ich das doch sofort tun. wozu dann erst noch ein loan agreement?
ich denke, das passt nicht zusammen. ich glaube tatsächlich, dass diese option nur gezogen werden kann, wenn hartcourt seinen rückzahlungsverpflichtungen nicht nachkommen kann.
alles andere positive hat franz schon geschrieben...

Schön wäre, wenn in einer Verlautbarung der Beschluss erläutert würde, denn so kann man sich vieles zusammenreimen.

da gibt es nicht viel zu erläutern. der punkt stand zur abstimmung und die mehrheit der stimmrechte hat gegen den reverse split gestimmt. damit kann dieser beschluss nicht gefasst werden und ist vom tisch.
interessant ist das ganze trotzdem. da der punkt 1 - die zusammensetzung des neuen boards - tatsächlich beschlossen wurde, wissen wir, dass genügend stimmen (persönlich oder per proxy) anwesend waren um beschlussfähig zu sein.
daraus folgt, dass mindestens ca. 170 mio. aktien vertreten waren und von denen mindestens die hälfte gegen den reverse split gestimmt haben. es ist logisch anzunehmen, dass diese 170 mio. stimmen vor allem durch die wirklich großen shareholder zusammen kamen. ich hätte vermutet, dass hartcourt diese aktionäre im vorfeld angesprochen und sich zu diesem punkt mit ihnen abgesprochen hat. die waren aber offenbar genau so überrascht wie wir und haben nun gegen den reverse split gestimmt.

naja, das sollte uns erstmal nicht weiter aufregen. ich erinnere mich noch an letztes jahr. da brauchte es auch eine weile, bis sie die ergebnisse kurz veröffentlicht haben und dann war alles in unserem sinne gelaufen. also erstmal keine panik...

ja. habe ich schon gemacht. die meisten sind aber über frankfurt gekauft. ein kauf in den staaten bei 0,011 würde sich auf jeden fall lohnen, wenn man denn überhaupt (nach)kaufen will. beim aktuellen dollarkurs würde man nur 0,0083 € bezahlen.

die wahl des zeitpunktes ist doch kein zufall. hartcourt lädt zum shareholder meeting. genau wie letztes jahr müssen bestimmte geplante veränderungen (dieses jahr der reverse split) von den aktionären abgesegnet werden. dieses nicht jetzt sondern in einem halben jahr zu tun, hätte bedeutet ein außerordentliches shareholder meeting einzuberufen und damit den aufwand zu verdoppeln. so gesehen ist jetzt überhaupt der einig mögliche zeitpunkt.
zum reverse split: wer sich mal "meine 5-jahres-prognose" angeschaut hat, hat längst bemerkt, dass es ohne veränderungen an der aktien-struktur bei dem niedrigen kurs nicht weitergeht für hartcourt. es war also klar, dass früher oder später entweder die anzahl der authorized shares deutlich hätte angehoben werden müssen oder eben die OS via reverse split reduziert. ehrlich gesagt, ich bin auch erstaunt, dass der faktor nicht höher ist als 1:2. denn das bedeutet, dass hartcourt unter allen möglichkeiten den minimalsten weg gewählt hat. jetzt kann man also genau die 170 mio. shares, die weggesplittet werden, mehr ausgeben als vor dem split. das finde ich verglichen mit dem, was noch so denkbar gewesen wäre nicht dramatisch.
ich teile eure sorge um den fallenden kurs nach dem reverse split. wenn allerdings kurz nach dessen inkrafttreten hervorragende zahlen für das Q3 kommen und wir damit das dritte grüne quartal in folge haben, zieht das vielleicht auch wieder investoren an. also mal abwarten...

ich habe mal die letzten "periodical highlights" neben die aktuellen gestellt. tatsächlich gibt es nur zwei unterschiede zwischen beiden veröffentlichungen:
1. beim letzten mal wurden zusätzlich in einem eigenen absatz die verluste der letzten jahre für jedes jahr exakt benannt.
2. der absatz:
"The profits for the whole quarter (3 months) for Beijing yanyuan, and profits for the whole quarter (3 months) for China Arts and Science Academy will be consolidated in the third Quarter the relevant financial report of Q3 will be improved substantially. We look forward to the profitable fiscal year 2009, which has never happened during the past 11 years."
heißt jetzt:

On July 23, 2008, Hartcourt closed the acquisition of Beijing Yanyuan, which was a subsidiary of Hartcourt from July 24, 2008. We completed the first step in restructuring Hartcourt to enter into the education/training market in China.
On September 2, 2008, Hartcourt released a practical business plan, with the strategic vision to be a for profit leading provider of education and training services in The People's Republic of China.
On October 31, 2008, Hartcourt closed the acquisition of China Arts and Science Academy, which was a subsidiary of Hartcourt from November 1, 2008. We completed another important step in restructuring Hartcourt to become a leading provider of educational services in China. Vocational education services are one of the cornerstones of Hartcourt’s educational service strategy. We see this successful acquisition as a further important step in implementing our business plan and toward Hartcourt becoming a leading provider of vocational education.
On October 15, 2008, Hartcourt filed 10Q for the first quarter of fiscal 2009 with revenues, which represented Hartcourt thoroughly turned around from a shell company without revenues, which marked the continuation of our ability to deliver solid earnings growth in the future.
Our two profitable subsidiaries, Beijing Yanyuan and China Arts & Science Academy, all finished their profits commitment successfully, which are above the expectation, in spite of the global financial crisis, the global economic slowdown or the economic slowdown in China. We believe this is because of the paramount priority that Chinese families place on the education of their child or children. Food, housing and education are the top three categories for disposable income in China, and spending on education is one of the last areas to be affected by shrinking consumption.
On January 14, 2009, Hartcourt filed 10Q for the second quarter of fiscal 2009 with profits. That showed we thoroughly turned around from the past and that marked our continual ability to deliver solid earnings growth in the future.
Revenues were $643,996 for the three months ended November 30, 2008 compared to zero for the same period in 2007. Net income from continuing operations for the three months ended November 30, 2008 was $274,633, compared to loss of $900,657 for the same period in 2007. As shown in our accompanying financial statements, we had a Net income of $251,571 for the six months ended November 30, 2008, as compared to a net loss of $1,146,873 for the same period in 2007.
The profits of the whole quarter (3 months) for Beijing yanyuan, and profits of 1 month for China Arts and Science Academy were consolidated in the second quarter of fiscal year 2009, the relevant financial reports of Q2 were improved substantially. We are delighted with the financial performance in our all-important fiscal quarter in the face of formidable challenges.
Beijing yanyuan and China Arts and Science Academy have a good brand and solid reputation in the education business, which has brought them wide steady student resources. The unique brand and steady earning resources consist of the goodwill, which will bring Hartcourt continual earning growth in the future. The goodwill is not amortized, only is tested for impairment annually, which will have no negative effect for profits in the future.
The two profitable subsidiaries have finished their profits commitment successfully. The profits of the whole quarter for Beijing yanyuan and China Arts and Science Academy have been consolidated in our third fiscal Quarter, the relevant financial reports of Q3 have been improved substantially. We look forward to the profitable fiscal year 2009.
The finished two successful acquisitions, which proved to be very profitable, were parts of our long-term strategy to gain a solid footing in China education field, with the foundation built, the further acquisitions will speed up.
Based on our great achievements during the past nine months, several Chinese investors have will to loan fund to Hartcourt for further acquisitions using more cash, which is under negotiation now.
This latest financing gives us more confidence in our outlook for earnings growth and for continued growth in shareholder value.
Building upon our accomplishments in the past several months, we are eager to demonstrate additional progress in the near future.
