I think it would be very hard for you or anyone to know at this early stage how the vote will go regarding increase of authorized shares. It was voted down by shareholders the past three years.

You can vote your shares however you like; however, have you considered what the pps would be if 400000000 shares hit the market? If they are selling shares to just try and convert the NIR debt, chances are they would drive they price down further.
Let's say they luck out, increase the authorized shares to 800m and sell 400m at .0005. That settles out $200k.
Then we would have shares in a company with 800m maxed out authorized shares and most of the debt to NIR/PWC still outstanding. How many more requests would we get after that to increase the authorized shares to clean up the rest of the debt?

How long will it take to settle with PWC? Our cap is what - 160k? No revenue, directors feeding the company $s to keep the lights on, maxed out authorization of shares with an increase being voted down year after year.

It would take well over 1 billion shares to pay off the outstanding debt to NIR at the current pps.
Perhaps Kiwa will be in a position to negotiate a deal with NIR in the new year.

I have been holding for years and will once again be voting my shares against the increase of authorized shares.
I just completed my vote against the increase in authorized shares as well.
It is not very often that the average Joe Shareholder has the opportunity to actually vote down the authorization of more shares in a company as seen last year with Kiwa. I feel this is the only chance I have to ensure my shares in Kiwa will retain any value. I have a substantial amount of shares with Kiwa and do not want to be diluted down to a miniscule position as I am sure many have seen with OTC companies. I respect and am grateful for the Kiwa director's actions in funding the operations over the past year and feel they would not have done so if they didn't feel they would be successful in finding suitable financing for our company. It is only my opinion that they are being methodical and patient with the development of Kiwa and long term things will work out for shareholders. I just don't want my shares to be diluted unnecessrily.

My broker gave me a control number to vote my shares at proxyvote.com but the system for voting wasn't set up yet. Does anyone know when the system will be up and running to vote?
Everyone is entitled to an opinion but I do not understand why any shareholder would want to double the authorized shares to 800,000,000 when the stock is trading at .0035. The company would only be able to raise $1,400,000 (if they could sell it all at that pps) and if they dumped that many shares into the market we would likely be back down to triple 000's again. What would they want to do after that - perhaps roll back the shares and start the process all over again? No thanks!

I feel that shareholders can beat the authorization of an additional 400 million shares again this year but I think every vote will count. We won the vote by just over 30 million shares last year. Perhaps accumulation of the stock at these low prices over the past several months has put more shares into the hands of voters that may be for the authorization of 400 million more shares?

In the most recent news release they say "Results for 2009 reflect that as of December 31, 2009, the Company has classified its bio-enhanced feed business through Kiwa Tianjin as discontinued operations."
In their news release Dec 23rd 09 they say "Taking into consideration of the fact that Kiwa Tianjin will not be able to operate normally with its own machinery and equipment in the factory leased from Challenge Feed, Kiwa Tianjin has chosen another factory to continue its operations. Kiwa Tianjin is in the process of negotiation of a long-term cooperation agreement with the owner of the new factory."Why didn't they comment in their latest release if they have concluded their negotiations with the owner of the new factory?
Seems like they don't want much info in the public domain for some reason.

I used proxyvote.com and voted against for section that said:
APPROVE AN AMENDMENT TO OUR CERTIFICATE OF INCORPORATION TO INCREASE THE NUMBER OF AUTHORIZED SHARES OF OUR COMMON STOCK FROM 400,000,000 TO 800,000,000 SHARES.
Are you saying my vote will be counted for the increase or are you refering to shareholders that initially voted by mail?

It seemed pretty straight forward as there were only three options. Is all the talk about votes possibly not counting have anything to do with the electronic voting or was that by the mail in proxies?

One would think that with the annual meeting set for December 28th 2009 that the company would provide shareholders with some information regarding their progress (if any) on financing and potential Q4 sales prior to the vote(s).

It appears to me that Kiwa not only has good connections but they have also positioned themselves for greater things in the future by hiring management with impressive experience and credentials.
Their CFO and COO that they hired earlier this year for an example. Why would Mr Steven Ning MA go from being in charge of a company with the equivalent of $100,000,000 usd in annual sales to Kiwa doing possibly less than 10% of that amount this year unless he felt there was a great opportunity for future growth? Why would Kiwa bother hiring someone with such expertise? I mentioned this in a post last spring but I think it is worth repeating.

I hold a fairly large position and they will not get me to vote yes on an increase in A/S without presenting a good business plan moving forward prior to the vote and/or a substantial increase in pps.

I was very discouraged last month after reading their 10k and sold my position; however, I bought back in after reading some of the in depth dd you have posted Hugh. I had to pay a bit of a higher price when I bought back in, but I feel this company may have some big plans in the future.
One thing that I find encouraging is that Steven Ning MA took on the position of Chief Financial and Chief Operation Officer earlier this year. I keep asking myself - why would someone of his calibre, education and experience want to get involved in this company if they did not have big plans for the future? In Kiwa's Feb 20th news release they mention "Mr. Ma's most recent position was as Managing Director of SAS Conserve de Provence in Camaret sur Aguy, France. I think 70 million Euros is around $97million USD. Why would this guy want go from that job to a company not even doing $10million USD annually? Why would Kiwa need someone with such expertise if they didn't have big plans for the future?

The most recent info I got from their 2008 annual report was that they had $176,290 in annual revenue with $163,044 in annual expenses. That is why I asked in my earlier post if the company reported recent sales contracts or extraordinary revenue in 2009 that I may have missed. If you take last year's annual revenue and use the 10 times earnings formula you get .038 per share. This is why I was wondering why the stock was trading much higher than that.
Just trying to figure this out because many posters here are suggesting the stock may go even higher next week.
Please let me know if I missing something because I wouldn't mind making some money too!

If you say Frank is projecting around $2,000,000 in revenue for 2009 wouldn't the stock be trading at around .0428 per share (based on current outstanding shares of 46,703,115) at the end of 2009 to reflect a $2m market cap (that is if they reach their projections)?

I had high hopes for this stock; however, after I read their recent PR and 10k I became discouraged and sold my position yesterday. After months of silence from the company I was expecting at least some encouraging news or comments but the only positive thing I read was "We are pleased with the sales opportunities for Kiwa's products at the start of the spring planting season." Perhaps they are saving the good news for Q1 09 results?
I felt without any positive news regarding financing that holding my position had become too risky as they confirmed in their news release that their 400m authorized share limit had been reached. Unless they are negotiating debt financing or I am missing something, I would expect they will have no alternative but to increase their authorized share limit again and possibly dilute shareholder's stock positions further.

After reading their latest 8K and 10K at the otcbb.com site under filings. I am trying to understand why their stock is in such high demand and the pps is going up so quickly.

It seems that the company became very quite regarding PRs after Steven Ning MA the new COO/CFO was hired. He seems to bring alot of experience to the company (See last PR Feb 20th for details). Perhaps he is wanting to sort things out with KWBTE before going public with news including financial info?

Mr. Li noted, "Along with previously announced certifications for organic products these registrations provide a solid foundation for a broad range of fertilizer products."

It would be unfortunate if new investors did not look into the potential this company may have. It is great that we got a nice lift today from the media coverage on swine flu; however, where I see the real potential in a pps spike is when they bring shareholders up to date on their finacial status. I am optimistic on this because of the comments made in a news release December 31st 08:

They posted the following Nov 12th, 2008: "Kiwa Bio-Tech Reports Third Quarter Revenues $2.3 Million & Nine-Month Revenues $7.5 Million"
Their annual revenue for 2007 was $9.1million (see news release Mar 26th 2008). They would only need to report over $1.6million in Q4 2008 revenue to show an increase in annual revenue.
