On or about December 17, 2004, the Company had reached agreement with the Lender to receive a $300,000 installment under the Loan Agreement and has provided the Lender with permission to convert 12,555 of the Series “B†Preferred Shares securing the Loan into 28,320,000 common shares that will now secure the Loan. The $300,000 in funds was advanced to the Company on January 7, 2004 and as a result of this transaction there are 31,561,421 outstanding shares of common stock in the Company, 28,320,000 of which are held by the Lender as security for the Loan. On March 4, 2005, the Company entered into an Agreement with the Lender to retire the remaining 36,675 Series “B†Preferred shares held by the Lender as additional collateral for the Loan.
That dilution all for 300 grand!

Spillway: Check out some insurance (health) companies first. Health insurance is more then a few hundred a month and IF you have had any major complications in the past 5 years, ie: bypass-cancer-hi blood pressure-diabetic, etc. your insurance could be as high as 800.00 to 1400.00 a mo. IF, you have had a by pass you may not even get insurance. If your company plan had more then 20 employees in it , you may qualify for COBRA, WHICH will be more then the premium you paid at work. From my experience-your health insurance-prescriptions will eat up a lot of cash in a month's time. do a lot of research before giving up your job, but the way it sounds you may have no choice.---sorry to hear your employee is such an ass... good luck

History has shown that Americans DO NOT SPEND $$$$ TO PREPARE, ANTICIPATE, OR PREVENT. We are actually willing to spend more $$$$$ to REACT, REPAIR, and to carry out RETRIBUTION. For most of us, "An Once of Prevention..." is not our way of life (i.e. pearl harbor, 911, earthquakes, floods, huricanes, etc.)
I am so willing to spend $$$ on prevention, preparedness, and would actually rather be hit square in the face with the truth anytime, then a pack of lies and political gain within our gov't. As far as i'm concerned we don't have, and have not had powerful and honest leaders in this country in decades..That is very frightening to me..Again with all the technology our problems are increasing...We have major water supplies and yet most of our water is contaminated, so everyone drinks contaminated bottled water and pays for it !
Most Americans will die because they cannot afford health insurance/ or are not covered for their illness. What about a major power loss in the winter..What about all the major underground sewage lines that are decades old, and the major traffic jams, because we did not plan on all this traffic--HELLO !!!!! WE HAVE SERIOUS PROBLEMS AND NO SOLUTIONS IN SIGHT. Think of all the abused children that are released back into their abusive homes, because the system is failing.
Gluts aplenty-but i believe most of us want the same thing--
a country that concentrates on its people and their well-being and safety. No-i don't have all the answers, but seems to me common sense goes a long way.

Blackouts, brownouts — refers to an interruption of electrical power due to excessive demand. Brownouts indicate voltage reductions of short duration, whereas blackouts indicate complete loss of power. Rolling blackouts refer to shifts of power loss from one area to another. A company or residence with a primary or backup power fuel cell would have an alternative to such power losses from the grid.

. The reported net credit loss rate and the 30 Day Delinquency rate are both lower through the first two months of the second quarter on average than the first quarter of 2003 on average. The 30 Day Delinquency rate has dropped from a little over 11% in January to a little over 8% in May which is a sizable decrease for 5 months.
2. PVN had an Investors Presentation on June 24th which was positive. The loss rate is expected to drop to 4%.

3. PVN management recently announced a Dividend Reinvestment Program (DRIP) and at some point they will announce a dividend for PVN after all how can you have a DRIP without having a dividend to reinvest. Also, the announcement of the DRIP would not have occurred, in my opinion, if the outlook for PVN was not good.
4. Insider buying has been high this year with almost 17 shares bought for each share that was sold (671,000 bought in 2003, 39,537 shares sold). No insider shares have been sold since March 9th while 461,000 shares (includes 101,000 shares bought by Richard Field on Friday, June 13th) have been bought.
5. The New Hampshire facility with 130 employees will be closed soon and its accounts moved to Texas which means a labor and site cost savings going forward. Another 275 employees in the Bay area will be leaving meaning labor and site cost savings.
6. Revenue was 25% higher in the 1st Quarter of 2003 ($598M) than the fourth quarter of 2002 ($479M) indicating a turnaround.
7. Labor Costs should be lower this year than last for the 5600 people that left at various times during 2002. The severence pay for the 5600 offset some of the savings. In 2003, there will be labor and benefit savings for the "full" year on all of them and no offset to severence pay. This should save about $140 million more in 2003 than in 2002. The same applies to 4 sites that closed in 2002 with 2 of those not closing until December 2002. The site savings will be much higher in 2003.
8. Employee efficiency is improving. The employees at PVN to customers ratio was 30% better (each employee handling 1.3 times as many customers on average at the end of the first quarter of 2003 than the fourth quarter of 2001) at the end of the first quarter of 2003 as compared to the fourth quarter of 2001.

9. The Allowance for Credit Losses account on the balance sheet of $978.2 million is at least 3 and possibly 4 quarters of reserve already sitting on the balance sheet. If PVN was to decrease the Provision for Loan Losses account (PLL) from the 1st quarter amount of $261.8 million to $0 there would still be $716.4 million ($978.2 million - $261.8 million) in the Allowance for Credit Losses account at the end of the second quarter and the $261.8 million the PLL decreased would go directly to the profit for the second quarter. That would equate to about $.90 a share ($261.8 million / 290.4 million diluted shares at the end of the first quarter) in profit. Now, I definitely do not think that management would lower it to zero or anywhere near zero. They may even keep the amount in the PLL account about the same in the second quarter as it was in the first. If PVN does keep it the same at least they won't have to add money to the account like they did in the first quarter of 2003. In the first quarter of 2003 PVN added $122.8 million to the PLL account. If that $122.8 million had not gone to PLL the profit would have gone up $122.8 million or $.43 a share more than the $.02 it reported.
