I agree with this -- that Yas has invested in Illume.
The 3 companies listed at (http://investing.businessweek.com/research/stocks/private/snapshot.asp?privcapId=805217) under the "Recent Private Companies Transactions" section are companies in which Yas has invested in, and that have recently been merged/acquired by other companies (not by Yas).
Like what it says, "YAS Broadband Ventures, LLC is a venture capital firm specializing in angel, seed, and start-up investments. The firm prefers to invest in the broadband and telecommunication sector with a focus on companies participating in the voice, data, and video services". What all this implies is that YAS has done its DD on these companies, and felt confident that these companies will make it BIG someday in the near future (and of course, the holy grail of this is to be acquired by some great company).
So, can't everyone here see "Merger/Acquisition January 27, 2012 Illume Software, Inc." listed among those 3 companies? If so, I don't know why ppl are still doubtful, skeptical, and even just "cautious" over the idea of whether or not the OMPG/Illume deal went through. It's obvious the deal was already done on 1/27/12.

So, in the anticipated PR, in addition to an announcement that the merger has been finalized, are we also expecting them to reveal the share structure (or changes to it)?
Regarding the ss, if an increase in A/S or a R/S is considered bad news for investors, what type of ss would be good news then??

A $5M-10M debt may or may not be relatively large, but if the deal is finalized, it means opmg is confident enough (for one or more reasons that we all are waiting to hear) to take over this debt amount. So to me, this finding of yours makes me feel even more confident that opmg has it down.

Sprint has a few other "partners" in addition to Illume on board in their Developer program as well..

With Bieber on Illume's side now, we can assume IZUP will have greater exposure, advantage and, thus, demand over its competitor products, if Illume strengthens its campaign and bid in the developer war for Sprint.

AllState is probably not going to work with PhoneGuard anytime soon. I actually emailed them last week to ask about PhoneGuard, and this was their reply:

Man, I love that paragraph! And I (and everyone should) take Dan's words for it, that his DD has led him to confirm that OPMG has sound fundamentals and a great solution, and this company will definitely be turned around and become GOLDEN.

I'm at 1M shares right now, so I don't really care how relatively low the pps is (it can't get much lower anyway). A one cent increase in PPS will move my balance up $10,000. How can you see that and not go out and buy more at these prices? Load 'em up now!

PR says "The shareholders of Illume will own 40% of the post-merger company.". Doesn't that simply mean opmg will add 40% more shares so that they can distribute to Illume investors? Nothing surprising or unexpected about this dilution. We all know it was coming. It's happening right now probably...
Also, PR says "Sprint...recently named Illume as its distracted driving solutions partner for enterprise customers". This is great! But what does that mean for our speculation about the deal with ATT? We can't be partnered with both cell companies can we??

I never understand why all these financial/legal texts have to be written in such long, winding, wordy and convoluted run-on sentences that most of the time confuses the reader more. Why not make it a law to write them in a manner where EVERYONE can understand clearly, and which would prevent ambiguous interpretations? After reading the 8K, I'm actually more confused now at the wording below:

That's the definition of a reverse merger. But a lot of members here believe that this event is just a regular merger, so the private company will not get to make much decisions
i generally agree with your interpretation of the 8K. i think I Acq Corp was created just for the purpose of merging with Illume, and afterward, i predict this joint entity will have a new name and stock symbol. a flagship software suite will be the end result for this new subsidiary.
Didnt the latest 8K say that current investors in Illume will be able to convert Illume shares to opmg shares, and will have warrants to buy more opmg shares? (See quote below). This implies our opmg shares remain unchanged, except in value, and we keep what we own. Right??
