Good post.
I am still up on the bulk of my shares (which I moved to my retirement account) but I am down on my second batch of shares.
I am fully aware that anything can happen - both good and bad - but also expecting that my real returns will be seen in 3-5 years.
So, I usually just check in:
1. To see new developments
2. To learn more about the company
3. To see if I can grab some more cheap shares
All The Best
I spent a couple hours checking out the purpose of the two clauses which the CEO & CFO must sign on the 10-K & 10-Q.
I am not a finance expert, neither a lawyer, but from SEC, law websites & business websites, my conclusion is:
1. Both phrases are used with every publicly-traded company.
2. Both phrases are required for every publicly-traded company to follow.
3. Both phrases are nearly the same.
Phrase:
"disclosure controls and procedures (as defined in Exchange Act Rules 13a-15(e) and 15d-15(e)"
Has to do with the fact that the CEO and CFO are certifying that there are proper protocols in place where the entire reporting system is done authoritatively. Basically, the CEO and CFO publicly acknowledge that they are responsible for accurate reporting.
Phrase:
"fully complies with the requirements of Section 13 (a) or 15 (d) of the Securities Exchange Act of 1934 (15 U.S.C. 78m or 78o(d)"
Has to do with the fact that the CEO and CFO are accountable to be sure that they are in compliance with the Sarbanes-Oxley law. Basically that the CEO and CFO are responsible to certify that all the financial information on the reports are accurate and correct.
No company can get a federal grant or even be considered SEC-compliant unless they obey these laws. It does not mean that they are preparing themselves FOR a grant or have already received a grant.
*A little tip - any time a .PK stock claims to be receiving a grant or federal funds for a project, this law proves they are lying because they are not SEC-reporting, therefore held to adhere to these two laws.
This is just my general understanding from all that I have read. DO NOT trade based solely on this post.

I am trying to put those pieces together.
If it is a grant - and only a grant.
Or, if it is a commitment from OPIC?
Global Sun (Arava Power) is getting a ton of money from OPIC...
It would be a very big piece to the puzzle.
Haven't found anything yet and have to step out for a while, but I will be back around lunchtime and try to dig into it then.

That is the truth - someone (I would think Mark Lev) is so careful to have every "i" dotted and every "t" crossed so that the new tenant of SNRY will not have any problems in the future.
This is still another indicator (to me, anyway) that a solid company will be coming here - one filled with so much potential that they don't want any problems with the filings.

Interactive Data:
Putting Technology to Work for American Investors
What is Interactive Data?
Put simply, interactive data means using technology to provide investors with quicker access to the information they want, in a format they can most easily use. Today, publishers of financial information offer a wealth of data about stocks, bonds and mutual funds. Unfortunately, investors seeking financial information direct from the source must often attempt to read lengthy corporate annual reports or mutual fund prospectuses. Even if these documents are online, they are often digital blobs with limited search capability.
And whether it's the individual investor or an employee at a financial publisher who's poring over a company report, the need to manually review such documents is a time consuming process.
Interactive data pinpoints all of the facts and figures trapped in these dense documents, allowing investors to immediately pull out exactly the information they want, and instantly compare it to the results of other companies, performance in past years, industry averages — however the investor wishes to slice and dice the data. Sophisticated tools to analyze financial data could be developed and become available to the average investor. Meanwhile, for the financial pros and financial publishers, analyzing companies could become cheaper and easier, as inputting and re-keying costs are lower and resources are freed to focus on creating better analytical tools.
How does it work?
Instead of reading a dense document and manually identifying relevant data, interactive data allows the creation of documents that are machine-readable, so that computers can quickly extract the desired data. Think of every fact in an annual report, every number in a company's financial statements, as having a unique barcode that tells standard software what the item represents and how it relates to other items in the report. Interactive data "tags" all of the key facts in these large documents, so that software can instantaneously recognize them and serve them up to the investor.
I'm not sure, but I think the SEC is trying to get "up to date" with the capabilities of the internet age.
I believe the interactive data allows a reader to click on to a part of the filing and jump straight to it - a link embedded in the document.
The only other thing which may have been the main reason for the updated 10-K may have been the interactive data being added.
Other than what you discovered, I didn't find anything different in the 10-K & the 10-K/A except that interactive data was added, too. If you remember, the last 10-Q was amended simply for that reason.

Been enjoying the posting activity on this board.
In answer to the #6 Fuel Oil argument, the sulfur content seems to be ABSOLUTELY the focus of the EPA.
From the DoE publication April 2011
7. Mandates for low-sulfur heating oil in the Northeast During 2010, Connecticut [40], Maine [41], New Jersey [42], and New York (43) passed legislation to reduce the maximum allowable sulfur content of heating oil sold in their markets. Pennsylvania proposed a similar law, but it was not approved.
Connecticut and Maine will begin regulating maximum sulfur content by mid-2011, with Connecticut reducing the maximum to 50 parts per million (ppm) and Maine reducing the maximum to 15 ppm. The Connecticut law includes a second reduction to 15 ppm in 2014. Connecticut and Maine also put in place requirements for 2-percent biodiesel content in heating oil, starting in mid-2011. The New Jersey legislation reduces the maximum sulfur content to 500 ppm in 2014 and includes a second reduction to 15 ppm in 2016. New York reduced the maximum sulfur content to 15 ppm starting in 2012. The new laws in each of the four States are included in AEO2011.
On February 1, 2011, the U.S. Department of Energy also announced plans to convert the inventory of almost 2 million barrels in the Northeast Heating Oil Reserve to cleaner burning ultra-low-sulfur distillate. The first phase of this transition was the sale of the 2 million barrels of heating oil in February 2011. The receipts from those sales will be used to purchase ultra-low-sulfur heating oil to refill the reserve before the 2011-2012 heating oil season begins.
I went long about 5 minutes after open, got in @ 2.22. Not looking to hold long, 3-5 days - depending.
HERO moving back up again today. Hercules Offshore just reported big losses - but the losses last Q were considerably smaller YOY.
On a slow/red day on the DJI/S&P, the few that move up can be a real sign of strength, depending on the reason, of course.
HDY looks like it may have found bottom, too.

Pulled the trigger on DEXO first thing this morning at 2.16 for 27% gain.
Also got out of REXX at 10.43 with a hair under 8% gain. Stock pps was too static and needed to put my money to work better. Not a good call on that one, but at least I didn't lose any. I'm still planning on playing the jump from the financials - released on 2/21.

Perhaps they thought they were watching the Food Network ... although Hell's Kitchen is a very appropriate name for the Pink Sheets.
Someone already had an order sitting at .0015, so another entity which holds shares (could be a MM, an actual shareholder, a holding company, or an insider who holds shares) sold a tiny amount for the specific price of .0015.
Anyone can put in a bid for as high or as low as you want. If the bid is over the ask price - it usually will be an immediate buy. If it is lower than the ask price, it may sit there forever - or until someone else sells to you at that price.
Often when people "bid-whack" they own some shares and want more, so they sell a few very low, then lower, then lower and when people lower their ask price to where that individual wants it - they buy a bunch at the price they were "fishing" for.

I certainly am not a Level 2 expert - but someone over the last few days keeps trying to whack down the pps with tiny sales. It makes me think that SNRY has told their MM that they want the R/S to put the pps in the teens and definitely not the .20's or .30's.
Just an intuition, not saying I have any proof of it.
I can't imagine anyone else purposely pushing the price down ... to sell? I can see someone pushing it down trying to buy.

While Monster Silk has been around since June 2011 - I doubt enough of it has been around to make fabrics and get a strong foothold on the textile market.
If KBLB had to step back and make new insertions for a stronger, more productive strain of silkworm - I'm all for it.
I would imagine that now they have proven themselves to be successful, other labs are attempting the same kind of things.

DEXO up 15% today and 5% yesterday, trading @ 2.17 currently.
Next strong resistance/support looks to be in the area around 2.36 - not saying I guarantee it will hit there today, but possibly tomorrow.
I'm up 28% since back in on 1/27 @ 1.69. It would be nice to hit above 35%, though.

Israel’s Bedouin Get Solar from Arava (+ Obama)
Susan Kraemer | February 7th, 2012
The first-ever license for a solar project has been awarded this week to Israel’s bedouin community by Israel’s Public Utility Authority. Yosef Abramowitz of Arava Power Company promoted and led the solar project, to make a solar energy dream come true for Bedouin living in the Israel’s Negev desert.
The Obama Administration is supplying 80 percent of the $30 million of financing it will take to build the small photovoltaic solar farm, using the little-known Overseas Private Investment Corporation of the US government: OPIC.
(Lest Americans wonder why the US is investing in foreign energy, OPIC actually generated net income of $269 million in Fiscal Year 2011, making a profit for the 34th consecutive year. In addition to generating revenue with its loans, OPIC recorded a three-fold increase in the amount of capital the agency’s financing mobilized, rising to $4.4 billion.)
Arava eventually plans an investment of approximately $1.5 billion to build a proposed pipeline totaling over 400 MW, spread among similarly small rural ectrification projects as this one. Arava inaugurated a small 5 MW solar PV installation at the Kibbutz Ketura last year at a cost of $20 million, that marked Israel’s first solar PV plant.
Solar photovoltaic (PV) by contrast utilizes the kind of direct conversion of sunlight to electricity – this is the solar that most people associate with the typical image of a solar panel. This kind has come down 80% in recent years with much cheaper panel production in China, so its advantage is its economy.
The concentrated solar-thermal power (CSP) varieties of solar, which were pioneered by Israeli engineer Lutz, actually hold more promise for making solar a 24 hour energy source, because energy storage is possible to provide after dark.
This is the type that is being advanced by the gigantic Desertec solar projects now going up in Tunisia (a 2,000 MW project) and Morocco: Desertec Begins: 500 MW Moroccan Solar in 2012,
In the past year, five contracts have been signed with Bedouin families to build solar PV projects totaling 31 MW of energy. No other power company has ever formed solar partnerships with Bedouin families.
“A thriving and developed solar industry among the Bedouin communities will grant an economic and social solution for one of Israel’s disadvantaged populations,” said Jon Cohen, CEO of Arava.
“I hope the government of Israel will view this as a long-term investment that will advance the Bedouin population in the Negev. I am proud that Arava Power is pioneering entrepreneurship that integrates social justice into an economical and green business project.”
Of course, we never know who will be the new tenant of SNRY, but it would be interesting to find out that it was GSP and the delay was caused by the Israeli government!
News for Arava Power - they finally got past the government hold-up.

Regulator approves first Beduin solar license
By SHARON UDASIN02/08/2012 02:38 By Hannah Schafer
The Public Utility Authority on Monday night issued the first license for a solar power facility on Beduin land, approving the Tarabin family’s application to build an 8-megawatt photovoltaic field on their property in the Abu Basma region in the northwestern Negev.
The $30 million field will encompass 15 hectares (37 acres) and will be developed by Arava Power Company, the firm responsible for opening the country’s first medium-sized solar field in Kibbutz Ketura in June. Arava Power signed a contract with the Tarabin family a year-and-a-half ago, and 80 percent of the money for the project is slated to come from OPIC (Overseas Private Investment Corporation), an independent United States government agency.
“I would like to thank all those who labored to advance this outstanding achievement to build a solar field on the Tarabin family’s land,” community leader Haj Musa Tarabin said. He thanked Arava president, Yosef Abramowitz, for his social justice vision. “It is a dream come true for the Beduin population as solar energy will provide fixed sources of income and economic benefit to the Beduin in the Negev. I hope that there will be many more solar projects to come for our community,” he said.
The road to acquiring the approval was not easy. The Public Utility Authority delayed making the decision twice in January, something that Abramowitz had feared would put the Tarabin family at a disadvantage, as more and more of the 300-megawatt cap for medium-sized fields was being claimed in the meanwhile.
When the most recent postponement occurred two weeks ago, Abramowitz said that the delays made Israel appear “in a negative light with the American administration.”
Now that the Tarabin family field has been approved, Abramowitz recommended that the government allocate a quota for Beduin solar fields, so they do not get closed out of the competition to acquire permits.
“If Israel’s government doesn't allocate a significant quota for Beduin solar fields, it will be difficult for these citizens of Israel to genuinely participate in the domestic solar industry, as they are in a disadvantaged position compared with other landowners,” Abramowitz said, adding that economic and social justice must reach the Beduin community. “Solar power for Beduin in Israel can be a positive example for all indigenous peoples around the world, from Native Americans to First Nations, Aboriginals and others with historic land claims.”
In total, Arava Power has signed five contracts with Beduin families to build solar project, encompassing 540 dunams (133 acres) and about 31 megawatts, according to the company.
“A thriving and developed solar industry among the Beduin communities will grant an economic and social solution for one of Israel’s disadvantaged populations,” said Jon Cohen, Arava Power CEO.
“I hope the government of Israel will view this as a long-term investment that will advance the Beduin population in the Negev. I am proud that Arava Power is pioneering entrepreneurship that integrates social justice into an economical and green business project.”
Well said, ES1.

The reverse split was scheduled to take effect as of January 31, 2012 - the reverse merger has never been announced.

I know readers can become weary at times; but we all need to remember that this is a forum where anyone can discuss KBLB, whether positive or negative, as long as we adhere to the TOS and don't break those rules.
Also, anyone has the privilege of using the IGNORE button if they feel adverse to reading anyone's comments, whether they are a positive poster or negative.
Personally, I want to learn every piece of valid information I can (whether positive or negative) about any stock in which I am involved, it causes me to continually reassess my position.
Opinions (like mine), however, don't really matter at all.

The more MM's battling for shares, the quicker the volume can come in. Perhaps they are preparing for the "non-existent" CC, too...

Nice to see the pps slowly creeping up.
Since the R/S has already been authorized to be effective on JAN 31 - it could happen any time now.
Any day we could wake up to see the split has been enacted - then I would expect news to follow very shortly. It appears as though all this has been set up to follow a pattern:
R/S on JAN 31
"Acquisition" to close anytime
David Fann speaking FEB 1 at Solar Conference, after basically running into a hole and disappearing for months.
There should be a reason for all of these timelines to converge.
Something may be holding up the works. Hopefully, we will see soon.

Nice to see the spread at .11 x .12 now.
That is much better - next ask showing is at .15
Well, what is showing is not all that is there. Just for kicks I grabbed 7k @ .11 and after my buy - 7k is still showing.

WHEN the financing gets done,
The acquisition is already profitable - revenue stream is increased,
Then the overhead on SMKY product is also immediately slashed,
SMKY becomes immediately profitable.
That's big. People will be lining up to buy, then - but we could be at least double where we are now. So, now is a good time for me to accumulate.
Congrats to whoever got those .11 buys!
