Also, those who are looking at NHSH as the shell to be utilized, I would be surprised if Jeff/Owens maxed out the 750M A/S with our share swap. I'm sure they would want to leave a little room for employee incentives, etc., at the top so they won't have to increase the A/S in the foreseeable future. IMHO of course...

Where Joe is concerned, desperate is as desperate does...Soon Owens will be the majority stockholder and there is nothing that JC and his cronies can do about it. Once that has taken place, Owens will be in a position to sue the appropriate individuals for filing false shareholder consent, instigating people to impersonate officers and directors of the company, and tortuous interference in the company's business just for starters. He also may have some grounds against Josh for allowing the planes to be reposessed since he had indicated a willingness to pay off the loan balance. I predict tough times ahead for the tough guys..and then there is the GJ.....

That's really funny BLTN - Obviously Kwon is refering to the Faux BOD that Joe/Dean are trying to put over on shareholders, because Jeff certainly wouldn't be attempting to taint himself as one of the authentic BOD members. He says out of one side of his mouth that shareholders control the company, then out of the other he states that the shareholders are too dumb to understand what's going on so they must be excluded from the decision making process. And he takes issue with our jumping all over him...some folks are really into themselves aren't they - What a guy....

Buddy - I don't know about other brokerages, however ETrade will lump all your shares together at the time of the exchange, rather than give you a line item by line item exchange. As a result, you will loose you past QASP purchase history if you don't make a copy of it before the exchange takes place. Please correct me if I'm wrong, but I believe the IRS will allow you to take the position that when you sell shares after the exchange, you are selling your oldest ones first based on your QASP purchase schedule.

Looks like we have a good possibility of getting the Merger NR prior to Thursday since POST MERGER is Thursday's topic. Hopefully once the NR comes out, we will have a better feel for how long it will take for the share swap process to be completed. The stock chart looks primed for a nice upward move with any pressure on the ask.
Invest - appreciate your well thought out responses. IF J/J issue an NR next week as anticipated, we should get a better insight into the specifics including time lines. We definitely need to dump all this baggage that has been dragging us down and get the new show on the road ASAP. Have a great day...

So in your opinion, is the share exchange the best approach? Would you know whether or not Rule144 could place any trading restrictions on the exchanged shares of QASP shareholders?
Are there other alternatives available including alternatives that would leave QASP shareholders with their QASP shares, yet able to receive shares based on some formula related to QASP share ownership in the new company?
I would presume that the preferred share issue will be resolved with the present court case and based on Lisa Betros comments that no preferreds were issued, hopefully that point will become mute.

IMO, a stock exchange would be the same as a merge which is what they have chosen not to do. A dividend will be so many new shares for so many QASP shares held as of a certain date in the new company. IMO Owens use of the word "exchange" was not well thought out.

Art - you are'nt giving away any of your QASP shares, you are simply receiving a dividend in shares of the new company. You'll still have all your QASP shares. I also highly doubt that NHSH will be the shell that Centaflix merges into - IMO that is reserved for MS and QASP shareholders will also receive a dividend in shares of that new company when that merge happen as well. Bottom line, don't sell your QASP shares too soon...

When it comes to the share distribution, a date will be set for common share ownership in the NR. Any shares purchased following that date would not qualify and if there were any sort of share conversion that had not been completed it too wouldn't qualify. If JoeCon has common shares as of the date specified in the NR he would receive dividend shares, otherwise not IMO.

Folks need to keep in mind that there may be 2 dividends involved here. One for Centaflix and one for MS which most likely will go into a separate shell as CAT has indicated. So don't unload your QASP shares too soon. Where the dividend date goes, typically when the NR is released, it will state that those owning shares lets say of QASP as of April 29 will partake in the share dividend (just an example off the top of my head but based on past experience). Then there will be a date down stream when the merger into the new shell will happen. At that time, your accounts will be credited with the dividend shares of the new company. Also the stock symbol will most likely change as well as the company name at that time as well. Again just my observations from going through this process in the past.

If you are a CEO and are looking ahead at income potential and also looking at possibly uplisting the stock in the future as well as providing a share dividend to stockholders of another company, wouldn't you (as CEO) be in the best position to know how to set up the share structure to cover all the above to make it a win-win for all concerned?
