So let me ask... what do you think the 'fair value' is for this stock in PPS? How did you come up with that value?
SM
I am not on the BID nor going to hit the ASK. I am fully vested. How has it been since you hit the ASK yesterday? Still below the .0024. Did the MM's let that 50K be hit @ .0024 or did they fill it @ .00235? I might not have the right trading platform, but I can not enter an order for .00235. That must be the MM's manipulation AGAIN to keep the SP below the 50 SMA for 30 min.
'Free Lesson'... worth EVERY penny you charged for it.
Just to make the point again... no answers to the posted questions.
SM
Is there ANYONE here that thinks my questions are 'dumb'?
Does anyone think that my questions are NOT important to this company AND investing in this company?
I am open to your opinions, but please be specific if you think they are not important and why.
SM
'MMs will do what they want when they want to...'
Yep, no matter how illegal.
'until than, we wait'
Not neccessarily...you could use this link... https://www.sec.gov/complaint/select.shtml
'Regardless of investors, MMs own too many shares'
I do not know how many shares the MM's own. Since they are in control of the Market, I would think that they are SHORT more shares than they are LONG looking at the SP action. They do not lose money.
'They will move this when they are ready to flip script.'
IF they decide to flip it. They could just take it down to nothing. As for the current REG A... I do not see anyone buying @ .004 now since it is now trading @ .0018. Who would pay over 100% more? If they can not sell the rest of the shares @ .004 to complete the REG A, then they will have to re-evaluate and do something else. The REG A goes until May. That means there should not be ANY NEW MONEY coming into the company from the REG A from now to May.
Maybe we should just grin and bear it!
SM
That was such a well thought out response to the questions posted. I will have to frame it up for my standard to compare all the other responses from here on out. You must have gone to school a long time to reach that level of competence.
SM
If I have missed the answers to these questions from the company or from anyone here, I am open to hear the answers.
AND NO... I am not like Packer. I do not think they are liers and thieves. I think BTDG WILL be successful at sometime in the future... it just might not be in time for ANYONE CURRENTLY invested in this to make a profit... that is the reason for my questions, to see if anyone here has looked into these things and has an opinion.
Still waiting for an educated and productive discussion on this board.
SM
Revenue is NOT PROFIT.
Until the revenues increase to cover losses, there will be LOTS MORE shares issued. Each share that has to be issued is diluting OUR interest. The key is ONLY WHEN they can reach profitabiliy AND when they can stop 'Diluting'.
It is as simple as that to me and I do not see ANY answers from the company about those things.
SM
I have not said anything about the potential of the company! I think this company will be a success sometime in the future...BUT, that does not mean that US as CURRENT shareholders AT THIS TIME are going to benefit from the success. It might be after another RS or 2. It might be after they have 'enough' acquisitions.
Based on your THOROUGH analysis of the financials and their projections of revenues... WHEN do you see 'breakeven' coming? At that time what will be the OS? Is there going to be an increase in the AS or a RS before profitability?
I do not see any answers to the questions from your response. Do you have any answers to any of those questions that I asked from my previous post? Have you spoken directly to the company for a response from them on these things?
SM
The last PR was 'great'!?
Do we know what the terms are of the 'toxic' financing?
Do we know how many shares are still being sold and how often it is necessary to finace the losses?
Do we know when they are projecting to breakeven and can stop diluting?
Do we know what they are going to do when they reach the 5 Billion AS limit? Increase AS or RS?
Do we know how they plan to finance the 'acquisitions' they spoke about in the PR? More shares sold... AND AT THESE LEVELS?
Do not get me wrong... I am glad to see that revenues are increasing at such a pace, BUT without ALL the other questions being answered... they are just financing all the operations and paying for the losses with OUR INVESTMENT that is getting worse by the day. This is down OVER 60% in 60 days.
Maybe someone wants to press the company for some real answers to these questions. All else is fluff and stuff... up our ass!
Maybe we can 'cheerlead' our way back to .01.
Anyone here want to try and have a discussion on the questions above?
SM
YES!
As I have said for years now... This is ALL the MM's. All this price action has NOTHING to do with what the company is doing.
Until action is taken by the investors to stop this we will just keep taking it up the ass with no Vasoline.
All this talk about the company 'doing this or not doing that' is just a waste of time. ALL this BS is from the MM's and they are STEALING.
Glad someone else see this for what it is!
SM
So what has not been posted on here?
Yes, the $270K 'Small Company Offering And Sale of Securities' that was posted the same day as the 10Q.
Not to mention the ADDITIONAL $47K this time just the day after.
I have asked before and I will ask again for the SPECIFICS of these Convertible Notes. Anyone here know?
It is easy to post links to PR's and filings as they come out, but it is another thing all together to know what the specifics are on the 'toxic' financing going on.
Don't you think that the specifics of the financing is important to an investor? Why is there not any specifics being posted about this here.
My quick calculations on this would be 90 Mil NEW shares up for conversion for the $270K @ a .003 price AND another 16 Mil for the $47K.
We can put aside all the BS about 'never even done $1 Mil in revenues... those liars, etc.', BUT we sure NEED to know the details of the financing AND when they believe the 'breakeven' is coming so they do not have to keep this up every month. Not to mention when they see turning a profit and what, if anything, they intend to do for the long term shareholders the have sat through this thus far. Anyone ffrom the company read IHUB and want to respond?
I think IHUB has become mostly a place for 'cheerleaders' either for or against company's and there does not seem to be much in the way of 'investors' that want to know all the specifics of the company. It is just 'let if run for a profit' or 'what a POS, diluting, criminals, thieves, diluters, scammers, etc.' and 'I told you so'.
Things have really changed here over the years and not for the better IMO.
ANYONE have any of the specifics to the financing?
ANYONE contacted the comapany AND got a response back?
SM
9 Followers? Why would anyone follow what I have to say? I know nothing... I see nothing.
Someone really following what I have to post... unbelievable! They should probably 'unfollow'
SM
That are my thoughts EXACTLY! Just had a slow day today and some extra time on my hands.
To answer your question... not me.
SM
I can't read? What is it that I have not read correctly? Please be specific.
Please give me what was actually said that I should have read and where I was wrong in my readings.
SM
Well, I am not the one that 'invested' 50K in the .008's and NEEDED a home run to bail me out. I am well within my investment limits with this one and I have a decent Average Price. IF this is a scam, I will still be OK. If this is what many here are expecting then I will be really good in the future.
I just take it all as it comes.
Call your doctor! Have him review your treatment options!
SM
I think we ALL can get what you are after. I am glad you put it in writing though. BUT, the SEC would have to be investigating this company in order for it to be suspended. We all know from your own mouth this is nothing but BS from you. No investigation.
Should I wait for the 15 minutes to expire so that I do not miss any other personal insults you have for me? How may times are you going to add to the original post?
Look again at the list of medications.
SM
This is not you?
"I just need one positive news this week to convince me and i can i buy 4mil shares in a heartbeat..'
It says nothing of 'convincing news'... it says that you ONLY NEED ONE POSITIVE NEWS this week TO CONVINCE YOU to BUY 4 Mil shares.
I guess people could be confused if they really do not read EXACTLY what people write.
I seem to remember something about 'an ongoing investigation into this company by the SEC and it could be SHUT DOWN AT ANY MOMENT'...
Just more BS.
So did you read the list of medications? Which ones are you on? More than one? We need to notify the doctors to try some others. I believe in 'following the Science'. They will find one that works eventually.
SM
Why would you EVER want to buy 4 Mil shares of this company with 'A Piece Of Shit CEO'?
Did you not sell out?
I can not keep up...
piece of shit...
buy 4 Mil shares...
piece of shit...
buy 4 mil shares...
Which ones are you on? Just want to make sure so I can notify the company that IT AIN'T WORKIN'

Medications for Bipolar Disorder
Other names: Bipolar Affective Disorder; Bipolar Affective Mood Disorder; Bipolar I Disorder; Bipolar II Disorder; Manic Depression; Manic Depressive Disorder; Manic Depressive Illness; Mood Disorder
Bipolar disorder is a type of mood disorder. People with bipolar disorder fluctuate from feeling down and depressed to feeling super-charged or manic.
The disorder used to be called manic depression or manic-depressive illness. However, nowadays, several types of bipolar disorder are recognized: bipolar I, bipolar II, cyclothymic disorder, mixed features, and rapid-cycling disorder.
What are the Symptoms of Bipolar Disorder?
Symptoms vary among people with bipolar disorder, depending on what type of bipolar disorder they have. All have slightly different symptoms. Symptoms reflect mood opposites and may include:
Periods of high or irritable mood
High energy levels
Scattered and unproductive activity sometimes with painful or embarrassing consequences
Little, if any, need for sleep
Thinking that is out of step with reality
Psychotic symptoms, such as false beliefs (delusions) or false perceptions (hallucinations)
Very low mood
Deep depression
Self-loathing
Feelings of hopelessness or despair
Refusal to get out of bed.
Some people only develop milder symptoms of mania without psychotic symptoms. This is called hypomania. People who don’t have full blown episodes of mania are more likely to have bipolar II disorder.
These mood swings are much more severe than the normal ups and downs most people go through. In between mood swings, most people with bipolar disorder can lead relatively normal lives.
The time spent in each mood state (ie, mania or depression) varies depending on the type of bipolar disorder but can range from days to months. The severity of the mood state can also vary significantly, with some people only ever experiencing mild symptoms.
What Causes Bipolar Disorder?
Although the exact cause is unknown, there does seem to be a genetic link, and you are more likely to get bipolar disorder if you have another family member with the condition.
Symptoms are often triggered by a stressful situation or circumstance. This may take the form of a relationship breakdown; physical, sexual, or emotional abuse; money problems; or the death of a close family member or loved one.
Symptoms are thought to be due to changes in the balance of some neurotransmitters in the brain, specifically noradrenaline, serotonin, and dopamine.
It can be hard to recognize bipolar disorder initially. During a manic phase, a person with bipolar disorder may be incredibly fun to be around. However, as the condition progresses, these manic episodes become more extreme.
Some people with bipolar disorder only experience slight mania and are mainly depressed. Misdiagnosis as depression is common. If an antidepressant is prescribed without a mood stabilizer, it will often catapult the person into a full-on manic state. Recognizing bipolar illness is important for treatment, as mood stabilizing agents are the best type of medication.
How is Bipolar Disorder Treated?
Bipolar disorder can be treated. For best results, medication needs to be combined with therapy sessions and the instigation of good routines.
The most effective treatment for bipolar disorder is a mood stabilizing agent. These medications even out the troughs and the peaks of mood swings to keep you on a more even keel. Other treatments may include antipsychotics or antidepressants.
Medications should be combined with nonpharmacological treatments, such as:
Cognitive-behavioral therapy: This looks into any negative thought patterns you may have and challenges them in order to change your behavior.
Interpersonal and social rhythm therapy: This aims to improve disruptions to your biological or social rhythms (such as sleep disturbances and relationship issues).
Family focused therapy: This involves your family in your treatment, educating them and allowing them to support you fully.

$37,000 by 52 weeks gives $1,924,000 in just event revenue, IF we have 52 of them in the next year. That does not count the weeks that might have 'double events' on the same weekend. Also, I do not see anything listed for the 'sponsorhsip' revenue. I noticed in the 'Colosseum Combat' fights there is a difffernt ring and their are sponsors for those. In the other fights I can only see B2 and One More Gym. Anyone here have any insight into the difference and why the sponsors are not carried over?
I would like to see a breakdown of the revenues of last year at the same spot (event) and this year in terms of revenues, etc.
Does anyone know when the Dayton event was last time? Do you know what the figures were? I would be interested in seeing the breakdown of revenues.
This is really getting into 'no man's land' as SP is concerned. I have asked before for the details of the 'offerings' they are using to finance operations and have not had anything posted here.
I might suggest that they look into a REG A offering so all can be transparent and put a 'floor' under the SP. We all know they have to raise money to continue operations, but if they continue to do it the same old way... especially down at these SP levels, we are going to see massive share issuance. The REG A will give the amount, time and price for all to know.
Is anyone from the company 'here' listening? I hope they you all actually think about increasing the Authorized Shares (if eventually needed) instead of contemplating a RS. Long time investors are here if you want to discuss.
SM
How many people and how many times has that been said to this one and others here? I really wish people could just stop giving them an audience. It has been explained MANY TIMES and in MANY DIFFERENT WAYS and still it does no good. If they would have done what I ( and ohters) said a few weeks ago and keep averaging down and wait for the 'pop', they could have gotten most or all of their money back AND THEN LEFT. Now they still have a bad taste in their mouths with there losses, so we will contimue to have to hear them... BUT it does not have to be this way, if they do not get an audience.
On a side note... that was a pretty good run from .003 to .0066 in just 2 days. There were several of us here that told them to average down and just be patient. It came right on schedule as was perdicted... but they were screaming '.002 and .000's coming next'. NO... .0066 was next!
I do not even pretend as to what is going to happen next, nor give a PPS of .05 or .10, etc. BUT, EVERYONE that did not want to be in this thing HAD their chance to get out with at least just a small loss and move on to others investments.
I do not have much time today, but I am just 'begging' you all to stop giving them an audience and let them move on. You only have to look at their Post History over IHUB to see all that is need to be seen.
I personally am invested for the long haul on this one.
SM
What I have not seen posted here is a reference to the SPONSORS that we are now seeing for the fights. In the past I have heard: 'what's the big deal, they only have B2Digital as a sponsor in the ring'
From the videos of the fights I have noticed many others now including:
Barkers B&K
Fleyesgear.com
Portapottyman.com
Colosseumcombat.com
Home Town Realty
The Relax Place
Shaffer's Fencing
On Site Services
First Farmer's Bank & Trust
Top Of The Line Auto Detailing
Oscar's Pizza
Hawg Heaven
Barlow's Beard Butter
and others.
I would say that is a step in the right direction compared to just a year or so ago.
SM
Any time... Look forward to it!
SM
NOW we might be getting somewhere....
YOU bought into the REG A?... or you bought through your broker knowing there was a REG A?
If you bought into the REG A specificaly, I would be interested in knowing ALL about it. If you would please explain as much as you can about what you did and how it all took place. Please expect follow - up questions. You can PM me if you would like... BUT I would prefer it here so that everyone could get the benefit.
Thanks,
SM
Sorry for the delay... there had to be 'technical' changes to this post.
There are 'many' here that make a living finding these 'scams' before they take off. That is exactly why many of us are here. We like to help each other FIND those gems that take off. There are many different ways to TRY and find them and I am very grateful to those that come on these boards that post their DD and other 'technical factors' they watch and let us know what they are looking at and find BEFORE THEY MOVE. There are way to many here (IHUB) though that like to 'bash' and 'call it after it has run'.
There are too many of us here that are trying to make a good living 'finding the gems' on the OTC and 'side stepping' the land mines.
Look at my profile and you will see that I have been here a long time. I was here before I started posting.
To be honest... I just get tired of hearing you. You have had the opportunity to express your displeasure with this company and CEO. Everyone has heard you. You have not had anything new to say for quite some time. You said that you sold 'almost all your shares' in this company. If you do not have anything NEW or positive to add to the conversation here, you should just move on... IMO.
I am not going to argue with you. I just had some extra time today and what I am watching does not seem to be going anywhere today... so I have no chance of running over my posting limit.
You know that is a bitch when I have something to say or alert on something and I have run out of posts for the day just 'gabbing' on non relevant issues like this one today.
As always... I wish everyone the best in their investments. I do not want to see anyone fail...even you. I hope you find the next big one since this one is obviously not the one for you.
Good luck,
SM
I am familiar with the Iceberg order. BUT, you must know that that is not the case most of the time. It has been explained to me by the SEC that: 'the MM's get a little leeyway in order execution on the OTC markets AS LONG AS IT IS NOT MEANT TO MANIPULATE THE SP'.
If there is an inquiry into a 'set' of orders, the the MM's have to justify that there was an Iceberg order in place at the time of the trades. If not they have to justify WHY it was done like that AND that is was NOT FOR SP manipulation.
So I ask you... How many times have you asked the SEC to inquire about 'suspicious' trades? Do you ALWAYS believe that they are 'Iceberg trades' without making sure?
Just asking... I have done many and they are NOT ALL up to par.
SHED SOME LIGHT ON THIS!
SM
OOPS... there just went another 10K.
What is my point? I think that I have stated this many, many times.
The investors can keep taking it up the ass or they might want to do something about it. Here is the link again.
https://www.sec.gov/complaint/select.shtml
Can you imagine if say 6 to 10 investors starting 'counting' how many trades and how many shares were bought into a 10K ASK without the MM's allowing it to move? Now do this maybe 3-5 times a week and the SEC would get tired of hearing from pissed off investors taking up the ass.
One person can do it, or many can watch the same thing and then report it.
I only brought it to your alls attention that you might want to count...how many shares and how many trades. It just takes a minute to submit the request at the above link.
SM
How many shares can be bought into a 10K ASK? Let us start counting as of now... yep only 10K shown on the ASK of .0042.
SM
How do you KNOW that the SEC is looking into this Company? I have been trying for quite some time to have fellow investors notify the SEC when they see something that might be illegal... BUT what I see is the illegal trades done by the MM's over and over to manipulate the SP.
Yes, I guess they could suspend this stock from trading IF they found the company doing something wrong... wrong enough for all investors to lose their money... must be something really big.
So we can conclude: if the SEC does their investigation into this company and they see that THE COMPANY has done nothing wrong... we can ALL CONCLUDE that this is NOT a scam, but a legit company that has made the correct PUBLIC filings putting ALL investors on notice that they are RAISING MONEY by SELLING SHARES at a (1) certain price, (2) for a certain period of time, (3) for a specific number of shares (4) for a specific amount of money that they need.
So when (if) the SEC comes back and does NOTHING... we can ALL be done with having to hear 'piece of dog shit, scammer, diluter,...etc. etc. etc. ???
I wait with baiting breath for the outcome of the SEC investigation. We will then know if I have made a sound investment or got taken in a scam.
Please keep us informed when they have finished their investigation and what was the outcome.
Thanks,
SM
Thanks for your input. I will take a look.
SM
I had one more question for you that I could not think of when I posted my response before.
You explained that you use MACD. I have mostly used the Volume Weighted MACD in the past. I was wondering if you have any thoughts on that... which might be better and why you choose the MACD?
Thanks again... Have a good weekend!
SM
I thought you were off to play some golf and take the rest of the day off? When is your T - Time?
SM
Really nice! Thank you.
And thank you for the other message also. Got them 'booked' in a watchlist.
Now for some follow up with this post of yours. I would like, if you would, to expound on the 'scanner topic'?
Could you explain what scanner you use and what criteria you put into it?
It seems like the OTC scanner is OK, but very limited as to what you can ask for. On the other hand, ThinkorSwim has about 'unlimited' number of things, BUT it does not have the OTC/PINK CURRENT options that I can see. This is one of the areas I really could use help on.
I appreciate your help. I have spent most of the day yesterday and this AM looking into the information in your posts to me. I have also visited your recent overall posts on some of those other names.
Please feel free to PM me if you would prefer.
Thanks again,
SM
PS. I have NEVER seen a company that had 70 Billion Authorized Shares before... absolutely amazing! I wonder if that (those) CEO's get called all kinds of names such POS, scammer, diluters.
Very informative post. Thank you.
You covered a lot. I would be intersted in hearing more about the studies that you referenced and how you use them more. It was hard for me to see the studies that you posted since they were soo small... hard to get to the details.
You spoke about 'better plays' and 'winners' in the market. I would be intersted in what you are looking at that you consider to be 'better plays' that I can DD.
I know it is 'taboo' to list other stocks on another message board so I have reviewed your latest posts to look at those stocks. Could you maybe PM me a 'ranking order' from the 'best ones' to look at on down a few? I can not answer a PM, but I can read them.
Thanks for your input.
SM
WOW! I really pride myself on the amount of DD I do on a company before I put a 'good' investment into it. I might get a 'starter position' on a superficial look.
I really missed this filing though. No wonder it is 'stuck' down @ .004 level. We now have ( in my thinking NOW) 2.5 Bil and an offering @ .004.
You talk about it being difficult to know where they are at in this REG A.
If you have information on this I would be very interested. It is my understanding that the 'sales' from REG A go through the 'Transfer Agent' and are reported in 'real time' daily... or close to that. I keep an eye on the OS count especially the increase in the 'Restricted'. If new restricted comes in then I see that as the REG A being executed... non restricted means someone sold a 'Conversion Note' or the like.
Please expound on your understanding if you would... especially if it differs greatly from mine. Please be specific if you can.
Thanks,
SM
PS. How many of you others out there did not catch this change in the REG A. A good question to ask them is: WHY did they feel it necessary to make this adjustment down to .004?
I do not disagree with you. I am INVESTED in this company for the long haul. In the near term though, the REG A is restricting the upside. The PPS below .005 is slowing the 'qualified investors' buying @ .005 since they can get in @ .004.
That is all that I meant... the timing, not the quality of the company or the potential of the PPS increase. I am still looking to add to my position, but I think it will be a little while down below .005.
SM
As I have said before on this one now... there is absolutley no rush for them to take this higher soon and no real risk of them being 'short squeezed' by any real 'whale' or volume since there is soo much left to sell @ .005 for the Reg A. I barely check back on the charts for this one throughout the day.
When we had the 'pop' a few weeks ago, I was hoping that this would have stayed up in the .007 to .01 area for the remainer of the REG. A. That would have had a lot more interst in buying directly from the company @ .005 through the Reg. A. and the investors would have been up 50% to 100%.
Now that we are around the .004 area, there is absolutely no reason that I can think of that the 'qualified investors' would buy @ .005 when they can get in for about 20% less.
With that said though, I do not rule out a 'quick' pop to the .007 or .008 area. That would even give those that are 'crying' about their investments to get out about break even or with just a small loss. I hope they have their orders in so there can be no more bitching if it spikes and gives them the chance to get out and they are not ready or have a change of heart that this is not such a 'POS' and maybe they can squeeze out a profit.
Anyways, I think we will be down here for at least a little while.
SM
Are we ready for the climb back to the .006's? Could be starting very shortly IMO.
SM
We are getting oh so close in time for this to pop back into .006's IMO. Just buying a LITTLE more time.
Get them while they are here is what I say.
SM
10/18/21 11:50 AM... hours (or less) not days IMO.
I guess that I am missing this information on the 'Disclosures'. Of course I read the filings before I posted my questions... so maybe you ( or anyone else) can fill me in if I have missed them again.
1. Who was the entity that received the conversion note?
2. What is the conversion price?
3. Who was the entity that the 10Mil shares were bought from @ .005?
I did not find those answers in the filings that I read.
Thanks,
SM
So I guess that I am a little confused about the transactions that were recorded on 10/15. Maybe someone that has some insight of the facts can shed some light on this.
It says that they sold 270K in debt by way of convertable notes. Do we know who it was sold to and @ what price it is convertable?
The same day they say they bought back 10Mil shares @ .005 a share for a total of 50K.
Did they buy back the 10 Mil. shares ABOVE the convertable price of the 270K note?
It does not make too much sense to me that they have to go into debt another 270K and then spend 50K to buy back 10 Mil shares IF the conversion price is below .005. Only makes sense if conversion price is well above .005. Right?
Who was the entity that the 10Mil. shares were bought from?
Anyone have thoughts on these 2 transactions?
SM
