Report
You know I was reading through the last two reports honestly looking for bad and playing devils advocate. Asking the big “why, why would I stay” just to keep sanity in check.
I came out feeling the opposite after the last report. I started to think “vision”. What I mean be that is, instead of going after any possible quick wins they instead went after the entire year of 2010. It seems they are trying instead to get on the shelves for 2010. As one poster said awhile back “this is where they need to be”
However I see them also telling us the later part of this year is going to be Blaaa in terms of $ from product sales.
One question remains big in my mind….. STB where is it? For some reason they either can not or will not say much about this box. I want to believe it’s can not. If it’s a can not that means there are some pending negotiations in play. If its will not we’re F#$%’ed lol
Have a good week

Ho ho that's the best!!!
MM's lol stop your killing me! there are no MM's here that I can assure you.
my angle, I'm one of the bag holders of this stock at .91
So my point is it went from .91 to .05 now it's on its way to sub pennie. with 450mil new shares I would say .005 or so.
So keep your glasses on it's going to be a Fiery Ride to the sub penny basement.
This stock has always been worked and pointless to buy. But for you and the crew running this board, carry on pump away I really don't care either way. Not interested in buying anything here just watching for some humor. Love to see you guys in action.
Have a great weekend,

I also would love to read this.

I was just going to post that two
The Board of Directors of the Company, in the exercise of its business judgment, believes that 1,000,000,000 shares is the appropriate number of shares of authorized common stock to have.
I have to go, going to dig later. But I see the something. Also to the guy about the boom market "up there in Canada" read there filing there telling you in the filing that it's slow and their sales are decreasing.

Upside (what is it)
I don't see why I would buy this stock.
Now Duratech has around 6mil gross sales in 2009. However they have lost around 900k for the year and the market has gotten worse. They have no capital at this time to run operations other then investment capital. As we all know investment capital is all but gone in this market.
I just don't understand why this reverse merger is expected to vault the stock
B
I was thinking the same
so..... the ticker changes and they spent 1mil to do it? They also lost 900k and have no capital for operations.
I'm i missing something here?
our we sure of that?
I was trying to figure out if it was a symbol change or another symbol
I think I remember you saying this.
Be careful
As I read this Duratech owns USNAP if they spin off to the NASDAQ what will be left? The real company will be on the NASDAQ free and clear of the old mess. These shares will be worth??????
Accounting Treatment; Change of Control. The Share Exchange is being accounted for as a "reverse merger," since the Duratech Shareholders own a majority of the outstanding shares of the Registrant's common stock immediately following the Share Exchange and Asset Purchase. Duratech is deemed to be the acquirer in the reverse merger. Consequently, the assets and liabilities and the historical operations that are reflected in the financial statements prior to the Share Exchange are those of Duratech and are recorded at the historical cost basis of Duratech, and the consolidated financial statements after completion of the Share Exchange include the assets and liabilities of the Registrant and Duratech, historical operations of Duratech, and operations of the Registrant from the closing date of the Share Exchange.

MSTI Holdings (NuVisions) Signs Agreement with CSI Digital Inc. to Provide First Fully-Integrated IPTV Platform in New York City.

Article Excerpt
HAWTHORNE, N.J. -- MSTI Holdings, Inc. (MSHI.OB), a carrier class communications technology company that specializes in providing true quadruple play services to residential, hospitality and commercial properties, announced today that it has signed an agreement with Portland, Oregon-based CSI Digital Inc. (CSI) to become the first and only true service provider of a fully integrated IPTV, or Internet Protocol Television platform in New York City.
The IPTV content will initially include 300 plus channels in MPEG 2 AND 4 Formats including the most HDTV offerings, the most popular basic and premium cable networks, and the greatest variety of ethnic programming, local stations, and a plethora of all-music channels. The agreement is the first to allow for a TRUE IPTV platform to compete with some the largest traditional cable television and telephone providers in the USA, including, Time Warner, Cablevision,...
If thats not enough!!!! look at this tidbit for 2009
CSI Digital Launches Content Re-acquisition Program to Serve IPTV Providers
CSI Digital is announcing its continued commitment to provide IPTV services to telecommunications providers. CSI Digital has partnered with Power & Telephone Supply to help with these efforts. It was recently made known that SES Americom is ceasing its end-to-end IPTV Solution, IP-Prime, by July 31, 2009. CSI Digital has launched a transition program to assist customers that need to re-acquire programming.
CSI Digital has expanded its product offering to deliver over 270 channels of MPEG-4 SD and HD programming content. The cost-effective delivery of this content enables telecommunications companies to offer IPTV video services as a part of a triple-play offering that makes them competitive with any company in their market. CSI Digital in conjunction with Power and Tel has launched more IPTV Systems than any other integrator.
And we just happen to be in bed with them co- and i mean co-developing a system that I'm guessing address all previous known issues.
Now this is getting good!
You know what...
After typing that last post and looking at those three products ready to go makes me feel a little better....
Maybe just maybe this is why Palmer is submitting the "here's how bad it is" In the meantime CSI is going to try and sell the new product to make cash (we do nothing) and the other sales team works on selling the other products.
In the end he conserves cash awaiting new revenue streams
I also know Physicians Healthcare Management Group is about to start ramping up their product offering that include AKYI's vault solution to secure personal medical information. I don't think this is a bid money maker.
hemmmmmm

Total New Principal on December 22, 2008
$2,784,921.03
As a result of the above interest calculations, the Company could be obligated to pay a maximum interest rate of 25% per quarter, and at no times shall pay less than 2.5% per quarter. For the year ended December 31, 2008, the Company accrued interest expense of 2.5% per quarter on these New Notes. The total accrued interest on the New Notes on through December 31, 2008 was $139,246. Under the terms of the New Notes, this amount is added to the principal of the notes as of December 31, 2008. The adjusted principal balance of the New Notes is $2,924,167 as of September 30, 2009.
Each of the aforementioned New Notes was entered into by the Company with a stipulation by the Company that stated that the Company executed the New Notes under the stipulation that it did not agree with the interest calculations. The New Notes were executed as written because the Company and the holders agreed that it was in the best interest of both parties to do so. However, both parties agreed that they should renegotiate the interest calculations under the New Notes. These calculations shall be tied to a profit-sharing calculation tied to stock appreciation, but under less onerous terms as written in the New Note documents. Although we were actively attempting to renegotiate these notes, we are currently unable to renegotiate our notes with the Nutmeg Group who hold a substantial amount of our notes payable (as of September 30, 2009 the total principal balance on these notes was equal to $2,784,921). On March 25, 2009, the SEC froze the assets of the Nutmeg Group, LLC and other related entities. This action may negatively impact our ability to renegotiate these notes.
I don't think so either (stock manipulation)
Yea you know what I thought the same thing. And one of the members also did the math and it looks like the stock is worth .005 maybe a little less. All that being said the stock is on average on par.
You can see the shares that were issued and sold as well. It’s pretty transparent now. I can’t say I think anything weird is going on.
I’m inclined to think the STB will start making some progress in the new year.
Also:
This product is ready (need to sell it)
AccessKey IP has developed a patent-pending encryption technology that has been applied to enable the secure delivery of High Definition quality TV content to both the home television and personal computer. AccessKey has developed and tested its products but the Company has not sold any units to date. Upon the receipt of orders, the Company is prepared to manufacture products
This product is ready (need to sell it)
AccessKey IP was founded to participate in the explosive growth of digital communications and entertainment related services. Through our patent pending technology, we have developed a line of products to enable Telcos (telecommunication companies) to offer converged services comprising broadband Internet access and IP (Internet Protocol) based TV and entertainment. Our technology has been implemented into a set top box and a USB device. Both of these devices enable secure subscriber identification. The set top box implements our technology for use with a television and the USB device implements our technology for use with a personal computer. As of the end of June 2009 both of these products have been fully developed and completed but to date, we have not sold any units. The Company is building a demonstration unit to use to generate interest in its encrypted set top box product.
JOINT VENTURE - CSI Digital
One more done:
AccessKey has recently completed adopting its technology to a customized set top box under a joint development contract with CSI Digital (hereinafter referred to as "CSI" or "CSI Digital"). This agreement was entered into on May 15, 2008. AccessKey and CSI are both engaged in the development and delivery of technology, products, services, and content associated with the Cable TV and Internet Protocol Television ("IPTV") industries. Under the $1.5 million contract, AccessKey is providing specialized IPTV related development services for CSI Digital and its customers. AccessKey completed the development of the specialized boxes in June 2009.
DSI should start sell these units in 2010 if they plan on staying in business
One more thing I just seen. Man if you could get rid of these interest payments (2,686,393) These guys would be in great shape. I didn't realize they book 2.6mil loss in the 6 months ending Sept 30th. That's crazy interest and it's really hurting them.
B
It's all "flush away"
So they do have a product and it works.... It's the stock!
B
Interesting
1.1 mil for legal fees
540 for bad behavior (90mil shares)
1.1 for interest
2.9mil loss give or take 500k
Bad sales and heavy returns (we all knew this was coming).
Ok now someone said they wanted a debate. Let’s get into it.
First Item:
First could this be the cleaning filing? The let’s get everything out on the table? Often companies with new CEO’s do this. A good management figure will do this to show “this is where we where”.
And to top this off all Senior management have issues large amounts of voting shares during this down time. I personally love this, now management has some drive to make this thing work and make some money “skin in the game”
Also they now have control of the company voting wise (not sure what the hell was in place before…. Nothing maybe?)
Look at this report, there’s nothing missing. I mean nothing it’s all there. Even a 500k fine for saying “get the F@#$ out. Well lets be serious I’m guessing it was more garbage from pass management.
Second:
This one grabbed me right up front, the share interest rate issues, could it be possible they’ve released all this past garbage, warrants and shares knowing full well it would keep share price down? Now three PR’s ago they have said that for the most part there’s no way nutmeg would be allowed to charge them interest in this way. If I was Palmer I would want to keep the share price down knowing I didn’t have the cash to pay the interest…..
I just can’t see anyone putting this much effort into something they believed to be a dead horse, look at the accomplishments this Q
Ok let’s see some feed back…
Can’t wait to see the next filling it will tell all!
B
It was about the filing.
post it
I was going to call but ran out of time this weekend. I have an email into them. let you know when I hear something.
B
lol
I'm not Palmer! don't start any rumors. Just a guy someone asked to be moderator lol
T
One more
I must say this is yet another item they talked about in recent PR's and delivered.
Good to see.... now get the f'n fiance department delivering!
Like the prices! Paypal and all other major payment plans! Looks simple but good. Now they seem to be on the right track to in regards to consolidating the web pages and adding some "bling bling" too them. Lets face it you need bling bling in the retail space.
T
Yes it is, I own a 1999 S1 white lighting... it's in storage right now (working over seas at the moment)
B
We'll be on this one day LOL

Hey
I know I had a few choice words that's for sure. It's just really frustrating when you get involoed and then watch silly stuff like filing a 10Q potential harm the company.
But the real upsetting part comes when you watch your cash disappear because of these short comings. lol
That can really dive you to drink!
