MEMORANDUM OF UNDERSTANDING BETWEEN UNITED BANK FOR AFRICA AND CENTRIC GATEWAY FOR THE RIGHTS TO SEERGATES ENAILMONI
THIS MEMORANDUM OF UNDERSTANDING is made the 25th day of February 2015 Between CENTRIC GATEWAY LIMITED a limited liability company incorporated under the Laws of the Federal Republic of Nigeria of _______________________________________________________ (hereinafter referred to as "Centric Gateway") of the one part and UNITED BANK FOR AFRICA PLC a bank licensed in Nigeria and having its registered office at 57 Marina, Lagos (hereinafter referred to as "UBA") of the other part.
Centric Gateway and UBA shall be referred to herein, collectively, as the "Parties"
WHEREAS:
a. UBA carries on business as a bank and financial services institution with a wide network of branches across Nigeria and its head office at UBA House, 57, Marina, Lagos and having subsidiaries across other African countries.
b. Centric Gateway is a an Application Service Provider that authorizes and processes business solutions; providing range of payment integration and Value-Added Services (VAS) for financial businesses on web and mobile channels and its office at 15, Olusesan Adetula Street, Surulere, Lagos
c. Centric Gateway has sent a proposal to UBA for proposing to provide access to SeerGate's e-mail payment platform known as SeerGate, by UBA's customers for use of the platform for their various transactions through different communication platforms.
d. Based on the representation made by Centric Gateway, UBA has decided to engage Centric Gateway to provide access to SeerGate and Centric Gateway has agreed to provide the required access on the terms and conditions set out herein.
NOW IT IS HEREBY AGREED as follows:
1. Definition
In this MOU, the following words shall have the meanings indicated hereunder:
"SeerGate" means the email payment platform owned and licensed by SeerGate Inc
"the Project" means the deployment of SeerGate across different communication channels for UBA Nigeria and in 18 other subsidiaries of UBA in African countries
"the Customers" means account holders who maintain accounts with UBA or any of UBA's African Subsidiaries
2. The License/Access Rights:
Centric Gateway hereby grants to UBA the license for use of SeerGate by UBA customers in Nigeria and the customers of UBA's subsidiaries in 18 African countries to effect payment for goods and services on various communication channels used by the customers
3. Scope of the Project
3.1 Centric Gateway shall deploy the Platform and make the Platform accessible to the Customers on all of the following communication channels:
• Outlook
• U-Direct
• U-Mobile
• Standalone
• Facebook
• such other channels (i.e. Yahoo, Google etc) as SeerGate may partner with in future
3.2 The Platform shall be enabled to carry out both transactions between different UBA accounts and also transactions between UBA accounts and accounts of other banks.
3.3 The platform will also provide for international remittance (subject to regulatory guidelines)
4. LIBA's Obligations
UBA shall:
4.1 Provide hard ware and interface, requirements for the deployment of email money platform
4.2 Undertake product awareness and marketing campaign to drive adoption and penetration
5. CENTRIC GATEWAY's Obligation
Centric Gateway shall:
5.1 ensure that the services are provided in accordance with the terms and conditions agreed by the parties and by qualified, experienced and well equipped personnel who understand the requirements of the Project.
5.2 ensure that the Project is satisfactorily completed within the time lines agreed by the parties
5.3 Hand-over platform management to IT team in UBA (after full deployment) but provide continuous technical support upon escalations at no extra cost to the Bank
6. Cost/ Fees
6.1 In consideration of the services to be rendered under this MOU, the parties hereby agree that Centric Gateway shall be paid a total sum of N22,942,500.00 (twenty-two million, nine hundred and forty- two thousand, five hundred Naira) only, VAT inclusive (Contract Sum) in accordance with the terms of this Agreement
6.2 The Contract sum shall be paid to Centric Gateway in the following manner:
• 50% of the contract sum shall be paid upfront upon production of an Advanced Payment Bond of Guarantee issued in form and substances satisfactory to UBA either by an insurance company acceptable to UBA or by a bank acceptable to UBA
• 30% of the Contract sum shall be paid upon go-live for the last UBA Africa Subsidiary that SeerGate is deployed to
• 20% shall be paid after 3 months from the effective date of the Go-Live Support
6.3 Centric Gateway shall deliver an invoice on payments due, but payment shall not be made until UBA has ascertained that the relevant milestone for the payment has been satisfactorily achieved. Upon confirmation of satisfactory performance, payment shall be made within 30 day
6.4 All payments shall be made into Centric Gateway's current account domiciled in any business office of UBA. Centric gateway shall also ensure payment to all its suppliers is done through its account with UBA
6.5 All payments due under this Agreement shall be subject to the relevant tax laws applicable
6.6 The parties hereby agree that in arriving at the contract sum, all associated expenses have been properly considered and provision made therefore. Consequently, UBA shall not be responsible for any expenses whatsoever, which may be incurred by Centric Gateway in the course of providing the services contemplated under this agreement.
7. Revenue Sharing
The parties hereby agree that the Net Revenue generated from transactions carried out using the SeerGate would be split between UBA and Centric Gateway at the ratio of 70:30, respectively. Before being split between the Parties, UBA shall deduct from the Gross Revenue, direct fees, third party fees and settlement/clearing/network fees directly attributable to each transaction that generated the Revenue, to produce the Net Revenue.
8. Term
This Agreement shall come into effect on the 27 day of February 2015 and shall remain in force for a term of one (1) year, except it is terminated in accordance with the provisions of this Agreement.
9. Warranties & Indemnity
9.1 Centric Gateway warrants that it has the authority to enter into this Agreement and has obtained all requisite permits and licenses from SeerGate Inc to perform the obligations contemplated under this Agreement.
9.2 Centric Gateway warrants that SeerGate does not infringe the intellectual property right of any third party and its use by the Bank and its customers shall not result in any such infringement. Centric Gateway hereby agrees to indemnify and keep UBA full indemnified against any loss, damage, expense or liability that may arise or may be incurred in the event of any claim of infringement.
10. Exclusivity.
Centric Gateway hereby agrees that UBA shall have the exclusive right to use the platform for a term of one year with effect from the Commencement Date. Centric Gateway shall not grant anyone access to use the Platform during the period of exclusivity as stated herein.
11. Termination
11.1 UBA shall be entitled to terminate this agreement if Centric Gateway:
• commits a material breach of any of the terms of this agreement, which has not been remedied within 5 (five) days of receipt of notice of breach
• If in the Bank's reasonable opinion, the services rendered by your Company are unsatisfactory and your Company fail to remedy the defects within 5 (five) business days of the receipt of the notice
• If your Company enters into a composition with its creditors, is declared bankrupt, goes into liquidation or a Receiver/Manager is appointed in respect of the Company.
11.2 Termination for Cause. Either Party may terminate this Agreement upon the occurrence of an Event of Default, as defined below.
11.3 Termination without Cause. Either Party may terminate this Agreement upon giving to the other ninety (90) days written notice.
11.4 Events of Default:
Each of the following occurrences will constitute an "Event of Default" under this Agreement:
11.4.1 Goodwill: Either Party engages in any act or omission that damage the reputation, business, or goodwill of the other Party or the Services;
11.4.2 False Representation: Any representation or warranty made by the Parties or any of its ICs, officers, or directors proves to have been false or misleading in any material respect;
11.4.3 Breach: Without prejudice to UBA's rights as set out in Clause 11.1, either party fails to observe any material obligation specified in this Agreement, and such failure is not cured within thirty (30) days of receipt of written notice thereof from the non-breaching party; or
11.4.4 Insolvency & Liquidation: The liquidation, dissolution, or discontinuance of business by a Party in any manner or the filing of any petition by or against a Party under any federal or state bankruptcy or insolvency laws, which petition shall not be dismissed within 60 days after filing.
11.5 In the event of the termination of this contract, Centric Gateway agrees to refund to the Bank any unearned fees already paid by the Bank for services not rendered by Centric Gateway and paid for by the Bank, and Centric Gateway shall also have the right to recover any amount owed to it by the Bank for services rendered in respect of which the Bank has not paid within the specified time.
12. Confidentiality:
12.1 Neither Party shall disclose or permit to be disclosed to any third party, or use or permit to use for any purpose other than a purpose contemplated by this MOU, any information that may be acquired by such Party under this MOU, except where publicly available other than breach of this MOU or where required by law. Such confidential information shall be restricted to employees, agents and advisors on a need-to-know basis only for the purposes and implementation of the relationship contemplated under this MOU.
12.2 Notwithstanding the provisions of Clause 12.1, UBA hereby confirms that access by SeerGate Inc to its confidential information shall not be considered a breach of this Agreement, provided that Centric Gateway shall ensure that SeerGate Inc undertakes to keep the said information confidential and use them only for the purpose of the services contemplated under this Agreement, Centric Gateway shall be libel for any breach of confidentiality by SeerGate Inc.
13. Indemnity
Each party (the Indemnifying Party) shall indemnify the other (the Indemnified Party) and shall keep the Indemnified party indemnified against any loss, damage or cost incurred by the Indemnified party in the course of the Indemnifying Party executing its obligations under this MOU.
14. Force Majeure
Neither party hereto shall be liable for any breach of its obligations hereunder resulting from the causes beyond its reasonable control including but not limited to strikes, riot, acts of war or revolution, acts of God, civil commotion, fires, floods, destructive lightening, epidemic, system downtime, system malfunction or other circumstances which they could not have foreseen or guarded against.
15. Severance
If any provision is or becomes illegal, invalid or unenforceable for whatsoever reason, such a provision shall be deemed severed from this agreement and the remaining provisions shall have effect as if the severed provision never formed part of the agreement.
16. Dispute Resolution
Any dispute arising out of or in connection with this MOU may be resolved in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
17. Nature of Relationship
The parties understand that this Memorandum of Understanding does not create a partnership, agency, joint venture or such other relationships between the parties.
18. Governing Law
This Memorandum of Understand shall be governed by Nigerian Law.
19. General
19.1 The Parties shall not, except by mutual consent assign or transfer any part or the whole of their rights under this MOU to or in favour of a third party.
19.2 The provisions of this MOU shall not be modified, amended or waived, except by the mutual consent of both parties in writing.
19.3 Any notice or other information required or authorised by this MOU to be given by either Party to the other may be given by hand, facsimile transmission or other comparable means of communication at the registered office address of the Party as given in the Parties clause hereto.
IN WITNESS WHEREOF the parties have caused this Memorandum of Understanding to be executed in the manner hereinafter appearing.

More than 9 billion animals are slaughtered in the U.S. every year for meat with global demand skyrocketing. Animal agriculture is putting an ever-increasing strain on world resources, particularly global water supplies, according to VICE’s two-part episode, Meathooked and End of Water, which premieres March 4 at 11 p.m. on HBO.

In Vice’s fifth episode of season 4, Isobel Yeung traveled to feedlots, farms and slaughterhouses to learn where our meat comes from and to uncover its true costs, and Vikram Gandhi traveled to the Central Valley in California and São Paulo, Brazil to find out just how severe the global water crisis has become.
In California’s Central Valley, farmers are quickly depleting the state’s groundwater as the state remains mired in a drought, despite El Niño rains. São Paulo’s drought has become so bad that water in at least one of the area’s reservoirs is below what engineers consider zero, meaning that they have to pipe the remaining water uphill just to get it to the intake pipes.

“Meat production, globally, is an environmental disaster now,” Ken Cook, president of Environmental Working Group, said. “If we try and expand production to reach 9 billion people by 2050, it will be a complete and unthinkable disaster.”
“Let’s assume the population will reach 9 billion by 2050,” Cook said. “There isn’t enough land, there isn’t enough water, there isn’t the capacity for the Earth’s atmosphere to absorb all of the CO2 and the methane that would come out of animal agriculture. The problem is that our focus is on making the meat as cheap as possible, and as they cut those corners, that’s where we often have environmental catastrophes.”
But there are agricultural innovators hoping to change the way we raise animals for food. Yeung met with Joel Salatin of Polyface Farms in Virginia. Salatin uses a sustainable system of raising animals called “rotational grazing.”
Young also met with Dr. Mark Post, professor of physiology at Maastricht University in the Netherlands, to discuss his work on creating the first synthetic burger. He has grown meat in a lab from stem cells in just seven weeks—”much, much faster” than raising a cow for slaughter, he noted. The first trial cost $325,000, but he hopes to grow it cheaper and faster soon.

- Review - inside your EmailMoni account, you can review the Payment Request created and choose continue to lock your information and seal it to your bank account to protect your information.
- Send - the Payment Request is safely transmitted to your contact(s) You can review it in your EmailMoni account under Sent Items; while not paid you can make changes or void it.
Q. What information do I need in order to send a Payment Request or Invoice?
A. All you need is your contact's email. EmailMoni NEVER requires any sensitive information about your contact, such as bank account, payment card or document ID numbers.
Q. Where I can create a Payment Request or Invoice?
A. Payment Requests and Invoices are created directly within your EmailMoni account or anywhere EmailMoni app is available, including Facebook, Outlook and smartphones.
Q. Are there different types of Payment Requests / Invoices?
A. You can select the action (form) that best suits your needs, whether selling goods, services, multiple items or single line or in person face to face deals. Click on the Request Money button creates the default Payment Request as defined in your settings, you can change its action on the top of the form: From Friends, For Things, Face to Face, Invoice, QR Invoice or POS Invoice. Fill out the form then review it and "Send" it.
Q. Can I set which form shall be created every time I click on Request Money?
A. You can set a default form action under Settings -> Preferences.
Q. May I collect payments from a group of contacts?
A. You can collect payments from several recipients at once using the From Friends form: enter their names and emails into the recipient list and include the amount each one needs to pay. A separate Payment Request is sent to each recipient and each person pays separately. This is a great way for billing group members for their share of a purchase.
Q. I need to send a Payment Request similar to the one I already sent. How can I save time?
A. You can duplicate a Payment Requests (Invoices) you have already sent very easily. Go to the Sent Items folder in your EmailMoni account, find the Payment Request (Invoice) that you want to reuse, press "Duplicate", make the necessary changes and send the new request in seconds!
Transfers and Payouts
Q. How do I transfer money to a recipient?
A. Sending money to any recipient is fast, easy and secure:
- Create - select the Send Money button, enter the recipient's name, email and amount to be transferred.
- Review - review the Transfer notific ation, continue to lock and seal it to your account to protect your information. You may be required to enter a one time code sent to your mobile phone to continue.
- Send - the Transfer notification is safely transmitted to the recipient. Your recipient will need to accept the Transfer notification in order to get the money. In certain cases, after your recipient accepted the Transfer, you may be required to confirm the identity of your recipient before funds are released to prevent mistakes.
Q. How do I pay an outsourced service provider?
A. You can pay to a service provider or outsourced workforce using the Send Money function:
- Prepare - select the Send Money button and then choose the Payout style, enter the recipient's name, email and the Payout details, including the Payout details and as many items as necessary.
- Review - review the initiated Payout and choose continue to lock and seal it to your account to protect your information. You may be required to enter a one time code sent to your mobile phone to continue.
- Send - the Payout is safely transmitted to the recipient. Your recipient will need to confirm the details of the Payout in order to proceed. After your recipient accepted the Payout, you may be required to confirm the identity of your recipient before funds are released to prevent mistakes.
Q. When should I initiate a Transfer or send a Payout?
A. You should initiate a Transfer if you already received an invoice from your recipient and only need to complete the payment, you should send a Payout to a service provider that has not yet invoiced you and need to accept the terms of the payment.
Q. What information is needed to initiate a Transfer or send a Payout?
A. All you need is your contact's email and the amount you want to send them. For Payouts you will need also the Payout details. EmailMoni never requires any sensitive information about the recipient, such as bank account, payment card or SSN numbers.
Q. Where I can initiate a Transfer or a Payout?
A. Transfers and Payouts can be initiated directly within your EmailMoni account or anywhere there is a EmailMoni app, including Facebook, Outlook and smartphones, and may require additional security measures such as entering a one time mobile code or releasing the funds only after the recipient's ID confirmation.
Q. How can I be sure I paid the right recipient?
A. The first time you send money to a recipient, after the transfer or payout has been accepted, you will have the opportunity to verify the recipient's identity before you release the funds and the transaction becomes final.
Q. Do I need to confirm the recipient's identity every time I send money?
A. No, once you have confirmed the recipient's identity the first time, you will be able to send money to the same recipient in just one step. Your recipient will still have the option to accept or decline the transfer.
Q. My contact accepted the Transfer or Payout but they didn't receive the funds, why?
Q. Once the Transfer or Payout has been accepted by the recipient for the first time, you need to release the funds for the funds to be debited from your account and credited to your recipient's account.
Managing My Payment Requests
Q. Can I customize my EmailMoni experience?
A. You can customize different aspects about your EmailMoni service, such as the Logo, Tax Rate, Reason and a Business Note to be automatically added to each Invoice, your business address and your default Payment Request Style preference. To customize your service go to Preferences within your EmailMoni account menu.
Q. Can I change the email I use for my EmailMoni account?
A. To change your email, go to Settings->Contact Details and choose: Change Email.
Q. Can I change my business name?
A. To change the business name you provided during enrollment go to Settings on the EmailMoni menu, choose Service Profile and select Change to change the business name. EmailMoni will approve your change within 24 hours or contact you for further information.
Q. How do I know what the current status of a Payment Request or Invoice is?
A. Log in to your EmailMoni account and go to the Sent Items folder. The status of each Payment Request or Invoice is represented by the icon on its left and appears on each request when open: Unpaid, Paid or Void. When you select a request you will find further information about its status: if it was already viewed by your recipient or if it was modified and when.
Q. Can I void a Payment Request or Invoice that I have already sent?
A. Yes, if for any reason you don't require this payment anymore, just go to your EmailMoni account, within the Sent Items folder find your request and click the Void button. It will no longer be available for payment.
Q. Can I modify a request that I have already sent?
A. Yes, you can modify a request that you already sent as long as it is unpaid. The recipient will receive a notification for any changes you made and will only be able to pay for the most recent version of your request.
Q. How can I make sure that my customer will be able to pay for my Payment Request or Invoice?
A. Any person with a bank account in the US is able to pay using EmailMoni. Your contact will need to sign up and their information will be verified for the first time before their payment is processed.
Q. I got a check for one of my requests, can I mark it as paid?
A. When you get a check or any other payment form for one of your requests you can go to your Sent Items folder, select the relevant request, press "Mark as paid" button and enter a note as needed. Once you mark it as paid the request will appear as paid and the recipient won't be able to pay it using EmailMoni.
Managing My Transfers / Payouts
Q. Can I change the email I use for my transfers?
A. EmailMoni uses the email you define in your EmailMoni account. To change your email, go to Settings->Contact Details and choose: change email.
Q. How do I know what the current status of a Transfer or Payout is?
A. You can always review the status of your Transfers or Payouts. Log in to your EmailMoni account and go to the Sent Items folder. A. You can stop a transfer only if it was not completed. If for any reason you decide to stop a transfer before funds have been released, just go to your EmailMoni account and, within the Sent Items folder, find your Transfer or Payout and select the Void button. It will no longer be available.
Q. Can I modify a Transfer or Payout that I have already sent?
A. No, you cannot modify a Transfer or Payout that was already sent. If it was not yet completed, you can void it and initiate a new one.
Q. How can I make sure that the recipient will be able to receive the money I have sent?

A. Once a request is paid it can't be paid again. If during the payment process you click on the pay button more than once, the payment will go through only one time.
Q. Can I ask someone else to pay a request on my behalf?
A. Yes. If you want someone else to pay for a request you received, just forward them the email with the retrieval code and they can pay just as you would have.
Accepting a Transfer or a Payout
Q. How do I get the money sent to me, either as a Transfer or as a Payout?
A. Login into your EmailMoni account:
- Review - you can access the Transfer or Payout directly in the Inbox folder, or using the retrieval code received via email.

User acknowledges that his password and PIN shall be known and kept secret at all times.
5. In the event of loss or theft of the phone or compromise of the security of the provided e-mail account, the user shall call the CFC hot-line or e-mail CFC@ubagroup.com and immediately notify the Bank in writing within 24 hours of the loss/theft of phone or computer and e-mail/password compromise.
6. UBA in its absolute discretion and without prior notice can temporarily suspend this, any or all of the service or terminate them completely.
