Therapeutic Solutions International Launches Subsidiary Company to Commercialize Clinical Data and IND for Treatment of Chronic Traumatic Encephalopathy (CTE) with JadiCell Universal Adult Stem Cells
ELK CITY, Idaho--(BUSINESS WIRE)-- Therapeutic Solutions International (TSOI) announced the creation of CTE Biologics, Inc. as a subsidiary company dedicated to commercializing the JadiCell adult stem cell platform for treatment of chronic traumatic encephalopathy.
This condition is caused by repetitive concussive/sub-concussive hits to the head sustained over a period of years and is often found in football players and military veterans. Patients suffer from memory loss, impulsive/erratic behavior, impaired judgment, aggression, depression, and dementia.
Therapeutic Solutions International licensed the JadiCell for this indication in 20191, was granted IND number 27377 in April 20212, and is currently addressing questions from the FDA before initiations of formal clinical trials. The Company has provided JadiCells under the Right to Try Law for multiple patients suffering from Chronic Traumatic Encephalopathy3.
“Chronic Traumatic Encephalopathy is classically diagnosed after a patient is deceased. The fact that the FDA has agreed with our definition of this condition in living patients is a significant accomplishment,” said Dr. James Veltmeyer, Chief Medical Officer of Therapeutic Solutions International. “Given that safety of JadiCells has already been demonstrated in a peer reviewed publication4 subsequent to our interaction with the FDA suggests to me a high likelihood of clearance to initiate formal trials in Chronic Traumatic Encephalopathy.”
“Based on our preclinical and pilot clinical observations we believe that our approach to Chronic Traumatic Encephalopathy possesses potential to address a condition which currently is not even properly diagnosed in living patients,” said Timothy Dixon, President, and CEO of Therapeutic Solutions International. “Creation of CTE Biologics allows for specialization and focus while leveraging existing resources within Therapeutic Solutions International.”

What is the difference between a subsidiary and a spin-off?
A spin-off distributes shares of the new subsidiary to existing shareholders. A split-off offers shares in the new subsidiary to shareholders but they have to choose between the subsidiary and the parent company.
In a "spin-off," a parent company distributes shares of a subsidiary to the parent company's shareholders so that the subsidiary becomes a separate, independent company. The shares are usually distributed on a pro rata basis
A corporate spin-off is an operational strategy used by a company to create a new business subsidiary from its parent company. A spin-off occurs when a parent corporation separates part of its business operations into a second publicly traded entity and distributes shares of the new entity to its current shareholders.

How Do Spinoffs Impact Investors in Parent and Subsidiary Companies?
By GREG DEPERSIO Updated April 27, 2022
Reviewed by KHADIJA KHARTIT
A spinoff is created when a company forms some part of its operations into a separate entity and distributes shares in it tax free to shareholders of the parent company. The number of shares that a parent company shareholder receives is based on the number they own in the parent company.
When a spinoff's shares start trading on a stock exchange, the value of the parent company's stock may drop by the value of the new company's stock. This is due to the fact that the parent company stock no longer reflects the value of the unit that was spun off. Parent company shareholders shouldn't be concerned by this price change because they own the spinoff's shares as well.
The spinoff will get a new name and a new management (unless it had an experienced management in place prior to the spinoff). Spinoffs have generally performed successfully over time.
KEY TAKEAWAYS
A spinoff is created when a company forms some part of its operations into a new entity and issues stock in it to parent company shareholders.
The number of shares received depends on the number of shares an investor holds in the parent company.
Spinoffs can have great potential for growth due to their smaller size and a management motivated to achieve success.
Due to stock price volatility, spinoffs can underperform in weak markets and outperform in strong markets.
Ignorance, continued inept legal advice or outright lie, (come to your own conclusion(s)) as the below quotes & links verify it has to be one of the above
(S-3 vs S-1 then treasury shares & NOW spinoffs)
In a "spin-off," a parent company distributes shares of a subsidiary to the parent company's shareholders so that the subsidiary becomes a separate, independent company. The shares are usually distributed on a pro rata basis.

We have received no questions yet from FDA but we are planning on them and are well prepared to respond when they do. This is completely normal. I've never seen an IND that didn't have questions and furthermore requests for more data.

A narcissist is never sorry because he (or she) perceives himself as perfect. He can’t be wrong. He views himself as superior to everyone and, thus, always right. A narcissist develops a pathological sense of self-entitlement very early.
Truth is a foreign concept to the narcissist. His personality is built on a “false self”, believing that he is a superior, perfect being without flaws.

Course correction - I did not know Franco left Kite (haven't spoke in months) and is now at Sonata. Doesn't matter to us where Franco works - when SVV is ready for big pharma we will still take it to Franco.
Dr. Franco Marincola is the Chief Scientific Officer of Sonata Therapeutics. Franco brings over 30 years of research and development experience in immunology, oncology and cell therapy to Sonata.
Most recently, Franco served as Senior Vice President and Global Head of Research at Kite Pharma where he led the research organization to identify novel therapies for hematologic malignancies and solid tumors. Prior to Kite, he was President and Chief Scientific Officer at Refuge Biotechnologies, where he developed research strategies for adoptive cell therapy products and led therapeutic programs based on nuclease deactivated CRISPR circuits. Prior to Refuge, Franco was Distinguished Research Fellow in Immune Oncology at AbbVie, and Chief Research Officer at Sidra Medical and Research Centre.
Before joining the biopharma industry, Franco spent more than two decades at the National Institutes of Health (NIH) and National Cancer Institute (NCI), most recently as a tenured senior investigator in cancer immunotherapy and biomarker research and as Chief Infectious Disease and Immunogenetics Investigator at the NIH Clinical Center.
Franco is the former President of the Society for Immunotherapy of Cancer (SITC). He currently serves as Editor-in-Chief for multiple peer-reviewed publications, including Journal of Translational Medicine, Translational Medicine Communications, and Immunotherapy, and is the author of more than 600 peer-reviewed publications.
Franco received his M.D. from the University of Milan and completed his residency at Stanford University

If something big happens with the subs or a commercialization or something tho and let’s say TSOI doesn’t own a lot of the subsidiary, it won’t reflect much on TSOI’s share price because most of the profits will go to the private investors, so with that being said how does that benefit us as public shareholders if TSOI doesn’t own alot of the subsidiary?
That’s hurtful to us isn’t it, if anything substantial happens that can bring in hundreds of millions or billions of dollars to the sub we are left out due to TSOI only probably owning a small percent of the subsidiary.

To Whom It May Concern,
The Company I run, Therapeutic Solutions International, Inc. (TSOI) has relied upon the availability of convertible debentures with the utilization of rule 144 as a means of financing the operations of TSOI. Had this not been available I would not have been able to advance the Company otherwise and most likely would not have been able to stay fully reporting. The loss of such instruments would be devastating to smaller companies like TSOI who cannot attract the big investment bankers the big boards keep in their pockets like loose change. Please consider carefully the impact this will have upon innovation and new technologies coming to market to benefit all of humanity.
Sincerely yours,

Good Morning Everyone. I apologize for taking so long to reply but I needed to think about this a little. The 8k and in particular the UM letter is the worst thing I’ve ever had to write. This didn’t begin when the letter was written and sent. We have been requesting this documentation really from the very beginning.Back in April 2022 when we sent the first $200,000 to UM we were to receive a certain number of doses as part of that exchange (I think it was 50) and they were to be delivered to a “drug depot” for trial site distribution and as part of that we requested the associated description of the cell numbers received and characterization documentation, temperature logs, chain of custody logs, and regulatory paperwork including all of the cGMP documentation on the origins of the cells provided by patel to UM. What we got was a second document dump in mid-April of thousands of more pages of data that contained nothing related to what we requested and this has continued right up to present. Needless to say we never got any proof of anything and then the depositions happened and our fears I suppose were confirmed. We now have to go to FDA and seek guidance and until we do that I won’t be speaking much more on this topic or about where we go from here. I know this is upsetting and you have every right to be upset and I can only ask that we take this one step at a time. We still own what we own and no one can take that from us but we didn’t get what we paid for.
In the meantime we still have lots of other projects involving our own 71 patents that are all important as well and perhaps they have been more deserving of recognition than they have received. We really don’t favor one thing over another because these are our inventions and they are like our children. Yeah, the kids are alright.
