OT...Tin, Hong Kong Disneyland is doing great. My friends in Hong Kong are mostly Filipinos with work visas for HK. There is very little opportunity for them in the Philippines to succeed, so they take their college educations and become domestics for the affluent abroad. They are still way underpaid, but they are ecstatic to be able to make enough to send some home. Anyway, they have never seen anything like Disneyword before and they express an amazement and enjoyment like nobdy else.The one ride that they all fear and love is Space Mountain. Laughing when they get on, and crying when they get off. It takes them days to recover. Truly something to see. I love it, and am taking another friend there for her first time during their New Years...Don't ya just love them Pacific Islanders? LOL

This has to be David Chen's finest work...in June of 2004 this company started out with 15,100,000 shares. They have no stock splits that shareholders would have benefited from, yet still managed to balloon the outstanding shares enough to be able to offer 372,430,363? This is what makes my day...Go FLTL

Maybe Carrie will take Hartcourt into the online gaming industry. Seems to have attracted some interest of late and some Chinese stocks with affiliations in this field appear to have received some influx of buying interest today. Hartcourt however managed only 39,400 shares traded worth a piddly $3400, and I'm rounding that off to the up side. Perhaps one of you believers who see fit to actually attend the upcoming meeting can suggest they look in that direction. They seem to have the knack of coming up with just the right gem to take us out of these doldrums and onward towards our goal of a NASDAQ listing. You know, I felt so much better about my investment here when I knew we were going to be NASDAQ listed within a year of carries statement regarding such action, but now that has been obscured by reality...Hartcourt shall survive and prosper, and maybe some of us will still be alive when it does...See I am positive on Hartcourt's future...

We have been over tha addresses on their website. That is why I am surprised you didn't know who Flora Song is. Same page, just a little further down and there she is. I have since that time, sent more mail to the info@ address but have yet to receive a reply. My question of a couple of weeks ago that you just answered, I wonder why, was asking if you had some other address that you used. 5. ACTIONS TO BE TAKEN BY FINTEL UPON CLOSING
a. Adjustments made on account of Net Assets of MKAviation
(i) Should the Net Assets of MKAviation exceed $10mm, the excess will be recorded in the books of Fintel as a Payable to Mr. Kraselnick, or his nominee, and paid out within six months following the Closing Date.
b. Resignations and Changes to the Board
(i) Three (3) existing board members of Fintel will resign immediately prior to Closing.
(ii) The remaining Directors of Fintel will appoint interim Directors based on the persons nominated by Mr Kraselnick.
c. Deliver evidence of Board Resolutions
(i) A Board Resolution approving this Agreement and its execution. d. Deliver evidence of shares issued to Mr. Kraselnick.
(i) A Board Resolution for the number of shares determined above of unregistered Fintel common shares, fully paid and non-assessable, free and clear of all liens and encumbrances of any kind.
(ii) Instructions to the company's share transfer agent, for the number of unregistered shares determined above.
e. Execute and deliver such other instruments, certificates, authorizations, releases, resolutions and documents as may be necessary to effect the transactions described in or otherwise required by this Agreement.
6. ACTIONS TO BE TAKEN BY MR. KRASELNICK UPON CLOSING
a. Nominate three (3) members to the Board
(i) Mr. Kraselnick will name his nominees to the Board to fill the interim vacancies.
b. Deliver evidence of shares transferred to Fintel
(i) Mr. Kraselnick will transfer to Fintel 75% of his rights, title and interest in and to all of the capital stock of MKAviation owned by him.
(ii) Mr. Kraselnick will deliver to Fintel his stock certificates representing 75% of the MKAviation capital stock owned by him, with such certificates to be duly endorsed in blank or accompanied by an irrevocable stock power and assignment separate from certificate and endorsed in blank.
c. Deliver evidence of Board Resolutions
(i) A Board Resolution approving this Agreement and its execution.
d. Execute and deliver such other instruments, certificates, authorizations, releases, resolutions and documents as may be necessary to effect the transactions described in or otherwise required by this Agreement.

I hear you...but I think Hartcourt is the least complicated to figure now. Regarding FLTL, the Filing announcing the MK A deal has each party putting up 75% of their resective companies...

Financial Telecom Limited (USA) Inc., (Fintel), a Nevada company, announced today it has entered into a definitive Share Exchange Agreement with Mr M. Kraselnick, the sole shareholder of MKAviation S.A., (MKA), a private Panama company, to acquire 75% of the outstanding shares of MKA, in exchange for 372,430,363 common shares of Fintel's common stock issued to Mr Kraselnick. The exchange will result in Mr. Kraselnick acquiring 75% of the issued and outstanding common stock of Fintel. The agreement is effective on October 20, 2005, and is expected to close on or before December 30, 2005. The transaction has received the consent approval of a majority of Fintel's shareholders, and unanimous approval by its Board...and a little farther down in the same filing...

a. Number of Fintel Common Shares to be exchanged:

That was why I made post 586...and that was taken from the announcement of the merger/acquisition of MK Aviation. I take it to be one and the same company, with the hyphenated Fin-Tel as the business name...My question is, if FLTL and MK Aviation each put in 75% os their respective companies to form the new company...what happens to the 25% retained by DC and FLTL, and is that what is being spunoff? and How much of Enjoy Media does FLTL now own? and is that part of the spinoff?...

You are the one posting falsehoods. Why? Trying to pump up FLTL?...I have found some things these last couple of weeks, but no luck with the size of the float. I believe there are over 496,000,000 issued and outstanding shares of FLTL. 373,000,000 of these went to acquire MK Aviation. This happened after we acquired 14% of EJYM. Do you know if we still own 14% of EJYM? Or did we lose 75% of our stake in EJYM in the merger? Do you know? Do you care? Yeah, it is out of the way, and a hard sell to my companion too. With it being New Year, what are the chances anybody would be working anyway? I'm going to be in Shatin this time and that is closer than I usually get to Shenzhen on my short visits to Hong Kong. There is a zoo in Xian and a temple. I'll need something besides me wanting to check an address to validate a road trip...You might think about goin' to HK sometime, Tin. Pretty cool city and not a bad place to pick up a watch or camera...

You have no answers...and I have emailed FLTL more than once with that very question. Apparently they have no answers either. Stopping in on them may be the only way to get the answer. Hard to believe no one here cares about tha accuracy of things posted here. If I owned 200,000 shares of FLTL, some of which I paid for, I would want to know about the float...All I have is my dividend shares and I want to know. We sure have different ideas of investing but as long as we both make money, who cares...
