Good idea , but i already proposed the car rental concept to CEO Cooper a year or two ago ... He listened, but didn't seem overly enthused about pursuing it.

The only info out there, is that someone on this board spoke to a POWERLOCK retailer/installer and was told that changes were coming to the product. Later confirmed by the CEO as continual improvements.

An update on the co's current position and status , and future outlook (guidance) would automatically lift the SP to a higher trading level. IMO ...

The traders/flippers will do what they always do, but investors will benefit the most if/when POWERLOCK is able to consistently grow ; sales/revs.,profit , uplisting/financials(audited),quarterly reports etc ... Who knows, maybe someday ?

The following is from the sec.gov website ;
RULE 144: "Selling Restricted And Control Securities"
1. Holding Period. " Before you may sell any securities in the marketplace , you must hold them for a certain period of time.If the company that issued the securities is subject to the reporting requirements of the Securities Exchange Act of 1934, then you must hold the securities for at least six months . If the issuer of the securities is not subject to the reporting requirements , then you must hold the securities for at least one year . The relevant holding period begins when the securities were bought and fully paid for."
Thanks for clearing that up ... maybe it's a 1 year minimum holding period that i was thinking of.

The 200 million + restricted is something to think about, because i believe this # has stayed the same for the last 3 or 4 years ... and if i'm correct , restricted can become unrestricted after one year.

Yes,it's probably a pre-requisite for most Investment Banks/Funds/Groups.
I might not have been clear in my previous post , what i meant to say was that in addition to GuardDog attracting institutional funding there's a (slim) chance a Private Equity group/fund might desire taking GRDO private, and having a controlling shareholder would be protection against that if wasn't equitable .
Can't wait to hear the CC for myself ...
Knew about the possibility of M&A from previous PR'S/Updates, but Audited Financials are a surprise ...
One thing to consider ; Investment Capital/Venture Capital are not the only options for funding. Private Equity Firms (all sizes)fall into this category as well. Just a thought ... GRDO could be a target by an aggressive Private/Hedge Fund type co.,looking for a young undervalued high growth potential co.especially at this low SP.
This is just one example that fits into the Watson's (desire or necessity ?) to retain his status as controlling shareholder theory. It prevents a hostile buyout/takeover.
His possible current status as controlling shareholder could also end up being be a double edged sword when considering other possible scenerios.

Missed today's CC and should probably wait until i can hear the tone of the conversation first hand ... but after reading Carters excellent summary and re-reading the PR from 1/27/10, my initial reaction is ;
1) A Mya Colpa from MR. Watson for missing his own (pre-determined timelines, ( financials, sub #'s , revenues).
2) Understandable disappointment from a shareholder point of view , and also maybe from Mr. Watsons point of view regarding the yet again needed improvement(s), upgrades and restructuring to the technical, infrastructure and website considering past statements made by GDOG management that Mr. Watson will not allow the co. to enter into the growth phase UNTIL the development phase is on solid footing.
3) The co. is committed to restructuring , and moving foward to be able to accomadate future corporate/institutional contracts, and M&A.
4) The post that i'm replying to underscores the real fundamental challenge GuardDog as a co. has to face and conquer.(As acknowledged by Mr. Watson himself)
5) Still believe the "side note" from my previous post also still applies . JMO LOL!
I know my objectivity rubs some on this board the wrong way .
My apologies to anyone that gets ticked off at any of my comments in the past several years .
My bottom line philosophy and the only approach that makes sense to me in this long term endeavor is to maintain a 360 degree business minded point of view and try to be honestly OBJECTIVE because i acknowledge and accept that i have ZERO control over Mr. Watsons thoughts , actions , and personal compensation goals .
My sincere hope is that the co. successfully moves foward and the many patient and resilient shareholders get rewarded.

To all that understand the basic challenges of making the transition from a young start-up co. to a co. whose goal is to eventually secure a significant percentage of revenue in an industry or sector that previously had multiple existing competiing co's. with varying degrees of success.
IMO ... The following excerpt from the 12/31/10 YEAR END UPDATE PR should be a basic constant in our thought process and seperate from the other fustrations and unknowns that are a given when investing in anything that you don't really have any control over.
(7th paragraph)
"make a bold statement IN A VERY COMPETITIVE INDUSTRY,' says Watson"
So the difficult task GUARDDOG has is to not only be better than the competition but also recognize, evaluate and try not to repeat the costly mistakes of others , ie; Lifelock, ID Watchdog.
On a side note :
Regarding inc. of share structure O/S - I still believe in my gut that Watson did what he (decided) had to do to keep controlling interest.

The (several) spikes in daily trading volume over the last few months is interesting , because some days a lot of shares are being exchanged within a relatively modest spike in SP ... Much different from the obvious sleazy P&D BS in the past.
