I think Bo and the PR said in Sept, the late 10-Q for 2010 will be filed, and 6/30/10 10-K will be filed in Oct. If they really kept this words and give them a little extra time for other parties being involved (auditors and 3rd parties), that means they are really working hard to be current with their filings and they have a plan to uplist.
Btw, they can't uplist with the current share structure. Fair value can be much higher than the current stock value but it is not anywhere close to $1 as of now. To uplist, they need to be current and stock to be over a $1. So let's watch the filing, and look forward for the right timing of the RS. Actually, he announcing it and not doing it, that also means they are having the proper plan.

8B shares are collateral with Steriwave, these will be cancelled upon debt payment.
Upon the RS, being current in filing, get the share to the true value, it can be uplisted easily without the buy back.
IMHO, on top of the decrease in the AS; RS can get the value of the stock to above $1, as the company's fair value is much more than the current value with the 9MW projects and the 50MW proposals. This with being current is an uplist plan, not to OCTBB but a big stock exchange. Being current by filing all the delinquent filings, which they are planning to do so by Oct.; however, there might be some delinquency in Sept filing, but not afterwards. So definitly, mgt is working hard and knows what it is heading too. This is another big advantage.

Everyone knew RS is coming anytime and were complaining about the number of shares. Now, the Company has the plan to get this number down without dilution, they are still complaining.
If Bonds offering went well, company will buy the stock back because they know that the value is much higher than the current value. There is a cash flow in GDT tek website, why they are not using it to calculate the stock value. I did and provided the value before. No one wants to hear that. For the fear, experience with penny stock or other reasons.
Did anyone try to see XOM or other giant energy company historical prices? They were pennies when they started.
Good business will make it through, no matter people hang around or not.

I think it went down since morning for the quantity bought (from 190M to 170M). I think it did change also for yesterday buy.
I wonder if big buys came in, will it wipe or MM will keep showing a fake number and everytime some are sold, they will put more. I can't tell the short %, but someone showed posted it before that it is 50%. Shorts will affect; also fear from the longs can keep the ask volume.

I think the bond offering in both companies GDT tek and 1st global is because the management are related and will have the same thoughts. In both companies situations, it is more achievable to get funds from bonds vs. stock. Bond holders can take over the company from the shareholder as they are creditor, if they didn't perform. Shareholders have to bear the risk of losing the investment, if the company went down. Bond holders if the company didn't pay, it can take over the company from the shareholders.
Both companies are new and have no assets and just a business idea. Big investors believe in the idea but it is not materialized for them to invest in the companies equity. In the worst case, they will get gurantted some interest. In addition to the bond interest, they are getting portion of the income like steriwave.
The Company is doing great and had great results, just not sure why not having a good market demand. May be a good buy out or extraction of gold will help. I hope this will happen soon. I am long in this, value is great, wish to have more funds available to buy more shares.

You have less shares that worth more than 0.0001, you will have the same value. Also, the current price is way below the fair value. You can sell your shares, if you feel hurt or you can keep them and buy more, if you think it is a good investment.

That's true, once it get to be in operation, it will market itself much easier.
Actually, the question should be "who keeps selling?". IMO, I guess: market makers are shorting this stock and longs who got the fear of the RS. Longs who are selling will lose, MM knows how to get the market up or down and they will make very good profit out of this.

You are very welcome to use my words anywhere. We need to introduce the company to the market, that's true.
We do not have a dilution with RS. Dilution is when a company issue more shares than the outstanding shares, so each owner owns less percentage of the company. RS is to decrease the number of shares and increase their value to have same value at the end. RS for outstanding stock only is a bad indicator (ownership will decrease potentially), for both authorized and outstanding is a good indicator (no decrease in ownership).
GDT tek uses very low heat to convert to energy compared to other energy sources. This can compete easily with other energy company for the cost and the maintenance cost.
RS: Market makers are the only ones who can short this stock. Shorts will try to sell as much as they can waiting for the RS to happen expecting decline in the price. GDT tek fair value is much more than the current value, getting it lower is only to make more profits or to make profits both ways (long and short).

No, in fact it is 40B outstanding, because they issued the other 20B, 8B collateral to JV, paid off the convertible debt (either all or some), some professional fees and I think preferred stock were converted as they settled the preferred stock issued to RTR acquisition.

Also, the potentials of China conference, once the american canyon project is running. They are highly populated, lots of waste, polluted air, no oil and lots more. At least, if it falls behind, there will be lots of potentials waiting to see it when it is running, and there might be more JV or power purchase agreements.
FYI, there is a waste problem around the world, the technology will help several aspects not only the power.

About all the posts:
1- RS has no bad effect because:
a- It is across the board, meaning that all the authorized shares and outstanding shares even the conversion features will go down for the same ratio.
b- No dilution: What is dilution? Dilution is to do the RS for the outstanding shares and keep the authorized shares, issue the difference between the new outstanding and old authorized, which then dilute the equity share per shareholder. In GDTK: all shares will be reversed and there is no authorized shares that are not outstanding, except very little.
c- The company market cap is $3.8M, which is very little, knowing that the fair value based on the discounted cash flow for the 6 PG&E project is $24M, consider the other 50MW proposals this is huge. The market cap will stay the same after RS, unless shares dropped. If it dropped 10X, do you feel the company worth 380k? That's unreasonable value. The company market value is really at the bottom, and any further down is just for the benefit of the short investors who are market makers.
This what the I-bankers look for, the company's market value and the fair value based on the discounted cash flow.
d- Market makers: they had shorted the stock very bad knowing the RS and expecting a decline in the price afterwards, they will take the value down to wherever they want, if we got the fear and started to sell, and then ride it all up and make all the money anyone can imagine.
2- Retiring shares: requires buy shares first, company does have this plan, if bonds selling went well.
3- Also, 8B shares are collateral and will be cancelled upon fund settlement with steriwave. So in fact, 8B out of 38B shares should not be in the company's market cap, so it is in fact $3M, and the multiplier is higher.
4- Company's technology is not only great, it is fantastic, it uses a very low heat. Smaller machines can be built and used with other products to generate the needed electricity. It will build its market, once it started operations. Actually, steriwave will be the big beneficiary; newer partners will pay more.
5- For anyone looking for a schedule. See the Steriwave-gdttek website, it has a progress sheet every 15 days. Meaning that Steriwave is managing the project timeline. In the PR, they said 8/15 they will get the bids, and the timeline sheet showed the same.
6- Management believes company value is much more than what it is. That is true as mentioned before. Also, they are planning to buy back the shares because they really believe in their value. Great. They are looking for funds and working on it.
7- Management started to submit things on time. That's is great sign. It shows that there is something going on, not as before. Also, the tone of Albert and Bo are more confident, they are trying to achieve something and get us a real company.
8- Uplisting, if stock went above $1, it can go to NYSE, I guess. There are several requirements. If this happened, big companies will go after GDT tek and we might have a very big buy out.
9- When to buy? It is your decision. I think any buy below fair value is good. If RS happened, see the direction and decide when to get in. If it goes down to the cash I have, I am willing to buy all the stock 100%.
I do not see management RS decision is affecting either way, except it creates some trading for the price availability to fluctuate.
IMHO, this is a long term investment, if you are looking for a big full return. It can be a short term, if you are looking for quick small return.

1- I think there is a 1:1000 RS soon, number of shares accross the board (authorized and outstanding common and preferred) will go down. I think stock can go down for people to load more, get your cash ready ;).
2- A buy back plan is in the horizon, and they strongly believe they should be at much higher value. Great sign. Discounted cash flow shows much higher value than the current value $3.8M.
3- Additional 20B stock: 8B for collateral will be cancelled, no effect of them. Some used for debt payment, great, all the conversion liability can be eliminated and created net income.
4- Filing plans: I think this intention to uplist, especially with the RS.
From the above: 40B authorized and outstanding will be 40M. 40M will be 30M after collateral cancellation.
For me RS is meaningless as long as the fair value is more than the current value. However, the market has its reaction for the RS. Some companies, I invested in (CXZ), market acted positvely for the RS and actually increased after that. So it all depends.
Very important thing, they provided what they promissed us with. It looks like we can give them the benefit of the doubt.

A) No you don't have to buy stock from the company. You do have to find a broker that trades stocks under $.01. Many rules and policies have been changed that make trading stock under $.10 expensive or impossible. The clearing costs for stocks have gone up dramatically for sub ten cent stocks and for this reason clearing houses like Penson are choosing to close accounts that carry sub ten cent stocks. Illiquidity charges can run 10 to 20 times the price of the stock. These charges vary depending on previous volume. This money is held only as collateral but it ties up the money for a few days until the stock is cleared. This can potentially tie up all the funds of the clearing house and they don't want that risk. This is why they have put the pressure on sub penny stock to recapitalize the stock to get the price over $.10. CNS which is part of the depository trust company has implemented these illiquidity charges. Its a complicated process but basically the ultimate end result is public companies will need to reverse split their stock or miss out on a lot of potential trading.

FGBF owns what worth $1M in GDTK preferred stock, and owes GDTK about $3M. FGBF invests in real estate and has no other assets than GDTK. FGBF has about 60-100% PPS increase this week and huge volume.
I think FGBF wants GDTK shares to move up, so they have more value and can get some cash and settle all its liabilities and gets into operations.
FGBF and GDTK had huge change in the trading pattern. Do you think insiders? Do you think market makers know something and want to sell? But if they want to sell, why is FGBF going up not down and GDTK has significant volume over the last week?
I think that there is something good going on. I am certain that Ralf wants to get this to operation and get the technology, same Steriwave. There is progress report on Steriwave-GDTK website that shows commitment and being within the time frame. If this came out in time, China trip will be excellent opportunity, not as a buyout, but as another market for the technology.
I talked to Albert regarding the financial and he said it will be addressed in the webinar, he sounded confident, I think he has a plan for being current and uplisting.
All these are good signs.

Funds are available but I do not think that these funds can be used to buy back stock for retirement. This can be done from funds generated by the company's operations.
Reverse split is an option. I know that Al history has nothing but RS.
Nothing is another option, the company just issued these shares to someone, (imo, to pay off the convertible debts, which is very good sign), to do a reverse split after that is meaningless, the ex-debt holders might come back on the company.
All energy companies started with several outstanding shares, after generating cash, they bought shares back.
Among investment bankers, the company value is more than the current market value. Once they can materialize outputs from the company, it will move no matter what others say. In fact, based on the bond offering PR, the Company has made proposals for 100MW and hoping to get 50% of that is the 50MW on top of the 9MW; I think that is lots of value. Just need patience to get things to be materialized.
