rsadey: nwau: The form 10 is an application form. See the link in my previous post. As a pinksheeter they currently do not have many filing requirements. In order for them to move up to BB status they must file the form 10. The merger with the existing BB does not require them to disclose what would be in the form 10. If this was a NASDAQ or Exchange listed company then you would be correct in your statement about standards. BB is a very loose set of standards to follow.
Best thing is to read the questions in the form 10 and you will see the possible things that could effect the acceptance of the filing. "Certain relationships and related transactions" could open a can of worms for some companies.
If they do a registration of securities in the future with the new BB company, then it is possible that disclosure of certain things would have to be included. The entire process is an end run around the normal "going public" process.
However, it does not have to make sense. You could submit two identical filings to the SEC for different companies and each filing goes to a different examiner. It will most likely come back with different sets of comments and objections if any.
I know this all seems strange. They have actually tightened up the rules for all this, as it used to be a much less regulated process. Scammers used to have an easier time. (not implying that NWAU is scamming!)
Bobwins: Yes, I know for sure that is a reason to bypass form 10. I am not sure that they would have done a form 10 and had it rejected. Seems like a good SEC attorney would know upfront if they could pass or fail. I know someone who just did a similar deal with a BB company for the reasons stated. Form 10 would be much cheaper with no dilution. Can't think of another logical reason to go reverse shell route.
I will check and see if having a form 10 rejected would impact the merger. I tend to doubt it. Many people looking to do a reverse deal are initially attracted to the OTCBB shells and when they see the cost involved and disclosures, they opt for the Pink Sheeters instead.
For paper filings, you could actually go to the main office and get a copy. I don't know if form 10 is included in that. Since NWAU is not an Edgar filer, we can't see anything online. Search SEC sight for contact number, as I think you could call them regarding this.

NWAU: I like the business model, used cars with GPS @ high interest rates = big profits. The only danger sign is going to BB via shell and bypassing form 10 tells me that some ITEM can't pass muster with NASD/SEC.

The number of millionaires in the United States increased to a record last year, boosted by gains in stocks and global financial markets, the Wall Street Journal reported Wednesday.
The number of US households with a net worth of one million dollars or more rose 21 percent in 2004, said the report, quoting a survey released Tuesday by Spectrem Group, a wealth-research firm in Chicago. It is the largest increase since 1998, according to the study, which was based on data from more than 450 qualified respondents.
There now are 7.5 million millionaire households in the United States, breaking the record set in 1999 of 7.1 million. The study excluded the value of primary residences, but included second homes and other real estate.
A separate study by Boston Consulting Group found that the United States continues to lead the world in creating new millionaires, the report said. The number of households in the country with liquid assets of 20 million dollars or more is increasing by 3,000 households a year.
The studies suggest that despite falling wages for nonmanagement employees in 2004, the fortunes of those at the top continued to rise.
Unlike many wage earners, the wealthy rely on investments for much of their increasing wealth. They also tend to invest in higher-risk and potentially faster-growing investments, including hedge funds, private-equity funds and debt instruments.
The findings mark the second straight year of growth for millionaires in the United States, the report said.
After rising rapidly in the late 1990s, the fortunes of the wealthy tumbled with the bear market of 2001 and 2002. Last year, however, with the economy expanding and stocks recovering, the wealthy staged a comeback.

You have a lot to learn...... Those are meaningless numbers. Most shares are held in street name by your broker and don't count towards the number. You would need to have the lists from the transfer agent to get a handle on the true shareholder count. And even then it would not be totally accurate as you can opt to have your broker block your account from appearing on the list. Although I am not sure if it would still show up as an anonymous shareholder.
MDF has substantially more than 300 shareholders!

OT: STANU / MDF : By shortsighted I mean that you are a Value investor, this is a value board and all is well. Yahoo MDF is a stock specific board and not everyone buys stock based solely on PE. Some investors, myself included will buy stocks that have earnings, but don't have reasonable PE's compared to others within the industry. Why turn them off by constantly dialing into the numbers and trying to show that the stock price is ahead of itself. It is only ahead of itself based on your parameters, not everyones. That my friend is shortsighted and only hurting yourself in the long run.

MDF: STANU78: Conundrum! Stanu you are hard to explain. You have always said you are long the stock 100K+, and I will take you at your word. What you fail to understand is that other people read this board as well as Yahoo. People who might be doing research reports, brokers with clients looking for investments, etc. Your shortsighted goal seems to be showing off your own knowledge of the stock, rather than putting it in as good a light as possible, without being a pumper.
Think before you post ... you never know who you turn off from being a long term investor. You sure have helped keep my position smaller than I normally would buy.

GILEAD: Otcbb trades: I have yet to see a rule that requires MM's to show your orders on the BB. I think that they are strictly trying to compete with ECN's to keep them from taking over. Eventually I think the ECN's model will win out and MM's will be handling a small percentage of total trades. They seem to show our bids/offers if it does not get in the way of what they want to do. They can and do work around whatever they have to.
They don't show your order, it does not mean they rejected it. That would be bad for business. Call them up and ask why your order is not being displayed. Good luck on one of those calls. I have done that with Schwab and eventually you get to speak with someone @ 101 Montgomery Street, San Francisco ... it still does nothing.

Steeledge: No, I have not bought any F stocks. It's just a situation where the MM chooses to not show my bid. Some of the MM's have so much order flow that they can make things happen many ways.
Yield: Those are safe investments as far as principal, if held to maturity. Interest rate risk would be a problem if your mom needed to cash out. The Mae family is not actually government backed. Doubtful that the government would let the Mae's fail.

Obviously you don't really listen to the guy. He frequently states the BAD. His advice is right on and the "average joe" would be well served by following his advice and avoiding single stock risk as well as a 4% cap on any one stock, if they must stray into single stock risk. Not everyone has your phenominal trading skills and relying on a Brinker is not a bad way to go. Considering Brinker is a conservative kind of guy, he is always ripping the current administrations NO VETO of any spending.
Why not actually listen to what someone has to say for a decent period of time before going at them.
