Yes, IMO with the financing deal complete, "something" of magnitude must be announced between "today" & at the latest the Q (mid-November).

Take a look at the name Pacific Aerospace. At one point in time they said in a pr the plane had several applications one was ag use the other was fire fighting. At one time new Zealand was part of great Britin
For the record, I have no idea who the company is, will be, or if they even exist at this point. But I'll stick to my opinion that this does not look like the company to me & based on your thoughts that since the word "aerospace" is in their name and the "Great Britain connection", it would be wise for you to drop this. If it turns out to be them, you can blast me with an "I told you so".

Other than saying "a single engine turboprop airplane", what specifics are you referring to?
The company does say:
Northstar Electronics, Inc. ("Company") is currently working on a potential arrangement with a subsidiary of an European aerospace company to assemble, co-manufacture and market a single engine turbo-prop airplane for commercial applications.
This company in New Zealand that makes 3 or 4 planes, only 1 of therm being turboprop, does not sound like the European subsidiary to me?

This is where I am stuck. I didn't review & add up all the purchases from the start of the deal, but we agree the TO option is off the table, right?
And, the most recent $90k buy was "9 of 9".
Call Option: To the extent that the Company does not elect to sell Acorn the full amount of shares permitted as Regular Purchases and Take-Out Purchases, Acorn will hold a call option, exercisable at any time through late 2020, to purchase any remaining available shares from the Company at the prices set forth above.
Isn't the Call Option now off too since the company did sell the full amount of shares? Where are you getting $720k from?
Only reason I'm making an issue out of this is if I'm correct, "something" will need to happen sooner rather than later!
Regarding "more shares", or an increase above the current 51%(ish), can you clarify something for me?
1) The "take out" shares say they are for extinguishing "convertible debt". Since the CD is gone, doesn't this mean T.O. shares are no longer an option?
2) Regarding the "call option", I think it reads it is available only if Roche hasn't fully bought the $90k per month for 9 months, which he has, right?

I'm not familiar with t.o.'s or tender offers, but I do think the "enterprise value" is a possible metric that could be used? ECIG's EV is about $105 million but the debt must be subtracted from that. Where does that leave the pps? .10 - .15? Or, to look at it a different way, if Dick were to make a tender offer at a whopping 25% premium to the current pps, that would be a cool dime!
So no, I really hope it ain't happening & yes, it would "feel" like an extra punishment to me!

The final scheduled buy is September, & previous buys were mid-month. It also "appears" RVUE does need the monthly working capital Roche has been providing?
Are these the "main" possibilities:
1) Roche makes the September buy & nothing else is announced. PPS slowly drifts lower until Q3 report.
2) Roche makes the buy & commits to another, new tranche of buys.
3) Roche makes the buy and announces a kick-ass merger of some kind.
4) Something else I'm missing.
Would love to hear the opinions/percentage chances of above.
Also, were the "take out" purchases at .011 (I think) already executed (to take out the prior debt), or could that be coming in October/November as per the filing?

The question for me (and likely others?), is since they are about 1 year into the "3 year plan", what is the likelihood of a "merger" any day, vs in another year or so?
The revenue drop of about 75% (I think), is not "good". What is your opinion regarding a sideways move or a "pullback" in pps?
