He made us think early in the game we would get cash. Then he acted like cash was never an option. He has promised information on ex and record dates he hasn't even tried to meet. He is one of the biggest liars to ever conduct a scam. The more I read about all of his past around the net, the more appalled I become. I was lucky to make money in this. The Spanish now realize they are fried and are desperately trying to sell stock without hitting bids, but this strategy is no longer working. Slowly but surely, the stock is losing ground as Wall Street realizes the Downs Empire is naught but a facade. Certainly the Spanish have found out the hard way. It is rumored they are scratching their heads in bewilderment at the failure of IDWD to honor it's publicly announced record date. Downs is trying his best to keep the IDWD ship afloat until July when his 30 million shares of restricted stock become freetrading, but the hull has hit an iceburg and now has a gaping hole as large as the one which brought down the good ship Titanic. Shivering IDWD passengers, dressed to the nines for the St. Patrick's Day Ball are now standing on the deck of the sinking ship looking for a seat on the last lifeboat. Panic is very slowly becoming the mood of the hour, day and month as the fraud news scheme participants realize the 384 bit encrypted keyfob will not save them from drowning in their own greed. The Stepford Wives of Downs board at Hot Leather S&M just banned another group of shareholders tonight for saying they had been ripped off by yesterday's "no dividend" announcement. What a group of screwballs! That board has been headlining the dividend for months and now that there is no dividend coming anytime soon, the moderators are trying to act like everything is right on track.
The craziest post of the night was one in which the board creator Darth Vader threatened to hack anyone's computer who disagreed with the company's lies. Is that board run by asylum inmates or what? If a shareholder has the guts to mention Downs has been lying to them they are thrown off the board within the hour.

TO JMH: I can't do PMs. Here is what I know about restricted stock.
You will have to hold it for one to two years. Even then there is no guarantee you can get the legend lifted. The company attorney usually charges a fee for an opinion letter. If you are on great terms with the company, this might be handled for a minimum fee, but I have heard of them costing as much as 750 dollars. There is no guarantee where the stock will be trading two years from now either. This stock went up a lot because of people like us buying for the dividend. Unless Downs has a rabbit to pull from his hat and starts filing and we can all see he isn't lying like he has done on the dividend, I wouldn't pay you .25 for an option at .50 which expires two years from now on this stock. I have held restricted a couple of times in a penny stock and both times it was almost worthless when it was time to sell.
Translation? I think restricted stock in this company is next to worthless unless IDWD does things different than they have been doing them. The only people who can come out holding restricted in something like this are people who own it with anti-dilution clauses--like Downs
I did a little checking. DSC is related to TYCO and not HLS. HLS has a reseller's agreement with TYCO in Pakistan through the DSC business of TYCO. I think it is very misleading for them to present DSC as if it were part of HLS when it isn't.

IDS to Extend Record Date for Special Dividend

(OTC: IDWD) today announced that in discussions with the NASD certain components of the HLS transactions could not be completed in time to meet the 10-day notification requirement under SEC rule 10b-17 and still maintain the record date for the Special Dividend previously announced as March 17, 2006. IDWD is starting to look like scam to the extreme. Am I ever glad I ran into this board! I would have been very upset if I owned this stock and he did this to me a second time.
The Josef Stalin Communist IDWD board over at hotstockmarket.com banned another poster yesterday for telling everyone this would happen this morning.
Downs said nothing at all in today's news except there would be no dividend when he promised. I am beginning to suspect there will never be a dividend. This isnt the first time he has pulled this scam.
I was reading the Yahoo boards and I saw Downs started stock fraud activities back in the early 1990s. I'm not sure if he did it before then. 1992 was just the first time law enforcement sentenced him for it.
Interesting indeed! The press release is slightly misleading. This is what the court's desired procedure will be in the case:

This case looks to have been brought in an attempt to discourage message board posters more than any other reason. The stock of EAG is on it's lows so it could be argued that if these posts were made in malice and they were incorrect, some damage may have resulted. But the Court has not yet addressed this issue. At the present, they are simply allowing discovery to fnd out if the posters themselves were trading the stock and could have benefitted.
I'll bet EAG loses this case if today's ruling gets beyond appeal.
I just looked at EAG's financial statements. They look very bad. It would be interesting to watch what would happen if IDWD were to sue message board posters. It would subject their own operations and the trading of their own principles and any related and or controlled accounts to the scrutiny of discovery. The only way you can prove a post is incorrect is to provide hard documented proof it is incorrect. I have read many of the posts here over the past week. I'l bet Downs would be hard pressed if he were to have to turn over the financial records of IDWD to lawyers representing posters in any effort to prove their posts were patently false and made with malice.
Gosh! Can you imagine the great information we could read on this board if any of the discovery were made public through motions filed in a slapp suit?

IDWD makes typos or intentional errors in nearly every news story. I noticed the mistake earlier today. If you go to the www.securityworldmag.com link and do some surfing or simply google "infothe media group" or "infothe publisher" you will find the magazine is owned by this entity which is a Korean company. They do not claim A CIRCULATION OF 75,000 AS DOWNS SAID, BUT A MERE 25,000!!!
Just like in the earlier news where he claimed HLS had a 1000% plus growth rate in revenues or sales, and later adjusted it to double digit, Downs seems to be exaggerating.
Their circulation table in the 2006 media kit shows a mere 25,000 readers, but it is difficult to find any hard copy since 2004 on their website.
Downs is either one of the biggest story tellers to ever hit the pinks or he has a major case of dyslexia and never lets anyone proof read his news stories. It's interesting that he always makes his mistakes to the upside.
People must be selling now. I am out. I wouldn't want to see what will happen when all of the newbies find out they are getting restricted stock if that happens. That's WAYYYYYYYYYYYY too dangerous.

Wally. I have been reading that crazy Communist board the last few days. I haven't even tried to post there because they are nuts. If a person who owns stock makes a comment about the missing dividend details, they get banned for life. They have banned several people there and that Darth Vader guy tells them the only way they can ask a question about the company is if they send him a PM. All they allow there is big time pump. If you say IDWD has no problems and is going to 100 dollars like that one poster does, they love it, but if you ask a question about why things haven't happened when IDWD says they would, it's off to banished land for you. chucker Instead of relying on others to do the work for me, I've been doing a considerable amount of DD here the last few days. I found out a number of things. Did you know that IDWD's news which told about the contracting vehicle for STS had a few typo errors in it? I don't know if the errors were intentional or simple typos, but once you correct them, a world of information suddenly springs forth out of the depths of the earth and a story unfolds.
One is the CIOSP 2 contract listing for Adtech Systems. It should be CIOSP2 instead Simple mistake but correcting it opens up the floodgates.
Another is the DSIDDOMS III contract listing for Adtech Systems. If you use SIDDOMS III instead, more information is made available.
Here is what I have found in my DD. Adtech Systems is a Government subcontractor and has been getting quite a lot of work under the disadvantaged business category. The Disabled Vietnam Vets designation puts it in that subset. Many contracts in this area are no bid. Adtech also has landed contracts and then subed them out to a third party which is also in the disadvantaged business category and qualifies them for special contract perks through SBA.
Adtech attempted to merge with another OTCBB Florida Company last year and the same procedure was to take place. E. Richard Weitzel was going to take the CEO spot once the merger was complete. Unfortunately all of it was conditional on Adtech supplying proper accounting and meeting other conditions. I don't know if the merger was scuttled because by being a public company it no longer would fall into the disavantaged business category through special SBA programs or not but they terminated the deal. Maybe they decided it was best not to subject their ops to public company accounting. Who knows for sure?
This time they come back with STS and I can't find any information this company has any government contracts at all. Adtech is easy to find, but STS is invisible no matter what some on other boards may claim. IDWD says Adtech is the contracting vehicle in its PR, but I'm not sure if this is just some way to scam the government or what it is. I can't figure out the switch. Adtech's website is defunct even though it shows uo on numerous cached pages at Google. Defunct companies seem to be business as usual for IDWD. I was surprised to learn from Jim Bishop 995ad.com is registered in the name of a defunct company.
Adtech itself gets around. They have done several military projects and have done many trade shows and even hire lobbyists. The strange thing is chucker, IDWD isn't buying Adtech even though Adtech is the company doing the business.
So here's the question. Is Adtech the one who bought the minority interest in HLS with Weitzel in the process of forming STS so he could sell it back to Downs and Adtech? It all would look like a nice little merry-go-round and would be a great way of still tapping the special no bid government contracts without losing your right to do so. Weitzel has supposedly been the head of both companies.
So many mysteries and so little time to unravel them. If IDWD can pull all of this off, they just might become a real player on paper or in point of fact.
I could write a short story or more connecting the dots, but I'll leave that to you.
I noticed something on another board today with a lead poster named Darth Vader on it. It is the hotstockmarket.com board. He is from San Antonio and showed up over there last November which was just after the HLS transaction was supposedly made or negotiated. Adtech is from San Antonio too. I wonder how much he knows about Richard Weitzel, Adtech Systems, STS, The Association of Old Crows, The Fiesta Conference, Texas lobbyists, Lackland AFB and so on. Spending a few hours on Google cross referencing everything will bring a world of information to your attention.
Jim. A friend of mine who has traded this stock told me about an old board on Raging Bull where there are still some posts about this stock. It is listed under the old symbol IDWS. I read it tonight and jmhgolf who posts here is telling everyone on the old Raging Bull board he knows for sure the dividend will be restricted stock. He is the one I read about here played golf with Downs. I found this post interesting. It is a guy who is arguing with him and telling a pro-IDWD person that he isn't wrong to think it should be some cash or free stock. What do you think about this? Do you think there might be lawsuits?

lol Alan. Nowhere does IDWD ever tell shareholders they will be paying a restricted stock dividend. When Sears spun off Allstate, the shares were not restricted. When ATT spun off LU the shares were not restricted.
Here is what will most likely happen to everyone if the dividend is restricted. When IDWD went public, it was trading at 1.30. It fell to .15 within two months and most of the shares were restricted.
No one has been buying IDWD for any reason other than the dividend. All you hae to do is read the thousands of messages all of the internet to realize this. Once people discover one or two year restricted shares are their reward for listening to the PR of Downs, there are going to be hundreds if not thousands of pissed off people. Lawsuits will probably be filed. I have already seen them mentioned in posts on several message boards. If people knew the shares were going to be restricted, they would have waited to buy. The people who are trying to pump how great it is are already riding free shares. Once you get your restricted shares, you will not be able to sell themm without an opinion letter from an attorney. This might cost more money than the stock is worth. I not joking either
It would probably be better to sell the stock of IDWD and once you find out what the new stock is going to be, wait about a month and buy free trading shares for a big discount to their present value. I'll assure you the present shares are illiquid right now. That's always the case in a new company.
Don't let people who have been trading on inside info like JMH dupe you into thinking everything is fine here.

Are you saying Downs owns 995ad.com in his own name through some ghost corporation? It looks like IDWD doesn't even have it registered to belong to them. Isn't this kind of like fraud when you read all the news saying it is IDWD's?
Does that mean IDWD no longer owns 995ad.com? I don't know what is going on here anymore. Today's news was terrible. It reminded me of last October. Next Jim Bishop points out Datatech was Patrick Downs and I read the posts. I have to admit it sure sounded like him. All he did was talk about how smart the CEO was.
I just spent a little time over on Edgar. Some people have been saying HLS was going to be its own OTCBB stock and we would be getting a dividend in the new stock. No SEC flings exist which I can find name HLS at all or the new company they are buying. This either means there is no new OTCBB company with HLS in it or no new company either unless none of it has been done so far.
I did a search on Biometric Security Systems just in case this was a new company and nothing under this name either. If HLS was buying the Weitzel company I should have been ab le to find an 8K filed naming him or his company. I found nothing.
Do you think the whole thing is made up and there is no new OTCBB company? I should have done all of this before I bought but the stock was going up so you know how it is.

I sold this morning when the stock bounched after the news. I had a sneaking suspicion something was wrong yesterday. I don't know why I didn't just call my broker then.
It says on the introduction here IDWD is doing a 5 million share buyback. Has this been completed? I was reading old news and the last buyback was mostly the CEO giving back stock because he said he took too much when IDWD went public. Is this buyback in the open market? If IDWD hasn't bot any shares yet this could help.

I'm new here. Can anyone answer when we will get the dividend? I expected to see some kind of an exdate posted but I can't find anything. I'm worried we might not get it at all. I have been reading all the news the company has had since it went public and many of the things they have told us would happen never happened. I think I paid too much for this but if they pay the dividend I will be in good shape.
I'm sorry if I seem dense. I still don't understand how many shares are out. The volume in this stock gets cranking sometimes. Maybe it's for trading in and out real fast.
