Shi-what really twisted my head around- the seller dug in from 1.36 to 1.48-ish. Why not let the stock run, then begin to sell. A couple of possible explanations:
- at $1.40 insiders had the right to buy stock, a purchase that would put MONEY into the company's treasury. Was the selling at that range a strategy- I don't have that answer, but I have suspicions.
- the seller had a large amount of stock to unload so letting the price rise to a natural level based on the size of the IDIQ that might have pulled some LONGS into sellers also giving the big seller competition.
- if the pps had risen to 1.85 and if insiders had bought shares at 1.40, the price might have leaped higher giving the large seller more profit but more competition. Digginn in at the 1.40 line kept potential money out the treasury and snipped LONG selling but also put a pall over the stock price...while encouraging the short horde to join in BUT giving LONGS the opening to add to positions instead of liquidating positions.
My guess- the large seller wanted all the sales for itself, dug in around the insiders option to buy, accepted a lower amount per share, kept the company's treasury where it is and continued their favored scenario but also giving opportunity for new investors and longs to add to their positions.

Pat- do you trust Stearns-Lehman-GM-Chyrsler-AIG-B.O.A.-CITI- Countrywide- Name a home builder- the list of untrustables extends around the world. Do you trust Putin? I do. I know he's up-tight and feeling fenced. Even a ground hog is dangerous in a corner.
The point, while you may not trust our gov., most of the world does indeed trust it. For instance, if a comet was hurtling toward this planet and we had 2 weeks to address the threat, who does the world turn to?
For the life of me, I cannot figure out how anybody cannot trust US- we the people- WE are the gov. and if you don't trust them, fine- the rest of the world does trust them.
The first 200 years are always the hardest!
Last thought: some 5-6 years, the float bloat went from 20M to 70M shares, 95% sold by dmrj, that's a fact jack and to say anything else is simply insanely dishonest.

Folks, try to cut the ceo a tad of slack- I didn't like his answer nor his tone in responding to the investor question about the share price. But, what is going to do--throw dmrj under the bus? Please- I would have objected to that even more simply because nobody needs irritation at this point. We need a bright shiney rich new parent that wants our etd systems and ip and covets our R/D brain-power. I would never underestimate the industry credibility that Dr. McGann now has. In a word- McGann= ETD.
Not sure if you all remember the incentive agreement that drs. McGann and Jones have regarding bringing NEW investment into the company. With a week old $162M IDIQ, their "stock" in the security industry is still circling the moon. I know what you are saying, There goes old Buzz with the hyperbole- NO, simply obvious reasoning. In my opinion, one of those two or both in concert will drag home the deal that cuts thru this ugly period of disappointing share price stasis OR as wise Fred has speculated- the SBA Loan train is a comin!

Ted- I think you hit it right on the head: big wheels turning right now to resolve debt WHILE future investor interest awaits Plat.'s exit. I know I would NOT invest into this while Plat. was busy " harvesting".
My hope: a large company in need to a trace component makes a strategic invest in and wedges dmrj-bam out with nice profits for both, thus pushing all that sideline interest into the stock thus raising the value of their position AND allowing IMSC's R/D to make the leaps and bounds in trace that EVERYONE knows they are capable of doing AND giving IMSC's production the support to move to a third shift and 300 unit/month output.
In this dream everyone ends up happy. Then I woke up...LOL.

And fyi- I think dmrj sold all they had into the float, but that would not stop them from shorting shares that are certainly good for. Once in the past, I believe dmrj took out loaned shares from the company against the qtrly interest conversion. That really twisted my head around.

Zey- the IP is now functionally owned by who until the loan is paid w/ interest? Not sure if there is a convert clause to BAM's loan but usually there is.
Dmrj stepped out of the way of owning the IP ( and company) and that act encouraged BAM to make their loan.
How does the company get around that with a new lender? And wouldn't the new lender want the same deal points? Sure there are ways around this as I don't think this is a locked up gonner, just the opposite- I believe interest has ramped way up.

Ted- their 20M$ loan is secured by rights to all IMSC IP. ( in a way, you could say they own the company). They are due interest on that loan ( forget the date) and if not paid, they could foreclose, much the same way dmrj had secured its loans. But nobody would want to upset the apple cart now that is has an IDIQ for 162M$ for the tsa.
Why is the price frozen in this range, especially in light of said 162M IDIQ? Anybody else with a thought on this?

Zey- hate to disagree, but BAM's loan is secured by the IMSC's IP. Dmrj stepped out of the way on that. Dmrj wants the most they can get and imo they are getting it. By giving up the rights to the IP means they have to convert-sell rapidly. I don't sense any bit of hesitation on dmrj's part to convert/gain shares and put them into the float.
So to think dmrj is holding the price in place by selling seems to make sense until you realize that their selling is holding the price from appreciating until you realize that dmrj would never want that...so then what is happening? I am all ears on this one.

Fidel- the ones that know about IMSC know about the players, and the rest of the market has NOT heard about IMSC. This is one of those odd stocks that when you hear: 162M$ tsa IDIQ, a 2M$ grant from tsa you might think- well I just found gold. Then the more you read, you begin to understand the forces set against one another while you watch how they resolve their differences. Big players make accomodations so both get what they want. The art of negotiation states that has to happen or things go up in flames.
But we commoners don't want another dmrj scenario to replace the current one.
So I see this resolving quickly if the ceo has the resources to pay off the wolves. A ceo I knew said: only that keeps the wolves away is plentiful cash. The one thing IMSC does not have but looks like it will have, is plenty of cash. Again, just my thoughts and who really knows anything.

Ted- one hang up to a loan, right now, how is that guaranteed? BAM has the IP rights that guarantee their loan to IMSC so they control events as we move toward those resolution dates. Sure, this can be worked around but it takes a small leap of faith and or common agreement by all parties involved. But do all the parties involved share the same interest now that IMSC is a major partner-vendor to tsa? I don't know the answers and nobody will talk about it, but you can bet that when the topic comes up, the parties involved will shout it down thru proxies.
We common holders don't have control of the deck. We can only sit from the sidelines and watch. But in my opinion, there are big players at play and its so obvious that other shareholders have been sidelined thus the price sits below management option levels but a a level that encourages dmrj to keep converting and selling while it makes take out or other loan converts more attractive.
So as a long shareholder, I am rooting for a strategic buy in with a lock up period. I have to believe that the ceo would want the same, but never say that as it could trigger "unhappiness" ( don't want to be wearing the ceo's shoes if that should happen).
Again, this is all conjecture and guesswork as there are no distinct trails that I can point to. But if somebody has a plausible-reasonable explanation- I am all ears!
Also remember, the Drs. McGann and Jones have a very nice reward awaiting them should they bring that interest to the company. I view that as a positive and they are my hope for the strategic buy in. Since they receive shares, its in their interest for the share price to be very much north of where it sits today.

Ten4- you have two to three competing forces at work right now in this stock. I can't say for sure, but it was obvious that some entity held the price in place. That would seem to be a dmrj selling into the rise, which they were, but they would also want to move past that block and have the stock run much much higher as they could sell on the back n fill move and make more. But imo, the wall-builder at 1.49 said to dmrj: sell here and be happy.
Is that wall builder BAM? Or is that wall builder a competitor? ( doubtful but possible) Or a bigger company trying to steal IMSC for a song and some debt payments?
Discuss, we'll vote in 2 hours.

Ted- can't answer for Corner- but who has the most to gain by keeping the stock price in check? Not dmrj. They want a higher price but given the choice of holding shares for THAT almost mythical higher price or selling today at 1.32, dmrj is picking 1.32.
The BAM interest payment if taken as shares, gives them more shares per dollar due as long as the price is low and I view today's price as low in terms of a 162M$ "order" but high in terms of the debt structure. BAM sees the opportunity and they maybe the one holding it here. After all, BAM knows that dmrj holds those 8 cent converts and they would like to see the pps much lower. This predicts bad things, if true, but there is no way to confirm that. Even with an anti-short clause in the loan agreement. Somebody acts on behalf of somebody who work for somebody else who knows somebody who will write them a check.

Corner- are you supposing that dmrj is selling their pants off to avoid losing when bam takes the ip/company in lieu of its payment due and instead of shares? ( the terms are in the loan documents but I don't remember them off the top of my head) They are owed 3million interest in mid March and if they take it as shares, would they not be the ones trying to hold the price at this low level to give themselves more shares for the interest payment due ? ( I think its obvious, but can't be sure)
I agree, the writing is on the wall. THAT is why I am saying the ceo has to do something dramatic, actually 2 things- deliver as much of the current order as possible by 1/30/15 so he has interest payment in hand while still being able to fund opeations and find a strategic buy in to remove that threat.
The only thing that will create that strategic buy in interest is the ceo and coo take the ceo of the buyer into the "shop" and show him what IMSC is working on. Ironically, that same thing they are working on is the reason that bam may do what I think they will do.

Corner- good insights! A strategic shorter plays into dmrj's ongoing selling also and even makes money the way this stock pops and drops, slowly rises then recedes.
So the counter to that would be a strategic buy-in with the shares locked up for a set period of time. Say a L-3 buys 18.75M shares and pays $3 each ( yeah I know, why would they do that), the only reason for them to do that is to insure all the loose ends are cleaned up (dmrj goes away, bam goes away) and IMSC could make a deal that when the stock price gets to $5.01, those shares unlock freeing that buyer to move further toward taking out IMSC or selling their shares at a fair profit. The goal- get IMSC capital structure clean enough for uplisting, fund their R/D to allow more rapid product development and block competitors from capturing the FLAG, so to speak.
To my mind, other deals are more complicated, keeps IMSC in the same boat ( sure a smaller debt boat ) and still stymies rapid product advancement.
I think its clear: anyone else in etd has to really figure out something new because IMSC holds the science lead, the relationship lead and is stretching its marketing reach over the entire globe ( tip of cap to Dr. Jones).
That makes sense to me. What do you think?

Zey- not to throw a pie at you but...what about BAM? They have the IP tied up so that is out as a collateral piece. Further, doesn't IMSC have an interest rate in place on that? How would that affect other loans? Another chain around the whole refi event. I think it happens, but its hard to imagine at what interest rate that dramatically solves on-going dilution.
Bigger picture, this is in my view only, a conveyor capable non-contact multi vortexed-hypenated etd unit that goes into the tsa's testing lab for certification triggers a buy out discussion pending it making it to o-t-e, then at which point, the move will be made.
The news about IDSS's new advanced imaging machine is real interesting. A 3-D image of density of objects is pretty slick. And advanced density algos is also a leap forward. I still sense a need for etd to connect to eds but it sure changes the old saying: eds senses differences in density but does not specify exactly what those substances are, which is what etd does do in tandem.

B9- well to say the unit price is NOT important news to investors is a mis in my view. I am NOT saying that is what you are saying. But here's why its important: investors are doing the calculations on margin gained from units sold vs. amount of debt against the growing dilution.
These issues may be irrelevant to the ceo as he may already have a debt resolution event in the pipeline. So any talk of paying off debt or what a unit sells for under the $162M IDIQ is not the first thing he worries about. Further, I don't sense he wants a known price/unit floating around the markets. You can well imagine the damage that could potentially do.
My other thought, why would IMSC ever bid itself down by fire-sale pricing the most advanced etd available- they would not. Matter of fact, the tendancy would be to over price it in the vacuum of real competition. ( note Smiths and Morpho etds are still certified but undesired=not real competition).
The aspect of the last conf. call that sort of threw me for a loop-- prior calls all referred to IMSC's B-220 as the new specification, meaning, tested against the latest threat substances and on the latest surfaces...so Smiths and Morphos etd units are defunctional by specification but still in service. To my mind, that points to a faster replacement cycle than what we have heard but another issue that IMSC cannot talk about as production capacity is evolving/growing.
I agree that the 21M$ order is for a partial # of this year's quantity of 1130 B-220s. So I think he delivers the full quantity (1130) before Sept.'15 but doesn't want that in guidance or the record before it is a certainty.

Buffalo-- I am trying to understand your point re: dmrj and mgt. trying to keep the share price low-- how is anybody, inclusive of other shareholders served by that? To my mind, that makes no sense.
Ceo wants the stock higher. Much higher. He has "options to buy" priced in the $1.40 range.
Dmrj I assume does not care about the price they gain from the interest payment shares they convert at 8 cents. They just want those shares sold as quickly as they get them. And that makes dmrj NOT a shareholder.
Further, to fully value IMSC per-buyout, they need other products, products that tsa wants so much they are paying for their development.
I would like to see dmrj exit the stock the week before IMSC submits a quality data package on their conveyor etd system and or their new hypenated hand held etd that delivers a much higher resolution that either the B-220 or the QS-H150. It is not a mythological product as some Qs have shown it as the QS- 150E and before that as the QS-Hx. We know its close at hand. I think their "second tsa act/submission" is the catalytic event that triggers a buy out.

Zey- I also believe that ceo bolduc was hesitant to speak about debt resolution plans. Its not a favored topic when you drill into what the details are. So, until he has lined up other financing, I expect silence regarding that.
I did take a minor offense over discussion of the share price. Of course we shareholders want a higher share price as should all of mgt. So to say something to the effect, "...if the share price is 10 you would asking for 12..." which would discount the shareholders who paid 13. Not a worthwhile exchange of dialogue, in my opinion.
We need true alignment between shareholders and mgt. in order to keep the stock from turning into a flipping tool. Which it seems to be right now, which if true, then that will be the story until debt is resolved.
I think even dmrj would agree that 15% interest converting to shares at an 8 cent price will kill the stock price and work as a "do not enter" sign for new potential investors. That is the anchor attached to our raft.
Meanwhile, on the positive side; more and more people are finding out about IMSC as it is still early in the diligence cycle post-IDIQ news and first sale lot news. Many people even here are working under the thin assumption that tsa=100% of sales. Not true. I like to think of them as somewhere from 60% to 75% of sales. Sure, the forecast was for 20M rev. by 6-30-15. This was the conservative estimate, so if it comes in higher, the surprise will be a positive one. The eruo composite order, if placed thru a buying cooperative agreement has significant potential.
Cargo is sort of closed until Smiths-Morpho units loose certification which happens in 2016. Before then, I expect IMSC's next big breakthrough to immediately find its way into the back room. Swabbing massive amounts of packages all day long will either wear out staff or cause them to be very sloppy which creates a dangerous opening for terror cabal.

Zey- I was NOT saying that. I was saying its absurd to believe "18-19K" was the selling price of B-220 when the ceo specifically referred to 18-25K was price range of the QS-150 which is LOWER than the selling range of the B-220.
Further to that point, ceo bolduc specifically dismissed the 21M$ notice as not reflective of the B-220s IDIQ price. Since there is NO unit # specified, I assume its for the first part of the 1130 unit order, or roughly 560 units, which conforms with prior published plans.
Don't know where you are coming from but its NOT where I am at. i believe the ceo and always have. I don't think you can hold a stock if you don't.

Doc D- again, spot on post! I have looked for dmrj's potential Schedule D-Gs hoping against all likelihood that they MIGHT hold a position someday while knowing they have a huge convert lurking at 8 cents/share.
You can go back to dmrj's beginning in terms of share count then and now, somewhere in the neighborhood of 20M shares then to almost 70M shares now. Then have done quite nicely and they certainly deserve to do so.
But today we come to the great question, what is a share of IMSC worth based on the debt conversion dumping into the float and the debt lagging. The company has to get past it and I believe they will.
Consider their history, they kept alive by a loan program and a raft made out of hope. They floated on, now, that raft of hope is bobbing up and down. Most longs have fully expected that raft to fly by now. And by recent success, it should be flying but the raft is attached to a heavy anchor so now ceo bolduc has to cut that anchor in some way if the raft will ever fly.
I believe he will but I don't believe it could happen at some 18-19K per unit for its flagship product. So that is a key question to have an answer to.
Further, I do not understand the line of questioning regarding THE IMSC IDIQ and other companies participating IN that IDIQ. They would be issued AN IDIQ much the same way Smiths had AN IDIQ and Morpho had AN IDIQ prior to IMSC's IDIQ.
Regarding crash and burn Monday...today, Wednesday, we are not seeing much new interest in the stock whatsoever. The hope that media interest/reportage drives awareness which stirs up investor interest has been lost. Work must be done to create new investor interest and that must be on-going. My opinion, find another lender fast, lower your borrowing interest cost to a reasonable-for-the-risk interest rate under 7% and devote revenue to paying that new loan off as fast as possible while keeping the raft floating and even moving.
I think I can spot Ginger off in the distance waving from an Island...look, Mary Ann is holding her on her shoulders. And there's Lill Buddy, Gilligan. They are waving gobs of...of...$1000 bills!

ted- I think ceo Bolduc was speaking about THAT NUMBER in relation to HIS NUMBER and therefore THAT NUMBER did not match what he knows to be true.
Further into the context of pricing the B-220, ceo Bolduc was asked which unit sells for more, the QS-150 or the B-220? He stated the B-220 sells for much more than the QS-150, further, he spoke to QS-150 pricing in the range of 18K to 25K ( roughly if I remember that correctly).
For some posters to claim that IMSC is selling the B-220 for $19K is totally upside down to IMSC's msrp range on its two trace detection products.
RE: B9--I do not sense that Dr. Jones was the "designer" of Monday's event nor is stock promotion within his job duties. To my mind, that squarely rests with ceo Bolduc. Further, I doubt very much that the ceo has much room to speak too much about snuffing out debt while the company is still greatly indebted. Seriously, who would start throwing a lender under the bus before having squared up with said lender? Not a smart mode of behaviour.
But on the other side of the discussion, its hard for me to see dmrj as an equal to a shareholder. Obviously they do NOT hold any shares for very long. A share seller to repay debt is what...? Still a lender, in my view.

MAS- why don't YOU call ceo Bolduc and find out what is real and what is NOT. The ceo said that the original document did NOT match to first unit order. You are claiming that IMSC sells a B-220 for some 19K$ which is patently absurd. The QS-150 does even sell down in that range.
What is likely: 21M$ = first shipment, which is very much likely to be 560 units, which matchs what TSA capabilities division had pointed to all along.
Please, don't insult the ceo, the shareholders and even your flimsy reputation with #s you create out of the blue. CEO Bolduc has stated that the 21M$ amount is NOT for the full initial 1130 unit purchase.

Zey- I watched level 2 yesterday ( for what that is worth on an otc), the stock began to tank 2 hours after the demo, theoretically, it should have moved up and today it should have moved even further as NEW buyers found a gold mine. Where are they?

I get accused of being a pollyanna on occasions because I look at positives first but never ignore negatives. Huge negative in my book. I will hazard a guess that tsa was on the phone this am and not pleased at the questions flying at them.

Zey- do NOT underestimate the opportunity missed because it was significant while costing the company money, not much money judging by what they didn't put into it. But still they had Howard Safir on stage in NYC-- dam, every station there was primed and ready to put this demonstration on the 5-6-10 and 11PM casts.
And here's where it also hurts: joe public is watching the news, sees a story on how USA company is improving air security with a USA made product, goes to work and at lunch has an investment club meeting, he presents IMSC as his new find, his fellow investors are on the trail of a new prospect, along the way one calls a friend who owns a bank, that friend calls ceo bolduc...sure, this is a long shot but certainly some of the story elements could have happened. Instead we get the wrong picture of what the tsa has approved-- that's like holding your foot while you aim a shotgun at it.
Nobody took home what the company should have wanted them to take home and therefore nothing made it into homes in NYC or Wacko Tx.

maebs- good points. Everybody makes mistakes. But irritating the tsa with an attempt at PR is a big one. Regroup and fast.
But at the end of the day, YOU are spot on; 162M IDIQ means we have orders to fill for a while, now if we can supplement them with Euro orders and misc others ( US GOV. Branches), then all will be well, we'll find new financing and get a divorce from our biz dev. lender and then the pps will appreciate.
Small companies are like one man bands wearing many hats- are they out of tune or do they look absurd wearing that PR hat or both.

Zey- I disagree, it was bad from the start and got worse. There was almost nothing good that came out of that event. Look at the message just posted, tsa using handheld 150??? Now, IMSC has to deal with that. No, this was pure trainwreck and it set IMSC back.
Now they have to re-group and fast.

maebs- IMSC had a PR firm. I didn't sense they did very much. Problem with PR firms, the good ones cost plenty and demand much, the bad ones are bad. Hiring the right firm is not easy but for this event, I would have done so. I could have been a pivot point, instead its turning into a retreat. Sentiment is like the tide; ebb-flow...we lost the flow yesterday when we saw IMSC's ceo sweating while Todd explained all the details about the 150, which I think confused the heck out of the crowd. Not what I envisioned.

Zey- newsworthy events carry the adjective NEWS, meaning NEW. Its no longer new. However, a second angle can be developed and should be...but at HQ. Plenty of ExecProducers want a deep-unique angle on what protects the US public and IMSC has it. But they have to plan-script-rehearse to achieve the desired effect. I think everybody missed the rehearsal. Who would make the photogs turn around to see a dimly lit back of the room improvisation that broke any possible pre-advertised narrative ( b-220 bought by tsa, Todd shows us the 150???!?!)
I'm totally in favor of a second attempt at a deeper look. Maybe the Boston Affiliate for CBS or ABC will get an invite to a demo at HQ that will be so powerful that the network picks it up.

Hum- even worse, my sense was Todd's 150 improvisation had more to do with NOT warming up the B-220. It was bizarre. But to your point, this event was NOT for LONGS, it was for the media in the hopes that the media would echo the demo to the USA via a news bite or even a fully fledged package. NYC is hyper security aware but I think they looked, listened and then asked, what just happened.
In my opinion, a huge miss. Down the drain it swirls, never to come back.

Doc- agreed. Perhaps the ceo is sneaking up on it ( debt). He has to be deluged with offers. Meanwhile, crank up that R/D for the inline-hydra headed vortexing non-contact S.O. B. that finds 1/quadrillionth of a nanogram of trace, you call the substance. ( sure, thats a bit over the top)
This hydra headed vortex will sell like free money! ( so sayeth the sweating swabber in the back of the freight forwarding facility)

BlackE- the angle on the story has to change. See every assignment editor / exec producer that viewed the IMSC news release for the event becomes jaded when a story is sort of regurgitated so a new angle has to be there. But pulling in a reporter deeper into the story is not out of the question if tsa doesn't mind. In some ways they should be happy as deterrence is good/bad ( too).
I just hate seeing it crash and burn. I was very hopeful that real awareness for this company and its products would be born yesterday and now, meh, not so much.

B9- I am a shareholder, I doubt very seriously that mgt. would ever listen to what I think. But I still hope for the best and think we are in the race. Remember, the arduous process of getting into the race-- everybody else faces an even greater hurdle to get into that same race. So we have that going for us, as the joke goes.
