The issue is that you didn't say Agata is not an executive but
stated to me that she has "nothing to do with the company" but then
she does have something to do with the company in that she has a
position.. Do you understand why you come off shady when you say
things like that? It is like someone saying "It never rained
today".. and then you ask about the rain outside and they say..
"well it was not a hard rain." Like it or not on the message
boards and with the other shareholders you have a horrible
reputation. Maybe that is earned or not but the fact is you got
it. Maybe you do a poor job of explaining yourself...maybe it is
situations like this were you give answers that make you seem
untruthful. You can blame other people all you want but the fact
is I don't know many companies on IHUB who's stock board is skull
and crossbones and a warning. You have control of the company so
even if it was ex employees or however else that contributed YOU
hired those people. I have heard you blame everyone but yourself

shareholders and others. Like it or not your reputation is that
the goal of the company is to promote your wife and create a career

effect. When potential business partners type in Imperia in google
and people read the message boards I am sure it has an effect on
your ability to do business effectively. My recommendation is for
the next movie not having your wife as the lead as this is probably
the main reason for this reputation. It makes it look like you are
running the company with your penis and not what is best for the
shareholders.. Can you pull her from the next movie? It makes it
look like her only talent is getting you to put her in roles in
movies the shareholders finance through dilution.. Again, true or
not this is the reputation you have and perception sometimes is
more important than reality..It has an effect

I would proceed with extreme caution. You never know with this guy. For all we know he could have sold it to his wife. If you think I'm joking he has made her president of several public companies in the past. He is an attorney with thirteen bar suspensions in California and knows all the dirty loopholes.. I would MAKE sure this company has changed hands to someone credible before getting my hopes up... or investing a cent..

In other news of the absurd, did any of you notice that Ken compared Imperia to Microsoft and how it is no problem that Imperia has lawsuits against it? Yeah, I guess he forgot that Microsoft has millions if not billions in the bank. According to last financials Imperia has $90,000 in the bank and that was six months ago with no income since then so yes Mr. Eade $30,000 lawsuits are a big deal when you are sucking fumes! And that BS about "our script assets are worth over $3 million" is pure fantasy. And don't forget he owes that doctor $60,000 from a two week loan made a year and a half ago. And those are the only debts we know about. According to the financials there are at least $1.5 million in loans outstanding. Do the math..

Also, the Oct 16, 2006 post would have been shown as east coast time but he is in California so the post on IHUB would have appeared less than an hour after the email to James worded almost exactly the same. You have to cut three hours off the time for the time change.
Did any of you notice the status has now been changed on the pink sheets to "Yeild: limited information"?
If he does not give you a straight yes or no answer then you know for sure he is lying.. the truth is always simple... a "this is all bullchit" is a cop out answer. If he says No that he did not post on here.. then the next question is.. I think its time for me to disclose that I cut my preferred to 500,000 like I said I would, I sold my house in Santa Barbara and put all the money into the film, and I took a loan out for the company secured by my house I live in now and put it all into the film and the company, and now that there's no money coming in, I have to figure out a way to pay for the editor myself. They think we sit on a big pot of their money and the truth is we never saw any of their money. I'm more at risk that anybody. I worked for years to get this kind of lifestyle and I put it all at risk for the company. I guess they would then have some crude comments about that as well...........

How do you know that this party was paid for with company money? I heard that the Chairman of this co sold his house and put all the proceeds into the company, and took a loan against his current house to put more money into the company. Managers with their own funds at risk are usually signs of belief in a company. Plus, it doesn't sound like someone who needs to raid the company's piggy bank for birthday cake.

Just a quick note to tell you about my dealings with Ken Eade. I have found him to be very unreliable and to not fulfill contracts that he makes. At present time, he owes me $60,000 in cash for a loan I made to him for a 2- week duration almost a year ago. He said he didn't have the cash, so he sent me stock which devalues to almost nothing by the time you receive it. I am still spending my valuable time trying to collect it, and will probably be in litigation within days.

I have already had litigation against him about 4 years ago that resulted in my getting back $200,000 that was in a trust accout in his law firm that was released without my consent. I thought it was just a lazy and dumb mistake at the time and I forave his error, but now I think it must have been to the other side of the ledger.
I was the individual that introduced James Hergott to Ken Eade, as I thought they could benefit each other. I would also like to say that I know James has had this script in the works as far back as 4 years ago when I funded his other movie script, "All That I Need".

How do you know that this party was paid for with company money? I heard that the Chairman of this co sold his house and put all the proceeds into the company, and took a loan against his current house to put more money into the company. Managers with their own funds at risk are usually signs of belief in a company. Plus, it doesn't sound like someone who needs to raid the company's piggy bank for birthday cake.

I think that market makers and brokers are keeping the price down to cover huge short positions at a lower price. The only thing that can be done is to complain to the online brokers about online restrictions and to keep up buying pressure on the stock. They will hit the bid with small amounts and if they see it can make the stock go down because there is no buying support, they will drive it down as much as they can to lower their cover price by years' end. That's my opinion. There is no other explanation for trades of $30 or $40 on this stock.

I agree with you, but I think this stock is an absolute steal at this price and that the price will go through the ceiling when the shorters start to cover. Considering this probably has to happen in the next three weeks, now is the time to buy more stock and average your basis way down.

I will send an email to them about the dilution issue as well. The real problem I have experienced is restrictions on online trading. I think we have to start a rebellion against these online traders. Ameritrade is the worst! If its not ready to go to a theater or film festival then its not ready. I know a little bit about the movie business. After the edit, a theatrical film has about 2 months of music and sound work (if not more) unless you want it to go straight to video. I saw the trailer and think its worthy of a theatrical release. It all depends on how they want to market it.

I have to agree with you that I am disgusted that the market has not reacted to any positive news. But there doesn't seem to be a lack of it. Agreed on all points, but with two completed movies (each movie should take about a year to make unless its crap) and one TV series already in the can, I think they will make it. The way I read it is that the IPEI shareholder gets a position in the company, which spreads our risk over all the films. Additionally paragraphs 19 through 23 of Mr. Hergott's court declaration allege the following:
19. I am especially concerned that EADE will continue this pattern of deception. Among other concerns, he continues to:

c. Subject me to liability for false statements and criminal activities by EADE and his businesses.
20. I have these concerns because after EADE failed to pay the $24,000 and terminated the director's contract, I learned more disturbing facts about EADE and his business practices.
21. I learned that EADE has been using "Never Submit" to prop up his corporations by making false "insider" statements about the movie project, including scores of postings on Internet bulletin boards. For example, he has used the false identity "investyrstallone" on InvestorsHub.com, to leak information to the public and shareholders about the movie. (See message board posting and press release attached as Exhibits Q and R.)
22. I learned that in the months preceding my termination, IMPERIA issued no fewer than 36 press releases about "Never Submit"
and that during the same time period EADE used the false identity "investyrstallone" to promote IMPERIA stock in at least 100 message postings on Investors.Hub.com. (See press release and message listings attached as Exhibits S and T.) 23. I am informed and believe that EADE has stolen my script and is desperately promoting his stock because he owes investors, employees and others an estimated $100,000 and he does not have the money to pay them. I am informed and believe that EADE is running his corporations as alter-egos for his illegal activities. And I am concerned because I learned the State Bar of California has suspended him from law practice 13 times. (See State Bar information attached as Exhibit U.)
I don't know if it will help but I will post some stuff. The stuff in bold will be what I am trying to point out. You should ask Mr. "I don't tell one lie" if he posted on here as investorystallone.. see if he lies to you about it?
Outside of any legal action my recommendation would be:
STEP ONE: Sell the stock immediately if you can. I would sell mine but it now has no value at all other than about 12 cents.
STEP TWO: NEVER try and average down or buy back in! You will just sink deeper into the quicksand if you do
STEP THREE: Pledge to warn every investor who comes on here in the future to not fall
for this stock or any other stock with Ken Eade's filthy paw prints on it. You are doing them the favor that should be have been done for you.
STEP FOUR: Like 911.. NEVER FORGET.. do not fall for hype.. for promises.. for false excitement and future pump attempts. In the end you will regret it.
All just my opinions of course you should make your own investment decisions.
Looks like Imperia is going to get a default judgement against it as will Say It In Russian LLC. (see court documents below in bold).
Here are the facts:
-According to the financials the company had $90,000 in capital as of last March with no income since then (other than massive dilution)
-Imperia and Ken are defaulting on judgements and we know from Hergott's court declarations that other monies are owed to multiple parties
-No new income or any money coming in
-Never Submit is budgeted to cost $1.5 million. They don't have the money. This must be the real reason for the constant delays and now delayed till January
-Another indication that the company is flat broke is it could not pay its financial obligations on Whiskers and lost the rights. My guess is the company is in serious trouble
-The stock is as low as it can go which hinders Ken from diluting unless a reverse split happens..
For those of you who think the bond will save the day.. lets look at the facts with that:
-It was supposed to come in over six months ago.
-Several people posted evidence that the bond is not real...
-Now Ken is looking to "monetize it" which sounds like more bs. Since the company does not have an income, one must conclude that it is in serious financial peril
-Without funds they have no money to do anymore movies
Now some of you may be thinking that Say It In Russian will sell and save the day.. but lets look at the reality of that:
-The movie was not accepted by the Cannes Film Festival, By Sundance or by Venice.. in other words the movie had to be shown in a rented theatre and was not good enough to get into any of those festivals. The most I have ever read of an independent movie selling for is $5 million and that was Napoleon Dynamite which not only was accepted by Sundance but won the Sundance Grand Jury Prize. SIIR is not even close in terms of gaining any kind of accolades
-By Ken's own admission the movie has color and other problems
-The budget for that movie according to IMDB has now inflated to $5 million.
-When the movie does sell there are vendors who are owed money, principal investors who invested through a PPM and according to the financials over $1.5 million in loans outstanding
-Say It in Russian LLC is the one that controls the rights to the movie and shareholders are not going to see a dime
The numbers simply don't add up, this company is either going to go belly up.. reverse split and dilute or both... add to that the CEO is not only a complete lying scumbag but has shown no business abilities at all (other than dilution) and I think you all know how this story is going to end....

I am sure he has convinced himself that he is doing all this for the shareholders and investors when really he is doing it because he wants to be the big Hollywood player and he wants his wife to be a star. In order to be a good liar you have to convince yourself first. The road to hell is paved with good intentions.
Lets face facts, the only roles that she has gotten in recent years have been roles that she was given by Ken or his companies. All of her credits (look them up on IMDB).. Never Submit, Say It In Russian, Fallacy, Autograph, Faces & Names are Ken enterprises funded at least in part with shareholder money. Same goes for all the projects where Ken is listed as a writer/producer. Her only credits in Hollywood before that are extra roles that are listed as "uncredited". She has not been able to get even a supporting role outside of Ken funding it and making her involvement a requirement. And she just happens to be the star of ALL of his ventures and everyone knows it. People are not that stupid. She will never have any real credibility as a result.
In the end these ventures have not succeeded or made money so he moves on to the next one. What happened with Fallacy? Did the TV shows staring her even make their money back? Yet he moves from venture to venture. The only one who gives a sh*$ about her probably is Ken and the people on his payroll who tell him whatever he wants to hear about how great and talented she is. Like a house of cards, this will all come crashing down in the end..
All just my opinion of course...
RS went from "Not going to RS".. to "Have no plans to".... now "Trying to avoid"... my guess is the next thing is.. "Have no choice, we have to for the company and the shareholders". You heard it here first. RS coming sure as night comes after day... it's a catch 22 you know?

This sounds so desperate. Is he talking about the supposed bond that was supposed to come in by last March??.. where the people involved have been indicted for an offshore and other scams (past postings). I worked on the Imperia movie SIIR as part of the crew and the following is what I heard while on set and from others since then:
-Ken started the company to make his Russian wife Agata a star. She has no tallent. From what I have heard and seen very little carisma either. Ken sells the hell out of the stock to pay for it
-Agata was 28 in 2000 source: http://sec.edgar-online.com/2000/03/24/13/0001109664-00-000003/Section4.asp Which means she really 35 NOT 29 http://imdb.com/name/nm1148918/ unless she is forever young
-Agata was was having affairs while filming the movie including with her personal trainer. Most of the crew knew about the affairs but I think Ken was in the dark. Apparently he was spending a fortune on her clothing, jewlery etc to keep her happy.
-The bond was supposed to come in a month ago. If you check out the website for the company providing the bond there are spelling mistakes. The company is a joke.
-SIIR was well shot but has little plot and Agata's acting is sub par at best. I doubt it will ever go anywhere of significance..

Just a quick note to tell you about my dealings with Ken Eade. I have
found him to be very unreliable and to not fulfill contracts that he
makes. At present time, he owes me $60,000 in cash for a loan I made
to him for a 2- week duration almost a year ago. He said he didn't
have the cash, so he sent me stock which devalues to almost nothing by
the time you receive it. I am still spending my valuable time trying
to collect it, and will probably be in litigation within days.
I have also had other dealings with him that have cost me very large
sums of money. I will be addressing those also. I have already had
litigation against him about 4 years ago that resulted in my getting
back $200,000 that was in a trust accout in his law firm that was
released without my consent. I thought it was just a lazy and dumb
mistake at the time and I forave his error, but now I think it must
have been to the other side of the ledger.
I was the individual that introduced James Hergott to Ken Eade, as I
thought they could benefit each other. I would also like to say that
I know James has had this script in the works as far back as 4 years
ago when I funded his other movie script, "All That I Need".
I would be glad to get into more depth if needed.

KENNETH G. EADE [#93774], 43, of Santa Barbara was suspended for one year, stayed, placed on two years of probation and was ordered to take the MPRE within one year. The order took effect Jan. 11, 2001.
In a bankruptcy matter, Eade deposited $4,300 in fees into his personal account rather than his client trust account. When his client said he no longer needed to file for bankruptcy, Eade agreed to refund $3,425 but did not do so. The client won a small claims judgment of $4,418, which Eade paid a year later.
In mitigation, Eade had serious financial problems at the time of the misconduct, he has done extensive pro bono work for almost 20 years and he presented evidence of his good character.

KENNETH G. EADE [#93774], 38, of Oxnard was suspended for nine months, stayed, and placed on two years of probation. The order took effect Dec. 1, 1995.
In two cases, Eade practiced law while suspended. In one of the cases, his client filed three pleadings with the court, purportedly on his own. However, Eade's address and telephone number appeared on the front of the pleadings and the envelopes in which they were sent, and someone from his office signed the proof of service.
Although Eade claimed he dictated and prepared the pleadings prior to his suspension, he remained attorney of record at the time.
In another matter, he improperly acquired an interest adverse to his clients in a bankruptcy case when he agreed to pay them $3,500 for the title to their home. He gave the clients $500 in cash but did not pay the remaining money for nine years.
At the time, the clients had no equity in the property and were more than $24,000 in arrears on their mortgage.
Eade also was disciplined in 1992 for negligent handling of trust funds for one client.
In mitigation, Eade arranged for an attorney to substitute in for him during his suspension in all cases but the two in question. The substitutions in those cases were made late. No parties were harmed by Eade's actions.

m sorry Cindy didnt know.....I thought you were monitoring this website for the idiots at Imperia...again Im sorry for blowing off some steam......Webb said she was fired because she was incompetent and couldnt do the work they asked her to do. Basically calling her a lazy oxygen theif and couldnt handle the work load they put on her. That she couldnt handle the pressure of what was going on in the company and wasnt doing the work that Ken and Webb asked her to do.
He got on that topic by saying how they had got rid of some "bad apples" so the company could get back on track and how they won the settlement for the NS movie rights. This all came out of Webb's mouth on that first phone conversation I had with him last month.
DID HE MENTION WHO THE BAD APPLES WERE? I DON'T THINK YOU "WIN" ANYTHING IN A SETTLEMENT.. LOL.. A SETTLEMENT IS A MUTUAL AGREEMENT IN A LEGAL DISPUTE

His exact words in the second conversation was he didnt know what the difference was between the stocks we own and the stocks Ken owns and had to get up to speed on those things, and he would get back to me because he was going to be real busy with the up coming movie shoot, and would be on the scene of the NS movie and trying to get SIIR out in the public as best as he could.

I would think as the VP he knows what the difference is, Im not an idiot like he thinks all of us are and that we dont know what him and Kenny boy are up to...I posted the number I want everyone to call him and listen to how much he sounds like an idiot. Im not saying their is anything wrong with surfing but this guy sounds like he smokes dope and surfs all day long, instead of running the business and making movies like the company claims.
He claimed he wasnt up to speed on how the stock market worked and why our stock was were it was at....Just another lame excuse and lie. Buying the company more time before they are finally exposed for fraud and stealing. One thing I hate the most in life are liars and stealers....once a liar always a liar once a theif always a theif....there reputation is done...they will just R/S and then change the company name once they finish NS in 10 years.
