VIPM newsVIP*Comlink Board of Directors Approves Reverse Stock Split
May 18, 2007 3:24:00 PM
SALT LAKE CITY, UT -- (MARKET WIRE) -- 05/18/07 -- The Board of Directors of VIP*Comlink, Inc. (PINKSHEETS: VIPM) has unanimously approved and is recommending to shareholders, a proposal that would give the Board of Directors authority to effect a reverse stock split of VIP*Comlink's common stock. The reverse stock split proposal will be submitted to shareholders at a special meeting held on July 11, 2007. An affirmative vote by shareholders will permit the Board of Directors to choose to effect a split at a ratio with the range from one-for-fifty to one-for-one-hundred-fifty and implement the reverse stock split at any time prior to October 1, 2007.
May 17, 2007 was set as the record date for the special shareholders meeting in July. All shareholders as of this date should expect to receive the proxy statement from the company. VIP*Comlink has approximately 524 million shares of common stock outstanding with over 3,000 shareholders.
VIP*Comlink believes the ability to effect a reverse stock split will position the company for revitalization. On May 4, 2007 VIP*Comlink announced that it had signed an agreement to acquire Pure Energy containing assets of Beyond Juice. On May 8, 2007 VIP*Comlink announced that it had entered into a letter of intent with Jumpin' Juice & Java to explore the possibility of combining the business models of both company's. The reverse stock split will enable the company to execute its plan of acquiring the existing operations of several companies and partnering with others that have products and services suitable for patrons of companies like Beyond Juice and Jumpin' Juice & Java stores.
On May 11, 2007 management openly discussed the company's status with shareholders representing approximately 60% of the company's stock. Management was encouraged to have received an overwhelming level of support for the reverse split and acquisition plans.
"Having the flexibility to effect a reverse stock split is another step toward creating value for our shareholders. The company has no stock available to complete any acquisition or to raise investment capital today. The directors and officers of the company have worked for a year now to develop a solution that would be favorable toward the shareholders. We have reviewed many proposals seeking for options that would allow the company to emerge as an operating entity with stable cash-flows, rather than remain as a development stage company seeking new investors, and we also wished to preserve the strongest position possible for existing shareholders transiting any reverse-split transaction. We believe that we found the solution that works for our unique situation. We create some headroom in our stock position, acquire assets, raise a little cash to grow internal cash-flows and improve the overall operations with new technology. This plan will build a profitable operation and finally create some stable, performance-based value for our twenty-three year old company," said Mark Helms, VIP*Comlink chairman and chief executive officer.

It's alive! .0028x.0039 just woke up @11:40 am pst. lets see what happens. A little volume coming in caught some off guard...
What makes you think it's the same Andy Bloch the gambler? Just because a search brings that name up as the gambler it doesn't mean it's the same person? In any case this stock has a lot of potential but has gone dead since his email...
.0007x.0008 who is SSGI seems to have a lot of shares? Time to get this one off the bottom ....lets' go!!
Andy's email did say thursday at the latest so still time if it's legit .....
VIPM news looks good they are headed in the right direction from a dormant company to active revenue producing ... great
Too many matched trades automatically at the lower price ...everytime someone buys at .007 or higher you will see a lower trade for a small amount of shares or possibly they are holding those lower sells for a higher buy to keep the pps lower.
I doubt that's the same person especially if you don't have the same email he sent out...jmo I saw that also fwiw
Breakout candidates SMAS, PHEIE, VIPM, HESGE oversold waiting for news or volume glty
Shunngunner is this based on real information or just speculation? thanks
I agree with you but strictly on the chart fundamentals it looks good. I am not going to make any final judgments until all is said and done. Tried to call the company a couple times no luck either just get a phone message. This is the penny stocks don't forget most arn't forthcoming with info so just going to see what happens in the next couple days.
They have some good products especially SUGR if they get a good contract from a major food company or a R/M this one will be ok imo.
rubellite why are you bashing this company? Why not give it a chance ...if nothing else it looks good technically , RSI, MACD , OBV and volume are all positive on those merits alone it looks good ...
volume and pps tells a lot! The rumor if true would be huge about dropping the e and r/m . time will tell....
fwiw this came from a blog online OTC newsletter:
Editor: The filing isn’t too meaningful. They are currently out trying to raise money to acquire Kalahari Tea- if they can do it, they will probably reverse split the stock, and it will be game on all over again. Without completing the acquisition, they have nothing but a corporate shell.
Where are all these shares coming from it seems like even 700M OS should have been dumped by now? Hopefully it is near finished. Good news ordinarily would move the pps upwards . We need to clear this up
HESGE moving nicely , SBMI news
HESGE up 66% and moving on expected news this week !
xbig and taki wish you would take this act on the road ... I have never been so entertained before.... not much doing here saturday night.... thanks guys ... love you both
This is all speculation which is what these boards are about. That and the occasional company prs and IR inputs. On a positive note if this Benoit geologist does happen to go to the site where sbmi has a claim and finds something promising and we get some substantial info from a company pr this could really escalate the price ....dilution or not. I would think that the diluter has to be near done. Trying to take a positive position here since I'm still in. You can spin this scenario any way you want and you would have a 50/50 chance of being correct. So for the time being I'm just going to wait and see what transpires.
SBMI was #6 volume #3 in trades for the day which is impressive from source microcaptrader. Which gives it a totally different spin. And the pps remained the same which is a neutral indicator. If this geologist benoit comes up with some positive findings we could have something here since the gold sector has been very hot lately since the price has increased to make exploration profitable. IT will be interesting to see what happens monday and if the volume stays unusually high or comes back to normal levels.
MOMO I got back in @.00095 avg friday, thinking I could recoup some of my losses after selling off my shares at .0008 then a half hour later the pr comes out and a dead stock gets a LOT of action. The way it looks is it gave the diluter a chance to sell a ton more (biggest volume day to date) at the expense of those that got back in. David is doing a great job of keeping this board up to date on any current information, however, I am baffled as to the direction of this company and very curious to see where it's headed monday. Strictly speaking traders will look at the chart and make their decisions. Looks like a holding pattern. All I did friday was add to my losses should have just stayed on the sidelines. This was an example of huge volume trading into a seller. Trying to stay positive but not much feedback from management to confirm anything yet. Good luck
So what happened to the CC? I went to www.mn1.com supposedly which had a webcast of the cc which "supposedly" ran over according to one of the posters here and nada , nothing zip. I did a search and found nothing on VIPN on the site. Did they really have a CC ? If so it wasn't well organized and the outcome is at this point a mystery. The company hasn't posted anything on their site about the results of the cc? I would think if they had something positive they would want everyone to know about it. So what now ? Wait until monday and call. I'm baffled. any comments would be much appreciated.
Well shorts let them know I think they are a bunch of unadulterated crooks and I for one have lost my ass on this one and not happy at all..... nothing to do with you...you have done your best to report and have been honest all along....
Thanks shorts for the emails I sold at a big loss now it's going up!!!!!!!!!!!!!!
Don't look now but it's up .0009 on good volume thought SBMI was dead but there is a lot of life left....maybe a good pr would do the trick here.
shorts didn't get your email yet 2:33 pm est
Thanks shorts this stock needs all the help it can get... nice to see you back... it gives some of us confidence about the future .. keep up the good work...
UMCC looking very strong pre market on their 15-12G filing yesterday in preparation for R/M. Very low float should be hard to get shares ...you know what that means. good luck
UMCC .055x.06 PM looking interesting.
